1 AMERICAN ANGUS ASSOCIATION Highlights f the Meetings f the Bard f Directrs Nvember 3 and 6, 2017 The fllwing is a review f the tpics discussed and actins taken during the meetings f the Bard f Directrs held Nvember 3 and 6, 2017, in Frt Wrth, Texas. Julie Murnin, President f the American Angus Auxiliary, prvided an verview f the Auxiliary s activities f the past year. The 2017 annual audit reprts f the financial statements f the American Angus Assciatin and the Angus Fundatin (Fundatin) were presented t the Bard. Jnathan Perry mved, secnded by James S. Cffey, t amend the draft f the Assciatin September 11-13, 2017, regular Bard meeting minutes t include this statement: This budget des nt include any cash utlay that may be needed t implement strategies within the Lng Range Strategic Plan. The mtin was unanimusly apprved. Jhn F. Grimes mved, secnded by, t apprve the minutes f the September 11-13, 2017, regular Bard meeting as amended. The mtin was unanimusly apprved. Jnathan Perry mved, secnded by James W. Hendersn, t name the bardrm at the Assciatin headquarters after Richard E. Wilsn, recently-retired Chief Financial Officer, in hnr f his frty-eight years f dedicated and exemplary service. The mtin was unanimusly apprved. The annuncement f the Richard E. Wilsn Bardrm will be made at the pening sessin f the Angus Cnventin, and a plaque will be presented t Mr. Wilsn. The Bard cnsidered a request by Assciatin member and delegate Andrew Stewart t change wrding f the Prcedures t Gvern the Electin f Five Members t the Bard f Directrs f the American Angus Assciatin t mre clearly state hw the majrity vte is determined. The prcedures had been apprved by the Assciatin Bard f Directrs at the September regular Bard meeting. James S. Cffey mved, secnded by Barry Pllard, t change the wrding f the prcedures as prpsed. The mtin was unanimusly apprved. The change in the prcedure will be explained t the delegates n Mnday prir t any electrnic vting during the Annual Cnventin f Delegates. The Bard cnsidered crrespndence received frm Assciatin member and delegate Duane Mrley Cx regarding questins abut recent changes in calculating birth weight expected prgeny differences (EPDs). Staff presented infrmatin related t the questins psed in the letter. N actin was taken. Dr. Dan Mser, President f Angus Genetics Inc. (AGI), will cntact Mr. Cx t discuss his cncerns. Dr. Mser presented additinal infrmatin t the Bard regarding birth weight and weaning weight EPDs. Examples f changes in weaning weight EPDs when birth weight data is added were presented. Change in grwth trait EPDs resulting frm birth weight data submissin is minimal. As previusly requested by the Bard, Dr. Stephen Miller, Directr f Genetic Research, presented the tp five ptential research tpics that have been identified by staff. Fllwing thrugh discussin, Dn Schiefelbein mved, secnded by David A. Dal Prt, that staff develp a prpsal fr an internship prgram fr data cllectin n ft structure by January 1, The mtin was unanimusly apprved.

Dyar, t direct staff t bring t the Bard a refined dispsal cde system which includes a better definitin f ft structure. The mtin was unanimusly apprved. The Bard next discussed the current $Value indexes. Jerry Cnnealy mved, secnded by Dave Nichls, t direct staff t mve ahead with imprving the current $Value indexes and t bring cst cnsideratins t the Bard befre the February regular Bard meeting. This des nt include develpment f a Ttal index. Mtin passed by a vte f furteen (14) in favr and tw (2) ppsed. At the request f Directr Jerry Cnnealy, the Bard discussed whle herd reprting. Staff was directed t gather infrmatin n the subject, which will be included as an agenda item at the February 2018 Bard f Directrs regular meeting. Discussin was held regarding the prpsed building expansin. Staff presented varius ptins explred ver the past tw mnths and nted that the prject has been deemphasized mving frward due t ther higher pririties within the Lng Range Strategic Plan. Staff reprted n Angus Cnventin statistics, including mre than 2,300 registratins and 474 exhibitrs. Main events f the cnventin schedule were reviewed. A sessin has been added n Saturday afternn fr members and attendees t meet with Bard and staff in a casual setting. The sessin will be annunced at the Angus Cnventin pening sessin n Saturday mrning. The Bard reviewed crrespndence received frm Assciatin member Nick Nessn. Cnfidentiality matters and fiduciary respnsibilities f Bard members were discussed. The Bard als discussed Bard plicies cncerning reprting and release f minutes f Bard meetings, as well as current fees fr services. The Bard will include a discussin f transparency n the agenda f the February regular Bard meeting.
