1 MNUTES OF THE MEETNG OF THE MCHGAN STATE UNVERSTY BOARD OF TRUSTEES The meetng of the Board of Trustees was called to order by Presdent John DBaggo on Frday, y at 8:35 a.m. n the Board Room of the Admnstraton Buldng- Trustees present: Dolores.M. Cook, Joel Ferguson/Russell G, Mawby, Dean Prdgeon, Melane Renhold, Barbara J> Sawyer, John D* Shngleton, and Robert E. Wess, Unversty offcers present: Presdent DBaggo, Provost Scott, Secretary Davs; Vce Presdents Kurz, Meyer, and Wlknson. Faculty Lason representatves present: Dr.. Norman Abeles and Dr. Marvn Grandstaff, Student Lason representatves present: Rchard Edelmann, Chrs Kemntz, Conne Tngson, and Stephane Worswck (representng Darren Tetens). Presdent DBaggo announced that General Counsel Mary Elzabeth Kurz has requested that the Board of Trustees meet n Executve Sesson as authorzed by Secton 8 (e) of the Open Meetngs Act to dscuss wth Counsel specfc pendng ltgaton. On a moton by Ms. Sawyer, supported by Ms- Cook, A ROLL CALL VOTE was conducted by Secretary Davs and the moton passed unanmously The Trustee Polcy Commttee and the Trustee Fnance Commttee meetngs were held n the Board Room of the Admnstraton Buldng begnnng at 9:10 a.m. The mnutes of the commttee meetngs are on fle n the Offce of the Secretary of the Board of Trustees. The meetng of the Board of Trustees was reconvened by Presdent John DBaggo at 11:20 a.m. n the Board Room, Trustees present: Dolores M. Cook, Joel Ferguson, Russell G-Mawby, Dean Prdgeon, Melane Renhold, Barbara J. Sawyer, John Dv Shngleton, and Robert E. Wess, Unversty offcers present: Presdent DBaggo, Provost Scott, Secretary Davs; Vce Presdents Kurz, Meyer, Perre, Turner, and Wlknson. Faculty Lason representatve present: Grandstaff. Student Lason representatves present: Edelmann, Kemntz, Tngson, and Worswck. All actons taken were by unanmous vote of the Trustees present, unless otherwse noted. 1. On a moton by Mr. Prdgeon, supported by Ms. Sawyer, THE BOARD VOTED to approve the proposed agenda, 2. On a moton by Dr/Mawby, supported by Mr. Prdgeon, THE BOARD VOTED to approve the mnutes of the February 7/ 1992, Board meetng. 3. The followng ndvduals addressed the Board of Trustees on the subjects lsted: A. Dr. Peter Marabell* faculty member and Char of the Ant-Dscrmnaton Judcal Board, presented a moton passed by the ADJB on March 31, that "Peter Marabell make a presentaton to the Board of Trustees on Aprl 3, askng that the nterm revsons not be mplemented and th t the memo ssued by the ADJB dated March 31, b"e sent to ndvdual members of the Board of Trustees," B. Mr. Denns Hartke, staff member and member of the Unversty-wde Task Force on Lesban and Gay ssues, commented on hs concern that the proposed revsons to the ADJB polcy wll sgnfcantly weaken protecton for hmself and other Unversty communty members from dscrmnaton based on sexual orentaton- C. : Mr. Ed Hnspeter, Presdent, Lansng Assocaton for Human Rghts, stated that the revsons to the Unversty's Ant-Dscrmnaton Polcy and Procedures wll result n changes to the functonng of the ADJB. He requested further study and urged the Board and the admnstraton to consder nput of the Gay and Lesban Faculty and Staff Assocaton, the Unversty-wde Task Force on Gay and Lesban ssues, and other advsers Request for Executve Sesson Publc Partcpaton

Mchael Rce, staff member and Presdent of the Admnstratve Professonal Supervsors Assocaton, addressed ssues related to the current ADJB Polcy and Procedures and reported he s pleased the Unversty has responded to those ssues by draftng an nterm proposal. He urged the Board to support the nterm proposal so that every student and employee at Mchgan State has a credble and equtable ant-dscrmnaton polcy and procedure. E. Ms- Rondy Schedt, staff member and Presdent of the Clercal-Techncal Unon, requested that the Board not approve the revsons to the current ADJB Polcy and Procedures and not rush to judgment n ths crtcal ssue whch needs to be consdered by the Unversty communty. F«Dr. Glora Smth, faculty member and Presdent of the MSU Black Faculty and Admnstrators Assocaton, was ntroduced by Dr, Thomas Gunnngs, also a faculty member* Dr. Smth presented the Assocaton's poston, unanmously endorsed by the membershp on Aprl 1, regardng the selecton process for the appontment of the Athletc Drector. The Assocaton does not accept the choce and requested the Board of Trustees to drect the Unversty to reevaluate the canddates and ther credentals n vew of the Unversty's commtment to dversty. Dr, Smth's comments are ncluded wth the Board Agenda n the Offce of the Secretary of the Board of Trustees, as requested by Trustee Wess. Dr, Smth ntroduced Mr. Erc Ellson, student and Presdent of As One, who expressed dsappontment that Dr- Clarence Underwood was not selected for the Athletc Drector poston. G. Ms. Sharon Glaytor Peters, Presdent of the MSU Black Alumn Natonal Board, commented on ther organzaton's support of the Unversty. However, she wshed to express ther concern regardng the recommendaton for the Athletc Drector poston snce they have consstently supported the selecton of a qualfed Afrcan Amercan to a major athletc poston. Publc Partcpaton sesson extended Mr. Ferguson proposed that the Publc Partcpaton sesson be extended to allow addtonal persons, who had not regstered pror to the deadlne, to speak regardng the selecton and appontment of the Athletc Drector. On a moton by Mr. Ferguson, supported by Mr. VJess, THE BOARD VOTED to approve the recommendaton. The vote was k yeas, 3 nays, and 1 abstenton. H. Addtonal speakers ncluded Dr. Susan Peters, faculty member and Search Commttee member, who dentfed the representaton and Unversty afflaton of the Search Commttee members. Mr. Denns Martell, graduate student and Search Commttee member, commented on hs perspectve as the affrmatve acton advocate on the Search Commttee. The followng speakers voced ther support for Dr. Clarence Underwood as Athletc Drector: 1) Mr. Toby Heaton, student athlete (football) 2) Mr. Slas Taylor, staff member 3) Ms. Jacquelne Varr, former student and member of the Lansng communty 4) Mr. Gus Ganakas, Assstant Athletc Drector 5) Mr. Robert Vnney* a Spartan 6) Mr. Raymond Hearn, student and Presdent of Black Student Allance. The fnal preregstered speakers were Messrs, Mark Jurva, Paul Hetzleberger, and Kurt Schmtz, students and members of the Student Envronmental Acton Coalton (SEAC), who presented a vdeo on Project Recycle. They presented pettons wth sgnatures of persons supportng a proposal for the Unversty to purchase envronmentally sound paper products. Resolutons were also ncluded from ASMSU for the Unversty to use more post-consumer recycled products and from RHA to set a polcy for a Unversty-wde recycled paper procurement polcy. Presdent DBaggo announced that the Board would recess for a bref lunch and would reconvene at approxmately 1:05 p.m. The meetng was reconvened by Presdent DBaggo at 1:10 p.m. Trustees present: Dolores M. Student Lason representatves j present: Edelmann, Kemntz, Tetens, Tngson, and Worswck. The report of Presdent DBaggo ncluded the followng: A. Presdent DBaggo reported on the successful progress of the specal gfts porton of the Captal Campagn whch has surpassed the $6 mllon goal because of the generous gfts from alumn and frends. The Campagn s nearng the fnal stage and s expected to end n the sprng of B. One of the major projects beng realzed as a result of the Captal Campagn s the new Busness Buldng. Board members have been nvted to partcpate n the formal ground breakng whch wll take place on Aprl 9 V The new buldng whch wll be connected to Eppley Center by a walkway s expected to "be completed n late C«Three members of the Unversty communty and three unts of the Unversty have receved recognton at the thrd annual All Unversty Excellence n Dversty Conference ths week. Excellence n Dversty Awards were presented to Carmen Gear, Assstant Drector of the Counselng Center; student Mara Valayl; and Professor Eleen Van Tassell. The unts recevng awards were the MSU Lbrares, Custodal Servces, and the Unon Actvtes Board D. Ms, Rujuta Bhatt, a junor from Wayne, New Jersey, majorng n bochemstry and nternatonal relatons, s the recpent of a Harry S. Truman Scholarshp, Ths $5,000 scholarshp s presented to about 90 students natonwde/ Ms- Bhatt s the Unversty's second Truman scholar n the past three years, and the eghth snce E* Presdent DBaggo reported on the destructon n the mnk research faclty and the extensve damage caused by fre n the Anthony Hall offce of Dr. Rchard Aulerch, the Unversty's chef mnk researcher. The fre damaged a sute of offces, almost totally destroyng 32 years of research for Dr. Aulerch and that of hs colleagues/ F< Presdent DBaggo commented on the performance of the men's basketball and hockey teams and the academc accomplshments of ndvdual student athletes. Wth an overall record of 22 wns and 8 losses, the basketball team ted for thrd place n the Bg Ten and partcpated n the NCAA post-season tournament as the number 5 seed n the Mdwest Regon* The hockey team fnshed thrd n the CCHA regular season standngs wth 25 wns, 11 losses, and 8 tes. The team also partcpated n the NCAA Tournament for the tenth tme n the last 11 years. Presdents Report Personnel Actons A. Appontments Personnel Actons Appontments 1) Leholm, Arlen G. Other Personnel Actons contnued Appontment of Drector of ntercollegate Athletcs Gft, Grant & Contract Report Trustee Polcy Commttee Amendments to j Bylaws for Academc Governance ) Dr. Scott reported these recomnendatons reflect a reorganzaton to acheve reductons n admnstratve costs through greater ntegraton n the Offce of the Provost. On a moton by Ms. Cook, supported by Ms. Sawyer, THE BOARD VOTED to approve the Appontments and Other Personnel Actons as lsted above. On a moton by Mr. Ferguson, supported by Ms. Cook, THE BOARD VOTED to dvde the queston so there could be a separate vote on the personnel acton to appont a Drector of ntercollegate Athletcs. The moton to dvde the queston passed unanmously. Extensve dscussons occurred related to the selecton of the athletc drector. On a moton by Mr. Prdgeon, supported by-ms* Cook, THE BOARD VOTED to approve the appontment of the Drector of ntercollegate Athletcs. Mr. Ferguson and Mr. Wess voted n opposton of the acton. Presdent BBaggo ntroduced Ms. Baker who made bref comments on how pleased and honored she was to be selected. On a moton by Mr. Wess, supported by Ms. Cook, THE BOARD VOTED to approve the Gft, Grant and Contract Report for the perod January 11, 1992, through March 6, 1992, wth a total value of $21,150, The report s ncluded wth the Board Agenda n the Offce.of the Secretary of the Board of Trustees. The reports and recommendatons of the Trustee Polcy Commttee were presented by Mr. Ferguson, the Commttee Charperson. A. Amendments to the Unversty Bylaws for Academc Governance were approved by Academc Councl on February 4, 1992, and are recommended as follows: 1} Proposed named change to brng the Bylaws n lne wth the reorganzaton of the Offce of the Provost whch occurred last year. Proposed changes are underlned, The Academc Councl shall have the followng ex offco members:... Vce Provost for Computng and Technology, Assstant Provost for Graduate Educaton, Assstant Provost for Undergraduate Educaton, Vce Provost for Unversty Outreach, Faculty Grevance Offcal, and Ombudsman. 2} Converson to the semester system requres changes of dates from September 1 to August 16 n the followng Bylaws: 3.2,3.6., , , , , 6*4,3,.3} Dates n the Bylaws wll need to be changed from September 1 to the frst day of summer semester classes; , > and 4.2,1.4. 4) The word ''term" wll need to be replaced wth the word semester where approprate: f r # , ) The followng sentences should read as follows: a. Secton (second sentence) A person who has enrolled for two consecutve semesters may retan student status for one semester when... b. Secton Electon of college representatves shall be completed by Aprl 1 of sprng semester. c- Secton The word "term" should be changed to semester: the date should be changed from "September 1" to the frst day of summer semester classes. d. Secton , The date should be changed from "May 15" to May JL * On a moton by Ms* Cook, supported by Dr. Mawby, THE BOARD VOTED to approve the amendments n the Unversty Bylaws for Acadeac Governance-

5 B. t was recommended that the new "MSU Ant-Dscrmnaton Polcy" and "Procedures of the Ant-Dscrmnaton Judcal Board" be approved on an nterm bass. The admnstraton s requested to take steps and resolve ssues as necessary for ther mmedate mplementaton. The admnstraton s also requested to ntate a cycle of consultatve revew n preparaton of an admnstratve recommendaton for fnal acton by the Board of Trustees. C. t was recommended that the Tenure System Operatng Prncples of the Tenure System polcy be revsed to change from September 1 to August 16 for calculatng appontment perods n the tenure system (operatng prncple number 1) s necessary to accommodate the semester calendar- The revson wth respect to foregn natonals (operatng prncple number 7} s proposed n order to provde clarfcaton and to reflect the Unversty's current practce. A copy s ncluded wth the Board Agenda n the Offce of the Secretary of the Board of Trustees* Tenure System polcy revsed to accommodate system calendar and wth respect to foregn natonals The Unversty Commttee on Faculty Tenure consdered these changes at ts meetng on March 11, 1992, and approved a moton of endorsement. On a moton by Dr. Mawby, supported by Mr. Shngleton, THE BOARD VOTED to approve the recommended changes n the polcy to be effectve Aprl 3, D. The Trustee Polcy Commttee recommended to the Board of Trustees that the Food Scence Buldng be renamed the G, Malcolm Trout Food Scence and Human Nutrton Buldng- On a moton by Dr. Mawby, supported by Mr. Shngleton, THE BOARD VOTED to rename the buldng- E. The annual Affrmatve Acton report was presented by Presdent DBaggo, Provost Scott, and Dr. Ralph Bonner at the mornng commttee meetng. 10. The reports and recommendatons of the Trustee Fnance Commttee were presented by Ms«Renhold. A. A Bd and Contract recommendaton was presented as follows: A contract n the amount of $176,182 be awarded to G. L, DePue and Assocates nc. of Wllamston, Mchgan, and that a budget n the amount of $200,000 be establshed for the project enttled Forest Akers West Golf Course - Cart Path Pavng. On a moton by Ms. Renhold, supported by Mr, Shngleton, THE BOARD VOTED to approve the contract. B. t was recommended that the Board of Trustees approve, as of July l y 1992, the ncluson of Fdelty nvestments and The Vanguard Group n the Unversty 1 s Base Retrement Plan for the nvestment and transfer of funds by ndvduals classfed as Admnstratve Professonal Supervsors, Admnstratve Professonals, Publc Safety Offcers (FOP), and Stagehands (Local 274). On a moton by Ms. Renhold, supported by Mr. Shngleton, THE BOARD VOTED to approve the recommendaton. C. t was recommended that the Board of Trustees adopt the basc resdence halls room and board rate of $1,784 per semester effectve fall semester 1992, and unversty apartments rates of $313 per month for a one-bedroom apartment and $345 per month for a two-bedroom apartment effectve September 1, On a moton by Ms, Renhold, supported by Dr. Mawby, THE BOARD VOTED to approve the recommendatons. t was recommended that the Board establsh the Walter F. Reports on nvestment actvtes and budget and program plannng Charperson T s Report Trustees 1 Comments F* Two addtonal reports presented at the commttee meetng ncluded Trustee Sawyer*s- comments on nvestment actvtes and performances, and a report from Presdent DBaggo regardng budget and program plannng as a follow-up to Charperson Prdgeon's request at the February 7, 1992, meetng, 11, The report of the Charperson and Trustees ncluded the followng: A. Charperson Prdgeon commented on the mportance of mantanng the qualty of the Unversty durng these perods of dffcult budgets. B. Trustee Mawby reported on hs attendance at the annual Assocaton of Governng Boards meetng held n San Dego n March, There were excellent resource people and he thought t was a worthwhle experence whch provded an opportunty to share concerns of the future wth Trustees and offcers of other Mchgan nsttutons...dr, Mawby expressed that he was proud of the Unversty n two partcular recent nstances, The frst was when attendng ANR Week and he wshed to commend the faculty of the College. Also, he s proud of the recognton to the College of Human Medcne n beng dentfed as the leadng College of Human Medcne n the country n the preparaton of famly practce physcans. Dr, Mawby requested Secretary Davs to express the Board 1 s commendaton to the faculty for that recognton and dstncton, C. Trustee Shngleton reported that at the recent AGB annual meetng he attended a sesson on the hstory of hgher educaton whch was conducted by Dr. Ernest Boyer, Presdent of the Carnege Foundaton for the Advancement n Teachng, At that sesson, Dr. Boyer dentfed Dr. John Hannah as a leader n ths century who dd more for hgher educaton than any other person. Trustee Shngleton stated that ths recognton. s a trbute to Dr. Hannah and to ths Unversty. Mr, Shngleton encouraged the partcpaton of other Trustees at ths annual conference. D. Trustee Cook expressed apprecaton to Dr, Mchael Schechter, n behalf of the Board, for hs servce to the Unversty n the mportant search responsblty for an Athletc Drector, She also thanked hm foj: the tme spent wth her regardng the prelmnary SpARC Report/r" E. Trustee Wess requested that the ssue of recyclng be referred to the Trustee Polcy Commttee, He also thaked Coach George Perles for servng emnently under dffcult crcumstances as the Athletc Drector, F. Student Lason member Chrs Kemntz, on behalf of students, commented on the postve experences n workng wth Dr. Gordon Guyer. Although Dr, Guyer was not n attendance at the Board meetng, Trustee Wess also chose to express hs apprecaton snce he was unable to attend the dnner that evenng honorng Dr. and Mrs. Guyer, 12.
