The detaled budget for was dstrbuted and revewed by Mr. May and the Oakland budget by Mr. Varner. Mr, Merrman wshed to be recorded as objectng to the revew of the orgnal salary schedule.as recommended by the Unversty offcers to the Trustees, and expressed the hope that n future years, the Trustees would follow the tradtonal pattern n actng on the salary budget and approve the recommendatons as prepared by the offcers of the Unversty. On moton by Mr. Hartman, seconded by Mr- Huff, t was voted to approve tem Mr. May recommends that the Board authorze the sale of 25 shares of Chrysler stock receved from Mr. Vrgl E. Boyd n support of the Meadow Brook Musc Festval. On moton by Mr. Harlan, seconded by Mr. Hartman, t was voted to approve tem n the regular agenda s the report on the bds taken on June 28 for the Faculty Offce and Classroom Buldng wth the recommendaton that contracts be awarded to the low bdders. f t s decded to move the ste for ths buldng to the South Campus (on the south sde of Shaw Lane between the Engneerng Buldng and the ralroad spur), there wll be an addtonal cost of possbly as much as $100,000. The decson on the locaton should be made n the Fnance Commttee. The ste on whch the bds were taken s drectly west of the Psychology Research Buldng and south of Snyder-Phllps Halls. The use of ths ste would further restrct the amount of open area adjacent or close to the Mason-Abbot and Snyder-Phllps dormtores. On the other hand t s where the need s greater for classrooms and faculty offces. The South Campus ste s adequate, but wll be less convenent n the near future for classroom of offce use. The addtonal cost of $100,000 s an approxmate fgure and would, of course, eventually be only what the costs actually are. Mr. Huff, ndcated that he objected to the locaton for ths buldng, and that he thought t was an example of poor plannng but that under the crcumstances, wth ths recorded protest, he was wllng to vote for the locaton of the buldng as now recommended. Mr. Bresln s meetng wth legslators and beleves that the authorzaton wll be ncreased when the legslature reconvenes on August 22. Snce the Trustees wll not meet n August, t s recommended that the Trustees approve the awardng of contracts to the followng low bdders, subject to the legslature ncreasng the authorzaton and the necessary clearance wth the State of Mchgan for release of funds: contnued - -

(a) Communcaton from Mr, May: As you know, a number of the contracts ssued by the State of Mchgan and assgned to the Unversty for constructon of the Power Plant contan lqudated damage provsons. Although we were able to place the frst boler n operaton n late January, there are a number of contracts whch were not completed on the scheduled date and for whch lqudated damages may be due, There seem to be serous legal problems connected wth the collecton of damages on these clauses. For ths reason, Mr. Carr was asked to attend a meetng n the State Buldng Dvson to dscuss the procedures followed; by the State and ts success n assessng damages under such clams. Mr. Carr agrees that about the only nstructons receved from the State Buldng Dvson were to negotate the amount of the damages and avod court acton. asked Mr. Rosa how they handled settlements f agreement was reached, and he ndcated to me that all settlements were approved by the State Admnstratve Board to nsure acceptance by state audtors. t s therefore my vew that any settlements negotated by ths offce should be presented to our Board of Trustees for ts concurrence. The frst contract on whch agreement has been reached relatve to lqudated damages s wth the Chrstman Company and ts subcontractor, the Wsconsn Brdge Company and ron. All partes concerned have agreed to a lqudated penalty of $3,000, am recommendng that the Trustees approve a reducton n the Chrstman Company contract from $661, to $658, Dscusson lqudated damage provsons Power Plant (b) Communcaton frommr. May: For a number.of weeks-we have been negotatng wth the Rockwell Manufacturng Company for a settlement of the lqudated damage clause n ts contract for materals for the new Power Plant. The frm has now agreed to a,lqudated damage charge of $18,700. would recommend that the Trustees approve the settlement and a reducton n the orgnal contract from $153,712 to $135,012. On moton by, Mr. Huff, seconded by Mr. Haran, t was.voted to approve these recommendatons. 7. Communcaton from Mr. May: Several tmes Ernst & Ernst have suggested to me that there should be a wrtten polcy of the Trustees relatve to the handlng of realzed captal gans on securtes. The basc queston s whether or not any;net realzed captal gans should be added to prncpal and renvested or whether they should be treated as ordnary ncome and dsbursed. thnk there are arguments that all captal gans should be added to prncpal, but there are also arguments.for treatng such gans as ordnary ncome. For example, an endowment fund f nvested entrely n growth securtes could have almost no current ncome for the purposes specfed by the donor. After-consultaton wth Mr. Cress and Mr. Wlder, would lke to recommend that the Trustees approve the followng polcy: 1. All net; ordnary ncome on nvestments wll-.be allocated for purposes specfed n trust or endowment agreements, after captal losses. 2. n the event ordnary ncome s less than 5% of the prncpal book value of the endowment at the begnnng of the fscal year, there wll be a supplemental allocaton of realzed captal gans to brng the total avalable for current use up to the 5%. 3. The Board of Trustees of Mchgan State Unversty has determned that t s necessary and expedent to purchase buses requred n the operaton of the Unversty n the amount of $275, To provde the funds necessary to acqure the campus buses, the Board deems t necessary and expedent to borrow the sum of $275,000, and that these funds be borrowed from the Revolvng Funds of the Unversty. NOW, THEREFORE, BE T RESOLVED by the Board of Trustees of Mchgan State Unversty that a term loan agreement substantally n the form presented to the Board be entered nto pursuant to the terms of whch $275,000 may be borrowed to provde the requred funds. Accompanyng ths agenda s a copy of the term loan agreement as prevously approved n prncple by the Trustees and as now prepared by the Unversty Attorney Resoluton of the Board of Trustees to borrow funds to cover cost of a Plant Scence Research Faclty: 1. The Board of Trustees of Mchgan State Unversty has determned that t s necessary and expedent to buld a plant Scence Research Faclty at a cost of $2,720, To provde the funds necessary to buld the faclty, the Board deems t necessary and expedent to borrow the sum of $2,720,000, and that these funds be borrowed from the Revolvng Funds of the Unversty. Mr. Huff suggested that possbly consderaton should be gven to chargng nterest on these loans. The others dd not agree wth ths suggeston. On moton by Mr. Merrman, seconded by Dr. Smth, t was voted to approve tems 8 and 9. 10, The Weland farm s completely surrounded by Unversty property and located south of 1-96 on Phllps Road. After years of negotaton wth the hers to ths property, an opton was secured that had to be exercsed by June 30. ts terms follow: The 2 acres on the southeast corner ncludng the farm buldngs are retaned by one of the hers; the 2 acres at the northeast corner wth no buldngs have been purchased from one of the hers for $5,000; the balance of the farm consstng of 76 acres has been purchased for $2,200 per acre. Ths purchase requred Trustee approval. Approval purchase Grace DeRoos property 11. Approval of the purchase of property from Grace DeRoos at a purchase prce of $4,175. property s descrbed as follows: Lot No. 5 of the Plat of Unversty Park, Lansng, Mchgan, n the SW% of the SW% of Secton 25, T4N, R2W. Communcaton from Dr. Wttwer, Drector of the Agrcultural Experment Staton, as follows: of land for farm m Montcalm Co. We attach herewth the document relatve to a 10-year lease of land for an expermental farm n Montcalm County. Ths proposal comes as a result of a dscontnuaton of the Streffert Expermental Farm \ (20-40 acres) n Antrm County, and the probable termnaton after ths year, of actvtes at the Ferden Farm (40 acres) n Sagnaw County. The focus of the new farm n Montcalm County wll be on potatoes and other crops for processng. The Charman of the Department of Crop Scence n.the College of Agrculture wll ; be admnstratvely responsble under the drecton of the Dean of the College of Agrculture and the Drector of the Agrcultural Experment Staton. The purpose of ths grant contnues to be that of assstng the nsttuton n support of "development and mantenance of a sound;. well-balanced program of basc research, research tranng, and related scentfc actvtes." The broad program of support whch was establshed n 1964 to admnster the nsttutonal Award has been receved favorably by the scentfc communty wth actve partcpaton by faculty. contnued - -

We have receved a true copy of the Fndngs of Fact Conclusons of Law and Drecton j of Electon fled by the Mchgan Labor Medaton Board July 1, 1966, coverng the petton junversty of the nternatonal Unon of Operatng Engneers, Local 547, AFL-CO, seekng represen- Attorney taton of the fremen, operators and utltymen of the North and South Campus Power Plants, ^authorzed to perfect an Proofs were presented before the Chef Tral Examner on October 19 and 21, 1965, followng Appeal wth whch brefs, were submtted by all of the nterested partes. Reduced to overs mp lf cat on!^lc^ an Court t was the poston of the Unversty that the Dvson of Physcal Plant, whch ncluded of Clams re: power plant employees, had been n exstence for a perod of 110 years and that the Labor Order of Labor Medaton Board should not fragment a unt of such long standng. The Operatng Engneers Medaton contended that the actvtes of the power plant personnel were unque and separable from Board all other employees wthn the Dvson and therefore consttuted an approprate unt for recognton wthn the concept of the Amended Hutchnson Act. The opnon states j that the normal course of job progresson n the power plant conssts of fremen::, \ operators and utltymen; that these people have a close communty of nterests; and that they consttute an approprate unt for purposes of unon representaton. Accordngly, : the Medaton Board drects the Unversty to conduct an electon under the supervson of a Board agent to determne whether the /'fremen, operators and utltymen of the North and ; South Campus Power Plants of the employer, excludng utltymen assgned to the power plant but who spend a majorty of ther workng tme at places other than the North and South Campus Power Plants; professonals and executves, supervsors, and all other ;. employees 11 wsh to be represented by Local 547 of the Operatng Engneers rather than Local 1585 of the AFSCME (AFL-CO)- Snce ths restrcted and exclusve group has already fled ts declaraton of ntent for the operatng engneers, the holdng of such an electon s rdculous travesty. We naturally turn to the law to determne a course of conduct. Under the provsons of Secton 16 of Act 379 of the Publc Acts of 1965 (commonly called the Amended Hutchnson j Act), we fnd alternate and conflctng provsons, one of whch allows the Medaton Board to petton for enforcement of ts orders n the Crcut Court and the other ; requres the party aggreved to obtan a revew n the Court of Appeals. After careful. consderaton, we propose that the Board of Trustees should gnore the order, subject tself to a ctaton and compel the Labor Medaton Board to fle ts enforcement acton wth the ngham County Crcut Court. Ths acton wll be attended by some adverse publcty snce t necessarly carres an element of defance. However, our relance wll be on the provsons of the federal and state consttutons forbddng state acton calculated to mpar the rght of contract. Snce we have an executed contract wth the APSCME, whch j antedates the order of the Labor Medaton Board, the recognton of a dfferent unon j would consttute a contract nterference. Addtonally, the Mchgan Supreme Court, n Hotel Olds vs. Labor Medaton Board, 333 Mch. 382, declared that: t n desgntng barganng unts as approprate, a prmary objectve :... s to consttute the largest unt whch, n the crcumstances of the partcular, case., s most compatble wth the effectuaton of the j purposes of the law and to nclude n a sngle unt all common nterests. ; Mr. Carr recommended that the Board authorze the flng of an applcaton for Leave To Appeal wth the Mchgan Court of Clams to obtan a judcal revew of the Order of the j Labor Medaton Board dated July 1, \ Followng dscusson, t was moved by Mr. Stevens, seconded by Dr..Smth, and unanmously voted that the Unversty Attorney undertake -the requred procedures to perfect an.appeal. 15. Dean Byerrum, Drector Lautner, and Provost Nevlle recommend the collecton of a requred fee from all vstors to Hdden Lake Gardens and the Kellogg Brd Sanctuary to begn May 1, 1967, at Hdden Lake Cardens, and August 15, 1966, at the Kellogg Brd Sanctuary, and request an appropraton to cover the cost of nstallaton of gates, fences, etc., n the amount of $15,000 for Hdden Lake Gardens and $7,200 for the Kellogg Brd Sanctuary. 6 5598 Fnance Commttee Meetng Mnutes, contnued 16/ Communcaton from Mr. May: Cty of E.L. to share cost pedestran brdge on Hagadorn Road have been advsed by Mr, Patrarche that the East Lansng Cty Councl wll be favorable to a sharng of the cost of a pedestran brdge on Hagadorn Road. Ths brdge s estmated to cost $28,000. was further advsed that snce the Councl dd not have the tem n ts budget, the Councl would lke Mchgan State Unversty to fnance the brdge wth the Cty's share estmated at $14,000 to be repad to the Unversty n July of 1967, have ndcated to Mr. Patrarche that wll try ^.to obtan Board approval on Thursday commtng the Unversty. f the Board does approve, wll advse the Cty Engneer, who wll do everythng possble to expedte the project and have the brdge completed ths fall. t would be my recommendaton to the Trustees that the cost be fnanced out of 1965 earnngs of Fee-Akers Hall whch were released to the Unversty n the permanent fnancng of the East Campus dormtory projects. After dscusson, on moton bymr. Huff, seconded by Dr. Smth, t was voted to have Mchgan State Unversty cease contrbutng to the support of MACU untl and unless t s understood that polcy statements purportng to speak for the total membershp, ncludng ths Unversty, are subject to prevous consderaton and approval by ths Board of Trustees before such statements are publshed nferrng that they do n fact speak for ths Board and Mchgan State Unversty. A letter from Wllam E. Strton, Secretary of the Mchgan Assocaton of Colleges and Unverstes assures the Trustees that t s not hs ntenton or that of the MACU to presume to speak for the nsttutons or groups of nsttutons makng up the MACU. t s recommended that the Board rescnd ts prevous acton and authorze the payment of dues to ths organzaton at least for the current year. On moton by Mr. Huff, seconded by Mr. Harlan, t was voted to authorze Mr. Varner to proceed wth hs thnkng and plannng but wth the understandng that all formal arrangements and structural projects are to be revewed by the Trustees before the plans are fnalzed or any fnancal commtments are made.

Recommendaton that the archtectural frm of Tarapata MacMahon Assocates, ncorporated, be commssoned to do the prelmnary plans for the new educaton-socal scence buldng authorzed by the legslature. On moton by Mr. Hartman, seconded by Mr. Harlan, t was voted to approve tem Recommendaton that Commonwealth Assocates be desgnated as the frm to do the work n connecton wth the central heatng plant whch has been authorzed by the legslature, On moton by Mr. Huff, seconded by Mr. Stevens, t was voted to approve the above recommendaton. 21. Communcaton from Mr. Varner: Some tme ago Mr. and Mrs. Harry Pryale, through the Pryale Foundaton, assgned $50,000 here wth the understandng that t would draw nterest for the lfe of Mr. and Mrs. Pryale,. n vew of the communty enthusasm for the new theater project, Mr. Pryale has suggested that ths money be used n support of the theater. t s my recommendaton, therefore, that we be authorzed to assgn ths $50,000 to the purchase of lghtng and other equpment to make the lttle audtorum we have usable for the theater and that the annual nterest charges be charged aganst the operatng budget of the theater. On moton by Dr. Smth, seconded by Mr. Huff, t was voted to approve the above recommendaton. 22. Mr. Varner reported that bds had been taken on the proposed new dormtory but that they were n excess of the budget and n excess of the amount of debt that could be carred by ths resdence hall; and that he recommended the rejecton of all bds wth the understandng that ths whole project s to be rebd n November or December.
