1 10486 MNUTES OF THE MEETNG OF THE MCHGAN STATE UNVERSTY BOARD OF TRUSTEES The Trustee Fnance Commttee and the Trustee Polcy Commttee meetngs were held n the Board Room of the Admnstraton Buldng begnnng at 9:00 a.m. on Frday,. Mnutes of the meetngs are on fle n the Offce of the Secretary of the Board of Trustees. The meetng of the Board of Trustees was called to order by Presdent McPherson at 10:30 a.m. n the Board Room. Trustees present: Dolores M. Cook, Joel Ferguson, Russell G/ Mawby, Barbara J. Sawyer-Koch, John D. Shngleton, Bob Traxler, and Robert E. Wess. Trustee absent: Dorothy Gonzales. Trustee GPA Award Recpents Presdents Report Unversty offcers present: Presdent McPherson, Provost Smon, Secretary Hesse, Actng General Counsel Kley, Vce Presdents Denbow, Perre, and Wlknson, and nterm Vce Presdent Mortmore. Faculty Lason representatves present: Etta Abrahams, Maureen McDonough, and Charles Nelson. Student Lason representatves present: Jm Sterns, Laurn Stne, Brad Thaler, and Jamal Ware. All actons taken were by unanmous vote of the Trustees present, unless otherwse noted. 1. On a moton by Dr. Mawby, supported by Mr. Shngleton, THE BOARD VOTED to approve the proposed agenda. 2. On a moton by Dr. Mawby, supported by Ms. Sawyer-Koch, THE BOARD VOTED to approve the mnutes of the Board meetng of October 7, Trustee GPA Award Recpents for Fall Semester 1994 were congratulated for ther exceptonal academc performance. Charperson Ferguson and Presdent McPherson presented awards to Melssa Dwyer, Karen Duberchn, Sster Sopha St. Mary, Chrstopher Rush, and John Behrendt. Mary Ann Segel was unable to attend the meetng. Trustee-elect Colleen McNamara was ntroduced and welcomed by Presdent McPherson. B. Followng Presdent McPherson 1 s statement that the ntroducton of outstandng faculty members would become a regular part of Board meetngs, Provost Smon presented Professors Barbara Gven and Nkolay Dmtrov as two MSU faculty that represent the Unversty very well as exemplary ndvduals and exemplary faculty. Dr. Barbara Gven, Professor n the College of Nursng and Assocate Drector of the Cancer Center, recently receved a major natonal award, the Dstngushed Researcher Award, at the annual meetng of the Oncology Nursng Socety. Dr. Gven commented that she and her husband are a research team lookng at the cost of care, polcy ssues, and the burden of care for cancer patents n the entre state. The project s funded by the Natonal Cancer nsttute and the Natonal nsttute for Nursng Research. The second person ntroduced was Dr. Nkolay V. Dmtrov, the frst recpent of The Jack Bresln Endowed Professorshp n Hematology/Oncology, Professor of Medcne and deputy drector of the MSU Cancer Center. Dr. Dmtrov s a clncan usng communty networks to make a dfference n cancer treatment by conveyng research nformaton quckly to practcng physcans for applcaton. 1

2 10487 C- Presdent McPherson reported that Dr. Donald Bowersox, Professor of Marketng and Logstcs, s facltator of a Law Resource Group, revewng the need and desrablty of a formal law presence at Mchgan State and the feasblty of an afflaton wth Detrot College of Law. The possblty of a law school has been dscussed at Academc Councl and the Presdent looks forward to more extensve dscussons followng the dstrbuton of a paper beng developed by the Law Resource Group. Trustee Wess presented the followng recommendaton after thankng the Presdent, Provost, and others for pursung ths opportunty for the Unversty. Resoluton Be t resolved that the Board of Trustees drects the admnstraton and all approprate personnel to explore an afflaton of Mchgan State Unversty wth the Detrot -College of Law; Be t further resolved that the Board endorses the consultaton, begun by Presdent McPherson and Provost Smon, wth faculty and students and drects the admnstraton to contnue such consultaton, n an expedtous manner, on ways that further the objectve of strengthenng the overall qualty of Mchgan State Unversty through an afflaton wth a law school. Ths matter wll be referred to the Trustee Polcy Commttee for contnued consultaton wth the admnstraton. On a moton by Mr; Wess, supported by Ms, Cook, THE BOARD VOTED to approve the recommendaton. The vote was unanmous, 7-0. Presdent's Report cont. Resoluton to Explore Afflaton wth Detrot College of Law D- The Presdent sad he wshed to emphasze that the resoluton does not take a poston on whether or not the Unversty should have a law school, but rather supports the need for contnung exploraton and consultaton wth the campus communty. Presdent McPherson commented on the servce of Trustees Barbara Sawyer- Koch and Joel Ferguson who would be leavng the Board at the end of the year; Trustee Sax^yer-Koch was recognzed for her knowledge and nterest n the fnancal ssues of the Unversty and Trustee Ferguson for hs personal commtment to access to the Unversty. The followng ndvdual addressed the Board of Trustees on an ssue germane to the agenda: A. Greg Thrasher, Drector of a mult-cultural thnk tank "Plane deas' 1 n metro Detrot and cum laude graduate of MSUv asked the Board to embrace, challenge, and take advantage of the assets of dversty n appontng a person of color n the leadershp role of football coach as well as n other admnstratve postons. Personnel Actons were presented by Provost Smon: A. Appontments 1) Saban, Nck, AN-Head Football Coach, Department of ntercollegate Athletcs, $135,000, subject to a fve-year contract wth the effectve date to be mutually agreed upon by Presdent McPherson and Mr. Saban. Faculty Promotons and Tenure Recommendatons Host of the recommendatons for faculty members whose current probatonary appontments n the tenure system end on August 15, 1995 were made at the Board meetng on June A tenure acton was delayed last sprng on recommendaton of the college for the faculty members named -below. The followng actons are recommended by the Departmental Charpersons, the Deans, and the Provost n accordance wth the tenure rules. The followng promotons and reappontment whch nclude the award of tenure are recommended: 1} VandeHaar, Mchael J., promoton to Assocate Professor, Department of Anmal Scence, College of Agrculture and Natural Resources. 2) Helferch, Wllam G., promoton to Assocate Professor, Department of Food Scence and Human Nutrton, College of Agrculture and Natural Resources. 3} Raskolnkov, Felx, reapponted as Assocate Professor, Department of Lngustcs and Germanc, Slavc, Asan and Afrcan Languages, College of Arts and Letters. On a moton by Dr. Mawby, supported by Ms. Cook, THE BOARD VOTED to approve the Appontments, Other Personnel Actons, and Faculty Promotons and Tenure Recommendatons. Presdent McPherson reported the contract for Coach Saban has not been formalzed, but the substance of t has been agreed to for a base salary of $135,000 wth the ablty for outsde ncome from contracts wth apparel and such. Addtonally, the contract wll contan the novel feature of a possble $250,000 bonus at the end of 5 years to be made up of $100,000 dvded among the coaches and $150,000 for Coach Saban. To earn the bonus, the new coach wll need to do the followng: 1} there must be no probaton or major volatons that come out of the 5-year perod n whch he s head coach; 2) the student athlete grade pont average, currently 2.3, must mprove over the next 5 years and by the 5th year the team average must be 2.55; and 3) the team must wn twothrds of the regularly played games plus bowl games played. Students must obey the rules, get ther educaton, and steadly mprove. The Unversty does seek to wn. There also s dscusson of developng an addtonal bonus for wnnng a Bg Ten champonshp. Presdent McPherson commented on the appontment of Charles Greenleaf who wll be workng wth the Provost and Presdent n mplementng the Gudng Prncples, and s partcularly pleased that Dr. Lee June s wllng to undertake the assgnment of Actng Vce Presdent for Student Affars and Servces. Trustees commented on the appontments. Trustee Cook complmented the Presdent for the contract language and requrements for the head football coach. Trustee Wess suggested ncludng smlar language n the contracts of all coaches. Trustee Traxler asked that at the concluson of Mr. Greenleaf! s servce there be an understandng for reconsderaton of the poston. nforrnaton Reports Gft, Grant and Contract Report D. nformaton Reports of Academc Personnel Actons of September 21, 1994, October 19, 1994, and November 16, 1994 were dstrbuted wth the Board Agenda and are ncluded wth the agenda materals n the Offce of the Secretary of the Board of Trustees. 7. On a moton by Ms. Sawyer-Koch, supported by Dr.. Mawby, THE BOARD VOTE to approve the recommendaton. Trustee Sawyer-Koch asked for ths to occur pror to her departure from the Board on January 1, G. The Commttee receved the followng nformaton reports: 1) The Commttee revewed procedures for selecton of new audtors as presented by the admnstratve staff. 2) The Commttee receved a report from the admnstratve staff revewng performance of the Unversty's Endowment and Retrement Fund nvestments. 9. The Trustee Polcy Commttee report and recommendatons were presented by Commttee Charperson Wess as follows: A. t was recommended that the Board adopt the 1994 Mchgan State Unversty Ordnances as descrbed n the agenda materals. The revsed and updated set of Ordnances whch are effectve mmedately wll replace the 1992 verson. t was further recommended that the Ordnances be reconsdered at the. Charperson Ferguson stated he wshed to contnent on the selecton of a football coach as a matter of record and to follow up on the comments made by Mr. Thrasher durng publc partcpaton earler n the meetng snce, typcally, Board members do not respond to publc speakers, and he feels t s rude not to respond. Mr. Ferguson sad Presdent McPherson dd an outstandng job n the selecton and he s comfortable wth the search. The Presdent selected the "best.person.for the job at ths tme and t had absolutely nothng to do wth color." B. At the request of Charperson Ferguson, Secretary Hesse presented resolutons to the Cty of Lansng and the Cty of East Lansng recognzng the ongong cooperatve relatonshps the Unversty has wth these communtes. Presdent McPherson stated. he s pleased wth the relatonshps the Unversty has wth these two communtes. Trustees' Comments 1) At the request of Vce Charperson Shngleton, Trustee Cook presented the followng resoluton to Trustee Barbara Sawyer-Koch. 1 Resoluton to Trustee Barbara J. Sawyer-Koch The Board of Trustees of Mchgan State Unversty today extends ts apprecaton to Trustee Barbara Sawyer-Koch. Snce her electon to the Board of Trustees n 1978, fve presdents have counted on her wsdom and experence. Her nsghtful, wellconsdered contrbutons to the Board's delberatons gave her a dstnctve and forceful voce on such matters as student concerns about tuton, the Unversty's largest-ever captal campagn, and the transton to semesters. As the longest-servng member of the current board, she represented contnuty durng a tme of rapd change. Trustee Sawyer-Koch has devoted fully one-thrd of her lfe to the advancement of Mchgan State Unversty. A former Menomnee County treasurer and the frst woman from the Upper Pennsula ever to serve on the MSU Board of Trustees, she represents the ffth generaton of Sawyers to be nvolved n communty servce through posts n state or.county government. Trustee Sawyer-Koch earned a bachelor of arts degree wth honors n poltcal scence-prelaw from Alma College and a master of arts n publc admnstraton from Mchgan State Unversty. "The fact that she earned her master's degree whle workng full tme and servng on the Board of Trustees attests to her energy and commtment to educaton. Her experences as a student at ths nsttuton made her a more senstve and nformed trustee and made her a unque resource for other Board members. 1

8 10493 Her fnely developed leadershp sklls wll be mssed- As charperson of the Board from 1983 to 1985, she brought unque strengths n consensus buldng. Her treless advocacy for the Unversty took many forms, ncludng her efforts as a member of the MSU Foundaton's Board of Drectors. Her commtment to the wder communty s reflected n her partcpaton on the board of drectors of the Mchgan Captal Medcal Center, n her efforts to expand lteracy, and n the Unted Way of Mchgan. Cha rperson's Report and Trustees 1 Comments contnued Resoluton to Trustee Sawyer- Koch contnued n the press release that announced her ntenton not to seek another term on the Board, she observed that "lfe's transtons always offer hope and the opportunty to look at new ways to serve." On behalf of the entre Mchgan State Unversty communty, we gve ths loyal Spartan our heart-felt thanks, our congratulatons on a job well done, and our best wshes for the future. Trustee Sawyer-Koch commented brefly on her servce as a Board member and plans to share n wrtten text some thoughts about events at the Unversty and how those events mght mpact the future- She referred to the Unversty as a. gem of an nsttuton whch must be kept shned and polshed to let the lght shne through. Trustee Sawyer-Koch remarked t has been an honor and prvlege to serve the Unversty and has been the greatest servce that could have been carred on n her famly tradton. 2) Trustee Wess presented the followng resoluton to Charperson Joel Ferguson* Resoluton to Trustee Joel Ferguson Resoluton to Trustee Joel Ferguson The Board of Trustees of Mchgan State Unversty today pays specal trbute to Trustee and Charperson Joel Ferguson. Trustee Ferguson has brought hs passon for the Spartan tradton to bear on MSU affars snce wnnng electon to the Board n Durng hs tenure, Mchgan State won a Rose Bowl and successfully completed a captal campagn that wll help ensure the Unversty's excellence for decades to come. He contrbuted to major revews of the Unversty's undergraduate and graduate currcula, guded the Unversty's transton to semesters, and, most recently, had a hand n shapng the sx prncples that have redrected our msson. Followng servce n the U- S. Marne Corps, he earned a bachelor of arts degree from Mchgan State n elementary educaton. Even then, hs persstence was evdent. He pad for hs educaton by workng at the local Oldsmoble plant, an experence that lnks hm to the workng students of today. n 1968, after achevng promnence n the cvl rghts movement, Trustee Ferguson became the frst Afrcan Amercan elected to the Lansng Cty Councl. A year later, he launched hs career n real estate. He later founded a bank and establshed the frst ABC-TV afflate n Lansng. Hs real-world busness acumen has gven hm a unque perspectve on the challenges faced by a Bg Ten unversty. When t came tme to dentfy a presdent who could lead Mchgan State nto the twenty-frst century, Trustee Ferguson took the lead n the ntensve search process that resulted n the namng of M. Peter McPherson to the post. A Lfe Member of the Natonal Assocaton for the Advancement of Colored People, he has also contrbuted hs expertse to the Lansng YMCA, the Boy's Club, the Arthrts Foundaton, Junor Achevement, the Lansng Chamber of Commerce, and the Ctzens 1 Commsson to mprove Mchgan Courts. He was among those who launched Busnesses for Socal Responsblty, an organzaton dedcated to ssues such as parental leave, worker safety, and rebuldng the naton's ctes. He s also known as an artculate advocate of accessblty for handcappers and mnortes.

Joel now contnues that tradton. As the next nnng of hs lfe begns, the members of the Board of Trustees of Mchgan State Unversty acknowledge Trustee Ferguson! s devoted servce and outstandng accomplshments. On behalf of Mchgan State Unversty and the ctzens of Mchgan, we extend our sncere grattude and best wshes for the future. Trustee Ferguson commented to ndvdual Board members about ther assocaton durng hs trusteeshp. He remarked that beng able to serve on the Board and to be able to make a dfference had been a hghlght of hs lfe. He acknowledged the Presdent, Provost, admnstrators, staff, students, and others and sad he s happy to have been here, and s leavng the Unversty n good hands. 3) Trustee Traxer recommended an addtonal amendment to the Mchgan State Unversty Board of Trustees Bylaws, Artcle 4, Offcers and Organzaton of the Board, to clarfy and correct the language used n the prevous amendment. Artcle 4, Offcers and Organzaton of the Board Vce Charperson. The offce of vce charperson of the Board shall be flled each year, for a one-year term, by the member of the Board who, n accordance wth these Bylaws, s due to fll the offce of charperson of the Board n the succeedng year. The Board shall fll any vacances n the offce of vce charperson by electng another Board member to serve for the unexpred term. The vce charperson shall perform such dutes as may be prescrbed by the Board and shall assume the dutes of the charperson durng the latter*s absence. On a moton by Mr. Traxer, supported by Ms. Cook, THE BOARD VOTED to approve the amendment to the Bylaws. 11. The followng ndvdual addressed the Board of Trustees: A- Kenneth A. Russell, an MSU student, presented a letter n whch he prased Mchgan State faculty, staff, and admnstratve offcers for ther encouragement and care durng a very dffcult tme. Varous people helped hm to get the assstance he needed. He s grateful for the kndness of the Unversty to provde hm a second chance n spte of that stuaton. 12.
