Specal Recogntons Charman Evans welcomed Ms. Shrley Marcus Allen to meetng and presented Ms. Allen wth a Resoluton on behalf of the Board of Regents, n recognton of her excellence servce on the Board, for her role as Secretary of the Board and her poston as Charperson of the Academc and Student Affars Commttee. The Resoluton was read to those present, after whch presented to former Regent Allen. Ms. Allen expressed her apprecaton to the Board, Presdent, admnstraton, staff and students and stated that t had been a prvlege servng on the Board of Regents at Morgan State Unversty. Charman Evans also recognzed Student Regent Andrea E. Carrngton for her outstandng servce on the Board and stated that she had done a great job. Ms. Carrngton thanked everyone for helpng her to grow ths past year. And n response to her future plans, she stated she would be attendng graduate school. The Lady Bears cheerleaders receved a ctaton for wnnng the MEAC all-grls dvson champonshp for the second consecutve year. The cheerleaders placed number sx n the naton n the all-grls competton. Dr. Louse C. Hellwg, Chemstry Department Lecturer and Mentor to the Chemstry Club receved a ctaton on behalf of the Chemstry Club and Dr. Hellwg stated that the club deserved the award and she wll present the ctaton to the Chemstry Club. The Honda All-Star Team was recognzed and receved a ctaton for wnnng the academc competton. As a result of wnnng the natonal competton, a $50,000 grant from the Honda Corporaton wll be provded to Morgan State Unversty.

3 Page 3 Presdent Wlson reported on the followng: Sprng Has Sprung on the Morgan Campus Report of the Presdent Presdent Wlson stated that he hopes that all of the Regents have notced that the landscapng on the quad s nearng completon, and the campus s abuzz wth actvty. He stated that he see students gatherng now on a wreless quad wth l-pods and lap tops n tow, and he occasonally stumble across small groups of students n anmated dscussons about the ssues of the day. You wll also notce that we have completed the repantng of Holmes Hall and are nearng completon of the repantng of Truth Hall. He stated that he hopes that the Board members wll amble about the campus to see ts buldng beauty. Wnnng Champonshps The Presdent stated that he was pleased to report that the Lady Bears Cheerleaders won the MEAC all-grls dvson champonshp for the second consecutve year, and went on to place number sx n the naton n the all-grls competton. He stated that he was very pleased wth the performance of the Lady Bears at the MEAC tournament and receved great feedback from the coach and others regardng ther performance at the natonals. For the frst tme n 23 years, Team Morgan won the Honda All-Star Academc Competton. The competton was held March 31st through Aprl 3rd at the Honda headquarters n Torrance, Calforna. Wnnng the natonal competton resulted n a $50,000 grant from the Honda Corporaton to Morgan State Unversty, and t landed n the Wednesday, Aprl 18th edton of USA Today (page 5A). Congratulatons to our Honda All-Stars, and the Presdent stated that he s elated that the Board offcally recognzed them today. Specal Recogntons Durng the month of February, our very own Dr. Ruthe Sheffey was honored by Governor Martn O'Malley as an outstandng Afrcan Amercan durng Black Hstory Month. Dr. Sheffey, who has been at Morgan for over half a century, was celebrated at Government House n the company of a mx of leaders and dgntares around the state. We salute Dr. Sheffey.

4 Page 4 Further, Professor Molef K. Asante has been featured at least twce n the last several months n the New York Tmes. The Presdent shared wth the Board a copy of Professor Asante's recent coverage n the Tmes. We are very fortunate to have a young scholar of Professor Asante's repute here at Morgan. Hs area of expertse s studyng the nuances, culture, hstory and character of the hp-hop movement and generaton. Next semester, the Offce of the Presdent wll be sponsorng an "Evenng wth Professor Asante," and the Board wll be nformed of ths actvty and encourage you to attend what wll be a memorable and unforgettable lecture. The Presdent recognzed several Regents who have been awarded specal recognton n the last several months. (1) Regent Larry Ells was named Outstandng Male of the Year by Opportunty nnovaton Fundng out of Atlanta, Georga. Ths s an entty that promotes busness plan competton amongst the busness schools at hstorcally black colleges and unverstes. Dr. Wlson attended the event, and congratulated Regent Ells on ths outstandng achevement. (2) Regent Eljah Cummngs was recognzed by NAFEO for hs contrbutons to the advancement of hstorcally black colleges and unverstes, and was presented wth a specal commendaton durng ts recently-held annual meetng n Washngton, DC. Congratulatons to Regent Cummngs. (3) Regent Shrley Malcom was promnently featured as a member of the panel on the State of Afrcan Amercan Males n STEM Felds, whch was recently held at the NASA Headquarters and sponsored by AAAS and the Amercan Assocaton of Publc and Land-Grant Unverstes. We applaud Regent Malcom for her contnued effort to brng recognton to the plght of blacks and other mnortes n scence, engneerng and math felds. (4) Regent Frank Edmonds was honored by MEAC as Morgan State Unversty's Outstandng Alumnus at the MEAC Tournament n Wnston-Salem, North Carolna. (5) On last nght, several Regents and members of the admnstraton attended the Maryland Chamber of Commerce/Hall of Fame Dnner where we saw Regent Bll Roberts nducted nto ts Hall of Fame n recognton of hs outstandng career at Verzon. We applaud Regent Roberts' accomplshments.

5 Page 5 Customer Servce and Student Satsfacton Snce the last Board meetng, we have desgned and admnstered a student survey to ascertan ther satsfacton wth a number of servces that we provde at the Unversty. For your nformaton, the Board receved a copy of the survey as well as a summary of ts results. The takeaway s that the students gave us a "C" grade (2.4 out of 4.0). The hghest ratng was for the Student Center and the Lbrary; and the lowest was for food servce on campus. We have a lot to mprove upon at our beloved Unversty. n that connecton, the Presdent reported that we now have hred our very frst Drector of Customer Servce at Morgan, Ms. Shannon M. Dawkns. Ms. Dawkns comes to the Unversty from Baltmore Healthy Start, nc., where she served as Drector of Human Resource Development. We have also engaged the frm, Customer Servce Experts, ncorporated, out of Annapols, Maryland, who wll now be workng wth the Unversty n an ongong capacty to create a culture of excellence n customer servce at Morgan. Captal Budget As some of you heard n the Fnance Commttee meetng, the Unversty dd farly well ths year n the captal budget process. 6 May, 2012 Page 6 nternatonal Opportuntes On Thursday, Aprl 19, 2012, Morgan was pleased to host the Presdent of Hube Unversty, along wth several of hs colleagues. The delegaton spent two days at Morgan, and the culmnaton was the sgnng of an offcal Memorandum of Understandng to enable students from Morgan to study at Hube Unversty, and vce versa. Needless to say, many students are very excted about ths opportunty and wll be movng forward mmedately to take advantage of t. Presdent Wlson reported that Provost T. Joan Robnson s charng the Natonal HBCU Brazl Allance, whch s an outgrowth of the Whte House ntatve on Hstorcally Black Colleges and Unverstes' efforts to ensure that several thousand Brazlan students wll study here n the U.S. on our campus. A number of Brazlan students are to start studyng here at Morgan wthn the next year. Fne and Performng Arts Season Par Excellence The Sprng 2012 semester has seen a level of excellence n theatrcal performances and fne arts exhbts that speak very postvely to the role that Morgan plays n preparng students for careers n these felds. Ths season the Unversty staged an extraordnarly ambtous producton of Porgy and Bess, whch, based on all revews, was spectacular. Kudos to Professor Vncent Strnger for hs tenacty and vson, and to Dr. Erc Conway for hs support of ths outstandng producton. Other productons worthy of mert nclude: Jtney under the drecton of Professor Shrley Basfeld Dunlap; and the Annual Sprng Modern Dance Rectal, under the leadershp of Professor lantha Tucker, who by the way, s the founder of dance here at Morgan, and who wll be retrng from the Unversty after 40 years of servce. The Morgan State Unversty Chor has been performng n numerous places; most recently at the Kennedy Center for the Performng Arts wth Sweet Honey n the Rock, and wll be holdng ts Sprng Concert ths Sunday at 4 p.m. Presdent Wlson congratulated all of the professors and students who are playng a very mportant role n ensurng that the arts here at Morgan are top shelf. Fnally, the Smthsonan nsttuton chose Morgan State Unversty as the venue to unvel a stamp n ts Forever Seres n honor of Wllam H. Johnson. The frst-day-of-ssue ceremony was held n the Murphy Fne Arts Center on Aprl 11, 2012, and was attended by numerous dgntares from the U.S. Postal Servce, the Smthsonan nsttuton and throughout the art world.

7 Page 7 On Aprl 14, 2012, the James E. Lews Museum opened a specal exhbt depctng many of the works of Wllam H. Johnson. Ths s a travelng exhbt, and urge Board members and others to take n what s a fascnatng dsplay of artstc achevement before the exhbt leaves the Morgan campus. Natonal Board Membershp Presdent Wlson stated that he has accepted an nvtaton to serve on the Board of Drectors of the Amercan Councl on Educaton, the quntessental natonal assocaton representng hgher educaton n the U.S. Academc & Student Affars Reports of Standng Commttees Dr. Gllam presented the followng acton tems for approval by the Board: Recommendaton for Student Regent Ms. Karen N. Darkes s recommended by the Student Government Assocaton {SGA} selecton commttee, comprsed of several class senators and the SGA Vce Presdent, to replace Student Regent Andrea Carrngton. Mss Darkes s a rsng senor wth a major n Poltcal Scence, College of Lberal Arts. She has a 3.37 cumulatve grade pont average, and she s a resdent of Atlantc Cty, New Jersey. Mss Darkes has been very actve n student government, and s currently servng as Student Lfe Senate Commttee Char. She s also a member of the Morgan State Unversty Chor. t was MOVED by Regent Gllam and SECONDED by Regent Grffn to approve the recommendaton for Mss Karen N. Darkes as the Student Regent. THE MOTON CARRED. Honorary Degree Recommendatons Dr. Shrley Ann Jackson Dr. Shrley Ann Jackson s the most promnent educatonal leader. Always the poneer and constantly on the cuttng edge of change and progress, she has been both torchbearer and beacon-path-fnder and pace-setter-n scentfc research, n ndustry, n government and n academe. She s the 18th Presdent of Rensselaer Polytechnc nsttute, Troy, NY and Hartford, CT,

8 Board of Regent Mnutes PageS the oldest technologcal unversty n the Unted States. Dr. Jackson holds a Ph.D. n theoretcal elementary partcle physcs from M..T. and a S.B. n physcs from M.l.T. Her research specalty s n theoretcal condensed matter physcs, especally layered systems, and the physcs of optoelectronc materals. Snce 1999, Rensselaer Presdent Shrley Ann Jackson has led an extraordnary transformaton of the nsttute wth an ambtous strategc effort n whch guded by her vson, Rensselaer s now home to the Center for Botechnology and nterdscplnary Studes, the Computatonal Center for Nanotechnology nnovatons, the Curts R. Prem Expermental Meda and Performng Arts Center, and the East Campus Athletc Vllage. Under her leadershp, more than 230 new faculty members have been hred, research awards have doubled, and scholarshps have ncreased. Her tenure also has been marked by nnovatons n currculum, expanson of undergraduate research, and new award-wnnng student lfe ntatves. t was MOVED by Regent Gllam and SECONDED by Regent Grffn to approve the recommendaton to award Dr. Shrley Ann Jackson an honorary degree. THE MOTON CARRED. Mr. Larry S. Gbson Mr. Larry S. Gbson has served the Cty of Baltmore n several capactes. He s a commssoner of the cty's Commsson for Hstorcal and Archtectural Preservaton, co-charman of the Mayor's Commsson on Thurgood Marshall's Elementary School, co-charman of the Baltmore Cty Bcentennal Celebraton, and served on the Board of School Commssoners. Mr. Gbson has been a poltcal and socal actvst, representng those causes and those canddates that he thought would beneft socety and the smaller consttuences. He researched and curated an exhbt documentng the contrbutons of Morgan State Unversty students n the early cvl rghts movement. The exhbt documents and establshes Morgan students as the frst n the naton to use peaceful st-ns at local stores and restaurants as a means of protest aganst racal segregaton. n a large part because of Mr. Gbson's efforts, the meda began tellng, for the frst tme, how Morgan students gnted the Cvl Rghts Movement here n Maryland wth st-ns at Read's Drug Stores, Northwood Theater and other busnesses. t was MOVED by Regent Gllam and SECONDED by Regent Cummngs to approve recommendaton to award Mr. Larry S. Gbson an honorary degree. THE MOTON CARRED. the

9 Page 9 Ambassador Tebelelo Seretse Mazle Her Excellency Tebelelo Seretse Mazle became Ambassador of Botswana to the Unted Stated on February 16, Ths s her frst ambassadoral assgnment. Ambassador Mazle earned the Bachelor of Scence degree n Accountng and the Bachelor of Arts degree n Economcs from Morgan State Unversty n She then earned the Master of Arts degree n Economcs from the Unversty of Cncnnat n 1980 and the Bachelor of Law from the Unversty of Botswana n Before begnnng her career n governmental servce. Ambassador Mazle spent eleven years n the prvate sector. She served as Senor Research offcer from at the Bank of Botswana, and Fnance Manager for BP Botswana (Pty) Ltd from 1984 to She has been a strong advocate for the Unversty n Southern Afrca. Snce her appontment as Ambassador and has vsted the campus of her alma mater and Baltmore Cty and expressed a strong desre n promotng the establshment of academc and scentfc tes between Morgan and the Republc of Botswana's nsttutons of hgher learnng and wth her nsstence the MOU was sgned on March 13, 2012 n the Republc of Botswana between Morgan State Unversty, the Government of Botswana, the Unversty of Botswana, Botswana nternatonal Unversty for Scence and Technology and the College of Agrculture. t was MOVED by Regent Gllam and SECONDED by Regent Malcom to approve the recommendaton to award Ambassador Tebelelo Seretse Mazle an honorary degree. THE MOTON CARRED. Fnance and Facltes Regent Edmonds and the Fnance and Facltes Commttee, offered three tems for approval by the Board. Approval of Resoluton for Bond Refnancng The net present value savngs that can be acheved s $2.3 mllon by approvng ths bond refnancng. To enable ths to occur as expedtously as possble, whle ensurng the Board s approprately nvolved, the Unversty s requestng approval of a resoluton (attached) that wll: Approve refnancng of the Unversty's seres 2001, 2003A and 2003B bonds; Establshment for the purpose of ths bond ssue, an approvng Members Commttee comprsed of the: o Charman of the Board o Vce Charman of the Board o Charman of the Fnance and Facltes Commttee

10 Page 10 Authorze the Presdent and other approprate offcers, subject to approval of the Approvng Members Commttee, to execute relevant documents deemed approprate to complete the transacton. t MOVED by Regent Edmonds and SECONDED by Regent Ells to approve the Resoluton for Bond Refnancng. THE MOTON CARRED. Restructurng Student Health nsurance Ms. Tanya Rush, Actng Vce Presdent for Student Affars, provded the detals on Restructurng Student Health nsurance, whch was followed by a lengthy dscusson. n lght of the recent Patent Protecton and Affordable Care Act (PPACA) that was sgned nto law n 2010, the amount of nsurance students wll be requred to carry wll ncrease sgnfcantly. The Unversty's current mandatory nsurance program for full-tme undergraduate students has a $25,000 maxmum annual coverage for a nomnal cost of $110 per year. Morgan s the only nsttuton wthn the State that has a mandatory nsurance program that s funded through student fees. Unfortunately, based upon Federal legslaton, for ths upcomng fall the mnmum coverage wll be $100,000 and $500,000 the subsequent year. Based upon these changes, the Unversty must change the way t wll do busness snce t wll not be feasble to nclude the antcpated rsng cost of health nsurance wthn the Unversty's fee structure. Therefore, n the future, all full-tme undergraduate students wll have to provde documentaton that they have nsurance before regstraton can be completed. Coverage could be through ther parent, guardan, medcal assstance program or ther own polcy. For those students who do not have nsurance, the Unversty s n the process of solctng bds for nsurance that students could obtan convenently at a compettve prce. Any full-tme undergraduate student not provdng proof of nsurance by a specfc date wll be blled and ncluded under a polcy procured by the Unversty. Currently, the Unversty Health Center provdes a varety of servces to our students and coordnates servces through the students' health nsurance. The Health Center budget s approxmately $567,000 per year. Ths operaton s straned for resources and, as a result of the legslaton, wll requre more ndvdualzed attenton be provded to students to ensure they have approprate coverage as well as ensure they take advantage of the expanded nsurance coverage.

11 Page 11 Consderng all factors, Morgan State Unversty s requestng that the $110 health nsurance fee for full-tme undergraduate students for FY 2013 be adjusted as follows: $40 Reallocated to establsh a Health Center fee $70 Elmnated, reducng the overall FY 2013 full-tme undergraduate fees from $110 $2,406 to $2,336 The Health Center fee wll be utlzed to subsdze ts operaton to provde much needed clncal and admnstratve staff to better ensure students take advantage of the Health Center servces as well as ensurng access to health care benefts provded through ther health care plan, potentally wthout co-pay. Ms. Rush expressed the mportance of mmedate Board acton of the student health nsurance, specfcally, to acheve a affordable renewal rate. The Board was nformed that the document had been revewed by counsel. Durng the dscusson, the Board nqured f there s an alternatve to the plan on the table today, as well as how many of our students come n wthout nsurance, and whether or not we should look for addtonal quotes. The Board requested wrtten documentaton to revew on the Restructurng Student Health nsurance and decded that addtonal tme to revew the recommendaton on Restructurng Student Health nsurance was needed. t was MOVED by Regent Edmonds and SECONDED by Regent Grffn to table the recommendaton on Restructurng Student Health nsurance and on the agenda for the June 7, 2012 Annual Retreat as an acton tem. THE MOTON CARRED. FY 2014 Captal Budget Request The Unversty wll submt ts FY 2014 Fve-Year Captal Budget Request to the Department of Budget and Management on June 30, Detaled estmates have not yet been developed so these numbers are prelmnary, but the projects dentfed are the ones for whch we wll be requestng fundng. Based on prelmnary estmates, the fve-year request wl! total $456.1 mllon of whch $69.9 mllon s for FY 2014 (Attachment 1). All of the requested fundng for FY 2014 s for ongong/funded projects to nclude: constructon fundng for the new School of Busness and connectng brdge ($43,550,000), constructon funds for the demolton of Soper and desgn funds for the constructon of the new Student Support Servces faclty ($9,375,000), desgn funds for the new Jenkns ($1,250,000), and desgn and constructon fundng for Phase V of the Utlty Upgrade project ($10,728,000).

THE MOTON CARRED. Nomnatng Commttee Regents Freson, Grffn and Levtan, were apponted by Charman Evans to serve on the Nomnatng Commttee. The report fled by the commttee ndcated that the current offcers of the Board were contacted to confrm ther wllngness to mantan ther offce, Mr. Evans, Charman, Mr. Resnck, Vce Charman and Rev. Draper, Secretary, for another two-year term and the offcers responded postvely. The Board dscussed brefly proper notfcaton to the full Board on the electon of offcers, as well as the electon procedure, that s, whether or not the proper electon procedure had been followed. Charman Evans mentoned that the Board receved notce concernng the electon of offcers durng the February 7, 2012 Board meetng. t was MOVED by Regent Levtan and SECONDED by Regent Grffn to approve the slate of offcers to serve for the term of 2012 through 2014 and those offcers are, Mr. Dallas R. Evans, Charman, Mr. Martn R. Resnck, Vce Charman and Rev. Dr. Frances M. Draper, Secretary. Regent Mfume expressed a NO vote for the slate of offcers. THE MOTON CARRED. f n response to Student Regent Carrngton queston relatng to customer servce at the Unversty, the Presdent stated that we now have on board Ms. Shannon M. Dawkns, Manager, Customer Servce Tranng and Professonal Development, and she s currently provdng servces n
