2 PERSONAL APPEARANCE CONTRACT RIDER Regarding the proposed Baha Men engagement in on, this Rider sets forth additional terms and conditions for said engagement and is hereby made part of the contract dated, between MIPMCH Productions, Inc. d/b/a Baha Men (Artist) and - (Purchaser). The Rider is designed to ensure the audience will enjoy the best possible show. Please do not make any changes or substitutions without first getting written approval from management. Payment All payments to Artist shall be made by Certified check unless otherwise specified on the face of the contract. All payments shall be made as provided herein. In the event Purchaser fails to make payments at or before the time stipulated, Artist shall have the right to withhold performance without prejudice to his rights hereunder. Box Office: In the event the Artist s fee is based on a percentage split, Purchaser agrees to furnish the following items by the end of the performance: Detailed box office statement outlining number of tickets sold at each ticket price level. All unsold tickets List of names of all authorized persons who received complimentary admission to concert. Tickets Purchaser agrees to make 20 complimentary tickets available to Artist upon request. Purchaser agrees to allot no more than 2% of total available seats as complimentary tickets (indoor events only). Publicity and Advertising Purchaser shall use only those photographs and publicity materials provided by Artist s representative for advertising and publicizing this engagement. As a special request, we ask that you please forward to Talent Ventures, LLC clippings of reviews, publicity, advertising and copies of posters Purchaser s Initials 2

3 Merchandise Artist shall have exclusive rights to and full control in and about the venue of any and all merchandising bearing the Artist s name and/or likeness, including but not limited to compact discs, articles of clothing and souvenir photos. All receipts derived from sale of said merchandise shall belong solely to Artist. Provision of two tables for the sale of merchandise is appreciated, along with four chairs and adequate lighting for display purposes. Dressing Room Two private dressing rooms shall be provided for the exclusive use of Artist and band only. These rooms must be clean, secure (lockable or with a security guard before, during and after the show), climate-controlled with seating for at least twelve (12). There must be a full-length mirror, clothes rack, 2 tables and access to a private rest room. The dressing rooms cannot be shared with any other band or venue employees. Hospitality Purchaser shall provide the following at no expense to Artist: One (1) large deli tray (turkey breast, beef) with American and Provolone cheese One (1) large fruit tray with assorted fresh, seasonal fruits (cut) One (1) loaf of bread, whole heat/multigrain Condiments (mustard, mayo, etc.) One (1) box of quality plastic cutlery, napkins, etc. One (1) cooler assorted sodas (Coke, Diet Coke, Sprite) One (1) cooler assorted juices (pineapple, apple, orange, grapefruit) One dozen (12) assorted bottles of Gatorade One (1) case of spring water, iced One (1) case of spring water, room temperature Three (3) large bags of chips (BBQ/Salt & Vinegar/Plain) Hot water One (1) box of Throat Coat Tea One (1) jar of honey One dozen large bath towels. Hot meal of chicken or beef (please consult with tour manager) along with vegetables, potato and a salad with a selection of dressings, etc. If no hot meal is being provided, a meal buyout of $35.00 per person is appreciated. 4 Hotel Accommodations Purchaser shall provide ten (10) king rooms at a Hilton branded property (or equivalent) close to the venue at no expense to Artist. Rooms will be for the day of engagement and, if the travel schedule requires, those same rooms shall be available to the band for the day before or day after the show, again at no expense to Artist. All hotel accommodations should have access to a 24 hour restaurant or room service. Please do not book any hotels without first getting approval from artist management. Force Majeure (a) Acts of God and Other Acts beyond Artist's Control. Artist's obligation to furnish the performance unit referred to herein is subject to the detention or prevention of sickness, inability to perform, accident, failure of transportation, including without limitation, delay resulting to gasoline shortages for air or ground transportation, Act of God, riots, strikes, including without limitation, truck strikes, labor difficulties, epidemics and any act or order of any public authority or any cause, similar or dissimilar, beyond Artist's control and if such events occur, Artist shall not be required to perform the affected scheduled engagement. (b) Artist Ready, Willing and Able to Perform. Provided Artist is ready, willing and able to perform, Purchaser agrees to compensate Artist in accordance with the terms hereof regardless of any events, whether similar or dissimilar to the foregoing events, which would prevent or interfere with the presentation of the performance hereunder. Inclement Weather (a) Inclement Weather Not a Force Majeure. Notwithstanding anything contained herein, as to Purchaser's obligations under the Contract and this Rider, inclement weather shall not be deemed to be a force majeure occurrence and the Purchaser shall remain liable for payment of the full Contract price even if the performance(s) called for herein are prevented by such weather conditions. Artist shall have the sole right to determine in good faith whether any such weather conditions shall render the performance(s) impossible, hazardous or unsafe. A scheduled rain date must be negotiated apart from this Rider before the date of the engagement between Purchaser and Artist s Booking Agent. (b) Outdoor Engagements. In the event of outdoor engagements, Purchaser shall provide a cover for the front of the house mixing position and for all equipment exposed to inclement weather and a roof over the stage, which roof shall be approved by Artist's Production Manager. 4

5 Modification of Rider It is understood and agreed that this Rider may not be changed, modified or altered, except by an instrument in writing, signed on behalf of MIPMCH Productions, Inc. in accordance with the laws of the State of Florida. This Rider may not be assigned or changed, modified or altered except by an instrument in writing signed by the parties. Nothing in this Rider shall require the performance of any act contrary to law or to the rules or regulations of any union, guild or similar body having jurisdiction over services of Artist or over the performances hereunder. Whenever there is any conflict between any provisions of this Rider and any law, rule or regulation of any union, guild or similar body, such law, rule or regulation shall prevail, and this Rider shall be modified to the extent necessary to eliminate such conflict. The Contract and this Rider are the sole and complete agreement between the parties with respect to the engagement. Nothing in this Rider shall be construed to constitute the parties as a partnership or joint venture, and Artist shall not be liable in whole or in part for any obligation that may be incurred by Purchaser in carrying out any of the provisions hereof, or otherwise. Miscellaneous Right and Power to Contract. Purchaser warrants and represents that it has the full right and power to enter into this Rider. No Agency. This Rider shall not be construed to create an agency, partnership or joint venture between the parties. This Rider contemplates and effects an independent contractor relationship. No Third Party Beneficiaries. Third parties' agreement is not intended for the benefit of any third parties. Governing Law, Venue and Forum. Notwithstanding anything to the contrary in the Contract, the Contract and this Rider have been entered into in the State of Florida. The validity, interpretation and legal effect of our agreement is governed by the laws of the State of Florida applicable to contracts entered into and performed entirely within such State. The Florida courts (State, Federal & Local (Collier County)) only, will have jurisdiction over any controversies regarding this agreement, and the parties hereto consent to the jurisdiction of said courts. Any process in any action, suit or proceeding arising out of or relating to this agreement may, among other methods, be served upon Purchaser by delivering it or mailing it to Purchaser. Any such delivery or mail service will have the same force and effect as personal service. 5

6 Audio and Lighting System Requirements FOH AUDIO GEAR RIDER Entire system must be clean and free of undesirable noise. Separate console, mics, stands, snake and processing must be provided for an opening act. 1) DigiDesign D-Show or Profile Console Only with Waves 9: 2) FOH Signal and Processing: XTA or Lake a. PA: Main L/R, Center Fills (from aux), Subs (from aux), EQ s on Delays. Center fills and subs must be time aligned with the main P.A. [Must Be Accessible by Audio Engineer] b. Four (4) Professional 1/3 Octave, 31 band, 12db cut/boost EQ s (Klark Teknik, XTA or BSS) [Must Be Accessible by Audio Engineer] c. Two (2) Professional Variable 4- way crossovers (Lake, BSS or XTA) [Must Be Accessible by Audio Engineer] 3) CD Recorder and Playback 4) PA Stacks Each must consist of 4-way stereo arrays (Adamson, d&b J-Series, L-Acoustic K1 or Myer). Speakers must be aligned and summed in-phase with a linear flat frequency response from 30 Hz to 18khz. Each speaker array must be unobstructed by audience areas with direct sound dispersion. If necessary, supplemental speaker arrays must be provided with independent time alignment and EQ. (Please note that a center sub configuration is preferable) 5) PA Amplification There must be enough professional amplification to maintain a clean, undistorted 115db stereo program level (120db peek SPL) monitored at the FOH mix position. Amplifiers must be mounted in a fan-cooled rack, accessible by the audio engineer. Spare amplification is mandatory. 6) Snake Minimum Forty-eight (48) Channel 250 snake with transformer isolated splits to stage with at least twelve (12) return lines. RF system should be power with appropriate RF Distro Systems and properly mounted. All batteries must be replaced before soundcheck and 6

Notes and Expectations In the event there is an opening act, the sound company must supply a separate FOH console, a separate MON mixing console or provide The Root s MON Engineer with a minimum of Forty (40) dedicated channels if the MON console is to be shared. Also, provide the necessary mics, stands, cables, stage boxes and snake to accommodate the opener. Dedicated Clear-Com and a FOH Talk-Back microphone for communication between FOH and MON positions is mandatory. 5. Miscellaneous The Baha Men require a lighting technician for the show 6.
