2 Background As China s real economy is growing both domestically and internationally, its capital markets also start to look outward for investment opportunities and business initiatives. Both Capital and Commerce are getting more and more integrated between the U.S. and China, the world s two largest economies. The Reach China Investment Conference aims to set up a premium investment and business platform for effective cross-border communications that can lead to better relationships and meaningful transactions. By inviting very high quality U.S. listed companies to present to reputable Chinese financial and corporate investors will greatly ease the inconvenience of screening and researching companies overseas to invest in or partner with. In the meantime, we aim to help small (market cap between $300 million and $2 billion) and micro cap (market cap under $300 million) companies to effectively access to China s capital and commercial markets. 6 Featured Guest Speakers 特邀演讲嘉宾 Responsible Investing & ESG Integration in Practice Jeroen Bos, CFA, CAIA is Head of Equities at NN Investment Partners (NN IP) and part of its Global Investment Leadership Team. NN IP manages a variety of Global, Local and Thematic Equity funds including Sustainable & Impact Equity Funds as well as more local European, Asia and Greater China Funds. Jeroen is a member of NN IP's ESG Board and is chair of NN IP's Principles of Responsible Investments committee. His previous roles at NN IP included Head of Global Equity Research as well as Senior Portfolio Manager on several Global Equity & Thematic Funds. Before joining NN IP, Jeroen was a Director at UBS in New York in the Technology Equity Research Team. Prior to UBS, he was a Vice President at JP Morgan in London and a Senior Equity Analyst at MeesPierson/Fortis in Amsterdam. Mr. Jeroen Bos, CFA, CAIA Head of Equities NN Investment Partners Overview of Regulatory and Legal Issues on Cross-border M&As Mr. Mitchell Nussbaum Managing Partner Co-Chair, Capital & Corporate Chair, Asia Loeb & Loeb Mitch Nussbaum is the managing partner of Loeb & Loeb s New York office and serves as co-chair of the firm s Capital Markets and Corporate Department. His practice focuses on representing emerging growth companies and investment banks in initial public offerings, follow-on public offerings, shelf takedowns, registered direct placements, PIPEs and other private placements (144A, Reg D, Reg A, Reg S, etc.). Mr. Nussbaum also regularly represents public companies regarding their SEC and NYSE or Nasdaq listing compliance and has acted as outside general counsel, including corporate, securities, litigation and business counseling, to hundreds of private and public companies as well as their officers and directors. He also negotiates and documents acquisitions, mergers, going-private transactions, reverse mergers, proxy contests, tender offers, control contests, fund formations and secured lending financings and has represented issuers and underwriters in more than 100 SPAC public offerings and business combinations. According to the IPO Vital Signs league tables, in most of the past 10 years, Mr. Nussbaum has been ranked as one of the top five attorneys in the country based on the number of public offerings he has completed on behalf of issuers or underwriters. Mr. Nussbaum has also been named among the top attorneys in the areas of corporate and M&A law in the Chambers USA Guide to America s Leading Lawyers for Business. Most notably, Mr. Nussbaum is widely recognized as one of the pioneers of capital markets transactions for Chinese companies. He has represented many of the first privately held Chinese and Asian companies to list on the U.S. exchanges and, over the course of his practice, has represented more than 100 Asian companies that have listed on U.S. exchanges. Among his many distinctions, Mr. Nussbaum was ranked by Thomson Reuters as the No. 1 IPO lawyer for companies headquartered in China, based on deals closed between 2008 and Mr. Nussbaum s activities in Asia over the years resulted in his spearheading and orchestrating the opening of Loeb & Loeb s offices in Beijing and Hong Kong, and he continues to chair the firm s Asia Practice. 7 Procedures & Potential Pitfalls of Cross-border M&As and Investments Rong Liu has more than 20 years of experience working with publicly and privately held companies across a broad array of industries, including telecommunications, technology, media, manufacturing, consumer businesses, and banks. Rong plays a central role in Marcum BP's SEC practice in China by assisting clients with public offerings of their securities and various complex accounting and financial reporting issues. Before joining Marcum BP, he was a partner at Friedman LLP's New York office, and a Senior Manager at Deloitte's Dallas office, among other positions. Rong has demonstrated proficiency helping clients solve challenges in diverse areas, including internal controls and SOX compliance, SEC reporting related to IPOs, complex revenue recognition arrangements, debt and equity transactions. He has extensive experience with accounting for business combinations, stock-based compensation, and oversees financial and M&A due diligence assignments. Rong received a B.A in Accounting and Finance from Wuhan University in Hubei and an M.A. in Accounting (emphasis on auditing and financial reporting) from the University of Texas at Austin. Mr. Rong Liu, CPA Partner Marcum Bernstein & Pinchuk Discovering Investment Opportunities in U.S. MicroCap Stocks Mr. Siegfried Eggert Senior Equity Analyst GeoInvesting Siegfried Eggert joined GeoInvesting s analyst team in the summer of 2016 as a Senior Equity Analyst. Siegfried is charged with generating and analyzing long/short special situation investment ideas, including spin-offs, tender offers, M&A, and bankruptcy proceedings. Siegfried has over five years of practical experience investing in small- and micro-cap companies and managing portfolios. Siegfried was born and raised in Germany, and studied International Business in the Netherlands, Hanze University of Groningen, where he received his Bachelor of Arts with Honors, majoring in Finance and Accounting. Siegfried also spent seven months studying in Beijing at Beijing Technology and Business University, after which he received a minor in Asian Business. After receiving his B.A. with Honors distinction, Siegfried accepted a merit scholarship from Simon Business School, University of Rochester, for the Masters of Science in Finance program. At Simon, Siegfried functioned as a Senior Analyst for the Simon School Venture Capital Fund. Siegfried has prior experience in investment banking, working on the Equity Trading Floor at Erste Bank Group in Vienna, Austria, where he analyzed IPO documents, managed the hedging and lending business, and was in charge of yield enhancement strategies. 13 Sightseeing in Beijing 北京观光景点 The Forbidden City The 9,999-room palace, a must-visit attraction for travelers to China. It was an imperial palace in the Ming ( ) and Qing ( ) dynasties for 14 emperors. Known as the world s largest ancient palatial structure (17.8 acres), the Forbidden City represents the essence and culmination of traditional Chinese architectural accomplishment. Temple of Heaven The Temple of Heaven was constructed from 1406 to The design of the Temple of Heaven complex, true to its sacred purpose, reflects the mystical cosmological laws believed to be central to the workings of the universe. Both the overall arrangement and the buildings themselves reflect the relationship between sky and earth, the core of understanding of the Universe at that time. The Summer Palace The Summer Palace was a royal summer resort in the Qing Dynasty ( ). It is China s largest imperial garden. UNESCO added this 740-acre site to the World Heritage List in 1998, and described it as...a masterpiece of Chinese landscape garden design. The natural landscape of hills and open water is combined with artificial features such as pavilions, halls, palaces, temples and bridges to form a harmonious ensemble of outstanding aesthetic value. The Great Wall One of the greatest wonders of the world, and listed as a World Heritage by UNESCO. With a history of more than 2,300 years, the Great Wall was built between 221 BC and 220 AD across Qin and Han dynasties to prevent invasions.
