1 For Immediate Release June 15, 2009 Contact: Dianne Martin Vice President / Director of Communications Elects New Leadership Oneida Banker to Serve as Chairman Michael B. Swain, chairman of The First National Bank of Oneida, Oneida, TN, was installed as chairman of the (TBA) during ceremonies at the closing banquet of the organization s 119th Annual Meeting. Approximately 450 members of the financial services industry and related businesses attended the convention. Swain accepted the chairman s gavel from William S. Sammy Stuard, Jr, president and CEO of F&M Bank, Clarksville, who served as TBA chairman last year. Stuard will continue to sit on the association s board of directors for the next three years. Each year, delegates to the TBA s annual meeting elect new executive officers and new directors. Executive officers for are: Chairman Michael B. New directors, who will serve three-year terms on the TBA board, are: East Tennessee Bill Dudney, president, Citizens Bank, Kingsport, TN Middle Tennessee Tommy Whittaker, president and CEO, The Farmers Bank, Portland, TN West Tennessee Jeff Agee, president and CEO, First Citizens National Bank, Dyersburg, TN. In addition, Aubrey Eugene Gene Henson, Jr, was appointed to the board by virtue of his position as chairman of the TBA Government Relations Committee. Henson is president of the Memphis Region of Trustmark National Bank. 3 June 15, Add 2 MICHAEL B. SWAIN Chairman Mike Swain is chairman of the board of The First National Bank of Oneida in Oneida, TN. He was elected a director of the bank in 1975 and began his full-time duties with the bank in 1977 as a loan officer. He was named president in 1988, CEO in 1991, and chairman in Swain earned his BS degree from the University of Tennessee. His education within the banking industry includes completing the ABA Essentials of Banking School at Notre Dame, the Graduate School of Banking of the South at LSU, and the Senior Bank Officers Seminar at Harvard University. Swain also is a 1982 graduate of the UT Executive Development Program. He has served the as a member of the board of directors and the Credit Committee. Within the industry, Swain is a past member of the ABA BankPac Committee and has been a director of the Nashville Branch of the Federal Reserve Bank since Swain is active within his community. With the Great Smoky Mountain Council, he has served on the Endowment Committee, the Audit Committee, as chairman of the Cumberland District Sustaining Membership Enrollment Committee, and as vice president of the executive board. Among his other activities, Swain served as president of the Big South Fork AAU Club, president of the Scott County Chamber of Commerce, chairman of the Scott County March of Dimes, chairman of the American Cancer Society Relay for Life in Scott County, and head coach for both boys and girls soccer at Oneida High School. Currently, Swain is a member of the board of directors for St Mary s Hospital of Scott County, Big Brothers/Big Sisters, and the American Youth Soccer Organization, Region 385. He is a member of the UT Financial Institutions Advisory Council, the Roane State Community College site support team for Scott County, and president of Oneida Alumni and Friends for Better Schools.

4 June 15, Add 3 Swain is a member of St Jude s Catholic Church in Helenwood, where he serves on the parish council. He is married to the former Marsha Lynn Chambers, and they have three children and one grandchild.

5 June 15, Add 4 C. CRAIG FITZHUGH Chairman-elect Craig Fitzhugh, is chairman and CEO of the Bank of Ripley in Ripley, TN. In addition, he has represented Tennessee s 82nd legislative district as a member of the Tennessee House of Representatives since Fitzhugh is chairman of the House Finance, Ways, and Means Committee and chairman of the Council on Pension and Insurance. Born in Brownsville, Fitzhugh graduated from Ripley High School where he played football, baseball, and basketball. He is an Eagle Scout and remains active in scouting. Fitzhugh holds an undergraduate degree in finance and a law degree from The University of Tennessee. From 1976 to 1980, he served in the US Air Force as a Captain in The Judge Advocate General Corps and served an additional eight years as a Major in the Air Force Reserve. He practiced law in West Tennessee for 12 years. Fitzhugh is active in business, youth, and civic activities. Through the Bank of Ripley, he created a grant program that has provided more than $200,000 to supplement classroom resources for local teachers. The Bank of Ripley has earned six State Quality Awards and was named one of the Best Employers in Tennessee in Fitzhugh serves on the Board of Professional Responsibility for the Tennessee Supreme Court and on the board of directors of The Tennessee Technology Development Corporation. Business TN magazine named him one of the Best Lawmakers in Tennessee. A deacon at the First Baptist Church Ripley, Fitzhugh has been married to Pam for 35 years and has three children. Elizabeth and son-in-law Chaz, and Tom. Elizabeth is a first grade teacher in Shelby County, Chaz a law student at The University of Memphis, and Tom graduated from UT in December and lives and works in Washington, DC.

STONE Vice Chairman Immediately upon completion of business college in 1967, Donna Stone joined the staff of a local community bank in Shelbyville, beginning a career in community banking in Bedford County that continues today. She teamed with Bud McGrew and other local investors in 1987 in the organization of First Community Bank of Bedford County and now serves as CEO of the $275 million financial institution. Stone is a graduate of the Tennessee School of Banking (now The Southeastern School of Banking), the Tennessee School of Commercial Lending (now The Southeastern School of Commercial Lending), the Graduate School of Banking of the South at LSU, and the Executive Banking Institute. She has been active in the for many years and was elected to the TBA board of directors in She has also served as a trustee of The Southeastern School of Consumer Lending, The Southeastern School of Commercial Lending, and The Southeastern School of Advanced Commercial Lending and then as chairman of those boards. Active in community affairs, Stone has served on the board of the local Chamber of Commerce, the local United Way program, is a Paul Harris Fellow recipient, a member of the Tennessee Walking Horse National Celebration Association, and serves as financial director of the Child Development Center, a nonprofit agency serving Bedford, Giles, Lincoln, and Marshall counties. A native of Lincoln County, Stone and her husband, Dan, raise horses and other farm animals. They have four children and five grandchildren.

7 June 15, Add 6 WILLIAM S. SAMMY STUARD Immediate Past Chairman William Sammy Stuard, Jr, is president and CEO of F&M Bank, a locally owned community bank headquartered in Clarksville, TN. With assets of approximately $650 million, the bank has 13 offices in the middle Tennessee area and over 180 employees. The FDIC ranks the bank number one in market share for Clarksville-Montgomery County. Stuard is a former real estate broker and professional auctioneer. Prior to joining F&M Bank, he spent 10 years with Northern Bank in Clarksville. He began his tenure at F&M Bank in 1990 as executive vice president and in 1991 was elected president of the bank and the bank s holding company, F&M Financial Corporation. He attended Austin Peay State University and is a graduate of the Tennessee School of Banking at Vanderbilt University and the School of Banking of the South at LSU. Stuard previously served on the board of directors. He also is a past president and board member of the TBA Independent Bankers Division and currently sits on the Government Relations Committee. The American Banker newspaper named Stuard as a 2007 Community Banker of the Year. Regarded as the financial industry s leading daily information resource, each year the American Banker honors four bankers who set the highest standards of progress, innovation, and performance in the banking and financial services industry. Long active in government, community, and civic organizations, currently, Stuard is past chairman of the Clarksville-Montgomery County Industrial Development Board, chairman of ASPIRE Foundation, and a member of the Southern Growth Policies board a nonpartisan public policy think tank with members from 13 southern states and Puerto Rico. In addition, Stuard is vice chairman of the E-911 board, chairman of the Clarksville Economic Development

In the past, he has been chairman of the Clarksville Chamber of Commerce, Leadership Clarksville, and county commissioner for District #3. Stuard has served as a mentor for the Austin Peay State University emerging leaders program and past chairman of Cogioba District of Boy Scouts of America. He is a member of the First Baptist Church of St Bethlehem. Stuard and his wife, Kathy, have three children.

9 June 15, Add 8 BILL DUDNEY Board of Directors Bill Dudney is president of Citizens Bank, based in Kingsport, TN, a post he has held since joining the bank in The bank is headquartered in Elizabethton. From 1977 to 1995, Dudney was with First Tennessee Bank National Association. Dudney is a 1977 graduate of the University of Tennessee with a BS degree in business administration. He continued his professional education, graduating from The Southeastern School of Banking at Vanderbilt University in 1985, the Graduate School of Banking of the South at LSU in 1987, and The Southeastern School of Advanced Commercial Lending in Within the community, Dudney is vice chairman of the Kingsport Economic Development Board, a member of the board of the Kingsport Chamber Foundation, a member of the Kingsport Kiwanis Club and the East Tennessee State University Foundation. Long active with the, Dudney was a member of the board of directors of the Young Bankers Division and chairman of the Credit Committee. In addition, he served as president of the TBA Independent Bankers Division. Dudney is married to Janyce, and they have four children and two grandchildren.

10 June 15, Add 9 TOMMY WHITTAKER Board of Directors Tommy Whittaker has been employed with The Farmers Bank of Portland for 33 years and became president and CEO in April of He is also a member of the bank s board of directors. Prior to this current position, he was executive vice president. Whittaker holds a finance degree from the University of Tennessee, Knoxville, and completed the Graduate School of Banking at LSU. In addition, he is a graduate of Leadership Sumner and Leadership Middle Tennessee. Whittaker has served as a member and chairman of the TBA Government Relations Committee and a member of the American Bankers Association Government Relations Council. He has served on a number of local and regional boards including the Cumberland Electric Membership Corporation, the board of commissioners for the Portland Housing Authority, and as chairman for the Volunteer State Community College Foundation Board. Whittaker is a past president of the Portland Chamber of Commerce, United Chamber of Commerce Sumner County, and a participant in The American Cancer Society Relay for Life.

11 June 15, Add 10 JEFF AGEE Board of Directors Jeff Agee joined First Citizens National Bank, Dyersburg, in He began his career with the bank as staff accountant and currently is president and chief executive officer. Agree received an Associate Degree in business administration from Dyersburg State Community College and earned his BS degree from the University of Tennessee at Martin. He is a licensed CPA and NASD Financial and Operations Principal. Agee is a graduate of the Bank Administration Institute s Banking School at the University of Wisconsin and the American Bankers Association Banking School at the University of Georgetown. In addition, he is a graduate of the Dyersburg/Dyer County Leadership and the West Star Leadership programs. Agee s professional and personal honors include: Dyersburg State Baseball Most Valuable Player 1981 Dyersburg State Alumni of the Year 2000 Kiwanis George Hixon Fellow First Citizens Leadership of the Year Award (voted by all teammates of FCNB) 2009 and 2008 First Citizens National Bank named among Top 200 US community banks 2009 First Citizens National Bank named third as Best Employer in the State of Tennessee Active in the, Agee is a past director of the Independent Bankers Division; past chairman, president, and director of the Young Bankers Division; and a member of the BankPac Committee. Among his activities, Agee is a past director of the Tennessee Society of CPAs Banking Division and a member of the boards of United Way of Dyersburg, United Way of West Tennessee, Dyersburg State Community College Foundation, Dyersburg Regional Medical Center, Ten-

12 June 15, Add 11 nessee Scholars, and the Boy Scouts executive advisory board. Agee has been involved actively in Kiwanis, serving many years as treasurer. He also coaches youth baseball and is the chair of First Baptist s finance committee. Agee and his wife, Jolie, have two children.

13 June 15, Add 12 AUBREY EUGENE (GENE) HENSON, JR Board of Directors Gene Henson currently serves as president of the Memphis Region of Trustmark National Bank, a post he has held since December of In this capacity, Henson is responsible for Trustmark markets in Tennessee and North Mississippi. He has been with the bank since In additon, Henson is a member of the board of directors of Somerville Bank & Trust Company, Somerville, TN. He previously worked with First Jackson Savings Bank from 1979 to 1990, and with Unifirst Bank from 1976 to Both banks were in Jackson, MS. Henson earned his BBA degree in accountancy from the University of Mississippi in He graduated from the Graduate School of Banking at LSU in 1994; the Center for Creative Leadership of Greensboro, NC, in 2004; and Leadership Mississippi in In addition Henson has compled courses and designations through RMA the Risk Management Association. With the, Henson is the chairman of the Government Relations Committee and a member of the BankPac Committee. His community and professional activities include serving as chairman of the board of regents, executive committee member, and chairman of the Finance Committee of the Barret School of Banking at Christian Brothers University; member of the Economic Club of Memphis, TN; board of advisors member, Memphis Regional Chamber of Commerce; and member of the campaign cabinet executive committee of United Way of the Mid South. He is a member of the Germantown United Methodist Church. In Jackson, MS, Henson was active with the United Way of the Capital Area, American Cancer Society, Make-A-Wish Foundation of Mississippi, American Heart Association,
