2 About our Co-Ownership Co-Ownership is a powerful expression of the commitment and belief our Talents have in HKBN. Unlike the more traditional approach of giving stock option to a very limited group of senior executives, HKBN s Co- Ownership is open to all supervisors and above level Talents, spanning HKBN s operations across Hong Kong and Guangzhou. In mid-2016, we have over 340 Co-Owners under Co- Ownership Plan, representing a majority of our supervisors and above level Talents and over 10% of our entire workforce. On their own volition, they invested their personal savings in the amount of between two to twelve months of salary to acquire HKBN stock at full market price. The shares are then matched with free shares at a certain ratio vested over three years. Being a Co-Owner does come with pressure as to drive change, bring value, deliver results that could sustain and impact the company s bottom line. Bini CHAN Officer - Quality Management (GZ) Joined in 2006 A company is like a country. The moment I became an HKBN Co- Owner, I felt that I was the Queen of a country. Now, how to make my country prosper is my responsibility. What I think and what I do will influence our company. Moneywise, we need to broaden sources of income and reduce expenditure. Coming from a backend department, we need to provide a legal, reasonable, emotive guideline to help our frontline Talents, in order to keep up quantity & quality. Talents are rare resources. How to develop the potential of newly joined Talents and enhance existing Talents skills are our major tasks. Keeping high quality Talents is reducing expenditure. Bob CHAN Senior Network Engineer Joined in 2008 I m like a happy farmer, I like working and sweating in the field for years, to grow food for people and for my living. Now I own part of the farm. I no longer just pick and reap every season. Now it means my diligence counts in every harvest, the farm s profit and my financial security. I am more comfortable and happier. I worry less about my pocket, and I can be more focused in my work. CY CHAN Associate Director - Talent Management & Organization Development Joined in 2011 Being a Co-Owner means that every single dollar we earned or spent is my business. Although I do not have influence over all things happening in HKBN, this is the spirit that I believe in, and I influence others for the good of HKBN. Co-Owner is also an identity that always reminds me of the unique culture of HKBN, something that I love to promote internally and externally. Being an HKBN Co-Owner is my pride and power. 6 Patrick CHAN Manager - Sales, ES Joined in 1995 This is an excellent opportunity to let me become an entrepreneur instead of an employee. I can grow together with HKBN in the same dragon boat. Our management team is the strongest in Hong Kong telecom sector and we have a common goal to achieve 1 million broadband subscribers by Besides, we are already financially committed to achieve this target. 7 Arthur CHOI Assistant Manager - Network Planning Joined in 2016 Being a Co-Owner of HKBN gives me a strong feeling that I am part of the company. In the past, I was like most of the ordinary workers, focusing on only my own roles and responsibilities. After being a Co-Owner, the success or failure of HKBN really matters to me. Now I am more than happy to go an extra mile for everything that would contribute to the success of my company. I am proud to be one of the Co-Owners of HKBN. Mavis CHOW Graduate Technical Trainee Joined in 2015 HKBN is a company striving to deliver the fastest internet experience for customers in Hong Kong. I invested my money and committed my career in HKBN, as a Co-Owner, because I have faith in this company. HKBN is willing to take challenges. HKBN is willing to change. Network Development Joined in 2011 I feel that HKBN treats me with respect. I am proud to speak to all that I am an HKBN Co-Owner. HKBN shares its ups and downs with me. I hope our company will fight and win. Cindy FAN Associate Director - Customer Care & Support Joined in 2006 In fact, it is nothing special to be a co-owner of a business. In theory, a co-owner can be just a small shareholder especially when most of us are not controlling shareholders. But it is very special to be a Co-Owner of HKBN because I am not just an investor but a manager here. Being both an investor as well as a manager, I in fact feel like an entrepreneur or at least intrapreneur instead of just an employee. While I would proudly say that I have been very committed to my job all along, I can still feel the difference when I become a Co-Owner. I m now care more of the future and the sustainability of the company, and most of the things around me. I believe now I am not just committed but engaged. 8 Ryan FUNG Senior Engineer. Joined in 2007 I think the major change of mine, after being one of the Co-Owners, is that whatever action I take, I want it to be best for my company. HKBN believes that do the right thing is always better than do things right. Imagine each Co-Owner as a rower in a dragon boat, everyone's effort is important. If each of us has the same target then it would lead us to go faster to reach our goal. Tommy FUNG Financial Analyst, ES. Joined in 2010 Having been in HKBN for 6 years, the Co- Ownership Plan gives me a new thrust. As a Co- Owner, my consideration is no longer whether to leave or stay, but how to align my career development with the growth of the company. To me, working in HKBN is no longer only for bread winning, but also for seizing every opportunity to unfold my potential and grow my career. Eric HO Chief Information Officer. Joined in 2012 It looked absolutely absurd for me to pay a substantial amount to the company upfront before actually joining it in July It sounded like one of those multi-layers franchised sales company. When I thought more about it, it s completely logical to do so because I was investing in the company that I trusted. Otherwise, why bother to join? Yet, once I did the upfront payment, it s like a wakeup call to me that I m no longer just looking after the departments or the teams I m responsible for, I m also having an overall accountability to make HKBN a better company. I m sure all other Co-Owners have very similar mentality changes. Imagine a company that have 79 Co-Owners each has a burning desire to make it an exceptional organization and care about it inside out, HKBN will definitely out-perform all of our competitors! Samuel HUI Manager - Business Development Joined in 2016 Co-Ownership has empowered me to seize the day and make the right decisions for our customers - that's how I know HKBN walks the talk on developing entrepreneurs, not order-takers Clio IP Director - Pricing & Sales and IB Joined 2004 (Integrated to HKBN in 2016) Dead Poets Society is a movie that inspires me a lot since my school age and I always remember the message delivered from the movie "seize the day, to make your lives extraordinary." HKBN is not an ordinary telecom company; supported by a group of Talents who are young and enthusiastic, managed by a group of MCs who are creative and willing to step right in the front. From resident broadband to enterprise solution, MVNO is coming next and more and more to come. I am glade that I have seized the opportunity to became the Co-Owner of HKBN, an extraordinary company with all sort of possibilities. 9 Edward JIM Executive Vice President - Sales & International Business Joined in 2009 (Integrated to HKBN in 2016) Prior to HKBN integration, I used to focus on departmental or even individual targets. As a new Co- Owner of HKBN, I now look at things from a much wider angle to ensure our whole company benefits. When a significant portion of the management team are Co-Owners, together our goals are naturally aligned, communications become far more effective and we delegate far more to our front line colleagues. Edith KAM Manager - Talent Development Joined in 2010 An entrepreneur identity that I can actualize in my life time. Tommy KWOK Graduate Technical Trainee Joined in 2015 Co-Owner, to me, is more than a title. It also includes a sense of belonging. The effort I paid is no longer only to other s benefits, but also to mine. This motivates me to give more to the company. HKBN gives Talents opportunities to be a Co-Owner, this means our company is sharing with us benefits that go beyond year-end bonus, double pay and incentives. My thought is that our company and I are sitting in the same boat. The more effort I pay in rowing the boat, the faster the boat will go and the higher chance we will win the competition. So, to me, Co-Ownership is a catalyst which drives me to give more and lets me gain more in return. William KWAN Senior Manager - Network Design & Construction Joined in 1999 HKBN is so much different from traditional companies which rarely think of empowering their workforce in non-traditional ways. In this army of strong Co-Ownership, you see a lot of differences even from an individual level, as now we live or die together. I am so glad to be part of a team with a vision to write our own history. NiQ LAI Chief Talent & Financial Officer Joined in 2004 Given our Co-Ownership program is a purely voluntary option, the fact that we have 79 Talents who elected to personally invest typically 1-2 years salary, is a huge vote of confidence in each other. Emily LAW Officer - Procurement Joined in 2015 As a Talent at supervisory level, I ve never thought I would get this opportunity to be a Co-Owner in a listed company. It means a lot to me. The idea of Co-Ownership is both inspiring and encouraging, and it also provides me with a stable investment return during this economic downturn. Elaine LAU General Manager - Customer Services Joined in 1997 (Integrated to HKBN in 2016) To me, Co-Owner can be interpreted:- A group of committed, ordinary people operating together in an extra-ordinary way. They work together with a never give-up and engaging spirit that are reflected on work and business for HKBN s success. Being a Co-Owner is not one-man-band work, it requires team efforts and rapport to go for a common goal, and also enables teams to share the success together. Ivy LAU Head of Talent Engagement & Corporate Social Investment Joined in 2011 By definition, ownership comes with certain rights and duties. Seldom does one get the chance to really OWN something with a group of 78 other senior professionals, sharing the rights and duties at the same time. I believe this Co- Ownership status has transformed into pride, joy but also some sort of pressure for everyone. I now see crowd-sourcing within the company for ideas and feedback easier and more proactive, as we do not only run our department, but also own the company together. While most of the time we have all reported to only one immediate boss before, we are now accountable to 79 Co-Owners. Imagine 79 of us, individually running a small cabin or a poolside bar or a mini cinema in a cruise boat in the past years, are now owning the boat together, how much more fun and creative and adventurous we can be, sailing in the big blue ocean. 11 Ivy LAU Head of Talent Engagement & Corporate Social Investment Joined in 2011 For many listed companies, Staff Retention scheme are offered to senior executives such as Stock Options, where staff are 'given' the opportunities to exercise their rights to purchase the stock when they determine that the time is right, given certain business and stock market outlook. Most people will then just sell the stock at the right price for a positive financial gain. These schemes create opportunists and investors, and a lot of time with a short term view and almost zero risks. At HKBN, we are invited to become 'proud Co-Owners' by investing into the company together, yet no one has individual control over when and at what price we purchase our shares. There is a certain level of risk, and that requires a lot of trust, confidence and long-term commitment from our Talents. To me, being a HKBN Co-Owner gives us an important identity that differentiates us. This is something to be proudly presented in our business cards and shown to the outside world. This is a dialogue opener. This is a representation of a cohesive and strong force which empowers us in every battle. This is an alignment of interest, culture and mindset. This is our winning edge that sets us apart. It may not mean a lot to me if there are only a handful of Co-Owners, but now with over 300 Co-Owners casting a vote, that's really something. That's really an awesome feeling. I now seek to increase productivity and efficiency at all time. This change is not only on me but also the whole team in HKBN. Co-Ownership is the best way to benefit both the company and us. You don t feel part of it after buying say Tencent (700) or HKEX (388). However, once become real Co-Owner of HKBN (1310), I am passionate to contribute to the everyday success of the company, and have deeper thoughts on how to help the company to earn more and spend less, just like from my own pocket! I can also feel the accountable if I failed to share bright ideas to make things better. 14 Amy TAM Head of Legal and Regulatory Affairs Joined in 2015 I am proud to be invited as a Co-Owner. This means a lot to me because I am not just an ordinary employee but I am amongst part of the selected group who could own the business and be one of its shareholders. Although we are a support department, yet, every move which we make is important because we are supporting the commercial / business units who are bringing in additional revenue to the company. When the company aspires and shines with its achievements, this will also impact on the share price; and in the long run, this is what will increase confidence for other potential shareholders (whether individual or institutional) to join us. The Co-Ownership Scheme is a strong bond between Talents and the company so that we could grow and aspire together as a team. I could see a longterm future in the company. This is a company which cares a lot about the welfare and well-being of its Talents and the Co-Ownership Scheme clearly demonstrates this. You will gain trust more easily because people know a Co-Owner is more likely to pursue long term partnership and sustainable cooperation. As a youngster who had merely graduated from the University for 1 year, the company still offered me this extraordinary opportunity to contribute, which definitely showed how crazy but serious this company in nurturing young talents. I've worked in HKBN for over 10 years. HKBN is much better than other ISPs in HK, and I strongly believe that we can achieve the target of 1 million broadband subscriptions by B. Powerful As a Co-Owner in Guangzhou, I feel that our sense of belonging is much stronger than before. More ideas and output have been generated from our Quality Management team in Guangzhou e.g. sales scripts, guidelines, on-line videos. C. We're in the same dragon boat This concept will drive us to achieve the target. We're fighting together, and the company representatives are not limited to only CXOs now. Joined in 2000 Financially I am more than excited to get stock vesting by joining the Co-Ownership Plan. I also have a strong feeling that I need to shoulder the responsibility to face all the shareholders, and do good for the company to bring a positive effect to the stock price of From an investor's view, the higher the stock price means the higher the return of my investment. Unlike my normal investment in stock market, I am one of the gear of the HKBN engine and all my input effector and endeavor can help the company to gain more profit. I am not an audience at a football game but I am actually one of the players now! Thanks to the Co-Ownership Plan, it drives me to be more aggressive and ambitious. A strong feeling of belonging is created. It is also interesting that some customers are curious about the word Co-Owner' on my name card. Normally, it is a good ice breaker with new customers, and my loyalty message' is clearly delivered to their mind without any doubt. Some of them even think only senior executives are entitled to being Co-Owners! Anyway, it is my honor to be one of the gear of this high growing company and be part of our success. Voice Development Joined in 1996 After we became Co-Owners, many of us began to think differently, adopting a more self-initiated and all-encompassing approach towards our duties. Now we wear two hats, one as employees and the other as Co- Owners. Quite often we would switch roles and think from different perspectives before making a decision or recommendation. I am busier because HKBN is now also my company and its results matter. I am busier as I have to strike for the best because it's also my business. I am busier because there are so many Co- Owners and all of them want to do things well like I do, and I have a lot to prioritize. It's interesting that it is common to hear 'none of my business' elsewhere, but not from HKBN Co-Owners. It's just the opposite here with 'everything is our business'. It is not about what you earn from the company shares but how it matters to you. Billy YEUNG Chief Commercial Officer - ES Joined in 2000 When I first heard about the Co-Ownership concept I looked at it strictly from a financial angle, how much money I could make when HKBN goes IPO! However, what I underestimated, but happily surprised, was the effect the Co-Ownership program had on the overall culture and passion of the company. The awakening in me, as part of the senior management team, to ensure that we are able to deliver the results so our colleagues can get a juicy reward for their trust in us. (Updated on Oct 2013). Co-Ownership motivates me to change or at least try to change the situation to drive the results successfully. We are in the same boat, we need to continuously improve and survive together.
