The Annual Report includes Managements Financial Responsibility for the Financial Statements and an Independent Auditor s Report (page 32 to 43). 5 The Board sets and monitors the strategic direction of the organization. The role of the Board is primarily one of stewardship and strategic visioning rather than operational support. The Board consists of no more than eleven directors who are appointed by the Minister. Five of the board members are selected by the Minister from a list of potential nominees assembled by the Nominations Committee of Creative Saskatchewan. Creative Saskatchewan's Board of Directors is comprised of eleven individuals (see Appendix A for Board Member Biographies) with a variety of backgrounds and experience. All members of the Creative Saskatchewan Board of Directors are Canadian as defined in Direction to the CRTC (ineligibility of Non-Canadians). Currently the Board does not have any members representing Broadcasting Distribution Undertakings (BDUs). However, Creative Saskatchewan understands the requirement that no more than one third of the members of the Board may be members representing BDUs. In addition, it is understood that if there are members representing BDUs on the Board in the future, that these BDU members will not have the right to cast more than one-third of the votes in a meeting. At all Board meetings, it is Creative Saskatchewan's policy that all decisions are made by majority vote. 6 APPENDIX A: BOARD OF DIRECTORS & BIOGRAPHIES Cory Furman of Regina, Chairperson. He is a lawyer specializing as a Legal and Business Strategist on patents, trademarks, and other IP issues. Furman was formerly with the law firm of MacPherson, Leslie and Tyerman, the Regina Chamber of Commerce, and the Saskatchewan Trade and Export Partnership. Susan Whitney of Regina, Vice Chairperson is a well-known appraiser of fine art and a prominent member of the arts community. She was the founder of the Susan Whitney Gallery, which showcased the work of many Saskatchewan artists over a 26 year span. She is the founding president of the Saskatchewan Professional Arts Galleries Association, past president and Honourary Lifetime member of the Art Dealers Association of Canada and past member of the Trade Team Canada Working Group for the Visual Arts. Throughout her career, she has been a member of many local, national and international arts and cultural associations. Jocelyne Wasacase-Merasty of Meadow Lake, is currently a Communications and Governance Consultant with RA Merasty and Associates. Wasacase-Merasty has 17 years experience in the field of communications, public relations, marketing and First Nations governance. She has held senior management positions with the National Centre for First Nations Governance, Vancouver; SIAST, and the Saskatchewan Indian Gaming Authority. Valerie Creighton of Stoughton has over 30 years of experience in leading cultural organizations and is currently the President and CEO of the Canada Media Fund located in Toronto. Creighton's focus has been to position the Canada Media Fund as a responsive and effective organization with funders, clients, and other stakeholders, to enhance relationships with national and international interests, and to support and promote Canadian media content. Jocelyne Kost of Saskatoon was a teacher for 15 years in rural Saskatchewan specializing in teaching French, English and Arts Education at the high school level. Jocelyn is a former Chair of the Saskatoon Mendel Art Gallery. Rick Krieger of Regina is currently managing partner of McNally s Tavern, a popular live music venue in Regina, as well as partner in Broken Rack Billiards, Midnight Media, and two commercial properties on the Dewdney Avenue entertainment strip. He has served as Chair of the Tourism Regina board and served on the Mayor s Taskforce for Regina s Future. He currently serves as a board member of RROC (Regina Regional Opportunities Commission), was Chair of the Host Committee for BreakOut West 2012 Regina and was on the Regina 2013 JUNO Bid Committee Board of Directors. Carolyn Walker of Saskatoon is the inventory manager at McNally Robinson booksellers, the largest independent bookstore in Canada. She has been involved in just about every sector of the book industry in Canada. She was the first president of the Saskatchewan Publishers Group and sat on the National Council of the Association of Canadian Publishers. 7 Copyright Licensing Agency and chaired its distribution committee, and also served on the Publishers Automation Committee. Bruce Willis of Regina is a Partner and the Leader of KPMG s Advisory Services practice in Saskatchewan. He has over 25 years of professional service experience, focusing on providing assurance and risk-based business advisory services to the public sector, publicly-traded companies and private organizations. He is an active member with the local Institute of Internal Auditors (IIA) and has sat on various Institute of Chartered Accountants of Saskatchewan (ICAS) committees. He has extensive board experience, including his current seat on the United Way of Regina Board of Directors, as well as sitting on the Board of Directors at SaskFilm for seven years. He is also the Policy Sub-Committee Chair of the Film Industry Task Force. He has been an active Trustee and Board member of the Saskatchewan Foundation for the Arts since May of Dawn Woroniuk of Saskatoon has worked in media for over 25 years, in roles ranging from Music Director to Program Director and Promotions/Client Services Manager. Currently she is the Director of Marketing for Sakamoto Entertainment. She sat on the Canadian Country Music Association Board of Directors for 6 years and is the Chair of PotashCorp Country Music Week Dawn has also served on a number of boards in Saskatchewan, including the Saskatchewan Country Music Association and SaskMusic, where she recently served her last term as President. Dawn is passionate about music, arts, film and culture and thrives on working in the industry with individuals and organizations who share her desire to be a part of its continued growth. Patricia Warsaba, Q.C. of Regina is a senior commercial and corporate partner in the McKercher LLP Regina office. She has a broad range of experience handling and advising on corporate governance matters, securities and equity financing, commercial and residential real estate transactions, sales and acquisitions, financing, and development. Patricia is unique in Saskatchewan by having significant experience in entertainment law. She is a Director of the Saskatchewan Chamber of Commerce, a former director and trustee of the board of the National Film Board of Canada and past board member and Vice- Chair of the Regina Airport Authority. She has been recognized as a Woman of Influence in Saskatchewan for her efforts as a professional in Jason Zhao of Regina currently serves as the Chair of the Board of Directors of the Regina Symphony Orchestra.
