2 National Academic Director Richard C. Powers M.B.A. (Queen's University), L.LB. (Queen's University), ICD.D Profit Governance Essentials Program Associate Professor, Teaching Stream, Rotman School of Management, University of Toronto Telephone: An internationally recognized expert in both corporate and not-for-profit governance, Richard is the National Academic Director of The Directors Education Program (DEP) and the Not-For-Profit Governance Essentials Program (GEP) (in partnership with the Institute of Corporate Directors ICD). Richard also serves as the Academic Director of the CUES Governance Programs in Canada. He also teaches in Rotman s Executive MBA, OMNIUM, MBA and Executive Education Programs. Richard has lead and taught in the DEP and GEP for over 12 years, and has assisted in designing and implementing the programs at 13 universities across Canada. The DEP is recognized as one of the most robust governance programs in the world. In addition to his responsibilities with the DEP, Richard has worked with numerous boards, associations and organizations in identifying, creating and developing best governance practices. He is a director and committee member of several not-for-profit organizations and frequently comments on legal and governance issues in various media across Canada.

3 Academic Directors Alexander Dyck; PhD, BA Academic Director, Directors Education Program, Professor of Finance and Business Economics, Manulife Financial Chair in Financial Services, Rotman School of Management, University of Toronto Telephone: Alexander Dyck is a Professor of Finance and Business Economics at the Rotman School of Management and holds the Manulife Financial Chair in Financial Services. At Rotman, he teaches Corporate Finance in the PhD program, and Mergers and Acquisitions and Private Equity in the MBA program. In he was a visiting scholar in Finance at INSEAD, France, and in was a visiting scholar at Yale University. From he was Associate Professor at the Harvard Business School where he taught in the MBA, doctoral and executive education programs. His primary research interest is in the problem of corporate governance, the institutions that bear on it, and the implications for management. He has published extensively on governance, regulation, and corporate finance and his research has been featured in the press, including The New York Times, the Financial Times, and the Globe and Mail. Dyck is an Academic Director of the Directors Education Program. He is on the academic advisory board of the Canadian Coalition for Good Governance, is a board member of the Rotman International Center for Pension Management, and the Director of the Capital Markets Institute. In 1993, Dyck earned his Ph.D. in Economics from Stanford University and in 1988 received his honours BA from the University of Western Ontario. He is a multiple winner of Professor of the year by the graduating MBA students and the recipient of the Martin Award for Teaching.

4 Glen Whyte; PhD, MPhil, MA, JD, MBA Marcel Desautels Chair in Integrative Thinking Professor of Organizational Behaviour and HR Management, Academic Director, Directors Education Program, Rotman School of Management, University of Toronto Telephone: Glen Whyte is Professor of Organizational Behaviour and holder of the Marcel Desautels Chair in Integrative Thinking at the Joseph L. Rotman School of Management, University of Toronto. He is also a lawyer, an award winning teacher and researcher, and spent his most recent sabbatical as visiting scholar in the Negotiations, Organizations, and Markets group at the Harvard Business School. Glen also spent 5 years as Associate Dean of Curriculum at Rotman, and is the former Executive Director of MBA Programs. More recently, Glen spent parts of 2016 and 2017 in Ottawa as a Visiting Assistant Deputy Minister at the Treasury Board of Canada Secretariat. Glen holds an MBA from the University of Toronto and MA, MPhil, and Ph.D. degrees in Organizational Behaviour from the School of Management, Yale University. Glen has expertise in negotiations, decision making, dispute resolution, risk management, and corporate governance and has extensive consulting experience in both private and public sector organizations.

5 Faculty Robert D. Brouwer, FCA, ICD.D Partner, Regions Head of Markets, Americas Rob Brouwer is the Regional Head of Markets for KPMG in the Americas, a member of KPMG Americas Management Committee, and member of the KPMG Global Sales and Markets Executive. Rob has over 30 years of experience as an executive relationship partner and audit partner for a wide range of public and private companies with operations in Canada and internationally, and in a range of industries. Rob has also served in a number of capacities in KPMG s Canadian, US and International head offices. He has served as Canadian Managing Partner, Clients and Markets, Chief Administrative Officer for KPMG Americas, GTA Regional Managing Partner, and as Partner in Charge of the Toronto audit practice. He was previously KPMG Canada s senior accounting technical partner, and for many years National Director of KPMG s Mining Practice in Canada. Rob s community involvement has included serving on a number of arts and not-for-profit boards, and the advancement of corporate governance in Canada. Rob currently serves as Vice-Chair and director of Ballet Jorgen Canada and director of the Soulpepper Theatre Company, and previously as a director of the Canadian Opera Company, a director of Volunteer Toronto, and was recognized as a Circle of Champions member for his work with the TRIEC Mentoring Partnership. He has served on both the Campaign Cabinet and the Major Individual Givers Cabinet for the United Way of Greater Toronto, the Fundraising Cabinet for the Hospital for Sick Children s Research and Learning Tower, the SickKids Leaders Cabinet, and the Canadian Blood Services Campaign Cabinet For All Canadians.

6 John Gordon Canadian Managing Partner, Quality & Risk Management John Gordon is the Canadian Managing Partner, Quality & Risk Management of KPMG. In this role, he is responsible for all aspects of the audit practice, including the firm s priorities regarding professional excellence, people, and quality growth. John is also a member of the Management Committee of KPMG Canada. Prior to February 1, 2012, John was the Office Managing Partner (OMP) for the Calgary office and as the OMP he was responsible for the oversight of the growth and client relationships. John has worked extensively with junior and senior companies in the energy industry throughout his career, including TransCanada Corporation, Pengrowth Energy, Husky Energy Inc. and Pembina PipeLine and many others. In addition to serving as a lead audit engagement partner, John has provided a variety of transaction related services to non-audit clients including due diligence assistance, accounting for risk management activities and control evaluations. John graduated from the University of Saskatchewan with a Bachelor of Commerce, With Distinction, in 1980, and became a Chartered Accountant with the Institute of Chartered Accountants of Alberta in 1982, and a Chartered Financial Analyst in John has previously served on the Board of Directors of KPMG Canada and as treasurer and board member for UNICEF Alberta and UNICEF Canada. He has served on the audit committee of the Calgary Exhibition & Stampede and the Alberta Adolescent Recovery Centre. In addition, John has served in oversight roles for a variety of community, school and recreational organizations. John is a regular lecturer and facilitator at various other professional programs including the Audit Committee sessions of the Director s Education Program of the Institute of Corporate Directors. John was a member of the Calgary executive of the ICD, and has completed the ICD.D program.

7 Carmen Rossiter Corporate Director Carmen is a Chartered Professional Accountant (CPA, CA) and a certified director (ICD.D) from the University of Toronto Rotman Director Education Program. In 2014, Carmen was appointed to the Diversity 50 by the Canadian Board Diversity Council in recognition of her status as a diverse and board-qualified candidate. Carmen serves on the boards of: - North York General Hospital (Vice-Chair of the Board of Governors, Chair of th Audit & Finance Committee) - Deposit Insurance Corporation of Ontario (member of the Board of Directors, Chair of the Audit & Finance Committee, and member of the Risk Oversight Committee) - Government of Canada Departmental Audit Committees: o Vice-Chair, Immigration, Refugees and Citizenship Canada o Member, Statistics Canada. Prior to her service on boards, Carmen was a Partner with PwC (Global Risk Management Solutions) and founding Managing Director for Protiviti Canada. Her experience also includes controllership and planning positions with Crown Life Insurance, Royal Trust (now RBC Financial) and CIBC. Currently, Carmen is Program Director for the Centre for Governance, Risk Management & Control Excellence at the Schulich Executive Education Centre at York University. She is also a lecturer for the half-day risk management session for the Institute of Corporate Directors ICD.D program at the Rotman School of Management at the University of Toronto.

8 Ramy Elitzur, MBA (Tel Aviv), MPhil. (New York University), Ph.D. (New York University), Edward J. Kernaghan Professorship in Financial Analysis, Rotman School of Management, University of Toronto Telephone: Ramy Elitzur is the Edward J. Kernaghan Professor in Financial Analysis at the Rotman School of Management, University of Toronto. Previously he has served as the Executive Director, MBA Programs and Acting Academic Director of EMBA at the Rotman School of Management, University of Toronto. Previously he has taught at the Recanati Graduate School of Business Administration, Tel Aviv University and Stern School of Business Administration, New York University. Ramy has won several teaching awards including in 2006 the prestigious Roger Martin and Nancy Lang Award for Excellence in Teaching. Ramy Elitzur has earned a Ph.D. and M.Phil. from Stern School of Business Administration, New York University and an MBA from Recanati School of Business Tel Aviv University. In addition, he holds US CPA and CMA designations Ramy s area of research is game theory applied to financial situations. His publications are in various top journals in finance, economics and accounting. Ramy Elitzur s professional expertise includes financial statement analysis and valuation. Professor Elitzur has also served as an expert witness in lawsuits involving financial reporting in the US, Canada and Israel. In February 2007 Ramy has appeared before The House of Commons Standing Committee on Finance on Income Trusts. Ramy is a member of the audit committee of the University of Toronto and the Accounting & Audit Policy Committee of the Canadian Coalition for Good Governance. Professor Elitzur has been quoted in the Associated Press, Boston Globe, Business Week, Chicago Tribune, Edmonton Journal, Financial Times, The Globe and Mail, Maclean s Magazine, La Presse, Los Angeles Times, the National Post, the New York Times, the Ottawa Citizen, Time Magazine and the Toronto Star. Professor Elitzur was interviewed on CBC, CFMT, CTV, Global TV, OMNI, Newsworld, Newsnet, the Life Channel, and BNN.

9 J. Mark Weber, PhD Mark Weber is the Director of the Conrad Business, Entrepreneurship and Technology Centre (Conrad) at the University of Waterloo (UW). Prior to his current role, Mark was the inaugural Director of the Graduate Diploma in Social Innovation at UW and served on the faculty of the Rotman School of Management and UTM at the University of Toronto for several years. He earned his PhD in Management and Organizations at the Kellogg School of Management, Northwestern University, and also holds a masters degree in social psychology and an MBA. Mark s research focuses on leadership, cooperation, negotiations, decision-making, and trust. His work has been published in outlets like Research in Organizational Behavior, Organizational Psychology Review, Culture and Negotiation: Integrative Approaches to Theory and Research, Journal of Personality and Social Psychology, Social Psychological and Personality Science, Trust and Distrust across Organizational Contexts: Dilemmas and Approaches, and Personality and Social Psychology Review. Mark is an award-winning teacher and researcher who has been on faculty and taught courses on negotiations and organizational behavior to students at the Rotman School of Management, University of Toronto, the Kellogg School of Management, Northwestern University, INSEAD and at the Ross School of Business, University of Michigan. He consults extensively and has provided training to executives and professionals in the automotive, education, healthcare, pharmaceutical, broadcast media, entertainment, telecommunications, technology, and financial services industries, and in government at all levels. He also facilitates strategic planning for not- for-profit and for-profit organizations alike. Mark s early achievements included both national and international awards for public speaking and debating. His previous professional experiences included managerial and leadership roles in local government, the financial services sector, and in not-for-profit organizations.

10 Dirk Schlimm Jenoir Management Consultants Dirk Schlimm is a recognized expert on executive effectiveness, leadership and collaboration in global organizations and the author of Influencing Powerful People (McGraw-Hill, New York, authorized Chinese edition by McGraw Hill and Post & Telecom Press, PRC). Dirk is Principal at Jenoir Management and helps business owners, executives, and boards to take their leadership performance and organizations to the next level. Dirk s clients include TD Bank Group, Teachers Private Capital, Husky Injection Molding Systems, Miele Ltd., Spin Master Ltd. and Torys LLP. At the ICD/Rotman Directors Education Program Dirk teaches a session on difficult conversations in the board room which is delivered across Canada. Dirk is also EVP and Advisory Board Member at Geotab Inc., a leading provider of smart mobility services. At Geotab, Dirk oversees and negotiates legal frameworks for ecosystem governance, data privacy and data usage rights, IoT policy issues, as well as intellectual property litigation. Dirk also oversees European business development, is a member of the company s cyber security committee, and acts as the company s Chief Privacy Officer. Dirk previously worked as a senior executive at Husky Injection Molding Systems, a global technology leader in the plastics industry. Dirk was responsible for global leadership development, legal & intellectual property, as well as security. As head of corporate affairs, he facilitated the relationship of a successful entrepreneur, public company board, professional management and external stakeholders. Dirk is an experienced facilitator in a wide range of circumstances including strategy, intra-company conflict, and change management. His negotiation experience comprises business agreements with large corporations, M&A, litigation, union negotiation and multi-stakeholder projects including government. Dirk holds a law degree from the University of Bonn, Germany and completed his clerkship in judicial service with the Court of Appeals in Cologne, Germany. He is a Konrad-Adenauer-Scholar and earned his doctorate in comparative law from the University of Konstanz, Germany. In addition, Dirk studied international and comparative law at the universities of Geneva, Switzerland and Trento, Italy, and he is a graduate (ICD.D) of the ICD/Rotman Directors Education Program in Toronto (DEP 6). Dirk speaks English, French and German.

11 Peter Dent, CPA IFA (Canada), CPA CFF (US), CIA, CFE, ICD.D Partner & Global Crisis Management Leader Americas Leader, Deloitte Forensic Direct: Peter is a Partner and has over 20 years of experience working with clients in a crisis management capacity, primarily around accountability, transparency and governance. Peter s specialties include working with international organizations in post-disaster and post-crisis environments, having worked in over 30 countries. Between 2000 and 2004 Peter was the Team Leader of the Forensic Services Unit within the Department of Institutional Integrity of the World Bank Group in Washington, DC leading international fraud and corruption procurement investigations into World Bank financed projects. Peter has experience working with the United Nations (UNDP and UNPS) evaluating and strengthening the accountability and transparency of their procurement processes. In the case of UNDP, Peter was specifically tasked with advising and assisting UNDP leadership in the wake of the Tsunami of December 26, In 2011, Peter spent the better part of a year coordinating crisis management and disaster recovery services in connection to the Japan triple disaster. In 2012, Peter spent time in New Zealand consulting with stakeholders dealing with the aftermath of governance issues stemming from the Canterbury earthquakes. In both Japan and New Zealand, Peter met with public and private sector stakeholders advising them on risks associated with the re-building efforts. When not focused on post-disaster advisory services, Peter spends much of his time conducting internal investigations and providing advice around anti-fraud and anti-corruption compliance frameworks. Currently Peter is the Chair and President of Transparency International Canada, and a former member of the Board of the Alliance for Excellence in Investigative and Forensic Accounting.
