COMPANY HISTORY The Company was incorporated by prior management in 1988 under the name Conceptualistics, Inc.

Pursuant to this plan, the Company opened and closed several restaurants. The Company focused solely on that hospitality operation until the end of 2014.

3 COMPANY HISTORY The Company was incorporated by prior management in 1988 under the name Conceptualistics, Inc. In 1997, the Company, under the leadership of its current Chairman, Joe Fiore, embarked on a plan to develop an "American Diner" theme restaurant chain under the name and brand Eat at Joe s. Pursuant to this plan, the Company opened and closed several restaurants. The Company focused solely on that hospitality operation until the end of In late 2014, a decision was made to change the direction of the Company and enter the growing digital space. In February 2015, the Company changed its name to SPYR, Inc., and brought in a new management team to lead the Company s transformation into a mobile games publication and development company. In March 2015, the Company organized its wholly-owned subsidiary SPYR APPS, LLC, d/b/a SPYR GAMES. Over the last 36 months, the Company has been investing in building a world-class mobile- first games publishing and development business. Pending Stock Dividend: SPYR plans to follow through on the previously announced stock dividend. Due to unforeseen circumstances beyond the Company s control, the Company has not yet been able to perform the due diligence on several targeted businesses to be integrated into its new entity that will be the subject of the dividend. The dividend will no longer involve the former restaurant entity or its assets; but rather, will be a separate entity that was formed specifically for this purpose. 5 COMPANY OVERVIEW SPYR, Inc. ( SPYR or the Company ) is a holding company primarily focused on electronic games publishing and development. Deep Industry Experience: Assembled a team of industry veterans who have experience working together and are committed to making SPYR a major player in the Mobile Game Space. Our leadership team comes from the largest and most well known games and technology companies worldwide. Relationships with AAA Licensors: SPYR has proven we are trusted partners with some of the hottest brands in entertainment. We will be bringing the beloved Star Trek franchise into Pocket Starships, and are now launching Steven Universe Tap Together, using IP from Steven Universe, which is moving into the prime time slot on Cartoon Network, and has a passionate and global following of its own. Flagship Game: Pocket Starships, a highly-rated Free-to-Play space MMO MOBA RPG, is built on a unique game engine that allows for real-time, true cross-platform play. As we prepare for Pocket Starships to enter the esports arena, we recently completed the following enhancements: (i) Player v. Player; (ii) Squad-based player vs. player combat (3 v. 3, 5 v. 5); (iii) New Leaderboards; (iv) League system in preparation for entry into esports; and (iv) Game rebalancing to improve retention and revenue growth. Steven Universe: Tap Together: SPYR's next title is more casual and is an innovative take on the popular Idle/Tapper genre, where players continue to make progress even while not actively playing the game. Players return to the title and are instantly presented with rewards and progress. Thedeveloper, RESET, is bringing more of RPG mechanics and real time multiplayer to the Genre. Players will be able to join Clubs with their friends and fight battles with their favorite characters from the TV Show. Growth Strategy: Expand the electronic games publishing and development business with additional titles under the SPYR umbrella using a strategy that is focused on the acquisition of profitable titles and companies. 3

6 SPYR GAMES SPYR Games is building a high growth and profitable mobile games publishing business that is positioned for rapid growth, combining an acquisition strategy and integrated development: Leveraging our combined networks and relationships in the games industry, SPYR has built a pipeline of acquisition targets of a variety of sizes to allow for continued growth. We are targeting profitable and growing developers/publishers who can benefit from our access to the public markets. Our strategy fits the current and future landscape for the games industry, which is currently experiencing a period of consolidation. Our immediate plans for continued growth are centered around the launch of Steven Universe: Tap Together, and the continued development and marketing of Pocket Starships, while we work to finalize our first acquisition. We are always on the lookout for acquisition opportunities, as well as publishing opportunities with developers of games in a variety of genres, such as synchronous multiplayer, social casino, tapper & even brain teaser/puzzle, while also maintaining and growing relationships with IP holders who can grant licenses for their properties. 4 4

7 SPYR GAMES SPYR Games, Current Pipeline, Strategic Summary Steven Universe: Tap Together has been accepted into the Google Early Access program, as well as the Built for Families programs. We are currently in limited release in the Philippines, Vietnam and Germany and will be rolling our more territories as appropriate to get the game into hands of more gamers. Negotiating with a developer and another top tier television network to develop and publish a game based upon another very popular television IP that will allow us to leverage the tapper technology and engine framework to target another unique demographic. Pocket Starships Borg Invasion: Coming soon and will be the brand integration of the Star Trek TV shows into our Dual Stick Action shooter. We are evaluating our rollout of Tournaments for Pocket Starships and have strategic partnerships set up to bring the game to a large number of proven PC esports fans. In discussions with various profitable companies to bring them under the SPYR Umbrella. We plan to 'roll up' multiple companies that have individual expertise and traction in a particular genre with the following synergies: Access to shared services: Marketing, User Acquisition, Business Intelligence, Customer Support, IT Operations, and Live Ops are requirements across all types of games. Ability to leverage deal flow, existing relationships, best practices, and technology across the group. IP Optimization: where subsidiaries own their IP, we can leverage that IP with other group members to efficiently create value, or when discussing opportunities with licensors, we are able to find a genre expert within our larger group who can execute the project. 5 4
