18 Board of Directors Moulay Omar Alaoui Chairman of Board of Directors Mr. Alaoui started his professional career in 1988 with UAS, an aircraft leasing company as Manager Special Projects (Paris) and in 1990 as Finance Director (Geneva). In 1992, Mr. Alaoui founded TAS (Trading & Aviation Services) a company offering marketing and advisory services to banks and financial institutions that repossessed commercial aircraft following the bankruptcy of several airlines after the first gulf war. In 1995, Mr. Alaoui founded Airtrade Capital Corp. a leasing company specialized in second hand commercial aircraft. The fleet of Airtrade Capital Corp. grew from three units in 1995 to over 50 commercial airplanes leased to airlines in Europe and the Americas. In 2001, Airtrade was the first company to acquire second hand Airbus airplanes (Airbus A340) from the Boeing Company. Since 2001, Mr. Alaoui created along with partners several investment vehicles specialized in real estate investment in Morocco. Mr. Alaoui holds a Master in Economics and a Master (DEA Transport) from the University of Paris Sorbonne I and Ecole Nationale des Ponts et Chaussées (Paris). 18

19 Board of Directors Anas Bennani Managing Director - Palma Capital Limited Mr. Bennani worked for the United Bank of Kuwait (UBK) Ahli United Bank Group in London from 1998 as Fund Manager responsible for the North African region. In 1999, Mr Bennani joined HSBC Primecorp Investment Management Limited in London as a Fund Manager responsible for the Maghreb and Gulf regions. In 2001, Mr. Bennani joined Investment Trust Limited (Kuwait s Ahlia Investment Group) in London as Head of Asset Management. In late 2003, he moved to Esterad Investment Company in Manama, Bahrain as Head of Investment Operations and Business Development. He held several positions in investee companies across the Arab World. Mr Bennani was also acting as the Compliance Officer and Administrator of The Esterad Donations Trust. In 2010, Mr Bennani left Esterad to create along with partners Moroccan Finance House a company specialised in arranging real estate investment in Morocco with a successful launch of a 60 million real estate project. Mr Bennani is a major shareholder and Executive Board Member of Traders Investment Managers S.A., an investment management company regulated by the Tunisian Financial Markets Authority, with 10 million assets under management. Mr. Bennani is a French-Moroccan National, married with two children, has a M.Sc. in Finance and a Diploma in Financial Engineering from the Institute of Financial Studies, University of Cergy-Pontoise, France. Mr Bennani is also UK FSA threshold competent in Investment Management and Securities Dealing. 19

20 Board of Directors Faisal Janahi CEO - Esterad Investment Co., Bahrain Mr. Janahi started his investment career by joining Arab Insurance Group s Investment Department in 1985 until he went abroad to complete his higher education in He then joined the Bahrain Development Bank at inception in 1992 as an Investment Executive Officer and then joined Esterad as an Investment Manager in Mr. Janahi took over as the Deputy Chief Executive in 2003, mainly heading the direct investment operation of the Company. Mr. Janahi has a Masters Degree in International Banking and Financial Studies, UK, and is a holder of the CFA charter awarded by the AIMR, USA. Specialising in Financial Services and was the Partner in charge of Strategic and Management Consulting Services for the Financial Services Industry in the Middle East, based in Bahrain till end Mr. Cnoops then joined TAIB Bank, Bahrain, holding various Senior Management positions until 2003, when he started the first Trust and Offshore Corporate Services department to be created in a bank in the Gulf. 22 Board of Directors Ali Habbas, co-founder and CEO of Palma Capital Limited Prior to Palma Capital Limited, Ali founded Dhow Capital Limited, on the premise of guiding Middle Eastern institutional and individual investors into private equity investment opportunities primarily in both the Middle East and China in partnership with locally affiliated groups Prior to Dhow, Ali was a director of Solajan Group, a family affiliated advisory company, where they secured a number of long term supply contracts in Iraq within the oil sector. Prior to Solajan, Ali worked as senior corporate finance officer at London based Investment Trust Limited providing corporate finance and strategic advisory. Target sectors included retail, manufacturing, transportation, real estate, services among others with a focus towards the Middle East and Europe. Previously, Ali worked on private equity transactions and corporate finance advisory mandates in the US, Europe and the Middle East with London based and GCC owned, Capital Trust Ltd. Emphasis was placed towards manufacturing, industry, distribution, retail, foods, real estate and services. Also, Ali worked on various mandates related to the oil and gas sectors including the purchase of the state oil refineries of Morocco, on behalf of the Saudi Arabian buyer. Thereafter, Ali was a team member of the fund manager of the $53m Capital Trust / Shuaa Capital private equity fund MENAVEST While at both Capital Trust Limited and Investment Trust Limited, Ali was registered as a representative with the Financial Services Authority (FSA) of the UK. Ali Habbas is also an authorised individual and licensed director by the DFSA. Major: International Marketing in 1988 Graduated from FORDHAM University (New-York City) in International Marketing in 1987 From Aug.1995 to Oct Mr Boutibou was a Regional Sales Director for the Middle East and West-Asia Region AIRBUS, Civil Aircraft Toulouse then Dubai, United Arab Emirates (UAE) Mr Boutibou was the focal point for all Airbus Commercial activities in Morocco, Syria, UAE, Iran, Pakistan, Bangladesh, Afghanistan, and the horn of Africa. Larry brings more than 17 years of strategy/business consulting and direct investment experience in China and across Asia Pacific. He has advised both corporate and private equity clients in a broad range of industries with strong experience in consumer products, retail and distribution and industrial products (including automotive). Larry is experienced in strategy development and implementation, M&A/Joint Venture or investment transaction advisory, marketing and channel development, strategic sourcing and organizational restructuring. Prior to Bluepeak, Larry was a director and Head of Transactions Strategy Group with PricewaterhouseCoopers Hong Kong and China, serving clients in market entry strategy development, M&A and partnering strategy and strategic/commercial due diligence, and corporate finance advisory in a wide range of sectors. 26 Palma Capital Private Limited Asia, (Singapore) Bobby Bhatia Director of Palma Capital Private Limited Asia (Singapore) Bobby Bhatia is the founder and CEO of Singapore based Sentinel Capital, an investment advisory firm that focuses agriculture, energy and water security with a geographical coverage that includes Southeast Asia, China, Australia, and India. Prior to Sentinel Capital and based out of Hong Kong, Bobby was Managing Director and Head of Principal Investments for AIG Asia where he invested $500-$750 million annually in targeted sectors. Prior to AIG, Bobby was a Principal at JP Morgan Partners (Asian Leverage Buyouts) where he was a founding member of the First Buyout Fund in Asia established in 1998 having raised US$1.1bn to invest in the Asian region. As such, his team completed the first buyout of Asia in 1999 $220 million takeover of the world s third largest semiconductor packaging and testing company. Furthermore, Bobby executed deals with a total transaction value of $740 million and was actively involved in managing the investments assuming interim-cfo and strategic restructuring roles in the respective portfolio companies.
