1 Public Private Partnerships Conference An interactive 1 day conference on the legal and financial aspects of Public-Private partnerships Tuesday, 13 December 2016 I St Regis Hotel Corniche Abu Dhabi With over 100 attendees expected, the 1 st Conference on Public-Private Partnerships in the Middle-East aims to present and analyse the best practices which arise throughout the world, considering the specific context of the Middle East region. Thanks to the participation of representatives of major international companies, law firms, banks and international institutions, the conference will identify the main issues and aggregate the lessons learnt internationally in all aspects of Public-Private Partnerships: legal, financial and technical. 3 speakers Xavier Joseph Chief Executive Officer, Middle East, Veolia Part of Introduction and Panel 1 Now leading Veolia s activities in the Middle East, Xavier was Veolia Water Chief Operating Officer for Veolia Water in the Middle East. Xavier is an Environmental Engineer by background, with over 20 years of experience in the water industry acquired from both developing and developed countries. Xavier arrived in Dubai in 2012 from Morocco where he had been Veolia Water Morocco Deputy Chief Executive Officer for 4 years. Before that, Xavier had essentially a French carrier; he was Managing director for Nice area in his last position. Xavier is currently seating, as a representative of Veolia, in the Board of Directors of several companies (in France, Qatar, Oman and the UAE). His portfolio of achievements, in his past and present areas of responsibilities, includes, organization of project financing for water utilities, operations & maintenance projects for water treatment plants and water utilities, and the management of companies selling Veolia unique portfolio of water services. Sebastien Bernard General Counsel, Middle East, Veolia Part of Panel of discussion 2 & 3 After one year in an investment firm in Jersey and seven years working in a couple of European based companies, including Thales, a world leader in global and regional aerospace, space and defense, security, and transportation, where he occupied several positions, Sebastien joined the headquarters of Dalkia group in 2007 as senior international counsel for Middle East and Asia. In 2009, he then became special advisor to the Chief Legal Officer & Company Secretary of Veolia, a world leader in environmental services, where he had been deeply involved in some major investment projects and corporate transactions in the field of water, energy, transportation and waste infrastructures. In Veolia, Sebastien also carried out some strategic disinvestment operations such as transfer of securities and sale of non-core assets. Early 2010, he moved to Dubai to take over the role of General Counsel of Dalkia, first in charge of Middle East & India, and then in charge of both Middle Eastern & Asian regions. Following the acquisition by Veolia of the international operations of Dalkia, Sebastien became General Counsel of Veolia, in charge of the Middle East region. Stephane Braconnier Associate Professor in Public Law Part of Presentation 1 and Panel of discussion 3 Stephane is a consultant to the Public Law group of Birds & Birds, based in France. He has undisputed expertise in the fields of Public Business law, Public Procurement law, the outsourcing of Public Services and Public-Private Partnerships, Public Service law and Public Competition law. An associate Professor in Public Law, Stéphane Braconnier is a professor at the Paris II University (Panthéon-Assas), where he directs the Professional Master s programme in Public Law of the Economy. He also is the author of numerous publications in the field of Public Law, including the Précis of Public Procurement Law (Editions du Moniteur,2012), Stephane has frequently moderated seminars and training sessions both in France and abroad. He is member of Council for Guidance and assessment of the French Institute for PPP (I.G.D) and the Chair of the School of Public-Private Partnerships.

4 speakers Sophie Pignon Partner, Bird Part of Panel of discussion 3 With a PhD in Public Law, Sophie is a distinguished specialist on Public Law and Project Finance issues, and leads Bird & Bird s Project Finance group in France. Sophie has 15+ years of experience of dealing with issues arising in the public domain and public contracts, particularly concessions and Public-Private Partnerships, at a national and international level. She advises sponsors and public authorities on complex public-private contracts, in the energy and transport sectors, public real estate and broadband networks. She is the co-author of a book on financing Public-Private Partnerships (Moniteur-March 2010). Mukherjee Udayan Office Managing Partner, Dentons Part of Presentation 2 Udayan is a banking and project finance lawyer with experience of a wide variety of project finance, structured trade finance and general banking transactions. He joined the firm in February 2007 and divides his time between the Abu Dhabi and Dubai offices. Udayan has worked on a number of major project financings in the infrastructure and industrial sectors in the region, acting for banks, developers and governments. Tammam Al Dandachi Senior Associate, Infrastructure Asset Management, Arqaam Capital Part of Panel of discussion 1 Tammam has over 9 years of combined experience in infrastructure investments, construction, and project management. He is part of Arqaam Capital s Infrastructure Asset Management division, and currently involved in managing an existing infrastructure fund while raising capital for Arqaam s second infrastructure fund. Prior to moving to the UAE, he worked on various infrastructure and real estate investment transactions in Canada worth over USD3.5 billion, including closing on numerous PPP transactions with enterprise value over USD750 million, mainly in social infrastructure projects. During his first year in the UAE, and as part of the PPP advisory team at Ernst & Young, he advised regional public sector entities on how to structure PPP transactions in various sectors; housing, transportation, and real estate.

5 speakers Tim Armsby Partner, Eversheds LLP Middle East Part of Panel of discussion 2 & 3 Tim is a partner with the international law firm Eversheds LLP and leads the firm s energy and infrastructure practice in the Middle East. Tim is currently based in Abu Dhabi, but has also spent time living in Egypt and Oman. He has been advising on projects in the Middle East for more than fifteen years. Tim s experience covers a wide range of sectors including, power, water, petrochemicals, real estate, transport and social infrastructure. He is a recognised PPP expert and has advised on schemes both in mature markets such as the UK and developing markets across Asia and the Middle East, including the UAE. Joanne Emerson Taqi Partner, Norton Rose Bahrain Part of Panel of discussion 1 Joanne specialises in projects and construction in the real estate and infrastructure sectors. Joanne advises on all types of developments, including commercial, industrial, domestic and public, and all forms of contract. Joanne has a particular experience on water (including wastewater, desalination and district cooling), waste (including waste to energy) and housing (including social housing and worker/staff accommodation) sectors and in PPP procurement. Joanne has experience advising government institutions, concessionaires, project companies, developers, contractors, consultants and financial institutions. Alexandre Dot Director, Global Infrastructure & Projects at Natixis Part of Panel of discussion 1 Alexandre has twelve years of experience in Project Finance. He is a specialist in financial modeling, bid optimization and bid submission. At NATIXIS, he has been acting over the last 10 years both as MLA and Financial Advisor on many projects. Out of Dubai, Alexandre has developed a deep knowledge of the Middle East Utility Framework modelling and more broadly he has gained a large experience in optimizing the tariff for all kind of projects where the final output of the bid is a tariff. Previously, Alexandre worked for 2 years for the French owner of the railway network, assessing the financial strength of the new projects and evaluating the financial participation of the company.
