Call to Order at 6:02 pm and Determination of a Quorum Dorette Caldana, President 2. For Possible Action: Discussion to approve, approve with modifications or deny the agenda for today s meeting, with public comment before Board Action. The Main Street Gardnerville Board reserves the right to take items in a different order to accomplish business in the most efficient manner. Motion to approve Margaret Pross/Carol Sandmeier. Unanimously 3. Public Comment: Introduction of newest board member, Suzanne Carreau. She owns A La Carte Salon. (Norie Jenkins and Kenneth Garber arrived at 6:04 pm.) 4. For Possible Action: Discussion to approve, approve with modifications or deny Minutes of January 21, 2014 with public comment before Board Action. Motion to approve the minutes with the addition of event dates to items 9.a.iii and 9.d.i by Kenneth Garber/Margaret Pross. Unanimously approved 5. Not for Possible Action: Presentation by Jennifer Cantley, creator of Shop Small Northern Nevada LLC. Ms. Cantley will share information about her new business and how Main Street Gardnerville may be involved. (Refer to handout added to board packet.) Jennifer created this business five weeks ago. She said everyone talks about wanting to shop small so she wanted to create an on line site to find all of the small businesses in northern Nevada. She was hired by Sharkey s to do their outside marketing. Her goal is for her website to become a one stop location to find the small businesses. It has quickly taken off. She has visited all the surrounding cities. Up to 60 businesses so far. She will be creating events all over northern Nevada. She will be organizing monthly vendor events at Sharkey s. Starting, hopefully, March 15th. 40 vendors outside. If weather is bad they ll move upstairs. 9 am 3 pm. Reno Tahoe Getaway magazine contacted her for an interview in March s magazine. She ll get a page each month in their magazine where she can highlight businesses/entrepreneurs. She s working with the city of Sparks to create a Shop Small event in Victorian Square set up like Disneyland with a section dedicated to Gardnerville vendors, another section to Minden vendors, another sections for youth entreprenuers, etc. Goal is to get the community to reconnect. She has an idea to do a music in the park type of event, not to compete with Minden s concerts that feature artists from out of the area, but her will focus on local artists. There will also be vendors at this event. Her vision is to have it at Heritage Park featuring local artists and vendors; charge $5 to come in to event. No alcohol at event she wants it to be family friendly. Dance floor. Tables. She is starting a nonprofit so that the money raised at this type of event will go back into the community. She 1

2 Page 2 will be holding monthly meetings with the businesses in different areas each month. She is working with Sharkey s and Battle Born Wine to possibly have up to 70 vendors set up at the wine walks but these vendors will not be serving wine. Margaret: This event during wine walk, where will the businesses be coming from? Jennifer: From Gardnerville and Minden. I will offer it to the businesses who advertise with me first. Margaret: I m concerned we started the wine walks to feature our downtown and our district businesses, who support our program. Carol: How often do you envision doing this music in the park event? Jennifer: I m hoping to do about 2 per month. Carol: Did you talk to Minden about this? Jennifer: Yes, we thought we could do when Minden isn t hosting theirs. Tom: There are a lot of events in the park in the summer; Minden s concerts, our Movies and now CVI will be hosting concerts as well. Not sure twice a month will even be possible. The town of Gardnerville has passed a new policy regarding park use. They are not waiving fees anymore unless you can present your case to the TOG board at a scheduled meeting. Perhaps there is a way we can partner with our movie nights? Stephanie: How often are you going to be doing vendor shows at Sharkey s. Jennifer: The 2 nd Saturday of every month. Stephanie: When is your next monthly meeting? Jennifer: Feb 28 th at 6:30 pm at Sharkey s. Stephanie: I have an issue with vendors setting up during our wine walks. Jennifer: I would work with the businesses to promote any specials being offered during the wine walk. Stephanie: I struggle to get business and what you re presenting is to bring people into the area and then they would entice people to come to their business which is not in our district. We re trying to bring people here and keep them here for their shopping needs. I have great concerns with having a large vendor event during the wine walks. Norie: If they set up a huge vendor area, then we probably won t do the wine walk anymore. It will create a bunch of people gathering in one area. Dorette: This could be a big problem. The Saturday event is a great idea. I think we should discuss this further. Tom: You must remember that this isn t a town event, it s a Main Street Gardnerville event. The vendors should partner and share the costs with already participating businesses. Dorette: It looks like the point of contention is the wine walk. We want businesses to move into our district or partner with our businesses during the wine walks to help with the costs that each business has in participating in this event. Norie: Our district businesses are paying for the wine walk, to bring in a vendor group could be problematic and cause our event to fail. Jennifer: My goal is to work as a team. Sharkey s brought it up since they really don t do anything in their parking lot during the event. Margaret: This could shut down the wine walk if you have a large vendor event at the same time. Our heart lies in making our businesses successful. Jennifer: I understand and hear what you re saying. Stephanie: I am open to partnering with one of your vendors. Jennifer: America is built on small business I m trying to make it possible for businesses to succeed. Dorette: I feel we need to discuss this further to determine how we would be able to work together. We ll need to bring this back to the board to determine action at an upcoming meeting. a. For Possible Action: Discussion to approve, approve with modifications or deny MSG January Financial Statements, to include the January Revolving Loan Fund Financial Statements, with public comment before Board Action. Motion to approve by Stephanie Waggoner/Carol Sandmeier. Unanimously 7. Not for Possible Action: Town Manager Report-Tom Dallaire. Report in packet. Additional items discussed include: There have been lots of requests for use of park already this year. NDOT hasn t confirmed design for crosswalks yet, so it is unknown at this time when we ll begin the project. Dorette: What exactly will the Hellwinkle barns be used for? Tom: The metal one will be for storage and the wooden one for public use. We re awaiting report from a contractor. Money is budgeted for this fiscal year for this project and it will roll over to next fiscal year if need be. Dorette: I have heard from several organizations that will want to use it. Tom: There will be a parking issue. Carol: We could use a hay wagon to transport people in. Access to the property is off of Toler and Gilman. Bottom line, no clue as to when it ll be available for public use. Could be a couple of years. Posts need to be added to make the building approved for public use. I will be doing a presentation on March 26 th regarding the status of the Eagle Gas Station. Tom Hickey s family owned the property first before Condron s built the gas station. The Town Board is hoping to rename the property/project. Norie: How about The Station. Someone else mentioned Main Street Station. Carol: A big thank you to Tom for his help on Saturday at Heritage Park Gardens. Ten of us were out there, in the wind, for over 8 hours. Tom: There will be a meeting tomorrow at 10 am covering the open meeting laws if anyone is interested in attending. It ll be at the East Fork Office on County Road. 8. Not for Possible Action: Program Manager Report-Paula Lochridge Report is in packet. Carol will be presenting a quarterly report to the Gardnerville Town Board at their March meeting and Dorette will be presenting our annual report to the Gardnerville Town Board at their April meeting. Tom: That would work well since the Town Board will be approving the town s tentative budget in April with final approval in May. 9. Committee Reports a. Not for Possible Action: Design Committee Report-Carol Sandmeier Meeting minutes have been added to packet. Other discussion included: There will be another bench going in at Manoukian building, this one in honor of Ashley Browder. Wording on plaque was shared. Basque mural still don t have a definite answer for the Overland location. Owner left Carol a message stating that she, and the family, still hasn t made a decision. Dorette: Could she bring the family together so we can meet and talk to them. Carol: I am going to see her again tomorrow. Dorrie: If we can t meet in person, perhaps we can do it by phone or skype. Carol: She does have the paper with the mural and measurements. Banners: it was decided that the word relax would be replaced with the word stay. Flower committee has two items to approve on the current fiscal year action plan. Carol showed the watering can and the pots pots to grow and provide to people for a minimum donation after all of the adopt a pots have been adopted. These can be produced for about $15. Will reuse and recycle last year s dirt from the adopt a pots. Letter to previous flower basket sponsors is in the works. Gardens report, work day on Saturday. Shed is almost complete. Staked out the area that will be included in children s garden. In addition to the $5000 grant, we re getting another $1000 from the same source for fencing, this $1000 will need to spent this year.

Motion to approve Overland location pending owner s approval and proper paperwork submitted. Margaret Pross/Stephanie Waggoner. Unanimously ii. For Possible Action: Discussion to approve, approve with modifications or deny the purchase of additional pots for Flower Committee Project, with public comment before Board Action. Motion to approve Norie Jenkins/Margaret Pross. Unanimously iii. For Possible Action: Discussion to approve, approve with modifications or deny the purchase of water cans in conjunction with the adopt-a-pot project, with public comment before Board Action. Linda Dibble: The idea of watering cans came about because of watering issues with the adopt a pots. Some of the businesses tend to forget to water the pots. We thought we could offer these for an additional cost. Could also be a thank you gift as well. We wanted to see if you would approve us purchaising 24 at a cost of $108t. There is money in the Design Committee s budget designated for the Flower Committee. Motion to approve Margaret Pross/Stephanie Waggoner. Unanimously b. Not for Possible Action: Economic Restructuring Committee Report-Margaret Pross i. Presentation: Visit to Dalles Main Street. Report and photos added to packet. Banners on building are more attractive than a-frame signs. Should focus on the actual property owner to get approval to do things in their vacant windows. Find someone who has a personal relationship with the owner of vacant buildings in the district and explain to them what we re trying to accomplish. All murals are lighted. They have several side streets. They have a large district too. Their program manager suggests that you walk your downtown district occasionally and view it as a first time visitor. What do you see? He suggested making it a Go to destination rather than a go through destination. Dorette: Perhaps we can work with businesses, like the three bars right here, to have the same type of patio furniture out front? Margaret: Prints of murals can be sold by the artist. Dorette: Suggested postcards can be purchased too of murals. ii. For Possible Action: Discussion to approve, approve with modifications or deny changing the name of this committee to Main Street District Vitality, with public comment before Board Action. The committee wanted something the community could identify more with rather than Economic Restructuring. Something that was more descriptive of what we do. We can leave it as Economic Restructuring on everything and just refer to it as Main Street District Vitality. Carol: This was brought up before but turned down. Dorette & Paula: Many Main Street programs are changing the name to something more clear, defining more what the committee is doing. Motion to approve Stephanie Waggoner/Kenneth Garber. Unanimously c. Not for Possible Action: Organization Committee Report-Dorette Caldana Report in packet. Also discussed: We are in the process of finalizing the 501c3 application. We are looking for a few more board members for their board. Then it ll be sent in. Needs to be approved by GTB in March or April. Dorette will attend the meeting in March if it s on the

5 Page 5 agenda then. Volunteer and Business thank you gala will be open to the public. Could prove to be an opportunity to get more members and volunteers. Carol: I noticed in your minutes that now there will only be one volunteer award? Dorette: We have such a small amount of active volunteers that are all working hard, it seems like the same ones will be recognized each time. We will recognize businesses with certificates. Paula: For volunteers, we could provide name badges with stars or charms representing each year they have volunteered for our program. Carol: Perhaps each committee chair can recognize their volunteers in attendance and give each volunteer/committee member a flower rather than a certificate. Jennifer: The businesses are grateful for the volunteering so maybe there could be a gift donated from each business to use in some way? Dorette: The businesses already give a lot so we hate to ask them for any thing else. We will recognize a volunteer of the year. Each committee chair will get forms for the your meetings next month. It s decided: certificates for the businesses and flowers for volunteers. No keynote speaker. Slideshow featuring volunteers, projects, businesses, etc. d. Not for Possible Action: Promotion Committee Report Kenneth Garber Report in packet. Wine walk training event needs to be scheduled Sooner rather than later. I ve left messages with Nadine with DCSO regarding the servers training to see when it will be scheduled this year. Dorette: Paula please send us some possible dates for the training event. Plans are to video tape the training. 10. Old Business 11. New Business i. For Possible Action: Discussion to approve, approve with modifications or deny sending 1 or 2 representatives to California Main Street Conference, March in Hanford, CA, with public comment before Board Action. Carol Sandmeier would like to go. Paula: I suggest that if two go, send Carol and perhaps Suzanne, if she s available, since she is new to the program. Stephanie: I can go if you need a back-up attendee. Paula: During this conference, it s important to re-connect with Laura Cole- Rowe who heads up the California Main Street alliance. Motion to approve sending two people by Carol Sandmeier/Kenneth Garber. Unanimously ii. For Possible Action: Discussion to approve, approve with modifications or deny sending 1 or 2 representatives to the Rural Round Up April 30-May 2 nd in Ely, with public comment before Board Action. Paula: I suggest, if you re going to approve this, that we contact board members that are not here to see if they would like to go. Since this conference will be here in Carson Valley next year, it might be great to attend. If he s interested and available, I suggest possibly sending Ken Miller. That way he can represent both MSG and the Town of Gardnerville. Motion to approve sending one person by Stephanie Waggoner/Carol Sandmeier. Unanimously iii. For Possible Action: Discussion to approve, approve with modifications or deny Design Committee s Action Plan with Budget Figures for Fiscal Year , with public comment before Board Action. Looking for an increase in costs because of lamp post banners/flags. Unknown as to how much will be needed as it will depend on the other partners in this effort. Possible sponsorships by businesses? $5000 is dedicated to the banners only. If not used, cannot be used else where in design. One motion to approve all four committee action plans was made with

6 Page 6 the stipulation that the $5,000 approved for the banners in the Design Committee Action Plan is used only for the banners. If that total amount is not needed, it rolls back over to the general fund. Motion approved as stated by Margart Pross/Stephanie Waggoner. Unanimously iv.
