1 HOW TO INVEST Global Rockstar allows you to invest in new tracks of Artists with a promising future. Your investment is used to enable Music Productions of the highest quality level to enable efficient promotion and marketing campaigns You ll profit from our network of hit-producers & Grammy-awarded engineers our 25 years of experience and success in music business In return for your investment, you ll participate in the revenues of the resulting track! If you bet on the right Artist & Song, you have a good chance to make high profits! What is Global Rockstar? Global Rockstar is a Royalty-based crowdfunding platform, a music label and a music publishing company created to support Artists and up-and-coming talent. Global Rockstar was founded by Christof Straub, an Austrian songwriter and producer who started his career in 1992 with his band Papermoon. Most of his productions reached gold and platinum status. Over the years Christof produced many successful acts, like ZOË, who represented Austria at the Eurovision Song Contest Stockholm Global Rockstar now offers Artists the possibility to present Projects on the platform globalrockstar.com to finance and/or market their new track with the support of their Fans. Fans invest and purchase the right to receive future Royalties from that track. When a Project is successfully funded on the platform, the Global Rockstar Label causes the Master recording of the Song to be produced, distributed and/or marketed worldwide. A User that made a Pledge for a successfully funded Project is then entitled to receive Royalty payments from the revenues generated by the commercial exploitation of the Master and/or the Song, for a duration of up to 70 years. Global Rockstar offers all-or-nothing -projects and keep-it-all -projects: All-or-nothing - projects are successfully funded when the funding goal is reached. Keep-it-all -projects are successfully funded when they end, no matter if the maximum funding goal has been reached.

Be a part of the next track of your favorite Artist For the first time, you can own shares of a new track from an Artist you like. When the Project is funded, you ll receive your contract and a Royalty certificate that certainly looks nice on the wall of your living room. You can preview the contract on all Project pages. 2. It s easy: Just check out the Project pages of the Artists that you find on this website. 1.Check out the Songs and the Project details On the Artist s Project pages, you ll find promising Artists who created Projects to fund their next Single. Others have already produced their new track and wish to get a funding to promote and market it. They ll tell you more about their plan in a video displayed on their Project page. This video always includes a rough version of the Song that they wish to produce. In case that the Artists have already finished their production and are looking for a funding for promo and marketing, you ll hear the finished track in their video. The Project pages display if these Projects are live, funded or ended. If a Project is live, the funding goal has not been reached yet, and you can make a Pledge for that Project. You ll find a detailed description of the Project, the funding goal, the allocation of the funding, the team that is designated to work for the production, the Artist s biography and some financial stats of the Artist s previous releases (if available). You ll also see the type of Royalties (Royalties from Master Rights exploitation or Royalties from Publishing Rights exploitation) you would receive in the future, and for how long you would receive them. You ll see on the project pages if you invest in a all-or-nothing -project or in a keep-it-all -project.

4 2.Make a Pledge On the Artist s Project pages, you ll see what the Artists offer to Investors. These offers vary depending on the Project. In some Projects, you may be able to purchase 1% of Royalties for 60, in others 1% may cost 300. If you believe in the Artist that you see, and in the Song that you hear, you choose the amount of shares of future Royalties that you wish to purchase. After you made your choice, you click on the PLEDGE -Button. You can make a Pledge for only 1% of shares, or for more, up to all available shares. Then, you will be asked to enter additional information, so that we can conclude a contract, when the Project gets successfully funded. Then you choose the payment method for your Pledge. We support CB/VISA/Mastercard, Maestro and Sofort. When you enter your payment data and the payment is successful, you made a successful Pledge! All-or-nothing -projects: You will only be charged if the Project is successfully funded. If the Project is not successfully funded, the full amount of your Pledge is refunded. Keep-it-all -projects: You will be charged and become a shareholder of the track whether the maximum funding goal is reached or not. 3.Check out if the Project gets funded Please read the texts on the project pages to know if you invest in a all-or-nothing -project or a keep-it-all -project. All-or-nothing -projects: All Projects have a certain Project duration (in average 3 weeks - 1 month) in which the funding goal must be achieved with Pledges from Investors. We will notify you as soon as the Project has reached its funding goal. When the Project has reached its funding goal, the Royalty Agreement enters into force. We will send you the Royalty certificate and the Royalty Agreement right after. You are then entitled to receive Royalties from the commercial exploitation of the Master and/or from the commercial exploitation of the Publishing rights to the Song. Keep-it-all -projects: When you make a pledge, the Royalty Agreement enters into force. We will send you the Royalty certificate, the Royalty Agreement and the invoice as soon as the maximum funding goal is reached or when the project ends. You are then entitled to receive Royalties from the commercial exploitation of the Master and/or from the commercial exploitation of the Publishing rights to the Song.

5 Can I offers shares as a present? If you wish to offer shares of a track e.g. as a Christmas or birthday present, you can do this on Global Rockstar. All you need to do is to fill out the respective fields in the Pledge form with the name of the person that should become the owner of the shares. When the Project is successfully funded, the Royalty certificate will be issued to the designated beneficial owner. We will contact you right after to ask you for more information (Address, ) about the new beneficial owner to issue the contract that regulates the transfer of rights from you, as the initial purchaser, to the new beneficial owner. The new beneficial owner should then open an account on globalrockstar.com to receive his Royalty payments. Alternatively, we ll send him monthly statements via . What happens after my investment? A. PROJECTS FUNDING MUSIC PRODUCTIONS & THEIR MARKETING 1.The Project is realized We help to realize the successfully funded Projects on the highest quality level. First, we supervise the music production, and when the Master is finished to the satisfaction of the Artist, the Producer and us, we ll release it it in all relevant download and streaming applications worldwide. As an Investor, you will be notified on a regular basis about the progress of the Production and about the release date. 2.The track is released Then we ll put all our efforts in the promotion of the track. We ll pitch it to playlist curators and radios, we ll inform the Investors regularly about the actions they can take to help. If the Project included additional marketing measures (e.g. booking of radio promotors or booking of playlist promoters), your investment will also used be for these activities, and we ll help to get the job done. 3.We inform you about what you can do to help You will be notified on a regular basis about what you can do to contibute to a success (e.g sharing the Spotify link on social media, pitching the track to playlist curators, create playlists etc...).

6 4.The Royalties are collected and transferred to you From the date of the release, it takes 3 month until we get the first Royalty statements from the download- and streaming-applications. Then, you will see the money that you have earned on the dashboard of your account, and you will be able to withdraw it or to reinvest it on the platform. B. PROJECTS FUNDING THE MARKETING OF FINISHED PRODUCTIONS 1.The track is released We release the track it in all relevant download and streaming applications worldwide. 2.We promote and market it According to the details of the Project and the assignment of the funding, the collected money is used for an efficient promo and marketing campaign. 3.We inform you about what you can do to help You will be notified on a regular basis about what you can do to contibute to a success (e.g sharing the Spotify link on social media, pitching the track to playlist curators, create playlists etc...). 4.The Royalties are collected and transferred to you From the date of the release, it takes 3 month until we get the first Royalty statements from the download- and streaming-applications. You invest in the right to receive Royalties from the commercial exploitation of the Single and/or the song that you support. The Projects on this Platform offer you different kinds of Royalties that you receive, once the Project is funded and the Single published. You ll find these informations in the details of the respective Project pages. There are 3 kinds of investments in Royalties that are offered in the Projects:

7 1.Royalties from the commercial exploitation of the Master: This means, you ll earn money every time the Master (the recording of the Song) is streamed, downloaded or when it generates other revenues (e.g. licensing of the Master to a TV ad, sales of CDs etc..) 2.Royalties from the commercial exploitation of the Publishing rights: This means, you ll earn money every time the Song is played in the radio or generates other revenues for us as the Publishing house of the Song. 3.Royalties from the Master and Publishing rights: This means, you ll earn money from the commercial exploitation of the Master and the Publishing rights to the Song (as described in 1 & 2) For more information, please visit our Terms & Conditions: What is my investment used for? You will find the information concerning the assignment of the funding on every Project page. They might vary depending on the settings of a Project. 8 Am I taking a risk if I invest? In addition to offering a great opportunity, an investment in a music production and/or its marketing also entails risks. Nobody can know for sure if a Song becomes a Hit and you might not recoup your investment within the desired time frame, or in the worst case, at all.
