2 Douglas Henck Chairman Asian Corporate Governance Association Hong Kong Douglas Henck was elected chairman of the Asian Corporate Governance Association in November 2014 after having served as vice-chairman since Mr Henck spent over 30 years in international insurance with a particular focus on Asia. He was appointed CEO of Aegon Asia and Chairman of Aegon Asia s Executive Committee on January 1, 2011 and served until his retirement on September 30, He also served as a member of Aegon s Global Management Committee and as Chairman of Aegon Life Insurance Company Ltd, Aegon s joint venture in India. Educated in the US, he began his career at Aetna in 1974 and qualified as a Fellow of the Society of Actuaries in During his long career he has held executive positions at Aetna, AIG, and Sun Life Financial. From 2006 to 2009, Mr Henck was based in Haifa in Israel, where he served as Chief Financial Officer at the Bahá í World Centre, the global administrative headquarters of the Bahá í Faith. Mr Henck is a former chairman of the American Chamber of Commerce in Hong Kong (having led the organisation during the historic 1997 calendar year) and served two terms as chairman of the Asia Pacific Council of American Chambers of Commerce from 1993 to He is a member of the board at the Harmony Program, a New York-based charity providing music lessons to economically disadvantaged children.

3 Jamie Allen Secretary General Asian Corporate Governance Association Hong Kong Jamie Allen is the founding Secretary General of ACGA, which was incorporated in Hong Kong in He is responsible for overall management of the association, as well as directing ACGA s research, advocacy and educational work in 12 Asia-Pacific markets. He is a published author and has more than 30 years experience as a writer, editor and analyst covering the economies of Greater China and East Asia from Hong Kong. Prior to the establishment of ACGA in mid-1999, he ran his own consulting firm and carried out customised economic research on mainly finance-related topics, including corporate governance, for multinational clients in Asia. From 1992 to 1995, he worked for the Economist Intelligence Unit (EIU) as editor of Business Asia, a regional management newsletter, and was a contributor to The Economist from 1994 to Mr Allen began his journalistic career in the late 1980s as a reporter for the South China Morning Post in Hong Kong. From 2001 to 2007, Mr Allen was a member of the Public Shareholders Group, a committee formed by the Hong Kong Securities and Futures Commission to advise it on shareholder rights and corporate governance matters in Hong Kong. He served on the Listing Committee of the Stock Exchange of Hong Kong (SEHK) from 2006 to In July 2013, Mr Allen was appointed to the Operations Oversight Committee (OOC) of the Financial Reporting Council (FRC) in Hong Kong. The FRC, a statutory body, has responsibility for investigating auditing irregularities in the accounts of Hong Kong listed companies. The OOC reviews and approves the FRC s audit investigation work. In July 2017, the International Corporate Governance Network (ICGN) awarded Mr Allen an ICGN Lifetime Achievement Award 2017, in recognition of his dedication to implementing effective corporate governance practices and promoting shareholder rights throughout Asia. He is a graduate of the Australian National University, Canberra where he received a Bachelor of Arts (Honours) in Political Science and Chinese language. He studied Mandarin for two years in Taiwan during 1983 and 1984.

4 Ajay Tyagi Chairman Securities and Exchange Board of India Mumbai Ajay Tyagi was appointed Chairman of the Securities and Exchange Board of India (SEBI) with effect from March 1, In a career spanning over 32 years, Mr Tyagi, a former Indian Administrative Service (IAS) Officer, has held several positions of responsibility with distinction in the State and Central Governments. Prior to becoming Chairman of SEBI, Mr Tyagi has served as an Additional Secretary in the Department of Economic Affairs, Ministry of Finance, Government of India, handling diverse areas like capital markets, investment, infrastructure financing, financial sector reforms, financial stability issues, and coins and currency. Earlier, he served as a Joint Secretary in the Ministries of Environment and Forests and Petroleum and Natural Gas. He has also served as Secretary of the Petroleum and Natural Gas Regulatory Board. In the Government of Himachal Pradesh, he was Principal Secretary in the Departments of Finance, Planning, Industries and Information Technology. Mr Tyagi is an electrical engineering graduate and completed postgraduate studies in computer science. He also holds a Master of Public Administration from Harvard University.

5 Sandeep Parekh Managing Partner Finsec Law Advisors Mumbai Sandeep Parekh is the managing partner of Finsec Law Advisors, a financial sector law firm based in Mumbai. He worked as an executive director at the Securities and Exchange Board of India (SEBI), India s securities regulator, where he headed the Legal Affairs and Enforcement departments and has been a faculty member at the Indian Institute of Management, Ahmedabad. Previously, he worked for a law firm in Delhi and Mumbai, and before that for Wilmer Hale, a law firm in Washington, DC. He focusses on securities and investment regulation, private equity, corporate governance and financial regulation. He has an LLM (Securities and Financial Regulations) degree from Georgetown University and an LLB degree from Delhi University. He is admitted to practice law in New York and is a member of Mensa. He is a World Economic Forum Young Global Leader and a founding curator of the World Economic Forum s Global Shapers Community. He has published op-eds in the Financial Times and the Economic Times (where he writes a column) and has been quoted in the Wall Street Journal, The Economist, Bloomberg and CNBC. He has spoken at Davos and various World Economic Forum meetings. He has an active blog called Initial Private Opinion, which is widely followed among experts in the Indian financial markets. Mr Parekh has been a member of the Cabinet Secretariat task force for measuring performance in ministries and departments of the Government of India. He is a former chairman and member of various SEBI and Reserve Bank of India committees and sub-committees and is a member of the Securities Committee of International Law Association, London and Confederation of Indian Industry s National Committee on Capital Markets. He has been recognised for exceptional standing in law by AsiaLaw, IFLR Legal500 and listed as Who s Who of the World (Marquis), International Professional of the Year, IBC.

6 Mike Lubrano Managing Director, Corporate Governance and Sustainability Cartica Management Washington, DC Mike Lubrano is the Managing Director, Corporate Governance and Sustainability, at Cartica Management, an emerging markets fund manager with approximately US$3.2 billion in assets under management. Cartica runs a concentrated, long-only portfolio of equity securities of publicly-traded companies, acquiring significant stakes and employing an active ownership approach. Cartica engages with portfolio company management and boards in a constructive and cooperative manner and applies its combination of capital and emerging markets and corporate governance experience to influence the direction of portfolio companies in ways that foster better performance and higher market valuations. Prior to joining Cartica, Mr Lubrano worked at the International Finance Corporation (IFC). He pioneered its corporate governance practice, establishing corporate governance as a central element of the IFC s sustainable development strategy and serving as the first manager of the IFC s Corporate Governance Unit. He developed the IFC Corporate Governance Methodology, which is still used by the organisation and other development finance institutions to assess the quality of governance of potential clients and to identify opportunities to add value by improving their boards, control environment, transparency and disclosure, and treatment of financial stakeholders. He was advisor to Chile s Ministry of Finance in drafting that country s corporate governance reforms, assisted the São Paulo Stock Exchange in designing the Novo Mercado and was the co-organiser of the Latin America Corporate Governance Roundtable from 2000 to Mr Lubrano earned his AB magna cum laude from Harvard College; his Juris Doctor cum laude from New York University School of Law; and his MPA from Princeton University. He is a member of the team that developed and delivers the Environmental, Social and Governance Integration programme sponsored by the International Corporate Governance Network and the UN Principles of Responsible Investment. He serves on the Corporate Governance Advisory Council of the US Council of Institutional Investors and on the Advisory Board of the Mexico Institute of the Woodrow Wilson International Center for Scholars.

7 Jaideep Singh Panwar Global Responsible Investment and Governance APG Asset Management Asia Hong Kong Jaideep Singh Panwar is a member of the responsible investment and governance team of the 450 billion Dutch pension fund manager, APG. He is based out of its Asia-Pacific office in Hong Kong. He is responsible for ESG integration and exercising APG s governance rights, including engaging with boards and managements of investee companies in several Asia-Pacific markets, including India. His work also involves engagement with market regulators on governance standards in these markets. Prior to APG, Mr Panwar held roles at Responsible Research (later acquired by Sustainalytics) in Singapore, where he advised institutional investors in evaluating ESG risks and opportunities and also led selected engagements with their regional holdings on their behalf. This was preceded by advisory work at EY Mumbai on long-term sustainability strategy for Indian corporate clients. He has a postgraduate qualification in business management from the Indian Institute of Management, Ahmedabad and holds a Master of Environmental Management from the National University of Singapore.

8 Vladislava Ryabota Regional Corporate Governance Lead, South Asia International Finance Corporation (IFC) Mumbai Vladislava (Slava) Ryabota, joined the Mumbai office of the International Finance Corporation (IFC) in October She is a key member of the IFC s Corporate Governance Leadership Team and the central point of contact for both investment and advisory services for IFC in South Asia. Ms Ryabota joined the IFC in 1997 and has worked in a number of corporate governance advisory projects, including covering investment operations in Europe and Central Asia. She specialises in the assessment of corporate governance practices, board evaluation, family business governance, governance of funds and SMEs, and regularly provides training for directors and corporate secretaries. Ms Ryabota graduated from the Law Faculty of Taras Shevchenko National University of Kyiv. She continued her education at the University of Essex. She is a Doctor of Philosophy as well as a mediator accredited by the Centre for Effective Dispute Resolution in the United Kingdom. She is a professional trainer and the author of a number of books and articles on corporate governance, commercial law and mediation.

9 Hetal Dalal Chief Operating Officer Institutional Investor Advisory Services Mumbai Hetal Dalal is the Chief Operating Officer of Institutional Investor Advisory Services India (IiAS), a Securities and Exchange Board of India-registered, India-based proxy advisory firm. She is responsible for overall business execution, which includes voting recommendations published annually by IiAS on almost 700 listed companies that aggregate about 95% of the total market capitalisation on Indian exchanges. Her role includes oversight of the governance research published under the IiAS Institutional EYE sub-brand, and the development of IiAS s Adrian and ComPAYre products. She has also led IiAS s efforts in working with the International Finance Corporation (IFC) and BSE to develop the Indian Corporate Governance Scorecard. Prior to joining IiAS, she worked with CRISIL Limited, a Standard & Poor s company, and India s largest rating agency. During her 13 years at CRISIL, she held positions across several verticals. Joining as an analyst in the corporate ratings business, she later became part of the founding team of CRISIL s Global Analytical Centre, which provided offsite and onsite analytical support to Standard & Poor s North American ratings team. She was instrumental in setting up the operations of CRISIL s Small and Medium Enterprises (SME) Ratings division: under her supervision ratings were assigned to over 13,000 SMEs across India. Her last role at CRISIL was as Director, Business Development for Bank Loan Ratings, through which she managed client relationships that generated revenues of over US$15m. Ms Dalal is a Chartered Accountant and holds a management degree with a specialisation in finance.

10 Arnout van Rijn Chief Investment Officer Asia Pacific Robeco Hong Kong Arnout van Rijn is Chief Investment Officer Asia Pacific for Robeco Hong Kong, as well as fund manager of Robeco Asia-Pacific Equities and Robeco Asian Stars Equities. He started his career in the investment industry in 1990 and has over 25 years of experience in the asset management industry. From 2003 to 2007, he was Fund Manager of Rolinco, Robeco s flagship global growth equity fund. From 2000 to 2002, he worked in Hong Kong as the Head of the Fund Desk at Rabo Investment Management. From inception in 1994 until 2000, he was Fund Manager of Robeco Emerging Markets Equities. Mr van Rijn held several positions in Robeco s Equities Investments Department covering European, Asian and American markets and was Fund Manager of Robeco North American Equities. He was awarded CIO of the Year in Asia in 2015 by Asia Asset Management and the Most Consistent Fund Manager in 2013 and ranked among Hong Kong s top 10 fund managers in 2012 by Citywire. Mr van Rijn is currently a member of the Stock Exchange of Hong Kong Listing Committee. He holds a master s degree in Business Economics from Erasmus University in Rotterdam and is registered with the Dutch Securities Institute.

11 Melissa Brown Partner Daobridge Capital Specialist Consultant Asian Corporate Governance Association Hong Kong Melissa Brown is a partner at Daobridge Capital, a China-focussed advisory firm and a specialist consultant for the Asian Corporate Governance Association (ACGA). She has analysed Asian investments for more than 18 years, initially as a sell-side equity analyst and research director for Barclays Capital, JPMorgan, and Citigroup, and later led research into ESG as executive director of the Association for Sustainable & Responsible Investment in Asia from 2003 to She currently serves as a director of Sustainalytics, a global ESG research provider. She is a government-appointed council member of the Hong Kong Institute of CPAs and a member of the Securities and Futures Commission Takeovers Panel. She was previously an elected member of the UNPRI Advisory Council and also served on the Listing Committee of Hong Kong Exchanges and Clearing (HKEx) for six years from 2006 to Ms Brown has collaborated with ACGA on a number of projects in recent years, including speaking at annual conferences in Beijing, Shenzhen, Seoul and Kuala Lumpur. She was the co-author of ACGA s submission on IPO due diligence to the Hong Kong Securities and Futures Commission in 2012 and the primary author of ACGA s submission to the Stock Exchange of Hong Kong on its ESG Reporting Guide in In 2016, she co-authored ACGA submissions to the Singapore Exchange on its new Sustainability Reporting Guide and to the SFC on its consultation about modernising and upgrading Hong Kong s listing regime. She has supported the association in numerous other ways, carrying out member surveys, supporting our efforts to encourage dialogue between institutional investors and accounting auditors and taking up speaking opportunities.

12 Michael Duignan Senior Director Securities and Futures Commission Hong Kong Michael Duignan has had a variety of roles within the regulatory spectrum. He worked at HM Treasury advising ministers on policy relating to exchanges and securities. He joined the UK Financial Services Authority in 2000 where he was responsible for Listing Rules policy and negotiated the Prospectus Directive in the European Council on behalf of the UK, while also working on the Market Abuse and Transparency Directives. Mr Duignan joined the Irish Stock Exchange as Head of Market Supervision in September 2008, which was an interesting time in Irish markets. In 2012, he joined the Malta Financial Services Authority and moved to the Hong Kong Securities and Futures Commission in February 2014 as a Senior Director in the Corporate Finance Division, responsible for IPO prospectus vetting and corporate disclosure teams.

13 Peter Butler Founder Partner Emeritus GO Investment Partners London Peter Butler is a Founder Partner and was Chief Executive of GO Investment Partners (GO) until He now has a part-time role which includes being Chairman of the oversight board responsible for the Japan Engagement Fund. He also sits on the board of Governance for Owners Japan KK. GO is an independent partnership independently owned by its senior partners. The founders of GO have been managing constructive engagement funds and stewardship services businesses since GO offers a number of investment management and stewardship services products. Prior to establishing GO, Mr Butler was CEO of Hermes Focus Asset Management for six years, responsible for building the highly respected Focus Fund and Equity Ownership Services teams. Before joining Hermes, he had over 20 years of global experience in a wide range of industries as a senior executive, including seven years as a director of quoted companies. Mr Butler frequently participates in seminars and conferences on stewardship worldwide. He is Chairman of the Essex and Southend Sports Trust and serves on the General Committee of Essex County Cricket Club. He is a former board member of the International Corporate Governance Network and has chaired both its Nominations and Awards Committees.

14 Cyril Suresh Shroff Managing Partner Cyril Amarchand Mangaldas Mumbai Cyril Shroff is the Managing Partner of Cyril Amarchand Mangaldas and formerly the Managing Partner of Amarchand & Mangaldas & Suresh A. Shroff & Co. With over 35 years of experience in a range of areas, including corporate law, securities markets, banking, infrastructure and others, Mr Shroff is regarded and has been consistently rated as India s top corporate, banking and project finance lawyer by several international surveys, including those conducted by IFLR, Euromoney, Chambers Global, Asia Legal 500, Asia Law and others. Mr Shroff featured in Asian Legal Business Dealmakers of the Year 2016, as the only individual from India. He was also awarded with Emerging Markets Firm Leader of the Year Independent at the Asian Lawyer Emerging Markets Awards He is consistently ranked as star practitioner in India by Chambers Global and often regarded as the M&A King of India. He is a member of the SEBI Committee on Corporate Governance and Insider Trading. He is also a member of the first Apex Advisory Committee of IMC International ADR Centre and an advisory member of the Finance Planning Standard Board of India and Macquarie. He was recently appointed as a task force member of the Society of Insolvency Practitioners of India. He is a member of the Media Legal Defence Initiative International Advisory Board. Mr Shroff is also part of various committees of the Confederation of Indian Industry s (CII) National Council on Corporate Governance, the National Committee on Capital Markets, Private Equity & Venture Capital, Commodities Markets, Financial Investors and Regulatory Affairs.

15 Mario Abela Director, Redefining Value World Business Council for Sustainable Development London Mario Abela is Director, Redefining Value, at the World Business Council for Sustainable Development where he leads a number of initiatives aimed at helping companies to focus on longer term and sustainable value creation. He is a CPA and Chartered Management Accountant. Mr Abela s expertise is in corporate reporting and he has held senior management positions in both the private and public sectors in Australia, Belgium and the United Kingdom. He has extensive regulatory and standard setting experience. Mr Abela is a visiting professor at IESEG School of Management in Paris. He is also an expert advisor to the United Nations Conference on Trade and Development on corporate reporting and has been involved in developing indicators for reporting against the Sustainable Development Goals.

16 Julia Tay Partner, Asia-Pacific Public Policy Leader EY Singapore Julia Tay is part of EY s Public Policy Executive Leadership team responsible for the Asia-Pacific area. She has over 23 years of professional experience from a diversified background of audit, commerce and government. She is based in Singapore. In the Asia-Pacific area, Ms Tay supports EY network firms in over 20 countries with respect to public policy. This includes continuous engagement with regulators and key stakeholders with the aim of shaping public policies that enhance corporate governance for the public interest. Ms Tay is also EY s representative on the Global Public Policy Committee comprising the six largest networks of accounting firms. In this role, she engages with global regulatory groups such as the International Forum of Independent Audit Regulators with the objective of improving audit quality globally. Prior to joining EY, Ms Tay spent over seven years with Singapore s Accounting and Corporate Regulatory Authority (ACRA), the national regulator of companies and public accountants, where she last served as deputy chief executive. At ACRA, she had oversight of the regulation of the accountancy profession, including licensing and inspections, discipline for professional misconduct, enforcement of auditing and accounting standards, and other policy matters. Before joining ACRA in 2009, she spent 13 years as an auditor with KPMG Singapore and two years as the group vice-president of corporate finance and treasury at a large publiclylisted healthcare company in Singapore.

17 Pru Bennett Director, Head of Investment Stewardship APAC BlackRock Hong Kong Pru Bennett is a director at BlackRock and is Head of BlackRock s Investment Stewardship team for the Asia-Pacific region based in Hong Kong. In that role she leads a team that is responsible for engagement and proxy voting activities in relation to the companies in which BlackRock invests on behalf of clients. Her team is located in Hong Kong and Tokyo. She is an active participant in the public debate on corporate governance, stewardship and responsible investment and as such regularly speaks and writes on the importance of these issues for company performance and investment decisions. In 2013, Ms Bennett was named one of Australia s top 10 Women of Influence in Corporate Governance. She represents BlackRock on a number of industry and regulatory bodies including the ESG Working Group of the Australian Financial Services Council and the Public Shareholder Group of Hong Kong s Securities and Futures Commission (SFC). In April 2017 she was appointed by the Government of Hong Kong to the Advisory Board to the SFC. Ms Bennett is a champion of diversity and inclusion of all kinds. She is an alumna of BlackRock s Women s Leadership Forum. She is a member of steering groups for the Australian and Hong Kong chapters of the 30% Club, a market initiative to increase the number of women on boards and in senior management. She has published a number of papers on board diversity. Before taking on her current role in August 2010, Ms Bennett was Head of Corporate Governance at institutional advisor Regnan Governance and Research until July From 1998 to 2009 she was a director of Australian proxy advisor Corporate Governance International, which was acquired by Glass Lewis & Co in 2006 and is now known as CGI Glass Lewis. Prior to working in the area of corporate governance she was Investor Relations Manager for Qantas Airways. She has a Bachelor of Commerce from the University of New South Wales and is a member of the Institute of Chartered Accountants Australia and New Zealand.

18 Shaheen Mistri Chief Executive Officer Teach for India Mumbai Shaheen Mistri grew up in five countries around the world, and returned to India when she was 18 to start a small college project which grew into Akanksha. For 17 years, she worked with teachers and students, building Akanksha to provide 4,000 children from lowincome communities the kind of education that would maximise their greatest potential. Today, Akanksha serves 6,500 children through its School Project and after-school centres in Mumbai and Pune. In 2008, Ms Mistri founded Teach for India, with an audacious vision of providing an excellent education to all children across India through building a pipeline of leaders committed to ending educational inequity in India. Today, Teach for India directly impacts 40,000 children across seven regions in India. Ms Mistri is an Ashoka Fellow, a Global Leader for Tomorrow at the World Economic Forum, and an Asia Society 21 Leader. She serves on the boards of Akanksha, Design for Change, the India School Leaders Institute, the Thermax Foundation, and Teach for All. Ms Mistri is the author of the book, Re-drawing India. She holds a bachelor degree from St Xavier s College, Mumbai and a master s degree from the University of Manchester.

19 Ka Shi Lau bbs Managing Director and CEO BCT Group Council Member Asian Corporate Governance Association Hong Kong Ka Shi Lau is Managing Director and CEO of BCT Group, comprising BCT Financial Limited (BCTF) and Bank Consortium Trust Company Limited (BCTC), a major provider of MPF/ ORSO products and asset servicing for investment funds and pensions, with BCTC being one of the largest trust companies in Hong Kong. She is a strong advocate of corporate governance, social inclusion and diversity, health care, and retirement protection through active participation in industry dialogues. Apart from her current role as Vice Chairman of the Hong Kong Trustees Association, she serves on various statutory and professional bodies including Asia-Pacific Financial Forum (APFF) Retirement and Long-Term Investment Working Group, Asian Corporate Governance Association, Mandatory Provident Fund Schemes Authority, Securities and Futures Commission, Hong Kong Trade Development Council, Hong Kong Retirement Schemes Association, Hong Kong Institute of Certified Public Accountants, and Investor Education Centre. Her public service roles include the Independent Commission (on Remuneration for Members of the Executive Council and the Legislature, and Officials under the Political Appointment System of the HKSAR), Pamela Youde Nethersole Eastern Hospital, and Our Hong Kong Foundation s Business for Social Good Platform. Her previous public service includes the Minimum Wage Commission, Hospital Authority, Women s Commission, and Community Investment & Inclusion Fund. She was bestowed the Bronze Bauhinia Star (BBS) by the Government of Hong Kong. She is the first woman to win the Director of the Year Award in the Private Companies, Executive Director category from The Hong Kong Institute of Directors. She was named Professional of the Year in the Women of Influence Awards 2010 co-organised by the American Chamber of Commerce in Hong Kong and the South China Morning Post. Ms Lau holds an MBA from Cornell University. She also completed an Executive Leadership Programme in Global Finance of the Institute of Global Economics and Finance at the Chinese University of Hong Kong. She possesses extensive banking and finance experience in the pension and funds industry; mortgage securitisation; global investment, trust/custody services and securities operations; risk management and compliance; and investment banking.

20 Rahul Bhasin Managing Partner Baring Private Equity Partners India Gurgaon Rahul Bhasin is the Managing Partner of Baring Private Equity Partners India and a Senior Partner and Global Board Member of Baring Private Equity Partners (BPEP) International. Mr Bhasin is also a member of the Investment Committee at Baring Vostok Capital Partners and has been an advisory board member of the ING group in India. He has served on the boards of various companies funded by Baring in India partnering with the entrepreneurs and senior management for building and growing their businesses. Previously, as Chairman of Mphasis BFL, he oversaw its transformation from a loss-making company with US$6m revenue to a profit making company with US$1 billion in revenue. Prior to Baring, Mr Bhasin was part of the global asset allocation committee at Citibank in London. He has actively invested in and managed funds across various asset classes including equity, currency and derivatives in Latin America, Eastern Europe, Russia, Asia and India. Prior to moving to London, Mr Bhasin was the youngest Independent Treasurer at Citibank, managing the treasury business for Northern India. He has been a public spokesperson on matters of economic policy and administrative efficiency, and has given guest lectures at several educational institutions including The Wharton School, Harvard University, and the Indian Institute of Management, Ahmedabad. 21 Amit Tandon Managing Director Institutional Investor Advisory Services Mumbai Amit Tandon is the founder and managing director of Institutional Investor Advisory Services (IiAS). Before this he was the managing director and CEO of Fitch Ratings in India. Mr Tandon took over as CEO of Fitch Ratings in October 2001 and worked there for 10 years. Prior to joining Fitch, he was with the Industrial Credit and Investment Corporation of India Group (ICICI) for 17 years, where he rotated through various roles and businesses including as head of investment banking at ICICI Securities. IiAS is a SEBI-registered research firm, dedicated to providing participants in the Indian market with independent opinion, research and data on corporate governance issues as well as voting recommendations on shareholder resolutions. Mr Tandon studied economics at St Stephens College, Delhi, and has an MBA from the Faculty of Management Studies, Delhi. He also holds a Master of Philosophy from the University of Cambridge. He was a member of the Kotak Committee on corporate governance.

22 VR Narasimhan Chief Regulations National Stock Exchange of India Mumbai VR Narasimhan is the Chief of Regulation at the National Stock Exchange of India (NSE). In his current role, he oversees listing compliance and corporate governance in listed companies, examination of trading members and market surveillance. A two-pronged policy of compliance capacity building and strict enforcement is adapted by the NSE to achieve better compliance by listed companies. Dr Narasimhan was part of a core team that set up the first securities depository in India, The National Securities Depository Limited (NSDL), and has played an invaluable role in spreading the concept and culture of dematerialisation among listed companies and investors in India. He also worked with the Securities and Exchange Board of India (SEBI) before joining NSDL. In his 35-year career, he has worked as group compliance officer for capital markets for a significant financial conglomerate in India, head of compliance with a mutual fund in India, Manager (Finance) with a development finance corporation and also worked as an advisor (finance) in the Department of Public Enterprise with a state government. Dr Narasimhan is a company secretary and holds a Master of Business Administration (Finance) and a Doctor of Philosophy (Mutual Fund Regulations).

23 Bin Zeng Researcher Shenzhen Stock Exchange Shenzhen Bin Zeng joined the Shenzhen Stock Exchange (SZSE) in September 2013 as a post-doctoral researcher and became a formal senior researcher in His primary responsibilities include research for the SZSE Corporate Governance Centre, and covering front-line securities regulation and corporate governance both in academic and practical fields. He is the primary author of two SZSE annual reports: CG Report and Securities Violation and Administrative Sanction Report. As a member of the working group for revision of the Corporate Governance Code in China, Dr Zeng is an active participant in the wider discussion of legislative reform and international cooperation in the field of corporate governance and securities regulation. He is also a research member of the World Federation of Exchanges SME Working Group focussing on family businesses. He is a lecturer at Independent Director and Corporate Secretaries Certification Training and supports academic research of corporate governance. He was a senior consultant to the Corporate Governance Association of Shenzhen in 2016 and has published more than 30 articles in journals and media both in China and abroad. Dr Zeng s research interests include corporate governance, securities regulation and company law. He holds a bachelor s degree in economics and a master s and doctoral degree in Law and Economics from the China University of Political Science and Law. In 2011 he passed the National Legal Exam. He was a Visiting Scholar at Hamburg s Max- Planck Institute for Private and Comparative Law in He was certified as a High-level Personnel in Shenzhen in 2016.

24 Vincent Poizat Senior Manager, Risk Advisory Deloitte Touche Tohmatsu Tokyo Vincent Poizat leads Deloitte s global mergers and acquisitions (M&A) governance advisory practice. Services include advising clients on the corporate governance aspects of transactions, including M&A risk management, deal review and approval processes, board training and post-m&a group governance. Mr Poizat is responsible for the development of such services as well as their marketing and delivery globally. He is an experienced M&A advisor, based in Japan, with 17 years of experience in cross-border deals throughout Asia. Prior to rejoining Deloitte in 2015, he spent six years in Singapore, first with Deloitte Singapore, then with ING Bank and finally with Asia Principal Partners, an M&A advisory boutique he co-founded. Before Singapore, he spent nine years in Japan advising on M&A transactions. He has worked on transactions mostly for Japanese and Asian clients throughout Asia, Europe, the US and Australia in a variety of sectors including natural resources, manufacturing, technology, consumer business and services. He has also advised major western companies acquiring businesses in Japan. Mr Poizat holds a Master of Science (Engineering) from the University of Liege and an MBA from the CASS Business School of London. He is an MAS licensed corporate finance advisor in Singapore.

25 Nana Li Project Manager Asian Corporate Governance Association Hong Kong Nana Li joined ACGA in February 2014 as a research analyst and was promoted to Project Manager in Her primary responsibilities include researching corporate governance developments in Hong Kong and China, covering these markets for the bimonthly members newsletter, Asia Regional Briefing, and assisting with other specialised financial- and accounting-related research for ACGA. She is the primary author of the China and Hong Kong chapters in CG Watch 2016, and is the project manager of the new China Corporate Governance Report. She supports the association s advocacy and educational work. She has given presentations to the ACGA Spring and Autumn Members Briefings over the past two years. In 2017, she gave speeches at the Shanghai and Shenzhen stock exchanges and at seminars organised by the Shenzhen Asset Management Association. Ms Li assisted with the organisation of ACGA s annual conferences in Hong Kong, Malaysia and Japan as well as member delegations to China, Indonesia, Japan and Korea. She was also a primary organiser for the 2017 China Responsible Investment Forum in Tianjin, the first event ACGA has co-organised with the Asset Management Association of China and China Association for Public Companies. A native of Hangzhou, she holds a Bachelor of Commerce from the University of New South Wales and a Master of Finance from the University of Hong Kong. In August 2017, Ms Li became a CFA charterholder.
