1 Frisco Gold Mine The Frisco Gold Mine project is an open pit mine with a heap leach process. It is located in North West Arizona, USA. It is a small project, with a preliminary resource estimate of 400,000 MT of ore with an average value 0.05g/MT Au, and an anticipated mine life of 2 years. This project is being developed and managed by a world-class team with a substantial track record of past successful projects. The Company is seeking to raise $6,000,000 USD ($6 million U.S. Dollars). The funds are for construction of the facilities and mine development. The project timeline is a total of 2 years. Mine start-up, including construction of the leach pad and mining of the first section of ore, is anticipated to take 8 months.

3 Past Project - Moss Gold Mine The most recent project for this team is the Moss Mine, a gold & silver deposit, owned and operated by Northern Vertex Mining Corp. 5 The Mining Management Team A world class management team that specializes in mining has been brought together to complete this rare gold mine opportunity. They are some of the best in the world at what they do, and they are capable of putting this mine into operation quickly and efficiently. L. J. (Joe) Bardswich, P. Eng. Joe Bardswichwas born in the Creighton Mine townsite in Ontario and continued in the family tradition of mining & mining engineering. He obtained his Master s degree in mining engineering from McGill University while working summers in the Sudbury area mines. After graduation, employment with major nickel companies, INCO & Falconbridge, was followed by contracting work in the mining, heavy civil and road construction industries and subsequently, assignments as a mining consultant. Major clients have included Hemlo Gold, Teck Corporation, Noranda, Placer Dome, Barrick, Governments of Canada, Ontario,& Montana and several junior mining companies. Geographically, assignments were undertaken in Canada, the western United States, Scotland, Zimbabwe and Mali. Small mine gold/silver expertise was gained while playing a major role in the start-ups of the Portland open pit/heap leach mine in Mohave County, Arizona, the underground Drumlummon Mine in Montana and the open pit Moss Mine in Mohave County, Arizona. Joe is a registered professional engineer in the Province of Ontario, is a Life Member of the Canadian Institute of Mining & Metallurgy, and is active in the Arizona Mining Association. Joe resides in Bullhead City, Arizona. Robert (Bob) I. Thompson, PhD, P.Eng. As Chief Geologist for Northern Vertex Mining Corp. (TSX- V:NEE; ) Bob Thompson helped fast-track the Moss gold deposit to a production decision. During that time he also managed exploration at the Lemhi Deposit in central Idaho, and spearheaded exploration at the Copley gold property in central British Columbia.

6 As President and co-founder of RIT Minerals (RITM) Corp. he has provided exploration advice and services to numerous junior exploration companies in British Columbia, western United States and Mexico. He serves on the Board of Directors of First Americas Gold Corporation. As independent explorer, Bob and his partners have made two new (stratabound) zinc discoveries in the Monashee Mountains of southern British Columbia the 1 st new significant discoveries in more than 30 years. And, as Research Scientist with the Geological Survey of Canada, he was responsible for the design and implementation of regional, multidisciplinary geological programs investigating resource endowment in Yukon, Alberta and British Columbia. He acted as advisor (Director General) to the Deputy Minister of Energy, Mines and Resources, Canada, and worked as a consultant with the Bolivian National Petroleum Corporation under the auspices of PCIAC (PetroCanada International Aid Corporation). He is a past recipient of the R J W Douglas Medal, awarded annually by the Canadian Association of Petroleum Geologists and won a silver medal in cycling at the World Masters Games in Edmonton, Alberta. Dr. Thompson earned a PhD in geology from Queen s University, Kingston, Ontario. Renée Hetherington, MBA, PhD Renée Hetherington obtained a BA in business and economics from Simon Fraser University in 1981; an MBA from the University of Western Ontario in 1985; and an Interdisciplinary PhD (Anthropology, Biology, Geography, and Geology) from the University of Victoria, British Columbia, in She was awarded a Canadian National Science and Engineering Research doctoral fellowship for her work reconstructing the paleogeography and paleoenvironment of the Queen Charlotte Islands/HaidaGwaii. The Canadian Social Sciences and Humanities Research Council subsequently awarded her a postdoctoral fellowship for her research relating climate

7 change to human evolution and adaptability over the last 135,000 years. She was co-leader of the United Nations International Geological Correlation Program project 526, Risks, Resources, and Record of the Past on the Continental Shelf from 2007 to2011. She is CFO and director of RITM Corp., a natural resource and management consulting company. She ran for office as a Member of the Canadian Parliament in 2011 and is currently member of Shadow Caucus with the Federal Liberal Party of Canada. Renée is coauthor (with Robert Reid) of The Climate Connection (Cambridge University Press, 2010) and author of Living in a Dangerous Climate (Cambridge University Press, 2012). She lives with her family on Vancouver Island. Tri R Construction (Paul & Debbie Hurns) Paul Hurns has more than 40 years of experience in the construction industry, having specialized in aggregate crushing and screening operations in sand & gravel pits and quarries in Arizona, California, Nevada and Oregon. Additional activities included road construction, major excavating projects and heavy civil construction. In 1990, Debbie and Paul Hurns teamed up and in the next 14 years built Tri R Construction into the premier aggregate supplier in the Colorado River/tri-state area of Arizona, Nevada and California. By 2004 the company had grown to 75 employees, with 35 trucks, a large equipment fleet and 3 major pit/quarry/crushing operations when the major assets were sold it to a large national corporation. They retained a small nucleus of productive employees and continued to operate in the tristate area, doing projects of their choosing, including the mining and coarse crushing for Phase I of the Golden Vertex Corp. Moss Mine. Major clients in the past 25 years include: Kiewit Construction, Granite Construction, Pulice Construction, Frehner Construction, Las Vegas Paving, PCL Construction, CDM Smith, Weis Builders ( excavation of 1,000,000 cy of material for a Walmart Supercenter), Arizona Pipeline, McCormick Construction, El Paso Natural Gas Co., FNF Construction and Federal, State, County and Municipality governments.

8 Randy Huffsmith, P.E., BCEE Randy Huffsmith has worked or consulted for mining companies for more than 25 years. His career began in Wyoming, researching reclamation technologies for coal projects and obtaining his Masters degree in Engineering at the University of Wyoming. Randy moved to Montana in the 1980 s where he worked for ASARCO, completing engineering projects at mines and smelting facilities. He has worked in a consulting capacity on projects for companies such as Newmont Mining Corporation, Barrick Gold Corporation, Teck American Inc., Rosemont Copper Company and numerous other clients in the Western U.S. and in South and Central America. Randy has directed engineering teams supporting new projects and operations with values in excess of $1B and has lead many multidiscipline teams in all phases of mining from concept through closure. Randy is a Professional Civil Engineer and is also Board Certified by the American Academy of Environmental Engineers. Randy is currently a Vice President and U.S. Mining Sector Leader for Amec Foster Wheeler, Environment and Infrastructure, Inc.
