1 Illinois Central College Open Session of the Regular Meeting of the Board of Trustees Minutes, 5:00 p.m. ICC East Peoria Campus, Founders Room (211A) At 5:00 p.m., Chair Thetford called the regular meeting to order and asked Trustee Davis to lead the audience in the Pledge of Allegiance. Chair Thetford asked the secretary to call the roll, and Carl Cannon, Kelly Daniels, Paula Davis, Michael Everett, and Gale Thetford were present. Student Trustee Isaac Jones, Diane Lamb, and Frank Mackaman were absent. Trustee Mackaman observed by phone but did not participate in the meeting. Recognition Dr. Quirk-Bailey stated that ICC is the proud recipient of the Title III grant for $2.7 million and introduced Dr. Laura Friesenborg, associate vice president of institutional effectiveness to report on the Title III grant. Dr. Friesenborg stated that the members of the Title III team are Dr. Rita Ali, Dr. Friesenborg, David Burke, Karhmen Feurtado, Brad Finley, and Dr. Jennifer Swartout. This grant will be aligned with ICC s technology plans timeline. Hearing of Citizens No comments from citizens. Conflict of Interest None. Consent Agenda Chair Thetford asked if any Trustee wished to pull an item from the Consent Agenda, and there was no response. Trustee Everett moved to approve the Consent Agenda as presented, including Minutes of the Open Session of the Regular Monthly Meeting on October 18, 2018, Minutes of the Closed Session of the Regular Monthly Meeting on October 18, 2018, and Minutes of the Open Session of the Special Board Retreat on October 20, 2018; Personnel Recommendations; Purchase Recommendations; and Monthly Bills for October 1-31, 2018, including Conference and Meeting Expenses. 3 Chair Thetford requested a roll call vote to approve the Consent Agenda, and the following Trustees responded Aye : Kelly Daniels, Paula Davis, Michael Everett, Gale Thetford, and Carl Cannon. Nay : None. Absent: Student Trustee Isaac Jones, Diane Lamb, and Frank Board of Trustees Chair Reports Announcements Chair Thetford stated that she made a reservation at the Culinary Institute for November 28 at 11:10 a.m. for three people. She cannot attend and wondered if any Board member would like to take the reservation. Trustee Cannon agreed to take the reservation. Chair Thetford stated that because the December Board meeting falls so close to the holiday, she would like the Board members, cabinet and their significant others to stay after the December 20 meeting and have a dinner. Chair Thetford stated more details will follow. Diane Lamb entered the meeting at 5:07 p.m. ICCTA Report Chair Thetford stated that Trustee Davis attended the ICCTA meeting on Friday, November 9, and asked her for a report. Trustee Davis stated that the meeting was in Lisle. She attended a roundtable, which had good conversation on several questions, such as, how the Boards interact with the student body, and how community colleges work with the trades in Illinois. After lunch, Robbins Schwartz presented information on Freedom of Information Act, Open Meetings Act, ethics, and pension and the 3% cap. It was a worthwhile conference to attend. Chair Thetford thanked Trustee Davis for attending. Legislative Report Trustee Everett thanked Valerie Welsh for providing this update. The General Assembly is back in Springfield today, November 13 through November 15 and again November 27 through November 29 for the Veto Session. During this session, they will address some of the 78 bills outgoing Gov. Bruce Rauner vetoed over the summer. Trustee Everett stated that all area incumbents, with the exception of Gov. Rauner, were re-elected to office. Trustee Everett stated that he attended the Educational Foundation Board meeting on November 14. This was the first meeting for some of the new members on the Foundation Board. Campus Housing occupancy is at 89%. A tour was given of Campus Housing and the group was shown the upgrades/maintenance being made to the facility. Trustee Lamb asked how the upgrades/maintenance are being paid for. Bruce Budde stated that these upgrades/maintenance items are budgeted on an annual basis from the operations of the facility. 3 ICC Board of Trustees Meeting Open Session Minutes

4 Trustee Lamb asked if any of the Board members were planning to attend the ICCTA teleconference, if not, she offered to attend. Chair Thetford stated that Trustee Lamb can then report at the December meeting. Student Trustee Report Dr. Quirk-Bailey stated that Student Trustee Jones could not attend tonight because of a family commitment, but wanted to apprise the Board that December will be Student Trustee Jones last meeting as he will transferring to a fouryear institution in January. As per the procedure in the student handbook, a replacement will be decided and sworn in at the December meeting. Student Trustee Jones also will be honored at the December Board meeting. President s Report Dr. Quirk-Bailey asked Dr. Ken Mellendorf to come to the podium. Dr. Mellendorf was selected by Stanford University for exceptional teaching. A former student, Jason Spyres, nominated him. Dr. Mellendorf was one of three faculty in the nation to be recognized by Stanford. An excerpt of Jason s nomination was read. Dr. Mellendorf stated that Jason was an excellent student and he brought himself up from very difficult circumstances and did well in his class. Watching Jason grow was a wonderful experience. Chair Thetford congratulated Dr. Mellendorf on this recognition. Dr. Quirk-Bailey asked Dr. Jill Wright to come to the podium. Dr. Wright was awarded the five-star advisor level for Phi Theta Kappa, which is the highest level of performance. Dr. Wright stated that this has been an amazing experience and it is an honor to work with these students. Dr. Quirk-Bailey mentioned that Eureka College is offering a program called Uniquely Eureka Promise, which offers qualifying transfer students an opportunity to obtain a bachelor s degree. The promise will cover the base tuition charge for incoming transfer students for four semesters who are Illinois residents and meet the academic and financial aid requirements of the promise. ICC students involved in Peoria Promise can then go to Eureka. Dr. Quirk-Bailey is very proud of the relationship with Eureka College. Dr. Quirk-Bailey stated that ICC is working on a dual degree program for high school students. No agreements have been signed but she wanted the Board to know that it is in process. Dr. Quirk-Bailey mentioned that in honor of Veterans Day, she would like to tell the Board about one of ICC s student veterans whose service aptly illustrates ICC s Veterans Day ceremony theme of sacrifice, which she related this students story during the celebration last week. In April 2007 at 18 years old, Jonathan Powell was unsure what he wanted to do with his life but felt a duty to serve in the armed forces in some way. Serving was in his blood, after all, his grandfather was an airman, and his father had been a marine. Jonathan was married with a 9-month-old daughter at the time. He knew if he joined then, he would most likely miss his daughter s first birthday. Nonetheless, the duty to serve was strong, and Jonathan left home on April 7, 2007, to complete basic training at Fort 4 ICC Board of Trustees Meeting Open Session Minutes

5 Leonard Wood in Missouri, where he enlisted as a Medic. From there, he moved on to Fort Sam Houston in Texas, and spent six months training. He did, indeed, miss his daughter s first birthday. He was assigned in November 2007 to Wiesbaden, Germany. Jonathan was just 18 years old, in a foreign country, and away from his family. These were difficult times, to say the least. His personal sacrifices deepened when, in January 2008, he was then deployed in support of Operation Iraqi Freedom with the 1 st Armored Division. There he served 11 months in Iraq. When he returned to Germany in December 2008, Jonathan again found himself a soldier, single, and in a foreign country, with no one to welcome him home, except for his friends. In November of 2009, he was once again deployed to Iraq for 12 months and would return in December of While deployed, Jonathan again missed all the important milestones and experiences a normal father or even a normal 19 or 20-year-old college student might take for granted, but his service and sacrifice did not end there. While still deployed in Iraq, Jonathan re-enlisted at Fort Campbell, in Kentucky, in an effort to be closer to home and his family. Jonathan did return to the United States in April of 2011, but his service to our country and his sacrifices continued. He was once again deployed, this time to Afghanistan with the 101 st Airborne Air Assault Division. He served there from November of 2012 until July of Jonathan is now remarried and lives in Washington, Illinois. He plans to transfer to the University of Illinois to major in Business Management when he completes his degree at ICC. His story is just one of many. ICC is proud to have 76 employees who are veterans on staff and about 250 student veterans. Treasurer s Report: Trustee Davis moved to approve the Treasurer s Report as presented, and Trustee Cannon seconded the motion. Bruce Budde, treasurer and executive vice president of administration and finance, gave an update on the first four months of FY Revenues are lower than expected because of the timing of payments from the State and lower than budgeted enrollments. Real estate taxes are being received faster than in previous years and interest rates are higher than budgeted. Overall expenses are favorable and are expected to trend on budget. Despite lower than budgeted enrollments, the College does not anticipate any decline in the Fund Balance at the end of FY Fund Balance is anticipated to be $24.6 million or 43% of operating expenses. Chair Thetford stated that, since there was no further discussion, she requested a requested a roll call vote. 6 Informational Item Faculty Seniority List (first reading) Chair Thetford introduced Dr. Emmanuel Awuah, vice president of academic affairs, and Michelle Bugos, associate vice president of human resources to report on Faculty Seniority List. Dr. Awuah stated that the Faculty Forum has vetted the list compiled in human resources. The list truly reflects the departments to which the faculty are assigned and their number of years. Discussion followed on whether temporary fulltime status is included in the service. Michelle Bugos stated that as long as there was no break in service, it would be included. Chair Thetford stated that the Faculty Seniority List will be voted on at the December Board meeting. Action Item 7.1 Resolution ICCB Special Tax Levy Pursuant to 110CS 805/ (second reading) Trustee Davis moved to approve Resolution No that supports a supplemental increase to the College s operating levy as certified and approved by the ICCB. ICC is eligible to levy at a combined educational and operations and maintenance purposes rate up to and including cents per $100 of equalized assessed valuation. The resolution will be published, and the appropriate 30-day public notice will be given. Absent: Student Trustee Isaac Jones and Frank Action Item 7.2 Resolution Protection, Health & Safety Energy Conservation Projects (second reading) Trustee Davis moved to approve Resolution for projects (11) scheduled on the East Peoria and Peoria Campuses that qualify for protection, health and safety funds. Absent: Student Trustee Isaac Jones and Frank Action Item 7.4 Semi-Annual Review of Closed Meeting Minutes In accordance with legislation, the minutes of the College s Closed Executive Committee meetings have been reviewed and a determination made as to whether these minutes should be maintained as closed or opened for public review. After review of the minutes January through June 2018, as well as all minutes currently closed, by the Chair and Vice Chair of the Board, Administration, and the College s legal counsel, Trustee Everett moved that all closed session minutes remain closed with exception of January 18, Trustee Davis seconded. responded Aye : Carl Cannon, Kelly Daniels, Paula Davis, Michael Everett, Diane Lamb, and Gale Thetford. Absent: Student Trustee Isaac Jones and Frank Action Item 7.5 Destruction of Verbatim Recordings In accordance with Section 2.0 of the Open Meetings Act (5 ILCS 120/2.06), verbatim recordings of closed meetings may be destroyed after 18 months providing the Board approves the destruction of the recordings, and the Board has approved written minutes of the closed meetings which include date, time, location of meeting, the members of the Board of Trustees present or absent, and a summary of discussions. Trustee Everett moved to authorize the destruction of verbatim recordings for December 15, 2016, January 19, 2017, February 16, 2017, March 16, 2017, and April 27, Trustee Daniels seconded. responded Aye : Kelly Daniels, Paula Davis, Michael Everett, Diane Lamb, Gale Thetford, and Carl Cannon. 8 Chair Thetford stated that she and Trustee Everett met with Sue prior to the meeting and welcomed her to the College. She is grateful that Alaina is available to mentor Sue. Trustee Everett moved that the Board of Trustees conduct a closed session to discuss litigation when an action against, affecting, or on behalf of the particular public body has been filed and is pending before a court or administrative tribunal or when the public body finds that an action is probable or imminent (Section 2(c)(11) of the Open Meetings Act); to discuss collective negotiating matters between the public body and its employees or their representatives, or deliberations concerning salary schedules for one or more classes of employees (Section 2(c)(2) of the Open Meetings Act); to discuss the appointment, employment, compensation, discipline, performance, or dismissal of specific employees (Section 2(c)(1) of the Open Meetings Act); and to discuss the setting of a price for sale or lease of property owned by the public body (Section 2(c)(6) of the Open Meetings Act); Trustee KD seconded the motion. Chair Thetford requested a roll call vote, and the following Trustees responded Aye : Carl Cannon, Kelly Daniels, Paula Davis, Michael Everett, Student Trustee Isaac Jones (advisory vote), Diane Lamb, Frank Mackaman, and Gale Thetford. Nay : None. Absent: None. The motion passed. Dr. Quirk-Bailey asked Bruce Budde, Dr. Awuah, and Michelle Bugos to remain for the closed session. All other guests and staff members were excused.
