I. President Jerry Ragsdale called the meeting to order at 5:00 p.m. II. Students of the Transition Center led the group in reciting the Pledge of Allegiance. III. CITIZEN PARTICIPATION None. IV. MINUTES V. FOR ACTION Mrs. Cindy Gansen moved the Board of Education approve the Minutes of the Regular Meeting of October 27, Dr. Paul Newman seconded the motion. The motion carried unanimously. A. Approve Agenda Dr. Lisa Hagel requested to addition of Contract Addendum as item Q to the agenda. Dr. Paul Newman moved the Board of Education approve the Agenda with the addition of item Q. Mr. Dale Green seconded the motion. The motion carried unanimously.

Welcome Receive Transition Center Report and Highlights Principal Jeanne Quinlan provided the Board of Education with a brief report on the Transition Center and highlights of the Center s programs. Ms. Quinlan was available to answer questions. A PowerPoint displaying program highlights was presented. Mrs. Cindy Gansen moved the Board to accept the Transition Center Report and Highlights. Mr. Lawrence Ford seconded the motion. The motion carried unanimously. C. Authorize November Bills Payable Upon Review of Board Treasurer The Genesee Intermediate School District Board of Education scheduled its regular November meeting early due to the Thanksgiving recess. As a result, only one meeting, the November 10, 2014 meeting, was scheduled. At the time the board approved the meeting schedule, it was indicated that special action would be necessary to authorize the payment of November bills. Mr. Dale Green moved the Board that administration, upon review of the board treasurer, be authorized to process November bills payable and issue checks. The Board of Education, as an official body, will approve November financial reports in December. Mrs. Cindy Gansen seconded the motion. The motion carried unanimously. D. Michigan Special Needs Team Safety Roadeo On October 11, 2014, the Genesee Intermediate School District Transportation Services Department participated in the 8 th Annual Michigan Special Needs Team Safety Roadeo in Lansing, taking 17 bus teams and 10 volunteers to the event. In addition to the competition, the annual roadeo focuses on hands-on opportunities for driver/aide teams to learn new safety procedures, equipment and materials. GISD transportation team Dawn Wineman, Bus Driver, and Karolyn Habbershaw, Transportation Aide, placed second in the event. Dawn has been driving for the district since 2001, and Karolyn has worked as an aide since They were also place winners as a team in The annual Roadeo is sponsored by the Michigan Association for Pupil Transportation, Special Needs Transportation Committee. Mrs. Cindy Gansen moved the Board of Education recognize Dawn Wineman and Karolyn Habbershaw for their award and all Genesee Intermediate School District participants at the annual roadeo. Mr. Dale Green seconded the motion. The motion carried unanimously. E. Transportation Consortium Update Mr. Chad Sexton, Director of Transportation Services, presented an update on the Transportation Consortium, including costs, bus inventories and inspections, budget, general operations, staffing and related information. Mr. Chad Sexton was present to answer questions from the Board. Mr. Dale Green moved the Board of Education accept the Transportation Consortium update. Dr. Paul Newman seconded the motion. The motion carried unanimously.

3 F. Receive Story of Compassion The theme of this year s Fall Workshop embraced Our Story. As part of our story, Mrs. Mary Behm, and Dr. Lisa Hagel began the presentation portion of the morning with the Story of Continuous Improvement. At Board of Education meetings, we will continue to share these stories with the Board of Education. The story presented at the November 10, 2014, Board of Education meeting was The Story of Compassion. Mrs. Cindy Gansen moved the Board of Education receive the Story of Compassion. Mr. Dale Green seconded the motion. The motion carried unanimously. G. Consider Requests to Employ Current vacancies for the school year are being posted by Human Resources staff as they occur. The following recommendations for employment were made. Successfully completed special education student teaching at Zilwaukee School in 2004 and elementary education student teaching at McGregor Elementary in Bay City in Worked from 2001 to 2002 as LRE aide at National Heritage Academies in Saginaw.

State of Tennessee Apprentice Teacher certification in elementary education and special education of the deaf and hard of hearing; expires 8/31/2019. Currently employed as a long-term substitute teacher at the Michigan School for the Deaf for high school English and language arts. Completed student teaching in at the Michigan School for the Deaf, Tennessee School for the Deaf, and A. L. Lotts Elementary School (general education). Mr. Lawrence Ford reported that the Personnel Committee met to review the recommendations and moved the Board of Education approve the requests to employ as listed. Dr. Paul Newman seconded the motion. The motion carried unanimously. H. Accept Resignations Letters of resignation were received as follows: Kathryn Bartlett Name/Position Date of Hire Effective Date of Resignation Licensed Practical Nurse, Elmer A. Knopf Learning Center Ellen Leffler Instructor for Therapeutic Services, Genesee Career Institute 8/28/06 12/31/14 Resigned by letter for the purpose of retirement effective 1/1/15; Kathryn was also employed from 1994 to 1996 for a total of 10 years of service. 8/26/13 11/14/14 Resigned by letter to focus on charitable work in future endeavors. Mr. Lawrence Ford reported that the Personnel Committee met to review the resignations and moved the Board of Education accept the resignations as noted above and that

5 Kathryn Bartlett receive appropriate retirement recognition for her service to students and parents of the Genesee Intermediate School District. Dr. Paul Newman seconded the motion. The motion carried unanimously. I. Consider First Reading of Board Policy The Genesee Intermediate School District does not have a board policy on post-issuance compliance for tax-exempt obligations required by the Internal Revenue Service (IRS). As a result of our bonds for improvement of GCI, our next step is to adopt a new policy ensuring the Genesee Intermediate School District preserves the tax-exempt or tax credit status and complies with federal income tax laws. Additionally, GISD is required to develop Administrative Guidelines which assist in keeping the organization in compliance with federal law. The proposed Administrative Guidelines are attached. Finally, the current approved borrowing policy is also included for supplemental information. We are recommending the board discuss and approve draft policy 6146 as a first reading to meet the federal requirements. Mrs. Cindy Gansen reported that the Policy Committee met to review draft policy 6146 and moved the Board of Education approve the first reading to meet the federal requirements. Mr. Lawrence Ford seconded the motion. The motion carried unanimously. J. Consider Purchase of Property Located at 5129 Torrey Road, Flint, Michigan With the purchase and renovation of Genesee Career Institute, formally (GASC Technology Center) we are recommending the purchase of the 1 acre of property and partial home located at 5129 Torrey Road, Flint, Michigan. The home is currently in the front yard of GCI. The current SEV is $25,400. The homeowner was asking $62,000 for the home and property. After negotiating the possible purchase, the two parties have agreed upon an offer of $50,000 plus closing costs. The property will be purchased with CTE capital funds. We are recommending the board support the purchase of this property and home. Mr. Dale Green reported that the Finance Committee met to review the purchase of the property located at 5129 Torrey Road, Flint, Michigan, and moved the Board of Education support the purchase of this property and home. Mrs. Cindy Gansen seconded the motion. The motion carried unanimously. K. Receive Memorandum of Understanding with the REMC Association of Michigan Genesee Intermediate School District, on behalf of the Greater Michigan Education Consortium (GMEC), applied for grant funding under the Data Service Collaborative (DSC) activity of the Technology Readiness Infrastructure Grant (TRIG). The consortium received approval for funding for 17 projects that will occur with ISDs across our region. One project involves all ISDs in our region collaborating with the REMC Association of Michigan. This collaboration will take the SPOT tool that has successfully been used to leverage a statewide bid for devices (desktops, laptops and tablets) and now use this tool to create statewide bids for software. The project will require two to three bids be done this school year using the SPOT tool. This project has the goal of reducing costs to local districts in our region and across the state for common software packages that are being purchased. Another goal of the project is to build in sustainability for the future so that

6 after the first year, REMC can continue to bid these products for the State of Michigan using the SPOT tool. The Michigan Department of Education and Kalamazoo RESA (which is the fiscal agent for the entire DSC Project) approved all 17 of our projects, including our collaboration with REMC. The REMC collaborative project is not to exceed $93,000 and will be completely funded using grant funds from TRIG. In order to start the collaboration, it was recommended we sign a memorandum of understanding with the REMC Association of Michigan, which outlines the scope of work and indicates that the total cost is not to exceed $93,000. Mr. Dale Green reported that the Finance Committee met to review the Memorandum of Understanding and moved the Board of Education approve the Memorandum of Understanding with the REMC Association of Michigan. Mrs. Cindy Gansen seconded the motion. The motion carried unanimously. L. Consider Interagency Cash Transfer Agreement Each year our local districts and the ISD are required to provide transition services to graduating students and continuing adults with special needs. These transition services help to prepare special needs students for a successful employment experience. To assist in this process the county superintendents and Genesee Intermediate School District enter into an agreement with Michigan Rehabilitation Services (MRS) which provides an opportunity to receive a double cash match of Federal Funds. Mr. Dale Green reported that the Finance Committee met to review the Interagency Cash Transfer Agreement and moved the Board of Education approve the agreement with MRS for $91,000 which generates $270,000 for county-wide transition services. Mrs. Cindy Gansen seconded the motion. The motion carried unanimously. M. Receive Memorandum of Understanding with Genesee Intermediate Educational Support Personnel Association for Dental and Vision Insurance Changes In the ongoing effort to provide affordable and consistent insurance coverage, the GIESPA/Board CAPSC Finance Subcommittee recently reviewed dental and vision coverage offered to members through SET SEG. Representatives of SET SEG assisted the committee in identifying self-funded coverage for dental insurance through ADN and for vision insurance through NVA and determined it is in the best interest of the members and the district to make the change effective December 1, Cost of coverage for dental and vision will continue to be paid in full by the district. Bargaining unit members voted favorably on the change in benefits on October 15, During November, members will receive formal notice of the plan benefits for dental and vision coverage effective December 1, 2014, and new benefit cards will be distributed to employees by the carriers.

7 Mr. Lawrence Ford reported that the Personnel Committee met to review the Memorandum of Understanding and moved the Board of Education accept the Memorandum of Understanding with the Genesee Intermediate Educational Support Personnel Association for changes in dental and vision coverage effective December 1, 2014, and acknowledge the change in carriers for administrators and supervisors. Dr. Paul Newman seconded the motion. The motion carried unanimously. N. Consider Human Resources Contract between Genesee Intermediate School District and Flint Public Libraries In the past, the Board of Education has approved contracts for use of space available through community partners. Flint Public Libraries has agreed to allow Genesee Intermediate School District access to the premises and designated rooms at no cost during regular and normal business hours of operation of Flint Public Libraries to conduct planned professional development or student training events. Mrs. Cindy Gansen moved the Board of Education approve the Human Resources and Operations Contract with Flint Public Libraries. Mr. Lawrence Ford seconded the motion. The motion carried unanimously. O. Consider Date and Location Change of February 24, 2015, Board of Education Meeting In order to visit various facilities and programs within Genesee County School Districts, the Board of Education may consider changing the date of its February 24, 2015, meeting to February 18, 2015, and the location to Genesee Community Schools. Dr. Paul Newman moved the Board of Education change the date and location of the meeting scheduled for February 24, 2015, to February 18, 2015, at 5:00 p.m. to Genesee Community Schools. Mr. Dale Green seconded the motion. The motion carried unanimously. P. Accept Donations to GISD Programs The following donations were made to Genesee Intermediate School District programs. 1. Communications and Development Sam s Club 2. 8 Mrs. Cindy Gansen moved the Board of Education accept the donations and send letters of appreciation to the donors. Mr. Dale Green seconded the motion. The motion carried unanimously. Q. Contract Addendum As a result of numerous conversations at the Personnel Committee meeting and with the full Board, it was recommended that the Board of Education adopt the attached addendum to the Superintendent s contract. Mr. Lawrence Ford moved the Board of Education approve the addendum. Dr. Paul Newman seconded the motion. The motion carried unanimously. VI. FOR INFORMATION A. Committee/Liaison Reports Mr. Jerry Ragsdale reported on a Truancy Clinic. Mr. Lawrence Ford reported on a Safety Session Update. Dr. Paul Newman reported to the Board on the MASB Conference. B. Information Items from the Board Mr. Jerry Ragsdale updated the Board on Workforce Development. C. Legislative Communications None at this time. D.
