2 The corporate law department of the firm consists of four practice groups: mergers and acquisitions (including: MBOs and privatisations), reorganisations, capital market transactions and general corporate law. We work in specialised teams to meet the needs of each individual case. We offer our clients practical, efficient solutions in collaboration with internal legal departments, auditors, banks, investment banks and other transaction consultants in Germany and abroad. Mergers & Acquisitions (M&A) Rendering advice in the context of M&A transactions is one of the focal points of our corporate law department. Experienced lawyers help determine the optimum transaction structure, provide advice in the preparation and execution of due diligence reports and draft transaction agreements (SPA, APA). We negotiate contractual agreements and are experienced on structuring and designing the entire transaction process. Our lawyers offer competent support on all issues relating to MBOs/LBOs especially with regard to governance, remune ration models and exit strategies. REDEKER SELLNER DAHS have been working in the areas of privatisations and complex restructurings for the public banking and energy supply sectors for many years.

3 Our clients Reorganisations We provide comprehensive advice on all measures relating to corporate reorganisations such as mergers, split-offs or changes in the legal form of a company, especially with respect to labor and tax law issues. Capital Market Transactions The firm has advised on public tender offers and taking listed companies private, also as a result of block trades. General corporate law In the area of general corporate law we provide counsel in the structuring or restructuring of articles of association, disputes between shareholders, issues relating to corporate governance and notification obligations. We design and review agreements in the field of commercial and IT law (purchase and sale agreements, collaboration agreements, commercial agency and dealership agreements, license agreements).
