7 1 Equity Financing Our transac;on team has helped around 20 companies to conclude their equity financing transac;on with deal size over US$500 million each. The industry coverage of these companies includes Internet, communica;ons, educa;on, healthcare, consumer goods, retail, real estate and service industry. We serve our clients by iden;fying their business poten;al and highlights and help locate the most likely investors through our sophis;cated network. To conclude the transac;on, we assist clients in comple;ng financial models, valua;on work, business proposals and other financing documents, as well as due diligence on poten;al investors. 14 Corporate Reorganiza<on ValueLink offered advisory services to a major telecom service enterprise in Asia invested by Bri;sh Telecom for its internal reorganiza;on related transac;on. This enterprise provides telecommunica;ons and soyware system service outsourcing and opera;on & maintenance services to major state-owned enterprises such as China Mobile, China Telecom, Industrial and Commercial Bank of China, China Construc;on Bank and State Administra;on of Foreign Exchange, and numerous private enterprises. On such transac;ons such as the cash out on the part of minority shareholders and the Bri;sh Telecom, ValueLink assisted its major shareholders through deal valua;on, deal structure design and nego;a;on support. 18 John Zhang Co-Founder ValueLink Transac<on As a co-founder of ValueLink, Mr. John Zhang is mainly responsible for strategic planning, business development and human resource work for the transac;on department of ValueLink. Mr. Zhang was with Ernst & Young in his early career where he par;cipated in the audit work for the lis;ng of Industrial and Commercial Bank of China, Dongfeng Motor and some other large enterprises. He then moved to M&A advisory department of Deloi[e & Touche where he served renowned domes;c and foreign investment ins;tu;ons such as Blackstone, Warburg Pincus, CDH Investments, SoYbank SAIF and Northern Light Venture Capital as well as interna;onal enterprises such as Air China and Bertelsmann. He has over ten years of experience in top-;er industry leaders and par;cipated in equity financing and M&A with transac;on amount totalling over US$2,000 million. 19 Lily Li Partner ValueLink Transac<on Ms. Lily Li is a managing partner (Beijing) of ValueLink Transac;on. She is mainly responsible for project performance and business development of due diligence business in North China. In her career, she had been with the audit department of PricewaterhouseCoopers and the financial advisory department of Deloi[e & Touche. She joined Deloi[e & Touche (Beijing) Financial Advisory Co., Ltd. as a deputy director of the M&A transac;ons services department in 2006 where she took charge of and par;cipated in more than 60 financial due diligence and valua;on projects covering internet, B2C e- commerce, IT, fast-moving consump;on, manufacturing, energy, agriculture and other industries with clients including many well-known risk investment, private funds, state-owned enterprises, listed companies and mul;na;onal enterprises. From 2011 to 2012, she served as a manager for M&A transac;ons business in the Sydney office of Deloi[e & Touche in Australia. 20 Stephanie Shi Partner ValueLink Transac<on Ms. Stephanie Shi is a managing partner (Shanghai) of ValueLink Transac;on. She is mainly responsible for project management and business development of due diligence and financial advisory service line in East China. Ms. Stephanie Shi has over 11 years of experience in financial, audit and investment sector. She worked in PricewaterhouseCoopers and led a team to complete a series US lis;ng projects of China private firms. She then joined a fund under the Communist Youth League where she led a team to execute due diligence and post-investment management for many fund-invested porpolio companies and finally completed the project through lis;ng on the growth enterprises market. Before joining ValueLink Transac;on, she worked in Porsche and was responsible for the review on risk management and process management of Porsche Group in China. AYer the merger of Porsche and Volkswagen, the management and business model of the group changed from family business to listed enterprise. She is experienced in advisory services in various industries and served enterprises in industries such as new media, high technology, manufacturing, medicine, educa;on and fast-moving consumer goods. She focuses on services such as corporate lis;ng, background analysis & decision-making for investment, accounts clearing, designing internal control system and process op;miza;on.
