1 Little Free Libraries Public Art Project Call for Artists The Corporation of the City of Brantford is seeking community members to submit proposals to decorate a Little Free Library. The Little Free Libraries will be installed on municipally owned, publicly accessible property. A partner-led jury will select ten (10) artists through a process involving a visual proposal and a written statement. Award: $ per Little Free Library Please submit one hard copy of the completed Submission Form and Written Proposal (Appendix A) and Visual Proposal (Appendix B) by Sunday, June 11 at 4:00pm to: Arts & Culture Coordinator Brantford Visitor & Tourism Centre 399 Wayne Gretzky Pkwy. Brantford, ON N3R 8B4 Note: Incomplete or late proposals will not be considered. Note: Proposals may not be submitted by or facsimile transmission. Hand-written statements will not be accepted, but hand-drawn proposals are acceptable. Note: Supplemental information that is not requested as part of the proposal will not be reviewed. 2 1.0 Project Goals and Themes The Little Free Library in Brantford is a public art projected aimed at inspiring a love of reading, building community, and sparking creativity in Brantford. This project is a partnership between the City of Brantford, Brant Skills Centre, and Jono & Laynie Photo + Film. A Little Free Library (LFL) is a take a book, return a book exchange; there are over 50,000 registered LFLs worldwide across 70 countries. You may have noticed similar bird houses filled with books throughout the community. There are currently six registered LFLs in Brantford. This project is unique in that the City of Brantford Tourism Division is facilitating a juried competition to select community members to design and decorate the libraries as part of the City s Public Art program. The artist fee will be $ per LFL. The project proposes that two LFLs will be installed per Ward. The LFLs will be approximately 18 (W), 17 (H) and 15 (D) and will be installed at a height accessible to someone using a wheelchair. Some of the suggested themes for proposals include: Canada s 150 th birthday Your favourite literary authors/pieces/etc. Brantford s cultural and/or industrial heritage Note: Please be considerate of Canadian copyright law. Proposals that infringe on another artist s copyright (i.e. Winnie the Pooh painted on a LFL) will not be accepted. Proposals that incorporate advertising will also not be accepted. 2.0 Background Little Free Library is a non-profit organization that inspires a love of reading, builds community, and sparks creativity by fostering neighbourhood book exchanges around the world. Little Free Libraries are inspired by many different ideas, including Andrew Carnegie s support of 2,509 free public libraries (including Brantford s former Carnegie Library) around the turn of the 20 th century as a means of self-education and literacy. The first Little Free Library was built in The Libraries are a take a book, return a book free book exchange; anyone may take a book or bring a book to share. There are currently more than 50,000 registered Little Free Libraries worldwide, with 6 registered Libraries in Brantford. Through the Little Free Library program, millions of books are exchanged worldwide each year, significantly increasing access to books for readers of all ages. In 2016, the Brant Skills Centre received a grant from the Brant Community Foundation to build and install 10 Little Free Libraries throughout the City of Brantford, painted by local artists. The Brant Skills Centre requested that the City of Brantford fund the artist
3 fees for the project, through the Public Art Reserve Fund. Brantford City Council approved the request on April 24, Engaging local artists to adorn the exterior of the libraries, and asking the public to curate the changing content, contributes to a sense of ownership and pride in their community. This project will give more residents the opportunity to hone their love of reading and appreciation of art. It will also encourage exercise and promote accessible literacy throughout the community. 3.0 Sites The ten (10) Little Free Libraries will be installed outdoors on City property in locations that are easily accessible to the public. Each Ward in Brantford will have two (2) Little Free Libraries installed as part of this project. The chosen spaces will not be nearby local libraries or existing bookstores. Specific site locations will not be announced until fall Award Each Successful Artist will be awarded $ (including HST, if applicable) for the fabrication of each Little Free Library. The artist will receive the Artist Fee in September Eligibility City of Brantford employees are not eligible to submit proposals to this call. Jurors are also ineligible for submission. Artists under 18 years of age must have their parent or legal guardian sign all required documents on their behalf. 6.0 Submission Requirements 6.1 Submission Form and Written Statement (500 words maximum) Explain the visual components of the piece, and how it relates to the suggested themes (if applicable) and project goals in Appendix A. If your piece has a story behind it, please explain this briefly. Also, include information about the materials you intend to use, as well as estimated weight (if three-dimensional). 6.2 Visual Proposal Complete a visual mockup of your proposed Little Free Library design using the outlines provided in Appendix B. Please note that you may hand draw, or use your own design software to complete the visual proposal. Please note that all Little Free Libraries must be coated with a clear, epoxy coating to protect them from the elements.
4 7.0 Project Timeline Call for Artists: May 15 June 11, 2017 Proposals Due Sunday, June 11, 2017 at 4pm Jury Review Week of June 12-16, 2017 Artist(s) Notification Monday, June 19, 2017 Sign Agreement & Pick Up LFL June 19 26, 2017 Artist Production June 19 August 27, 2017 Drop Off Deadline Monday, August 28, 2017 Installation: By September 29, Jury In accordance with the City s Public Arts Policy, final selection of artists will be through a jurying process. City of Brantford staff is involved as a non-voting member and participates in an advisory capacity. 9.0 General Provisions 9.1 Artist Agreement The Successful Artist will be required to sign an agreement with the City of Brantford. Upon notification of winning the commission on June 19, 2017, the Successful Artist will have until June 26, 2017 to finalize and sign the agreement. If an agreement cannot be reached by this time, the City of Brantford reserves the right to cancel and issue the award to the next highest scoring artist. The Successful Artist will be expected to waive all copyright, including all moral rights. 11 Appendix C: Sample Artist Agreement PUBLIC ART PROCUREMENT AGREEMENT B E T W E E N : (the Artist ) -and- THE CORPORATION OF THE CITY OF BRANTFORD (the City ) WHEREAS the City issued a Call for Artists for the installation of artwork on ten (10) Little Library boxes donated to the City by the Brant Skills Centre; AND WHEREAS the Artist has been selected as one of ten (10) artists chosen to install his/her artwork on one of the Little Library boxes; AND WHEREAS the Artist and the City wish to enter into an agreement to govern the installation of the artwork on the Little Library box provided to the Artist for the purposes of the Little Free Library Project in the City of Brantford; NOW THEREFORE, in consideration of the monetary compensation set out herein, other good and valuable consideration the receipt and sufficiency of which is hereby acknowledged, the Artist and the City agree as follows: 1. Purpose: The purpose of this Agreement is to procure the services of the Artist for the purposes of an installation of art on a Little Library box as part of the Little Free Library Project in the geographic region of the City of Brantford. 2. Artwork: a) The Artist agrees to install an original artistic work in accordance with the design submitted by the Artist to the City pursuant to the Call for Artists issued by the City, which design is attached hereto at Schedule A (the Artwork ).
12 b) The Artist agrees that the Artwork shall be installed only on the little library box (the Little Library ) provided to the Artist by the City and that no substitutions of the Little Library may be made by the Artist. c) The Artist understands that the Little Library provided by the City will be constructed of wood, will be 18 (W), 17 (H) and 15 (D), and have at least one (1) coat of lacquer applied. The Artist agrees that the Artwork designed by the Artist took these specifications into consideration. d) The Artist further agrees that the Artwork may not contain any image, design, language, symbol or anything whatsoever that may be deemed to be offensive or culturally insensitive by members of the public and/or the City, and that the Artist understands that the Artwork is meant for audiences of all ages and the Artwork has been designed with the public nature of the eventual use of the Artwork in mind. e) The Artist shall deliver the Artwork to the City by or before Monday, August 28, Upon delivery of the Artwork, the City shall inspect the Artwork to ensure conformity with this Agreement and, upon satisfaction of same, shall accept the Artwork ( Final Acceptance ). Upon Final Acceptance of the Artwork by the City, all rights of ownership in the Artwork shall automatically be transferred to the City. 3. Compensation: For the Artwork and the rights granted herein, the City shall pay to the Artist the sum of four hundred and seventy-five dollars and fifty cents ($475.50) in Canadian funds. The payment provided for herein shall be made to the Artist upon Final Acceptance of the Artwork by the City. 4. Representations from Artist: The Artist swears and declares all of the following: a) The Artist is at least 18 years of age; b) The Artwork is solely the result of the artistic effort of the Artist; c) Except as otherwise disclosed to (and agreed upon by) the City, the Artwork is unique and original and does not infringe upon any copyright or the rights of any person; d) The Artwork has not been accepted for sale elsewhere; e) The Artist has not sold, assigned, transferred, licensed, granted, encumbered or utilized the Artwork or any element thereof or any copyright related thereto to any person other than the Artist; f) The Artwork is wholly original with the Artist and does not infringe upon or violate the rights of any third party;
13 g) The Artwork and the materials used are not currently known to be harmful to public health and safety or to the environment; h) Reasonable maintenance of the Artwork will not require procedures substantially in excess of those described in the maintenance and preservation recommendations submitted by the Artist to the City. 5. Surviving Representations and Warranties: The Artist represents and warrants that: a) All work will be performed in accordance with professional workmanlike standards and free from defective or inferior materials and workmanship (including any defects consisting of inherent vice, or qualities that cause or accelerate deterioration of the Artwork) for five (5) years after Final Acceptance; b) The Artist is not and will not hold itself out as an agent of the City; c) The Artist has the power to enter into and perform this Agreement and to make the grant of rights contained in this Agreement; and d) The Artwork is free and clear of any liens from any source whatsoever; and e) These representations and warranties survive the termination or other extinction of this Agreement. 6. Recognition: Notwithstanding section 7 below, the City will attribute the Artwork as the Artist s creation in all publications and reproductions, unless directed otherwise by the Artist. The means of attribution shall be at the sole and absolute discretion of the City, and nothing in this Agreement shall in any way obligate the City to promote the Little Library, the Artist, the Artwork or the Little Free Library Project generally. 7. Waiver of Copyright and Moral Rights: a) Upon Final Acceptance, the Artist does hereby grant, transfer, or otherwise convey to the City all rights under copyright law relating to the Artwork; and does waive any rights that the Artist may have by moral right (save and except for Artist recognition, as specified in section 6 above). b) For further clarification, the Artist agrees that the City is entitled to make reproductions of the Artwork without consultation or compensation to the Artist for any purpose, whether commercial or non-commercial, including but not limited to two- or three-dimensional reproductions in brochures, media publicity, exhibition catalogues, tee shirts, post cards and posters, replicas, and souvenirs; and to make repairs to or relocate the Artwork regardless if same may destroy, distort, or modify the Artwork.
14 c) Further, the Artist may not make any additional duplicate replicas or reproductions of the Artwork, nor grant permission to others to do so except with the written permission of the City. However, nothing will prevent the Artist from creating new works in the Artist s manner and style of Artistic expression. 8. Maintenance: The Artist will ensure that the Artwork is protected and preserved with applicable protective coatings, sealant, patina or anti-graffiti coating, if applicable, unless the City specifically disapproves of such. After Final Acceptance of the Artwork, the City shall assume responsibility for the maintenance of the Artwork in accordance with the City s policies with respect to same as well as the approved budget for maintenance of Artwork in the City of Brantford. 9. Maintenance and Preservation: The Artist will provide, prior to installation, a description of all materials, processes and products utilized in the Artwork and the required care and upkeep involved, as well as recommended procedures in the event of necessary conservation; as well as a general maintenance plan for the Artwork for reasonably foreseeable maintenance and preservation activities related to the Artwork, taking into account the intended location of the Little Library on which the Artwork is installed. 10. Installation: The Artist shall pick up the Little Library from the City at the address listed in the Notification section of this Agreement, and will arrange for the transportation and installation of the Artwork at the Artist s sole cost and expense. Prior to the installation of the Artwork, the Artist will inspect the Little Library to ensure that it is ready to accept the Artwork and compliant with the specifications agreed upon in this Agreement. The Artist will promptly notify the City of any perceived conflict, defect or non-compliance with the specifications. All work will be performed in the manner specific in this Agreement. 11. Compliance with Laws: The Artist will promptly comply with all laws, ordinances and lawful orders and regulations issued by any federal, provincial, municipal or other agency having jurisdiction, including but not limited to obtaining any and all applicable licenses or permits. The Artist will not perform any acts or carry out any practices which injure or damage persons or property, or that are a nuisance or a menace to others. 12. Artwork Preservation/Repair: Upon Final Acceptance, it is the City s obligation to preserve, and repair the Artwork, as it deems appropriate in its sole and unfettered discretion, including but not limited to graffiti removal. The City may choose to follow preservation recommendations described in the documents provided by the Artist, or elect not to follow it. 13. Location of Artwork: Upon Final Acceptance, the City is free to relocate the Artwork to an alternate location, remove the Artwork entirely, sell, or destroy the Artwork entirely, in its sole and unfettered discretion.

Cooperation with Artist: The City will use reasonable efforts to advise the Artist of significant changes likely to affect the character and appearance of the Artwork or of intended relocations and to work cooperatively with the Artist to reach a mutually satisfactory resolution. However, if a mutually satisfactory resolution cannot be reasonably reached, as determined by the City, the City s rights regarding maintenance, reproductions, repairs, and relocations of the Site and the Artwork will govern. 15. Risk Prior to Final Acceptance: Prior to Final Acceptance, the Artist bears all risk of injury to property or persons caused by the Artist or the Artwork or any loss or damage to, theft of, vandalism to, or acts of God affecting the Artwork are the sole responsibility of the Artist, including but not limited to any loss occurring during the storage, transportation, installation or delivery of the Artwork, regardless of where such loss occurs. The Artist will take such measures as are reasonably necessary to protect persons and property and the Artwork from loss or damage. 16. Insurance: The Artist will take out and maintain sufficient insurance to fulfil its obligations pursuant to this Agreement. 17. Indemnification: The Artist will at all times defend, indemnify and save harmless the City, its councillors, officers, servants, agents, and contractors, from and against all loss, costs or damage which it or they may suffer or be put to and from and against all actions, suits, claims and demands whatsoever which may be made or brought against the City, or them, by reason of (either directly or indirectly) any act or omission of the Artist in the provision of the services and products and any other matter or thing provided for or pursuant to this Agreement or resulting therefrom in any way whatsoever, save and except for those arising solely and directly from the gross negligence of the City. 18. Complete Agreement: This Agreement constitutes the complete and exclusive statement of the agreement between the parties, which supersedes all proposals, oral or written, and all other communications between the parties, relating to the subject matter of this Agreement. 19. Amendments: This Agreement may be amended only by the mutual consent of both parties hereto. 20. Successors and Assigns: None of the parties to this Agreement may assign this Agreement in whole or in part without the prior written consent of the other. This Agreement, including all rights, privileges and benefits herein contained shall extend to, be binding upon and inure to the benefit of the parties hereto and their respective heirs, administrators, successors and assigns. 21. Relationship of Parties: Nothing in this Agreement shall be construed so as to constitute a relationship between the parties of employer/employee, agent, partners,
16 joint ventures, co-owners, or otherwise as participants in a joint or common undertaking. Neither party, nor its employees, agents or representatives shall have any right, power or authority to act or create any obligation, express or implied, on behalf of the other. 22. Waiver: No omission or delay by either party in exercising any right, power or privilege hereunder shall operate as a waiver thereof nor shall any single or partial exercise of such right, power or privilege preclude any other or further exercise thereof or of any other right, power or privilege. The rights and remedies herein provided are cumulative with and not exclusive of any rights or remedies provided by law or in equity. 23. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable hereto. 24. Effective Date: This Agreement shall be effective as of the date first written below. 25. Access to Information: This Agreement and the information contained herein is subject to applicable access to information legislation, including but not limited to the Municipal Freedom of Information and Protection of Privacy Act, R.S.O. 1990, c. M. 56, as amended. 26. Notice: Any notices or correspondence to be provided by either party pursuant to this Agreement shall be given or provided by personal delivery or prepaid registered mail as follows: (i) (ii) The Corporation of the City of Brantford 399 Wayne Gretzky Pkwy. Termination: If the Artist fails to comply with any aspect of this Agreement, the City may terminate this Agreement immediately and, without limiting any other rights the City may have, may demand repayment of amounts paid pursuant to this Agreement for
17 the Artwork, and may take any action at law or in equity to recover any damages against the Artist arising from the Artist s breach of this Agreement. 28. Headings: The headings in the Agreement are for ease of reference only and are not intended to be full or precise descriptions of the text to which they refer. 29. No Contra Proferentem: The provisions of this Agreement have been mutually prepared by the Parties and each Party has had the opportunity to consider each and every term in this Agreement (which the Parties consider reasonable and valid) and to obtain Independent Legal Advice. Should any aspect of this Agreement be brought before a judicial or quasi-judicial hearing, this Agreement will be read, reviewed, and interpreted without regard to contra proferentem, and that the rule contra proferentem does not apply with respect to the interpretation of this Agreement.
