1 Executive Team Vanessa Constantino Brenneke (Director) Vanessa Brenneke has been working at CAF Brasil since its inception in 2013, becoming Managing Director in CAF Brasil is a voluntary, self-regulatory body sponsored by B3, the Brazilian Stock Exchange and formerly known as Bovespa, ANBIMA Brazilian Association of Financial and Capital Markets Entities and IBGC - Brazilian Institute of Corporate Governance. CAF Brasil oversees tender offers and operates in a similar fashion to UK s Takeover Panel. From 2009 and 2011 Vanessa implemented and run the cooperation agreement established between CVM, the Brazilian Securities Exchange Commission and ANBIMA, the Brazilian Association of Financial and Capital Markets Entities. The CVM- ANBIMA agreement was created to speed-up the registration process of public offers of certain debt and equity securities. She worked at Bradesco s Capital Markets Legal Team between 1998 and 2001, and then became the Head of Banco Bradesco s Capital Markets Legal Team until She also worked for various Brazilian law firms. Vanessa attended in 2015 the specialized training program on enforcement and interpretation of the Takeover Code offered by the UK Takeover Panel to its new secondees. In 2010 Vanessa attended the SEC training program directed to securities regulators. Vanessa holds a Masters Degree in Commercial Law from the University of São Paulo, with thesis on Self Regulation in the Brazilian Securities Market (2016). She also has a MBA (2006) and postgraduate specialization degree in Financial and Capital Markets Law (2000) from Insper and a LLB from the University of São Paulo (1994).

4 EDISON CARLOS FERNANDES He is Professor of accounting for the postgraduate courses of the Getúlio Vargas Foundation (GVLaw and GVManagement) and holder of the Chair nº 29 of the Academy of Legal Letters of São Paulo - APLJ. Member of the Taxpayers' Committee of the Ministry of Finance - currently the Administrative Tax Appeals Committee (2001 to 2003). Judge of the Tax and Tax Court of the State of São Paulo (2001 and 2002). Co-coordinator of the Tax Law program at CEU - IICS Faculdade de Direito. Graduated in Law from the Faculty of Law of the University of São Paulo - USP - Largo São Francisco (1994). PhD in International Economic Relations Law from Pontifícia Universidade Católica de São Paulo (2006). EDUARDO VASCONCELOS He is a managing partner of the audit division, Business Manager and Accountant registered with the Regional Accounting Council of São Paulo (CRC/SP). Certified independent auditor registered with the Brazilian Securities and Exchange Commission (CVM) and with the Central Bank of Brazil (BACEN); Member of the Brazilian Institute of Independent Auditors (IBRACON); Certified auditor registered with the Brazilian Registry of Independent Auditors (CNAI); Member of Group of Technical Work on matters related to professional ethics (GT Ética); Former Managing and Finance Director of IBRACON 5th Regional Member of National Association of Finance, Business and Accounting Executives (ANEFAC). Eduardo started his career in the area in 1981, audit partner responsible for serving clients in several segments since 1995, becoming a managing partner of the audit division at BDO Brazil in 2016.

5 FABIO NICCHERI Fabio is a corporate finance partner of PwC Brazil working on M&A transactions and valuations. Fabio joined PwC in 1988 and became partner in 1998, working in the Corporate Finance group throughout his career, except between 1995 and 1997 and between 2012 and 2014 when he worked in New York in the US-Brazil Business Center coordinating advisory services to (i) US companies expanding into Brazil; and (ii) Brazilian companies expanding to or operating in the US market. During his career, Fabio developed both technical and relationship skills, learning working culture of different types of organizations ranging from Brazilian family businesses, Brazilian public companies and multinational companies from the Western and Eastern hemispheres. Fabio s professional experience comprises engagements for Brazilian and multinational companies including the execution of M&A transactions in several industries and the execution and supervision of business enterprise valuation projects. Fabio holds a Bachelor of Business Administration from Fundação Getúlio Vargas, the most prestigious business school in Brazil, and joined several training courses from PwC and from Universities such as Kellogg School of Management at Northwestern University. Fabio is a native Portuguese speaker and fluent in English.

6 FELIPE HANSZMANN Lawyer focused on Corporate/Mergers & Acquisitions. Partner of Vieira Rezende Advogados, also worked as International Associate at Wikborg Rein LLP in London. Guest lecturer at FGV DIREITO RIO (Fundação Getulio Vargas - RJ) in subjects related to Takeover Regulation and entrepreneurship. Felipe participated in the specialized training program arranged by the UK Takeover Panel to its new employees (secondees) regarding enforcement and interpretation of the Takeover Code. 7 JOÃO MARCELO PACHECO He is a partner at Pinheiro Neto Advogados, where he has been working since He works in the consulting, mergers and acquisitions / private equity, and complex projects. For recent reference, (i) it has been working for some years in the Usiminas corporate dispute, representing the Japanese group of Nippon Steel Sumitomo Metal Corporation, and (ii) advising the IFC - International Finance Corporation (and indirectly the BNDES and the Ministry of Mines And Energy) on the selling side of the privatization of CELG D (Goiás energy distribution company). In addition, it assists several publicly held companies in reorganizations and various corporate issues, including in multijurisdictional projects, especially UK, USA, Latin America and the rest of Europe. He graduated from the Faculty of Law of the University of São Paulo (USP), followed by CEAG (MBA degree) at the School of Business Administration (EAESP) of the Getúlio Vargas Foundation and LLM at the London School of Economics and Political Science (LSE), In which his thesis dealt with a comparative study of tag along OPAs, focusing on the Takeover Panel and the British Listing Rules. He worked for about 1.5 years at the Gibson, Dunn & Crutcher NY office between Fluent in English, Spanish and German.

9 MATHEUS TARZIA He began his career in 1989 at Citibank, working as an Equity Analyst in the Capital Markets department. He joined NEO Investimentos in April of 2010 as Equity Portfolio Manager of Long-Only equities. NICOLAS BALLIAN He is the director of the São Paulo Duff and Phelps Office and is part of the Evaluation Advisory Services practice. He has more than 10 years of valuation experience in a wide range of industries, advising public and private companies, private equity and management teams. In Europe, the U.S and Australia, Nicaragua advised on various transaction types, including valuations for financial reporting both in IFRS and USGAAP, tax and transaction purposes. In Brazil, he worked on the valuation for accounting and tax purposes of Petrobras downstream assets, the acquisitions of IBOPE by WPP, HSBC Brasil by Bradesco and Osklen by Alpargatas. He joined Duff & Phelps in Prior to Duff & Phelps, he had a diverse background at PwC. Nicolas received his B.S. and M.A. in economics from Dauphine Paris University, and his M.A. in finance from Brandeis University.
