He shares his time between our PwC law firms in Hanoi and Ho Chi Minh City. As a corporate and M&A specialist, Nasir has over 18 years' experience of advising and representing international clients. His clients include multinational corporations, banks and other financial institutions, as well as major Vietnamese corporations. Nasir has worked in Vietnam for the past 13 years and his Vietnam practice spans private equity investments, private and public M&A, joint ventures and general corporate, investment and commercial matters. Client experience Nasir has extensive experience in advising multinationals and listed companies on cross border transactions across a wide spectrum of industries, including manufacturing and processing, heavy industries, food and agribusiness, energy, mining and infrastructure, oil and gas, retail and distribution, real estate and construction, advertising, media and technology, telecommunications, insurance, transport and logistics, pharmaceutical and healthcare, automotive, hotel and hospitality, and financial services. In addition to his corporate experience, Nasir also has significant expertise as a dispute lawyer in Vietnam. Advising a company and its holding entities, a European-based agro-industrial multinational, on the 100% acquisition of a major Vietnamese seeds corporation. Advising a French-based luxury hospitality group, on its proposed acquisition and subsequent expansion plans of an existing high end resort in South Vietnam. Advising a Japanese conglomerate on a USD 1 billion project in relation to the construction of a steel plant in North Vietnam. Advising a Group in connection with an EPC contract signed with an affiliate of State-owned Vietnam National Chemical Group, for the design, engineering, procurement and construction of the first-ever Vietnamese sorbitol plant in South Vietnam Advising a European financial group on the acquisition of a major real estate development project in Hanoi, and in subsequent ICC arbitrations against its general contractor and the vendors. Advising the Japanese operator of one of the largest industrial parks in South Vietnam on the formulation of land lease agreements and land-related issues under Vietnam s complex land administration regime (including sale and lease-back arrangements). Banking and Finance Advising Vietnam's national flag carrier in relation to the USD 457 million ECA-backed financing of 8 Airbus A-321 aircraft and 2 spare engines, one of the largest aircraft financing deals in the history of Vietnam, and on the subsequent financing of 5 additional A-321 aircraft. Advising the Asian second largest bank in relation to issues that rose under a risk participation arrangement between them and two Vietnamese participating banks in relation to transferred loans. Advising the Vietnamese Government in its defence of investment treaty claims made before a European institution for international dispute resolution. Advising a PRC company in its defence of an arbitration brought by a Vietnam State-owned company before the Vietnam International Arbitration Centre, in relation to sales contracts. Advising a US-based equipment and machinery multinational in relation to commercial and trademark disputes with a US-invested Vietnamese entity. Advising a PRC company, in its defence of a VIAC arbitration brought by a Vietnamese company, arising from a dispute regarding shipments of mobile phones into Vietnam. Advising a Hong Kong company in relation to commercial disputes and related criminal proceedings in Vietnam. Background Prior to joining PwC Legal, Nasir led the Vietnam Practice of an international firm for three years, after having managed the Vietnam offices of a UK firm for five years. Nasir is tri-lingual (English, French and Vietnamese). Nasir is a French-qualified lawyer and he is also admitted to practice law in Vietnam as a Registered Foreign Lawyer. 6
