3 Featuring the Graham Family and Graymont Ltd. Graymont Limited was organized, financed and incorporated in 1948 by F. Ronald (F.R.) Graham ( ). Structured as a typical estate freeze, Graymont s purpose was to make long-term capital investments for the benefit of F.R. s twelve children. The company acquired a portfolio of listed and unlisted securities paid for with debt owed to F.R. which was soon repaid with interest. It gave the family a tremendous financial head start. The company s first President, and F.R. s son, was F. Ronald (Ronnie) Graham Jr. ( ). F.R. s five other sons joined the Board and became active in the company as they came of age. Under Ronnie s capable management, Graymont was run as an investment holding and venture capital company and was consistently profitable. An early significant purchase was Dominion Lime. When Ronnie retired in 1980, his brother Philip Graham (b. 1925) became President, CEO and later Chairman. During the 1980s, the company changed dramatically. Most investments were liquidated and the capital concentrated in the chemical lime and stone businesses. Through acquisitions and internal growth, both in Canada and the United States, the company has become the second-largest producer of chemical lime in North America with 18 plants coast-to-coast and numerous quarry operations in New York, Quebec and Alberta. Graymont also owns 45 per cent of Calidra SA, which, with a network of 9 plants, is the largest producer of chemical lime in Mexico and is presently expanding into South America. Graymont remains a private company, with growth generally financed internally and debt employed only under strict guidelines. The original shareholders or their families still own 98 per cent of the company. Its management is now entirely in the hands of professionals who own the remaining two per cent. The present Board of Directors consists of only one member of the original generation, five of the second generation, and three non-family members. Some members of the third generation now own shares and are taking interest in the company. Philip Graham Philip Graham (B.Sc.A., UBC, 1947) was a Director of Graymont from 1953 to During this time, he served as a Vice President from 1953 to 1980, President and CEO from 1980 to 1991, and as Chairman from 1986 to He oversaw the significant change from a family operated, widely diversified holding company to a professionally managed, narrowly focused corporation. William Dodge William (Bill) Dodge, (P. ENG.) was born in Vancouver, B.C. in 1949 and graduated from UBC in 1971 receiving the degree of B.A.Sc. (Mechanical Engineering). He joined Continental Lime in 1978 as Plant Manager at Exshaw, AB (subsequently acquired by Graymont). He moved to Tacoma, WA in 1989 as the manager of the PCC Division. When Graymont sold this division, Bill left with it. However, he rejoined Graymont in His responsibilities increased steadily, culminating in his serving as President and CEO of Graymont from 2007 to His thorough knowledge of the lime industry in general, and Graymont in particular, together with his relationship with the family will bring a unique perspective to the discussion. 1
