MIKE HUCKABEE SATURDAY EVENING Mike Huckabee is the host of the TV show Huckabee on TBN each weekend and is a Fox News contributor, NY Times best selling author of 12 books, and a frequent speaker for corporate, civic, and non-profit groups all over the world. He was the 44th Governor of Arkansas from 1996 until 2007, becoming one of the longest serving governors in his state s history. He left a legacy of tax cuts, job creation, the reconstruction of his state s road system, K-16 education reform, and a nationally heralded and duplicated health initiative that focused on prevention. His administration fought long-standing corruption in the state s political machine, resulting in numerous indictments and convictions of powerful legislators and other elected officials. In 2008 and 2016, he ran for president of the United States, finishing second in the Republican primary in 2008.

Asset/Liability Management & Investments [ Dale Sheller ] With the Federal Reserve in the middle of its first tightening cycle in more than a decade, banks are finally able to improve their investment portfolio yield. This session will begin with a discussion of the current economic environment and the outlook for Federal Reserve monetary policy before looking at recent banking industry trends including a high-performance banking analysis. We will also examine current trends in non-maturity deposits and its potential impact to bank s cost of funds and interest rate risk.

Ethical Minefields E-discovery and Other Uses of Technology. The use of technology is omnipresent in the practice of law particularly in the discovery process. This presentation by Judge John Carroll, Professor of Law at the Cumberland School of Law in Birmingham will focus on ethical issues related to the discovery of electronically stored information and the general use of technology in the practice of law. Anatomy of a Transaction: Bank M&A in With increased activity in bank merger and acquisition transactions expected in 2018, Brad Neighbors with Balch & Bingham LLP in Birmingham will provide an overview of a typical bank M&A transaction and discuss the related legal considerations. The discussion will highlight many aspects of bank M&A including deal structures, director fiduciary duties, timeline, principal provisions included in legal documents, regulatory and corporate requirements, and shareholder approval requirements. Requirements, Regulatory Expectations and the Impact of Alabama s New Data Security Law. Data Security is still one of the hottest topics in banking and is continuing to be a nationwide issue for the industry. The Alabama Legislature just enacted one of the strongest data security laws in the country. Scott Sargent, former assistant general counsel for BBVA Compass and of counsel in the Birmingham office of Baker, Donelson, will discuss how Alabama banks can take this opportunity to ensure their data security plan is in line with federal requirements and meets the exception in the Alabama data security law. Judicial Appraisal in Bank M&A: Lessons from the Delaware Courts. Bank mergers carry the possibility that a shareholder group might trigger a disruptive judicial appraisal. Michael Rediker, investment banker with Porter White in Birmingham, will discuss how the Delaware courts assess fair value in the context of bank M&A. S. 2155: What Alabama Bankers Need to Know. Senate Bill 2155 is slated to provide the financial services industry with the largest and most comprehensive level of relief from some of the most harmful provisions of the Dodd-Frank Act. Rob Carothers, a Mobilebased partner at Jones Walker, will provide attendees with a summary of the legislation s most meaningful provisions and ideas on how things might be different under the new regulatory landscape. U.S. Supreme Court Update. Learn about key decisions by and cases before the United States Supreme Court that may affect the banking industry in Alabama. This update from Brian Malcom, a Birmingham-based partner at Waller, Lansden, will provide an overview of issues before the Supreme Court that are relevant to the banking industry and how any decision by the Court might shape the banking industry.
