1 A member of the Board since 1995 and currently its chair, Mr. Croft has extensive experience in the financial management of insurance companies. Now retired, he was for many years the vice-president and treasurer and a director of the Woodbridge Company Limited, the principal holding company of the Thomson family. Mr. Croft has been a director of a wide variety of companies, including regulated, private and public companies in several jurisdictions, and of a college within the University of Toronto. He chairs LAWPRO s Executive and Governance Committees, and acts as an ex officio member of all committees. Ian D. Croft Mr. Croft is a member of the Institute of Corporate Directors, a 2005 Chair, LAWPRO Board of graduate of the Institute s Director Education Program and a 2010 graduate Directors, Chartered of their Excellence in the Boardroom program which are presented jointly Accountant with the Rotman School of Business at the University of Toronto. Appointed to the LAWPRO Board of Directors in 2004, George Anderson is a mortgage and financial services professional with more than 40 years experience with award-winning companies in this sector. Mr. Anderson currently chairs the Special Advisory Committee of the LAWPRO Board and is a member of the Board's Executive, Governance, Investment and Special Advisory Committees. He also sits on the boards of several financial organizations and non-profit charities. George D. Anderson, C.M. President and Chief Executive Officer, Insurance Bureau of Canada (Retired) Mr. Anderson is a recipient of the Queen's Jubilee Medal and a member of the Order of Canada. He has been awarded honorary Doctor of Laws degrees from both Carleton University and St. Francis Xavier University, and also received a Lifetime Achievement Award from the University of Regina. 1

2 A law professor for more than 30 years, Professor Constance Backhouse teaches criminal law, human rights, legal history and feminist legal issues at the University of Ottawa. Professor Backhouse has served for many years as adjudicator and mediator of human rights complaints and is the author of many prize-winning books. Elected as a Bencher of the Law Society of Upper Canada in 2003, she joined the LAWPRO Board of Directors the same year. Currently she serves on LAWPRO s Governance Committee. Professor Backhouse is a member of the Order of Canada and the Order of Ontario. Constance B. Backhouse, C.M., O. Ont., LSM Professor of Law, University of Ottawa Randall S. Bocock Partner, Evans Philp LLP Appointed to the LAWPRO Board of Directors in 2010, Randall Bocock is a partner of Evans, Philp LLP in Hamilton, Ont., where he is the head of business and property law, partnership secretary and chair of the firm management committee. His practice includes corporate/commercial transactions, business structure, banking and secured transactions, wills and estates, and commercial and industrial real estate. He also advises and appears on matters related to administrative law in the education sector. Mr. Bocock is the past chair of the County & District Law Presidents Association, actively involved in the Hamilton Law Association, a member of the International Business Law Section of the American Bar Association, a fellow of the National Conference of Bar Presidents, and a 20-year member of the Canadian Association of University Solicitors. 2

3 James R. Caskey, Q.C., is a partner with Siskinds LLP and is recognized throughout Ontario as a leading trial lawyer and litigation strategist. A bencher of the Law Society of Upper Canada since 2003, he was appointed to the LAWPRO Board of Directors in Mr. Caskey serves as co-chair of the Law Society s Government Relations and Public Affairs Committee. He is a past president of the Middlesex Law Association and a fellow of the American College of Trial Lawyers. James R. Caskey, Q.C. Vice Chair, LAWPRO Board of Directors, Partner, Siskinds LLP A graduate of Osgoode Hall, Mr. Caskey was called to the Bar in He has served as commission counsel to the Waterloo Judicial Inquiry ( ) and counsel to the London Police Services Board. Mr. Caskey is the author of The Professional Liability of Insurance Brokers and was a senior instructor in civil procedure of the Bar Admission Course ( ). Mr. Caskey is a past chair of the St. James Westminster Church Foundation, past chair of the Victoria Hospital and chancellor emeritus of the Anglican Diocese of Huron. He is the recipient of the Order of Huron Medal (2002). Mr. Caskey is a member of the Executive Committee and acts as an ex officio member of all committees. Douglas F. Cutbush is an insurance consultant, arbitrator, mediator and insurance appraisal umpire with more than 50 years experience in the insurance industry. Before he retired from insurance company ranks, he worked for two companies within The Gerling Global Insurance Group, holding the positions of senior vice-president and claims manager for Canada. In 1993, he established his own firm to provide insurance-related consulting, arbitration and mediation services. Douglas F. Cutbush Insurance Consultant, Arbitrator & Mediator Mr. Cutbush is a fellow Chartered Insurance Professional, a fellow of the Insurance Institute of Canada, a fellow of the Chartered Institute of Arbitrators of Great Britain and a chartered arbitrator of the ADR Institute of Canada. A member of the Board since 1995, Mr. Cutbush serves on LAWPRO s Executive, Audit and Conduct Review Committees. 3

4 Lawrence Eustace has practised as a sole practitioner for more than 37 years in Fort Frances, a community in northwestern Ontario. His general practice includes criminal, civil and family litigation, real estate, corporatecommercial, municipal, and wills and estates law. A bencher of The Law Society of Upper Canada, Mr. Eustace has served as a member of several Law Society committees. He was a 1997 recipient of the Law Society of Upper Canada Bi-Centennial Award. Mr. Eustace was appointed to the LAWPRO Board of Directors in 1999 and currently serves as a member of the Investment Committee. Lawrence A. Eustace Principal, Lawrence A. Eustace Mr. Eustace is a past chair and executive member of the County and District Law Presidents Association. He was also president of the Rainy River Law Library for 27 years and was a member of the Legal Aid Area Committee for over 30 years. Frederick W. Gorbet, C.M. Associate Director, Financial Services Program, Schulich School of Business Mr. Eustace is a member of the Northern Law School initiative committee for Lakehead University in Thunder Bay. He is also involved in working with youth and senior citizens groups, church activities, business development and civic activities. Fred Gorbet is currently the CIT chair in Financial Services and associate director of the Financial Services Program at the Schulich School of Business, York University. He has extensive experience in public policy advice and formulation, particularly with regard to financial institutions and energy policy. Following a 25-year career in the Canadian public service, Mr. Gorbet has held several senior executive positions in the life insurance industry. A member of the LAWPRO Board since 2004, Mr. Gorbet currently chairs the Audit and Conduct Review Committees and is a member of the Governance and Special Advisory Committees. He has served as executive director of the MacKay Task Force on the future of the Financial Services Sector of Canada, as executive eirector of the Saucier Task Force on Corporate Governance, as senior policy advisor to Credit Union Central of Canada on the National Initiative, and as the founding chair of the Market Surveillance Panel for administered electricity markets in Ontario. Mr. Gorbet has a B.A. from York University and a Ph.D. in Economics from Duke University. He was appointed to the Order of Canada in

5 A lawyer and former insurance industry executive, Malcolm Heins was appointed chief executive officer of The Law Society of Upper Canada in 2001 and served as the CEO of the Federation of Law Societies of Canada from November 2005 through June From 1994 to 2001, he served as LAWPRO s first president and CEO. Prior to that, Mr. Heins was the president and chief operating officer of Gan Canada, formerly Simcoe Erie Group, then one of the largest underwriters of professional liability insurance in Canada. Before joining Gan Canada in 1981, he practised insurance and commercial litigation in Toronto. He is a graduate of Dalhousie Law School. Malcolm Heins, LSM CEO, The Law Society of Upper Canada Mr. Heins is a member of LAWPRO s Executive, Governance, and Investment Committees. Mr. Heins is a member of the Canadian Bar Association and in addition to LAWPRO, serves as a director of OLAP, Pro Bono Law Ontario, the Canadian College of Naturopathic Medicine and Cancer Care Ontario. He has delivered numerous papers and presentations on insurance and professional liability, loss prevention and legal issues. He received the Law Society Medal in June 1999, the 2002 Award of Distinction from the Metropolitan Toronto Lawyers Association and, in March 2005, Communicator of the Year by the International Association of Broadcasters (Toronto). Rita. Hoff joined the Board in 1996, bringing with her extensive experience in the investment industry. She was most recently vice-president &d director, Debt Capital Markets, at Canaccord Capital Corporation. Prior to that she served as president and CEO of First Canada Securities Corporation, a firm she co-founded. Ms. Hoff chairs the LAWPRO Investment Committee and serves on the Governance and Special Advisory Committees. Rita Hoff Ms. Hoff also serves as an advisory board member of Auxo Management Retired Investment Search Fund. She has previously served as a director of CAA Central Industry Senior Executive Ontario, Investment Dealers Association of Canada and as chair of Ontario District Council of the IDA. Ms. Hoff has a Bachelor of Commerce from the University of Bombay, India. She is affiliated with Becas Vallarta, a local chapter of Becas Foundation International, fundraising and administering scholarship programs for students in Puerto Vallarta, Mexico and Pasitos de Luz, a charity supporting disabled children and their families. She is currently pursuing studies in Spanish language & Mexican culture at the University of Guadalajara. 5

6 Prof. Vern Krishna, C.M., Q.C., FRSC Counsel, Borden, Ladner, Gervais Professor of Law, University of Ottawa A professor of Law at the University of Ottawa and tax counsel with Borden Ladner Gervais, Vern Krishna's practice areas are International Tax, Wealth Management, Tax Litigation and Personal Tax Planning. He was treasurer of The Law Society of Upper Canada from 2001 to Professor Krishna was elected a Bencher of the Law Society in 1991, appointed to the LAWPRO Board of Directors in 2000, and again in 2003 after completing his term as treasurer of the Law Society. He was most recently appointed to the board again in He was called to the Nova Scotia Bar in 1977, the Alberta Bar in 1981 and the Ontario Bar in In 2004, Professor Krishna was awarded an honorary degree of Doctor of Laws (LL.D.) by The Law Society of Upper Canada and appointed a member of the Order of Canada and Queen s Counsel. He has served as the executive director of the Tax and International Business Research Centres at the University of Ottawa since 1991 and as a commissioner of the Ontario Securities Commission from 1994 to He was reappointed to the OSC in He is the editor-in-chief of the Ontario Law Reports and has been the managing editor of numerous Canadian tax publications. Professor Krishna served as president of Certified General Accounts Association (Ontario) from 1994 to He is a fellow of the Royal Society of Canada, and a fellow of the Certified General Accountants of Canada. He is listed in The Best Lawyers in Canada (Tax Law, Trusts and Estates) and named in Who's Who (Canada). Andrew N. Smith is a chartered financial analyst (CFA) and certified director (ICD.D) with over 45 years of experience in the financial services industry. He is involved with numerous boards, including Pro-Demnity Insurance Company, Canadian General Electric Pension Trust, Toronto Civic Employees Pension Fund and the Toronto Fire Department Pension Fund. Mr. Smith was a senior executive with National Trust and in 1985 became a senior partner at James P. Marshall, Inc., an investment consulting firm. In 2004, he established a personal consulting practice to assist organizations in achieving their financial and investment goals. Andrew N. Smith President, Natnook Inc. A member of the LAWPRO Board since 2009, Mr. Smith serves on the Audit, Conduct Review, Investment and Special Advisory Committees. 6

Thompson has had a distinguished career with KPMG and its predecessor firms, serving as managing partner of the Hamilton, Ottawa and London offices, as well as serving as the partner-in-charge of audit services for southwestern Ontario. He also served on the firm s Partnership Board and its Management Committee. While on the Partnership Board, he chaired the Partners Compensation Committee. John C. Thompson, FCA Chartered Accountant, KPMG (Retired) Working with some of KPMG s largest clients, Mr. Thompson has developed skills in financial reporting, management systems, and business and strategic planning. He has experience in business acquisitions, reorganizations, and private and public financing activities both in Canada and the United States. He obtained his chartered accountant designation in 1971 and was awarded an FCA in Mr. Thompson joined the LAWPRO Board of Directors on April 28, 2010 and serves on the Audit, Conduct Review and Special Advisory Committees. Kathleen A. Waters was appointed president and CEO of LAWPRO in Previously she had overseen the strategic planning, operations, marketing, sales and administration for the TitlePLUS program. She sits on the Executive Committee of the LAWPRO Board. Formerly a partner with Torkin, Manes, Cohen & Arbus, Ms. Waters is the author of numerous papers and frequently speaks on real estate law and title insurance. 8 Called to the bar in 1983, Bradley H. Wright is a solicitor in private practice in Ottawa, focusing on real estate, business, and wills and estates law. Mr. Wright has been a bencher with the Law Society of Upper Canada since May 1995 where, in addition to other duties, he has served as chair of Audit, chair of the Compensation Fund, vice-chair of Finance, chair of the French Language Bar Admission Course Task Force, and member of the OBA Council. Currently, he is co-chair of the Real Estate Working Group and the longest-serving member of the Discipline Appeal Panel. He is a former trustee of the Law Society Foundation and of the Law Foundation of Ontario. Bradley H. Wright Principal, The Wright Law Firm Mr. Wright joined the LAWPRO Board in June 2008 and sits on the Audit and Conduct Review Committees. Mr. Wright is the co-author of Canadian Hospitality Law, currently in its third edition. He has been a presenter at numerous continuing legal education programs. In Ottawa, he has been a member of the County of Carleton Law Association Real Estate Committee for over twelve years.
