2 Rafael Mendes Gomes PARTNER Corporate, Compliance and Anti-bribery RAFAEL MENDES GOMES Rafael started his career at the business law firm Tozzini, Freire Advogados in Brazil, having worked there from 1996 to He then held many inhouse positions at Sun Microsystems, covering different jurisdictions in Latin America from 1999 through 2005, when he moved to Santa Clara, California, to assume an Assistant General Counsel position in Sun's Global Channels Marketing, Competition Law, and Partners Legal Team. In 2007 he moved back to Brazil to join Wal-Mart as its Legal Vice President, General Counsel and Chief Ethics and Compliance Officer for Brazil. In 2012 he decided to leave Wal-Mart to join the then Rio de Janeiro based law firm Chediak Advogados and lead the firm's new São Paulo offices and the firm's Anticorruption and Compliance practice. Since then he has been assisting companies in Brazil in the implementation of anti-bribery and compliance programs. Rafael is a regular speaker at Anti-bribery and compliance seminars and conferences, and is a Faculty in Trace International's Anti-bribery Specialist Accreditation program - Rafael graduated in 1997 from the Law School of the University of the São Paulo. In 1998 he was admitted to the Brazilian Bar Association and obtained a Post-graduate Degree in Business Law from the Catholic University of São Paulo. He completed the Advanced Management Program of the lese Business School of the University of Navarra, Spain, in 2009 and was one of the first Brazilian attorneys to obtain the certification as a Certified Compliance and Ethics Professional, in 2009., CLAUDIUS O. SOKENU Claudius O. Sokenu US PARTNER Litigation and Anti-corruption & Foreign Corrupt Practices Area Claudius Sokenu, a former federal regulator, is a partner in Shearman & Sterling s Litigation practice group where his practice focuses on representing multinational public and private companies, hedge funds, private equity firms, broker-dealers, investment banks, investment advisers, accounting firms, and their officers, directors, and employees in complex commercial litigations, securities enforcement actions and litigations, including class actions and FINRA arbitrations, white collar criminal defense, derivative actions, congressional investigations, internal investigations, and corporate crisis management. Mr. Sokenu has extensive experience in handling delicate high-profile matters that require concurrent representation in the civil, criminal, and political spheres. Claudius is widely recognized as a leading Foreign Corrupt Practices Act (FCPA) practitioner. He regularly represents domestic and multinational companies and their employees in all aspects of FCPA internal investigations, enforcement actions, and compliance matters before the United States Securities and Exchange Commission (SEC), the United States Department of Justice (DOJ), the United Kingdom s Serious Fraud Office, and other civil and criminal authorities in the United States and abroad. He has represented Boards of Directors, Audit Committees, officers, senior management and employees of multinational companies in anticorruption investigations in dozens of countries and on virtually every continent Earlier in his career, Claudius served in the Washington, DC office of the SEC in the Division of Enforcement, on the Honors Program, first as a Staff Attorney ( ) and later as Senior Counsel ( ), where he was responsible for handling a broad range of the SEC's domestic and international enforcement matters, including investigations involving accounting fraud, insider trading, initial public offerings, illicit payments under the FCPA, investment companies and investment advisers, market manipulation, and broker-dealer misconduct. Claudius is an Adjunct Professor of Law at Georgetown University Law Center in Washington, DC where he teaches advanced level securities enforcement and litigation courses. Claudius has lectured and published extensively on securities enforcement and litigation matters and has been quoted in the financial press on a variety of securities law issues.

3 CHARLES MEACHAM Charles Meacham US PARTNER, Corporate Charlie Meacham focuses his practice on assisting U.S. and European clients with transactional projects throughout Latin America. Born and raised in Caracas, Venezuela, Mr. Meacham opened the Gardere office in Mexico City in 1992 and was the resident U.S. partner in charge of Gardere's office in Mexico until He regularly advises clients on how to structure investments in Mexico and Latin America, including acquisitions and divestitures, creation of equity joint ventures, participation in public bids and international contracting matters. Mr. Meacham also regularly represents Latin American and other foreign investors on U. S. investment matters. He also advises clients on the Foreign Corrupt Practices Act, export controls and the application of U.S. trade sanctions. James Munisteri US PARTNER, Trial JAMES MUNISTERI Jay Munisteri is co-chair of Gardere's International Dispute Resolution Group and a trial attorney whose practice involves all forms of contentious business disputes. He has over 25 years of experience in trials in state and federal courts, appeals, arbitrations and mediations in Texas and 21 other states. Cross-border litigation and international discovery have comprised a significant part of Mr. Munisteri's practice; he has litigated or tried cases governed by the laws of Mexico, Canada, England, Brazil, Chile, EI Salvador, Venezuela, Uruguay, Argentina, Peru, Panama, Costa Rica, Ecuador and Guatemala. And in one week, Mr. Munisteri appeared before tribunals in Canada, then Mexico, and then Texas over three consecutive days. In addition, Mr. Munisteri has litigated an array of multiple plaintiff lawsuits and c1ass actions, particularly IN n the areas of securities fraud, health care and product advertising. Graduated from the Faculty of Law of the University of Sao Paulo (USP). Master and PhD degrees of Criminal Law and Criminology from the Faculty of Law of the University of Sao Paulo (USP). Vice-President of the Brazilian Institute of Criminal Sciences (IBCCRIM). Graduate degree in Criminal Law from the Faculty of Law of the University of Salamanca (Spain). Virna Di Palma SENIOR DIRECTOR, Global Strategy & Communications VIRNA DI PALMA Virna Di Palma is a seasoned communications expert with a distinguished career in the field of anti-bribery compliance. She has worked with the private sector for nearly a decade to raise awareness of anti-bribery worldwide. As Senior Director of Global Strategy and Communications, Virna plays a key role in advancing the TRACE mission and expanding TRACE s global footprint. Virna manages TRACE s team of regional experts for the Middle East, Southeast Asia, Latin America, India and Europe as well as TRACE s foreign offices in Dubai and Manila. Virna also drives all outreach initiatives, marketing, brand management, partnerships and TRACE events and workshops. Additionally, she contributes to various collective action projects and has conducted in-house anti-bribery trainings on behalf of TRACE. Prior to joining TRACE, Virna was a senior program director specializing in international trade and anti-bribery compliance for the American Conference Institute where she produced over fifty compliance programs in the US and around the world. Notable is her experience launching and producing the first anti-corruption conferences in Russia, India, Brazil and the Middle East. Virna holds a bachelor s degree in Political Science from Northeastern University and a master s degree in International Peace and Security from King s College in London. While at King s College, Virna worked as a global security researcher for the London-based think tank Demos, where she was a primary contributor to the publication, Bringing it Home; Community-based approaches to counterterrorism. Virna is a member of the Pacific Council on International Policy, serves on the Steering Committee of the Basel Institute s International Center for Collective Action (ICCA) and speaks fluent Spanish.
