BOX 442 St. Lo u is, M is s o u r i ELECTION OF DIRECTORS September 23, 1966 To the Member Banks of the Eighth Federal Reserve District: An election will be held under the provisions of Section 4 of the Federal Reserve Act to choose successs to the following directs of this bank, whose terms expire December 31, 1966: Class A Direct, Mr. H. Lee Cooper Ohio Valley National Bank of Henderson Henderson, Kentucky Class B Direct, Mr. Roland W. Richards Seni Vice Laclede Steel Company St. Louis, Missouri Mr. H. Lee Cooper, Class A Direct, was elected by banks in Group 2, and his success will be chosen by the banks in this group. Group 2 consists of banks having capital and surplus of $400,000 and over, but under $1,500,000. Mr. Cooper, who has served as a Class A Direct since January 1, 1958, has respectfully requested that his name not be placed in nomination f re-election. Mr. Roland W. Richards, who has served as a Class B Direct since January 1, 1964, was elected by banks in Group 1, and his success will be chosen by the banks in this group. Group 1 consists of banks having capital and surplus of $1,500,000 and over. The banks comprising Groups 1 and 2 are listed on the following pages. The group in which a member bank will be entitled to vote will be determined by its classification as of the date of this letter, even though its capital and surplus may subsequently change pri to the date of the election. Each bank in Group 1 is permitted to nominate one candidate f Class B Direct and each bank in Group 2 is permitted to nominate one candidate f Class A Direct.* The nominations must be made by resolution of the Board of Directs and certified to me on befe October 21, A fm f this purpose is enclosed. On October 28, 1966, a list of the candidates (indicating by whom nominated) and a preferential ballot will be mailed to each bank in the voting groups. The ballot must be cast within fifteen days after receipt. The polls will open at 9 a.m. on October 31, 1966, and close at 2 p.m. on November 15, At that time the ballot box will be opened in the Board Room of this bank, the votes counted and results of the election announced. The candidates are invited to be present represented on that occasion.

2 In der to be counted, the ballot must be executed by an officer authized to cast the vote. If the official signature of the officer, officers, authized to cast the ballot has not been filed with this Federal Reserve Bank, such official signature should be filed befe the polls close. Inasmuch as the authity conferred on these officers continues until revoked, they need not be reappointed. Each member bank which has not designated an officer, officers, f the purpose of signing the ballot, any bank that desires to change its authization, should do so by resolution of its Board of Directs and certify the appointment to me befe the polls close. A fm f this purpose will be furnished upon request. While the banks in Group 3 will not vote in this election, this circular is sent to them without fms f their infmation. PEIRCE Chairman of the Board * Section 4 of the Federal Reserve Act contains the following provisions: Class A shall consist of three members, who shall be chosen by and be representative of the stockholding banks. No officer direct of a member bank shall be eligible to serve as a Class A direct unless nominated and elected by banks which are members of the same group as the member bank of which he is an officer direct. Any person who is an officer direct of me than one member bank shall not be eligible f nomination as a Class A direct except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer direct. Class B shall consist of three members, who at the time of their election shall be actively engaged in their district in commerce, agriculture some other industrial pursuit. No direct of Class B shall be an officer, direct, employee of any bank. No Senat Representative in Congress shall be a member of the Board of Governs of the Federal Reserve System an officer a direct of a Federal reserve bank. In a resolution adopted December 23, 1915, the Federal Reserve Board expressed the opinion that persons holding political public office in the service of the United States, of any State, territy, county, district, political subdivision, municipality thereof, acting as members of political party committees, cannot consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directs officers of Federal Reserve Banks. Under interpretations of the Board of Governs of the Federal Reserve System, a person whose sole occupation is that of officer of an insurance company of a savings and loan association is not eligible f election as a Class B direct of a Federal Reserve Bank.
