3 Companyprofile Company Profile Wiva Group is an Italian company that operates in the lighting business with a strong focus on technological innovation, energy saving, and protection of health and the environment. The business was set up in 2007, the result of the creativity and commitment of a group of professionals with diverse skills and experience and, today, Wiva Group is a company with a sound corporate, organizational and commercial structure that is engaged in important partnerships and cooperation in the research and technology world. Wiva Group produces light sources, LED light fixtures, electrical material and electronic lighting drivers and controls. 4 Wiva Group S.p.A. starts off in Florence as an industrial venture of the management of the company Prometeo S.p.A., which has been in the electrical products distribution business since With the many years of experience gained in this sector by Giuseppe Ranieri - Chairman and CEO of Wiva Group - in prominent companies such as Osram and Duralamp (Targetti Group), plus the consolidated knowledge of the market of the other members of the management team, Patrizia Ficarra, Roberto Fiorentini and Liliana Cardinale, a new industrial group has been created, over time, based not only on marketing and distribution of electrical products but also on conception and production of innovative solutions in the field of energy-saving light sources. The company establishes itself in production and supply of lamps under contract for the Bodies & Institutions channel, then in marketing of its own brand of products for the electrical-hardware retail channels and largescale retailers, and finally in development of new light sources with proprietary technology. It was in this period that the Ekò lamp was launched on the market, made entirely out of recycled materials and containing a minimal amount of mercury compared to rival products, and the Click Off and Click Around patented products were developed in the electrical material sector. In order to support growth and make major investments in Research & Development, Wiva Group enters into relations with SICI Sgr, which through the investment fund Fondo Toscana Innovazione underwrites a convertible bond with a 40% conversion ratio in the same year. As a result of the company s good performance, SICI exercises the loan conversion option obtaining a 40% stake in the company. In fact, in a short time Wiva Group succeeded in accomplishing strategically important activities that laid the foundations for important paths of growth such as expansion of the products portfolio and development of a full range of LED lamps. In broadening and diversifying its field of operations, Wiva Group presents two new lines on the market: Lighting, LED lighting fixtures, and Wireled, innovative-design LED light sources. The start of business in the foreign market takes concrete form with the establishment of two subsidiaries in Germany (Wiva Deutschland GmbH) and in Spain (Wiva Group Illuminacion SL), through which the company aims to establish an effective presence in the European market and drive its development potential. In the same period, Wiva Group joins ELITE, the Italian stock market s program for development of businesses, thus embarking on a journey that is marked by growth and industry leadership. Gradual buyback of the stock held by SICI is also implemented by the controlling company Prometeo S.p.A., as envisaged by contractual agreements. Wiva Group puts its plans in place, defining in detail objectives and timing in the three-year Industrial Plan, based on development strategies aimed at identifying and exploiting new opportunities for growth through internationalization, innovation and diversification. Implementation of this plan is strengthening the prominent position that Wiva Group has gained in the industry over the years, increasing the competitive advantage of the business in all its target markets and laying strong foundations for ambitious future goals. 4

7 Companyprofile The Group Wiva Group S.p.A. has its headquarters in Florence, where the general management of the business, its financial, marketing and commercial management, research and development, and also all other operational and support activities are concentrated. The business directly and wholly controls the companies WIVA DEUTSCHLAND GmbH and WIVA GROUP ILLUMINACION SL, located respectively in Germany and Spain, which carry out commercial activity managing a network of agents based on the Italian model, developing networks and acquiring new custom. The recent acquisition of DRAGON LIGHT ELECTRON Ltd., a trading company based in Hangzhou China s technology center - which has been Wiva Group s precious operational partner for many years, will enable the business to increase its competitiveness and strengthen its position in Chinese industrial activity in the sector. Creation of the MADE IN ITALY PRODUCTION CENTER in the Florence area has further expanded the group s organization and, in addition to being an important relocalization on Italian territory in total contrast to the trend in the industry, allows Wiva Group to produce the innovative solutions with greater added value directly in its own plant. 7

IIT CNI Italian Institute of Technology Center for Nanotechnology Innovation The Center for Nanotechnology Innovation (CNI) is an interdisciplinary research and development center dedicated to the investigation and exploitation of phenomena at the nanoscale. 13 Companyprofile Technical office Cross Media Publishing Production of information and sales material (catalogs, brochures, product datasheets, price lists, digital materials), material for retail outlets and packaging is based on a data and information acquisition, management and deployment process that makes it possible to optimize the time required to produce such material, at the same time minimizing margins for error. Complete, up-to-date data, managed by the technical and sales departments directly in the company database, is extracted by the CROSS MEDIA PUBLISHING system, developed in house, and made available for use in the design and production of the various materials.
