1 John Scutt Biography Tel: Mobile: John is Managing Director of The Lindfield Partners Pty Ltd trading as Essential Management Services (Lindfield Partners) and has successfully provided business mentoring and management consultancy services for the Small Medium Enterprise (SME) market since 2006 following a 35 year career in the corporate world. John is recognised as having strong business, marketing and financial skills honed over many years in listed and private companies and has published articles in various publications including the Australian Business Solutions Magazine and Peninsula Living. As a speaker John has presented to an Australian Institute of Company Directors forum on the Benefits and Pitfalls of Mergers & Acquisitions. Over the past 10 years John has built Lindfield Partners with the addition of two partners, Paul Byers and Andrew Collins to provide a range of services offered to SME businesses to take the key steps to the next growth stage or alternatively maximise the value of your business if it is time to sell. John has personally developed a proven range of business services that are offered as part of the engagement with a business owner. There are a complete range of business services including: CEO Mentoring, Business Succession Plans, Strategic Business Plans, Company Valuations, Mergers & Acquisitions, Debt and Equity Raising, Sales & Marketing Plans, New product and services launches, Commercialisation of Intellectual Property, Government Tenders, Company Secretarial and Executive Search for managers or Board members.

For John, Australian business will need to develop a positive edge through the creation of intellectual property and managed innovation that will lead to improved productivity and profitability within the Australian business community. Over his career John has always sought opportunities that enabled him to assist companies create greater shareholder value. Experience Over a 35 year corporate career, John worked with a range of international and local companies including Commonwealth Steel Company Limited (subsidiary of BHP Group), Austen & Butta Limited (partner with Shell Group), Young & Rubicam Advertising, DFS Australia Pty Limited, Allders International Pty Ltd (Allders plc), TVSN Limited, CiTR Pty Ltd (subsidiary of University of Queensland) and Inventis Limited (formerly Gregory Australia Limited). In many of these roles John held Executive Director, CEO, CFO and/or Company Secretarial positions. John has more than 40 years professional and commercial experience with a proven track record of success in managing start-up operations as well as small and medium sized national and international companies covering industries as diverse as transport, manufacturing, retailing, advertising, television, commercial property, IT software, government and mining. John s commercial experience, both from an investor and management perspective covers a broad range of disciplines including board, management, operations, sales, distribution, marketing and finance. At Lindfield Partners, John has built an impressive list of SME business clients covering retail, food & beverage, manufacturing, IT services, professional services (architects, accounting and legal practises), transport & infrastructure, NFP aged care, advertising and PR, commercial property to name a few categories. Education John holds a Bachelor of Commerce (Honours) from the University of Newcastle and was awarded the University Medal in Accounting in his Honours year. Memberships John is a FCPA member with CPA Australia, a FAIM member with the Australian Institute of Management and a FAICD member with the Australian Institute of Company Directors.

3 Directorships Executive & Non Executive Directorships/Advisory Board/Chamber of Commerce Roles Manly Warringah Pittwater Community Aid Service Inc. (Community NFP Services). Appointed as a Non Executive Director in July 2014 and President in February MWPCAS is engaged in a range of community related activities designed to assist elderly people remain in their own homes rather than be moved into more expensive retirement and aged care facilities. As President the non-executive duties includes working with the CEO covering organisational change and growth plans including review of corporate governance, risk management policies, strategic business plan, executive recruitment, mergers and acquisitions opportunities and capital restructure including new commercial building services. Mona Vale Chamber of Commerce (Business & Community NFP Services). Appointed to the executive committee in June 2010 and appointed Vice President in March The Chamber is engaged in a range of community and business related activities. The executive committee duties includes event organisation, membership growth plans, ongoing relationship with Northern Beaches Council on a range of community initiatives and promoting member services to the broader business community in Mona Vale. I was appointed to the Committee that organised the 50th Anniversary of Mona Vale Hospital celebrations in October 2013 and completed a successful fund raising event in February 2016 raising $40,000 in donations for the hospital. Appointed non executive Chairman of Advisory Committee in April Assisted the senior management team with growth plans including review of strategic business plan, mergers and acquisitions opportunities and capital structure. Resigned June 2013 when business owner decided to resume an executive employment career. Appointed non executive Director March 2008 and Chairman of Board in December Assisted the senior management team with organisational change and growth plans including review of corporate governance, risk management policies, strategic business plan, mergers and acquisitions opportunities and capital structure. Resigned September 2011 at the completion of the organisation change project that commenced in early Guthix Pty Ltd (Telecommunications, Music & Software). Appointed non executive Director and Chairman of Board in October Assisted the senior management team with the turnaround and growth plans including review of corporate governance, risk management policies, strategic business plan, mergers and acquisitions and capital structure. Resigned September 2011 at the completion of the organisation change project. Pittwater Business Limited (NFP Business Network Services). Appointed non executive Director in November Assisted the Board with organisational change and growth plans including review of corporate governance, risk management policies, strategic business plan and mergers and acquisitions opportunities. Resigned in March 2014 when appointed to role of Vice President at Mona Vale Chamber of Commerce due additional responsibilities within the Chamber.

Broad range of industry experience, in both large and small organisations, including manufacturing, mining, retail, television, advertising & marketing, government and information technology industry sectors. Diverse work experience in different business environments including China, Japan, USA, UK, UAE, Hong Kong, Singapore, New Zealand, Korea, Taiwan, Thailand, Malaysia, Philippines and Indonesia. Managed diverse staff teams across a full range of organisation disciplines including general management, sales & marketing, operations, distribution and finance throughout the Asia Pacific region. Built winning organisations by developing and managing effective customer service solutions for staff to follow.
