The founding family Bartholet remains invested and the management team around Chairman Roland Bartholet is supporting the transaction. A strategic objective of the transaction was to enable the BMF group to enhance further its strategic development in China and other strongly growing regions in Asia. Financing of Myovant Sciences Myovant Sciences (NYSE: MYOV), a biopharmaceutical company focused on the innovative treatment of endocrine diseases, has secured flexible financing commitments of up to USD 140 million from NovaQuest Capital Management and Hercules Capital, Inc. The proceeds from both financings will be used to fund the ongoing Phase 3 development of Myovant's lead compound "relugolix". VISCHER advised Myovant Sciences as Swiss counsel. Syngenta is one of the largest agrichemical groups worldwide, with a workforce of more than 28,000 across 90 countries, The purchaser is the Danish DLF Seeds A/S, a global seed company with around 800 employees at 13 sites worldwide. The transaction was completed on 29 September The parties have agreed not to disclose the purchase price. Financing of Axovant Axovant Sciences (NYSE: AXON), a leading clinical-stage biopharmaceutical company focused on the treatment of dementia, entered into a $55.0 million debt financing agreement with Hercules Capital, Inc. (NYSE: HTGC) ("Hercules"), a leader in customized debt financing for companies in life sciences and technology-related markets. Takeover of SHL Telemedicine by triangular merger SHL Telemedicine Ltd, Tel Aviv (SHL), a company listed on the SIX Swiss Exchange, and Shanghai Jiuchuan Investment (Group) Co., Ltd, Shanghai (the Purchaser) have entered into a merger agreement, pursuant to which the Purchaser will, through one of its wholly owned subsidiary, acquire the entire share capital of SHL by way of a reverse triangular cross border merger. The transaction is subject to the approval by the shareholders' meetings. SHL is a leading provider and developer of advanced personal telemedicine solutions. VISCHER advises Shanghai Jiuchuan Investment (Group) Co., Ltd, on all capital markets, stock exchange and takeover law aspects in this transaction. The team is led by Matthias Staehelin (Partner) with (Ruben Masar and Desirée Dietlin (all Corporate). GlycoVaxyn sold to GSK shortly before IPO VISCHER represents the sellers of GlycoVaxyn AG, in its sale to GlaxoSmithKline (GSK) for a consideration of $190 million, valuing this privately held Swiss vaccine company in Schlieren-Zurich at $212 million in total. GlycoVaxyn s innovative biological conjugation platform originates from ETH Zurich and enables the development of a new generation of conjugate vaccines against major bacterial infections. VISCHER has been assisting several financing rounds raising approximately CHF 50 million of equity funding with top-tier private investors including Sofinnova Partners, Index Ventures and Edmond de Rothschild Investment Partners. VISCHER has also been assisting the Company's plan to go public on the Swiss Stock Exchange in spring 2015; this IPO was close to completion prior to the sale to GSK. Covagen AG, located in Schlieren near Zurich, is a privately-held, biopharmaceutical company specializing in the development of multispecific protein therapeutics through FynomAb by fusing fully human Fynomer binding proteins to antibodies. Covagen was cofounded in 2007 by Julian Bertschinger and Dragan Grabulovski as a spin-off company of ETH Zurich, Switzerland. VISCHER has been assisting Covagen in its inception, has been advising Covagen in all its financing rounds as well as major collaborations and has now acted for Covagen for Swiss law matters in its sale. The team is lead by Matthias Staehelin with Ruben Masar (Corporate), Nadia Tarolli (Tax) and Melanie Knüsel (Tax). Anokion SA closes Series A financing round of CHF 33 million ($37.5 million). VISCHER advises Anokion SA in Lausanne in its closing of a Series A financing round for CHF 33 million ($37.5 million). A group of leading life sciences venture capitalists, consisting of Novartis Venture Fund, Novo Ventures and Versant Ventures, co-led the financing with additional participation by private investors. The spin-off from the Ecole Polytechnique Fédérale de Lausanne (EPFL) has developed a technology for retraining white blood cells to induce therapeutic immune tolerance.
