2 MISSION STATEMENT Roanoke Valley Community Credit Union, a member-owned, democratically controlled financial cooperative that exists Not for Profit, not for Charity, but for Service, is committed to serve the financial needs of our membership. It is our responsibility to maximize the benefits to our members while maintaining financial stability. OUR VALUES Members - The only reason we exist. 6 2015 ANNUAL MEETING MINUTES The Annual Meeting of the Roanoke Valley Community Federal Credit Union was held on Thursday, May 5, 2016 at 7:00 p.m. at the Jefferson Center, Fitzpatrick Hall. Woody Windley made a motion that the registration for the door prize drawings be cut off and doors closed so the credit union staff could join the Annual Meeting. Tom Hard seconded the motion; the motion carried with full approval. The Vice-Chairman, Tom Hard, welcomed the members to the Annual Meeting and outlined the agenda for the night s meeting for those in attendance. It was moved by Tom Hard and seconded by Mike Rayl to dispense with the reading of the Minutes of the May 12, 2015 Annual Meeting; the motion carried. The following reports were given: 1. Chairman s Report was given by Woody Windley for Betty Massey. 2. Treasurer s Report was presented. 3. Supervisory Committee s Report was given by Woody Windley for Bill Clingenpeel. 4. President s Report was given by Woody Windley. Unfinished Business There was no unfinished business. New Business There was no new Business. Nominating Committee Woody Windley on behalf of Mary Jane Barrett, Committee Chairman, presented the following nominees to serve on the Board of Directors for a 3-year term: Rod Dillman, Tom Hard, Mike Rayl and Al Brown. It was moved by Dee Dixon and seconded by Mary Jane Barrett to accept the slate of nominees as presented; the motion carried with full approval. John Wilson was recognized for his sixteen years of service on the Board of Directors. College Scholarships Rickie Sykes, Committee Chairman, announced the winner of the $1,000 Tom Gagnet Educational Scholarship, Allyssa Sampson. Allyssa currently attends Eastern Montgomery High School and plans to attend Bridgewater College. The winner of the $1,000 Cecil Bollinger Scholarship is Mollie Woods. Mollie attends William Byrd High School and plans to attend Virginia Tech. The winner of the $1,000 Gay Shober Scholarship is Katryn Lawson. Katryn attends Danville Community College. Allysa Sampson and Katryn Lawson were present to accept their awards. Blaine Florow was drawn as the winner of the $500 General Scholarship. Woody Windley introduced the Board of Directors and the Credit Union Staff. There being no further business, Tom Hard made a motion to adjourn the 2016 Annual Meeting. Mike Rayl seconded the motion; the motion carried with full approval. The meeting adjourned at 7:35 p.m. Drawings for door prizes were held after adjournment. 7 CHAIRMAN S REPORT This past year has been another successful, challenging, and rewarding year for the credit union. As the voice of the members and stewards of the credit union s assets, we are constantly ensuring that RVCCU remains profitable, adheres to ever-changing regulations, and provides the services that the majority of our members desire. During the year, we added new Board member Al Brown, who had previously served on our Supervisory Committee. We reviewed and updated multiple policies and procedures over asset liability management and electronic security to provide updated sound guidance to management and staff for the operation of the credit union. To keep the Board up to date on current management topics and comply with NCUA Board Literacy regulations, we participated in distance learning courses provided by the NCUA. As we have grown over the past couple of years, many members had expressed their dissatisfaction with the phone system at the credit union. We decided to address this issue by developing a formal call center with multiple operators that began in the first quarter of We will be enhancing this service with mobile and website chat function later this year. We thank you all for continuing to support your credit union and believe membership in our credit union grows more rewarding every year. It has been an honor to serve as the Chairman during this time and to help in the development of the Roanoke Valley s premier member-owned financial institution, Roanoke Valley Community Credit Union. 8 TREASURER S REPORT The Treasurer is charged with insuring that the monetary assets of the credit union are managed wisely and safely. Oversight and proper management of Assets and Liabilities is a demanding task in today s financial environment. Loans continue to increase at a slow, but steady pace. We are still seeing strong growth in deposits and are approaching $75 million in assets. The increase in loans and deposits, even with the slight decrease in members, shows that the majority of the closed accounts were inactive, while most of the remaining accounts belong to members who actively use the credit union s services. Our goals for the credit union center on obtaining safe and secure returns on loans and investments in order to pay competitive dividends on deposits, cover expenses, develop new services, and safeguard our capital for the future. The financial position of the credit union remains strong. The Asset and Liability Management Committee continues to manage growth while mitigating risks. As always, the plans for the credit union are made to keep the best interests of all of our members in mind. 11 SUPERVISORY COMMITTEE S REPORT Throughout 2016, the Supervisory Committee undertook steps to monitor the financial management of the credit union, meeting at least quarterly to review internal records and perform surprise cash counts. The committee employed the services of Brown, Edwards, and Company, L.L.P. to perform the annual audit of the financial records on their behalf. They were conducted as agreed-upon procedures in accordance with NCUA mandated auditing procedures. We also contracted the Virginia Credit Union League to perform audits of our procedures concerning BSA Compliance and ACH Operations. The Committee is pleased to report that the credit union is operating in the best interest of the membership and in accordance with generally accepted accounting procedures, credit union bylaws, and the rules and regulations of the National Credit Union Administration. The Supervisory Committee will continue to look at new ways to oversee the credit union s financial management in order to further serve the Board of Directors and the credit union s members. 12 PRESIDENT S REPORT 2016 was another successful year of growth and improvement at your credit union. Although we did not have any exciting projects like a new branch or a merger like in 2015, we still had a lot going on. It is good to have a year or so when you just work on improving the functions and services of the credit union. Some of the projects that went on behind the scene were the conversion of our debit/atm processor, security and performance updates to our internal computer system, and the development of our call center. Although it doesn t sound glamorous, the debit/atm processor conversion allowed us to issue up-to-date chip cards to our members at no cost to the credit union. It also allowed us to offer Apple Pay in 2016 and now Samsung and Google Pay in Probably the most important feature was the enhanced card fraud detection service that has cut fraud losses to the credit union in half and reduced the frustration of members having to deal with compromised cards. We ve got many more great things coming this year. Thank you for being a part of our cooperative and we look forward to a successful Woody Windley President 12

14 SCHOLARSHIP AWARDS RVCCU began as a teachers credit union and we are proud of our close ties to our local school systems. Educational opportunities for our members, their children, and our community are very important to us. In that spirit, we offer three annual scholarship awards. The recipients of this year s awards all reflect RVCCU s mission and principles through their superb academic achievement, community involvement, and work ethic.
