2 Message from the Chairman & CEO Thank you for investing in Plus4 Credit Union. Last year was again challenging for financial institutions. Change is here to stay. It has now become a new normal and we at Plus4 are embracing it. The financial services sector has undergone more change in the last ten years. The combination of regulations, interest rate cycle and the rapid development of technology have caused us to plan differently. Despite this new normal, we have stuck to our core business strategies of serving our members by connecting and simplifying their financial journey. Tasks such as paying bills, budgeting, loans, saving for retirement are a fundamental part of what Plus4 offers. Plus4 continues to identify a wide variety of tools, support, information and strategies that are helpful in this continuing change in today s financial landscape. Plus4 follows a path driven by members wellbeing. Plus4 has targeted rewards for members by taking into account each member s unique interests. Our digital program not only offers members the ability to see their balances at Plus4, it can also display their accounts at other institutions while presenting the opportunity to track their spending habits. All of this can be done with Plus4 mobile enabled access. Plus4 is passionate in helping members weigh their financial options in order to make better decisions and peace of mind. Today 65% of members interact with Plus4 through multiple channels. Although our members have embraced multichannel access, they also expect higher value from face-to face interactions. We continue to tap into the talents of our team at Plus4, our next generation of leaders. Helping to turn challenges into opportunities for others and to find better solutions is our recipe for growth. We see our members financial journey beginning at Plus4. We appreciate our members loyalty. Owing to this strong partnership, Plus4 has increased over $7 million in assets while loans grew close to $5 million last year. We serve more members each year while enhancing our services to better assist our members. Plus4 Credit Union has seen many changes since Through the past 87 years we have always placed our members first in order for them to have a better quality of life. This is an exciting journey for us all as our business model is constantly changing as we walk the fine line between preserving some of our true traditions and introducing new ways to engage our members. Taking on this challenge in the financial landscape benefits our members and our organization. Meaningful change makes us who we are. 3 Minutes of the 86 th Annual Meeting MINUTES OF THE 86th ANNUAL MEETING OF PLUS4 CREDIT UNION The 86th Annual Meeting of PLUS4 CREDIT UNION was held on Saturday, March 12, 2016 at 9998 Almeda Genoa Rd., Houston, Texas. Mr. Wendell Greenleaf, Board Chair, called the meeting to order at 4:03 p.m. Mr. Wendell Greenleaf delivered the invocation. Mr. Wendell Greenleaf introduced the head table, as follows: Mr. Charles Charleston, Mrs. Delia Diaz, Ms. Margaret Glass, Mr. John Glenn, Mr. Robert Goedrich, Mr. Edward Johnson, Mr. Ed Martindale and Mr. Chuck Richard. Ms. Gail Reed and Ms. Watson were not present. Mr. Greenleaf declared a quorum present. He stated the Annual Meeting Program contained the printed minutes from the last meeting held on March 14, A motion was made by Mr. Martindale and seconded by Mr. Charleston to approve the minutes. Vote was taken, motion passed. Mr. Greenleaf welcomed the members to Plus4 s 86 th Annual Meeting. Mr. Greenleaf thanked Plus4 s staff for their outstanding work on the Plus4 Annual Day Event. Mr. Greenleaf thanked the board and management for their continued efforts. Mr. Greenleaf introduced each board member and stated that he was honored to serve as Chairman of Plus4 Credit Union for the past 5 years. Mr. Greenleaf shared with the members that 2015 was a good year and expects 2016 to be a year to reach out to members and provide guidance, build a relationship and above all learn about the members personal needs which drives their financial needs. At this time, Mr. Greenleaf introduced Mr. Vladimir Stark President & CEO of Plus4 Credit Union, who welcomed everyone at the annual meeting. Mr. Stark thanked everyone for taking the time to come out and celebrate Plus4 s 86 th anniversary. Mr. Stark stated that 2015 was a great year. Mr. Stark was pleased to say that this is a testament as to how dedicated Plus4 Credit Union is in serving members. Mr. Stark shared with the members how Plus4 is adapting to the current economic and competitive climate. Mr. Stark stated that the annual meeting is a very important time to hear from the president and board members. Mr. Stark continued by sharing a few stories that relate to being challenged by digital technology. Mr. Stark gave examples of how Amazon came in and changed how book selling is done. They swept away bookshops, and they are now laying siege to the rest of the retail sector. Mr. Stark stated that economist credit Amazon with making online shopping feel safe and opening doors for many to follow. They have recently received their patent to use its drone delivery system to further change the landscape again. Mr. Stark shared about the transportation industry where Uber is outrunning traditional taxi companies, while Airbnb is undermining the foundations of the hotel industry. Meanwhile, smartphones are transforming how we communicate and revolutionize the way we discover and shop via the internet. Mr. Stark stated that it is no surprise that banking and financial-service companies are also being immersed in this transformation shaped by new technology. Today money can be sent to the other side of the world simply by tapping an app, without ever interacting with a traditional financial service company. Acorns, an app that automatically allocates a proportion of everyday purchases to a preselected investment portfolio. Acorns works by encouraging you to invest your spare change. For example if you buy a cup of coffee for $2.75, Acorns will automatically take $.25 and invest it for you. Acorns is positioned as the best choice for millennials looking to dip their toes into the waters of investing. Mr. Stark stated that banks are feeling the hot breath of competition from Pay Pal, Google Wallet and others who mobile payments technology threatens to displace banks in consumers daily transactions. Mr. Stark stated that what will set the leaders in our financial industry apart from the competition is the investment we make in hiring, training and developing highly qualified financial advisers and multitalented customer service representatives. Value-added advice and peerless customer service, is not mere convenience anymore. It will be the bread and butter of the digitally powered financial institution. Mr. Stark s goal is to know Plus4 members as individuals, anticipate their needs and actively involve them in coming up with tailored solutions. Mr. Stark thanked the Board of Directors, the Management team and Staff for their full support and dedication during the past year. Mr. Stark thanked the members for choosing Plus4 as their financial institution. Mr. Greenleaf thanked Mr. Stark. He then asked for any unfinished business. There was none. He stated that we would now move on to new business. There was none. Several board members spoke about the credit union s management team and staff having done an outstanding job in the past year. Several board members shared their appreciation for the opportunity and privilege to serve Plus4 Credit Union s members. Mr. Greenleaf then reviewed the results from the last election for Board of Directors. He stated that the four candidates were elected by acclamation. The four candidates were Mr. Edward Johnson, Mr. Chuck Richard, Mrs. Delia Diaz and Mr. John Glenn. Mr. Greenleaf congratulated the board members and welcomed them to another 3 year term. Mr. Greenleaf asked if there were any questions. There were none. Mr. Martindale made a motion to adjourn. Mr. Goedrich seconded. The meeting was adjourned.
