2 YMCA OF METROPOLITAN DETROIT Metropolitan Board of Directors Meetin - September 24, 2013 C.E.O. ANNOUNCEMENT AND TRANSITION
3 The C.E.O. Transition Committee Commission The C.E.O. Transition Committee will be made up of five (5) members of the YMCA Metropolitan Board and one (1) member of the YMCA Charter School Board. The primary staff support for the Transition Committee will be Michael Weil of YMCA of the USA. The responsibilities of the C.E.O. Transition Committee are as follows: Conduct a nationwide search for qualified candidates. Carefully vet candidates backgrounds, references and personally interview those candidates and determine which candidates may be best suited for the position. Select the single best qualified candidate; negotiate terms of an offer within agreed-upon limits and C.E.O. salary ranges; and, propose the final candidate to the Board for ratification. Determine the C.E.O. Transition Budget: Sourcing and interview costs Background check costs Interview expenses Compensation range and transition package Moving and relocation costs. Share vision of this YMCA with potential candidates. Periodically update the staff and board members on the process. RST/ahp
4 SPECIAL BOARD RESOLUTION Given the announcement today, Tuesday, September 24, 2013, of Reid Thebault, President and C.E.O. of the YMCA of Metropolitan Detroit s, intent to retire from his position as President on or around May 1, 2014; Be it resolved, as Chairman of the YMCA Metropolitan Board, I commission a C.E.O. Search and Transition Committee to be chaired by Jim M. Nicholson and to include myself, Ron Deneweth, Mary Corrado, John Carter and Ehrlich Crain. The C.E.O. Search and Transition Committee's responsibilities will include: - Working closely with the YMCA of the USA's consultant, Michael Weil, to conduct a nationwide search for qualified candidates. Review candidates' backgrounds, credentials, references, etc. to select candidates to interview. Interview selected candidates. - Develop a budget for overall selection and transition process. - Select the best candidate for the C.E.O. position and submit the single selected candidate for Metropolitan Board ratification. - Periodically update staff and Board Members regarding the selection and transition process. Periodically call on other Board Members and staff to assist in the recruiting and transition process. MOTION: To adopt this Resolution A Second RST/ahp

September 24, 2013 Retirement Announcement After considerable thought and discussions with my family, I have decided, after 45 years of YMCA service; and, for the past 19 & Vz years as the C.E.O. of this YMCA, to retire on or around May 1, 2014 from this position. With the support of the leadership of the Metropolitan Board, I will continue to provide the chief executive staff leadership until the new C.E.O. is selected and ready to assume the responsibilities as the new President. In concert with the leadership of the Board and the senior management staff of the Y, these duties will continue to ensure the financial sustainability of the Y; fulfilling the Y s mission through its diverse offerings in programs and services; and, to prepare for a launch of a major fund-raising initiative in the near future. Over the past 19 years, we have, together, achieved many accomplishments. We have met and have overcome many challenges. At the same time, much remains to be done, if this YMCA is to remain progressively relevant and grow its reach in serving more and more childr n and families of the communities of southeast Michigan. It has been my distinct honor and privilege to serve with so many dedicated men and women both as volunteer board members and staff. The YMCA of Metropolitan Detroit has a tremendous history of service to this region. Just as I benefitted from the contributions of others who came before; hopefully, those who come after will continue the good works that build upon the strong foundation we have established for their work in the future. While I plan to retire from my position as C.E.O. of this YMCA, I do plan to continue my work in supporting YMCA initiatives in health, education and community development. And I will assist the staff and volunteer leadership where and when possible during this transition process as well as beyond - where and when appropriate. I want to thank everyone associated with this YMCA for making this phase of my professional life such a meaningful and rewarding experience. Most thoughtful regards, Reid. Will Erken, partner Deloitte & Touche LLP Agency Contact- Sandy Hermanoff Hermanoff Public Relations net For Immediate Release Thebault to Retire as CEO of YMCA Det oit, Mich., September 24, Reid Thebault, president and CEO of the YMCA of Metropolitan Detroit, has announced that he will retire on May 1, Thebault will step down after 45 years of YMCA service, and almost 20 years as the leader of the 14 Ys in metro Detroit Over the past 19 1 years, Thebault has let the Detroit Y through a series of change initiatives In January 2006, the Y opened its Boll branch in downtown Detroit, marking the completion of a $100 million capital development program. Prior to coming to Detroit, Thebault led the Dayton Metropolitan YMCA through a major reorganization process that included the elimination of capital debt, a redefining of the Y s role in the community, a successful capital development program and the construction of a new downtown YMCA facility. He began his YMCA career in 1969 in Houston, Texas, then moved to assignments in Oklahoma City and St. Louis. While on staff in Houston, he completed his law degree at South Texas College of Law, and the Key Executive MBA program of Pepperdine University, Houston campus. He is a licensed member of the Texas Bar. Thebault is the vice chairman of the Board of the Y Retirement Fund. He serves on the Board of Advisors of Redwoods Insurance Group and is a former Chair of the North American Urban Group YMCAs representing the 32 largest YMCAs in the US, Canada and Mexico. It has been my distinct honor and privilege to serve with so many dedicated men and women both as volunteer board members and staff, said Thebault.
