15 These Terms & Conditions are subject to change without prior notification 1. Definition Clause a) The Seller means T.P. Whelehan Son & Co. Ltd. b) The Buyer means the person who buys or agrees to buy the goods from the Seller. c) The means all items to be supplied by the Seller to Buyer. 2. General Goods are supplied by the Seller only on the following conditions. No variation of such terms and conditions will be binding unless expressly accepted in writing by the Seller. Accuracy of orders is the Buyer s responsibility and the Seller is not liable for errors. 3. Pricing The price list, current at the time of order acceptance by the Seller, shall determine the invoice price, unless the Seller notifies the Buyer of a different price. Seller may at its discretion change the prices for the s. Unless otherwise stated the price is exclusive of, which Buyer shall be liable to pay at the rate ruling at the date of invoice.. Payment Time for payment shall be of the essence. Buyer shall pay all invoices in the invoiced currency for within thirty (30) days of the end of month of invoice. Payment shall be considered as effective only upon receipt of the full amount invoiced, without any deduction of any kind. 5. Breach and Insolvency We shall be entitled to suspend deliveries and cancel any agreement if the Buyer is overdue with any payment (under any agreement with the Seller) or if the Buyer exceeds their credit limit or became insolvent or the Seller has serious doubts regarding the Buyer s solvency. 15
