Introducing our digital and IT services team Neil Bourne, Managing Principal Sydney, Australia Neil is a Principal with Eaton Square in Sydney with over 20 year s experience in the IT industries in roles ranging from technical, operational through to financial and strategic. Neil has been working as a corporate advisor in the technology sector assisting with growth strategies, capital raisings, mergers and trade sales for over 10 years. His clients range from software companies, IT services businesses and digital media businesses. Over 10 years venture capital experience with growth stage technology businesses having worked as an investment analyst at Technology Venture Partners and as an angel investor. In addition Neil draws on his experience with large organisations based on his time as a management consultant with Andersen Consulting (Accenture), assisting commercial and government clients with ecommerce strategies and IT implementations. Neil is an active early stage investor and director of several early stage companies. Andrew Light, Managing Principal Toronto, Canada Andrew brings over 25 years of IT and digital sector expertise having both professional firm and client-side industry experience. Andrew was formerly Vice President of consulting for PricewaterhouseCoopers (PwC) before heading up his own firm, as well as senior client-side roles with enterprises such as IBM, British Telecom, Shell, and SapientNitro. Andrew is focused on digital technologies & media, financial services, telecoms, mobile communications, government services, technology, retail, pharmaceuticals and education sectors. As a seasoned business executive Andrew assists clients across the globe with new business models, entering new markets, succession planning, exit strategies and change management. 3 Karla Horwitz Seattle Karla brings over 25 years experience helping companies to solve their strategic financial and growth issues. Karla helps her clients at a strategic financial level, assisting them in securing financing, positioning them for future transactions, and helping them to expand internationally. She has worked with companies in the high technology, telecom, mobile, games, social, consumer packaged goods, professional services and entertainment industries. Karla s experience includes CFO roles at companies in transition, such as PopCap Games, Click Wine Group, and Armco. She led the teams as a Senior Manager/ Partner of the advisory practices at Arthur Andersen and Tatum with clients such as Real Networks, VoiceStream, (now T-Mobile), Monet Mobile, Getty Images, WRQ/Attachmate, and large family offices. Karla also holds several Board membership and affiliations, including: Member Women Corporate Directors (WCD), Seattle Chapter Member of the Washington Society of Certified Public Accountants, (WSCPA) American Institute of Certified Public Accountants, (AICPA) Guest Lecturer, University of Washington, Entrepreneurial Studies. Nick Kelly Sydney Nick is a Principal of Eaton Square and is focused on M&A and capital raising in the cyber security and encryption software sector in Asia and Australia. Nick has extensive experience in the Cyber Security sector and is involved in numerous capacities, including consulting, search, channels development and advisory (M&A) including Consulting Firms, Service Providers, System Integrators and Product Vendors. Nick s key clients include Cisco, Orange Business Services, Deloitte Consulting, BAE Systems, Accenture, PWC, Macquarie Telecom, Macquarie Bank as well as numerous other high profile clients under nondisclosure. Merlin de R. Allan Sydney Merlin has built a career of growing businesses in Australia, North America and Europe. His sectorial focus includes IT Services, Business Process Outsourcing, telecommunications, e-commerce and software development. Merlin has spent the last 16 years in the ICT sector immersed in strategic growth, M&A and market insights. This includes leveraging the capital/debt markets for both private and public companies. Prior to joining Eaton Square, he was an executive Director with the SMS Group (ASX:SMX) where he was responsible for strategic growth. Within this role he completed and integrated 15 acquisitions across the IT sector. He is currently on a number of advisory councils and company boards, in addition to his not-for-profit work with the Arts and Education. Based in Sydney Australia, Merlin is a graduate of the University of West of England and a member of the Australian Institute of Company Directors. Hendrik Budliger Switzerland Hendrik is a Principal with Eaton Square in Basel, Switzerland focused on private equity projects and portfolio transactions, especially in the technology and digital sectors. Hendrik s is particularl;y focused on linking priave family offices and funds in Switzerland to international investments. His skills include matchmaking, advisory and investment administration. Previously he was Senior Manager at PwC and a Director at Bank J. Safra Sarasin. He has led international projects, in the areas of strategy, corporate finance and product development. Hendrik Budliger studied business administration at the University of St. Gallen (HSG), and Innovation Management at the FH Kaleidos Zurich. He is also a certified Financial Advisor IAF.

4 James Huey Beijing James is a Principal of Eaton Square who had a 30+ year career in the financial services industry, before shifting his focus to corporate advisory roles, specialising in investment banking, M&A, private equity and venture capital. Based in Beijing, James focusses on identifying sources of capital and partnerships for western companies from China. In particular, James supports Chinese technology companies and technology investment funds looking for investments in the US and Australia. Similarly, James works with clients from outside China who seek to enter the China market or find a Chinese partners or investor. James is an experienced non-executive Director of several listed and unlisted companies in Australia, mostly involved in IT, financial services, or property development. James is supported by a team in Beijing and Shanghai. Jay Sala Hong Kong & Manila Jay has 25 years of experience in banking, asset management and professional services across Asia and has been based in Hong Kong since Jay was previously a Managing Director at J.P. Morgan where he held Chief Financial Officer and Head of Strategy & Business Development roles across the Investment Bank, the Private Bank and Asset Management. Jay also previously held senior positions in the Financial services practices of global strategy consulting firms, The Boston Consulting Group (BCG) and A.T. Kearney (ATK). Jay has worked across Banking (Investment Banking & Markets, Corporate Banking, Private Banking, Retail Banking, Credit Cards), Asset Management (Retail, Institutional, Alternatives) and Insurance (Life, Nonlife, Investment-linked) as well as the rapidly evolving FinTech and innovation space. Jay s expertise includes portfolio, business & client segment strategies; M&A, Joint Ventures and partnerships; market entry; and merger integration. Jay is also active in FinTech and Venture; he is a Speaker at regional conferences and is on the Board of Advisors and an Investor at Venture Capital firms and promising start- ups. He maintains a strong network of global and Asian financial institutions, Asian conglomerates, sovereign institutions, family offices, private equity and venture capital firms. Jay has worked across Asia (China, Hong Kong, Taiwan, Japan, Korea, India, Singapore, Malaysia, Indonesia, the Philippines, Vietnam, Australia) and was previously based in the U.S. (San Francisco, Chicago). Jay has an MBA from the Kellogg School of Management and a BA in Economics from Pomona College. He is a Fellow with the Hong Kong Institute of Directors (HKIoD) and has Certificates in Listed Company Direction and the Role of an Independent Non-Executive Director. Bryceon Sumner Seattle, USA Bryceon joined Eaton Square to focus on the Education Technology (EdTech) sector in the US and Asia. Bryceon has led in executive roles as the division president, COO and CFO/senior financial officer for public and private companies, family offices and a $60B government banking insurance fund. His experience stretches across ed-tech, AEC, SaaS, data driven marketing, health care technology and financial/professional services. Bryceon also has a strong background and expertise in the areas of corporate finance, M&A, strategic planning, operations and as a CPA has helped provide valuable leadership and support to many companies and boards. As well as several senior executive roles, Bryceon has worked on multiple IPO s including a banking tech IPO and related five-company rollup. This company was later sold for $3.9B. Subsequently selected as the senior financial officer for the FRF fund, a $60B Congressional appropriation to resolve financial institution insolvencies and the merger of over 200 financial institutions.

5 Reece Adnams, Managing Principal Sydney, Australia Reece is the Founder and Global Managing Principal of Eaton Square and Chairman of Eaton Square Ventures, focussed on M&A transactions for technology companies. Reece was first exposed to Internet technologies and start-up businesses in the early 1990s when working at IBM Corporate Headquarters in Armonk (NY) on a project to identify what the internet could mean for IBM?. This was the very early days of e-commerce and was a time when aggregators were expected to dominate every industry and page listing businesses were contemporary. Following this role, Reece moved to Royal Dutch Shell corporate headquarters in London to drive its global e-commerce strategy. This strategy lead to the unification of Shell s global online brand, the equipping of business units for e-commerce transactions across 50+ countries and lead to the establishment of Shell Internet Works a business unit with a $100m fund to invest in internet ventures globally. Reece returned to a strategy role at media company Fairfax in the early 2000s before entering a private equity partnership in 2004 focused on investments in technology, professional services and disruptive businesses. This partnership became Eaton Square in 2008 and Reece took sole ownership of the firm in Alex M. Hill Hong Kong Alex has over 25 years of experience in Greater China and South East Asia originating, leading and managing cross-border, capital raising, M&A and advisory transactions for mid-market, family owned and corporate clients. Most of Alex s clients are located in the Asia / Pacific region from China south to Indonesia, and Thailand east to the Philippines and Taiwan. Industries ranged from consumer, hospitality and technology sectors to agribusiness, energy infrastructure, insurance and financial services. Focused mainly on private transactions Alex maintains a strong network of private equity, venture capital, family office and corporate investors in Asia and elsewhere. Previously, Alex co-founded and managed the development of two financial information / data analytics businesses headquartered in Hong Kong that were focused on increasing global financial industry access to fundamental Asian company information through innovative data management and Internet delivery strategies. Originally from Philadelphia, USA, Alex is a graduate of the University of Vermont, and speaks Mandarin Chinese. Gary D. Mays Palo Alto, USA Gary is a senior executive with over 20 years of global IT Services and Telecommunications experience. Prior to joining Eaton Square, Gary was responsible for business/product strategy and development for selected internet and video products as a Senior Advisor at Comcast NBC Universal headquarters in Philadelphia, PA. Additionally, Gary was the Vice President for Pactera Australia (formerly BearingPoint) based in Auckland and Sydney with responsibility for the telecommunications and financial services practices. Additional responsibilities as part of executive leadership team for Australia that included (consulting/bpo/ito) sales across other vertical industries, corporate development and strategic initiatives for the firm. Previously Gary was a Senior Advisor for MarketAccess Group a boutique investment and advisory firm, Global Practice Head for Telecommunications, Media and Entertainment for Tata Consultancy Services (United States and India), Chief Operating Officer for BearingPoint s Infonova software business unit (based in Graz, Austria with Global P&L responsibility), Global Practice Head for Telecommunications at Unisys, Director of Utilities and Telecommunications/Media/ Entertainment for PricewaterhouseCoopers and Director of Global Systems Integrators at Sybase.
