5 Areas of Practice Mergers and Acquisitions We advice sellers and buyers in transactions involving the transfer of undertakings and assets, stock purchase agreements and corporate restructurings. We have developed vast experience in the negotiation of the standard and most usual clauses in this type of transactions, in the design of negotiation strategies and in the implementation of the legal structures that will allow for an adequate transfer of business tailored to each client s commercial, tax, legal and business needs. We handle proceedings before government agencies and regulatory entities in relation to the authorizations required in merger and acquisition operations, inter alia, the Office of Corporations (Inspección General de Justicia), Securities Exchange Commission (Comisión Nacional de Valores), the Argentine Central Bank and the Antitrust Commission (Comisión Nacional de Defensa de la Competencia). Contracts & Banking Law We counsel our clients in the negotiation of commercial and financial agreements and advice clients engaged in several economic activities. We assist our clients, which include both borrowing companies and lending banks and institutions, in financial transactions such as bilateral loans, syndicated loans, derivative transactions, financial trusts, issuance of debt securities in public and private offerings and matters related to bonds and guarantees [security documents?]. We also provide advice concerning the [drafting], negotiation [and performance] of business contracts including, without limitation, distribution agreements, international purchase and sale agreements, employment contracts, trust agreements, industrial plant

We advice banks and financial institutions in matters concerning their operations, in the negotiation of all types of banking contracts and in a wide variety of banking regulatory issues. Corporate Law We provide advice on corporate matters, both general and special, such as the formation of companies (in Argentina and abroad), capital increases, approval of financial statements, documentation related to the holding of board of directors and shareholders meetings, payment of dividends, corporate reorganizations, mergers, corporate conflicts and liability of corporate officers and directors. In all cases we provide full legal advice according to our clients business needs. We have also advised corporations and banks in the public offering of their shares and options. We have vast experience in handling proceedings with corporate control and regulatory agencies, such as the Office of Corporations, (Inspección General de Justicia), Securities Exchange Commission (Comisión Nacional de Valores), and several Stock Exchanges. We also assist listed companies with issues related to their compliance with all public offering regulations applicable to their activity and the different disclosure regime mandated by stock exchanges and markets both in Argentina and abroad. Litigation and Insurance We have vast experience in representing plaintiffs and defendants in court and administrative procedures in civil, commercial and employment cases both ordinary and complex ones- and in designing successful litigation strategies. 7 Real Estate We advice companies engaged in real estate market investments and have the necessary expertise to handle real estate purchase and sale transactions, securing all required authorizations, tender procedures of any kind (labor, procurement of supplies, etc) and compliance with applicable regulations and statutes. We also assist clients in all matters related to the negotiation of real estate leases and issues concerning horizontal property and condominiums. Foreign Trade We advice importer and exporter companies of commodities and goods such as grains, meat, barley, flour, wine and other manufactured products, and in the compliance with all regulations applicable in each case. 9 Pablo Aleman Pablo Aleman is an attorney graduated from the School of Law of Universidad Católica Argentina (J.D. cum laude, 1989). He received an LLM degree from Harvard Law School (LL.M, 1993) and a Business and Management Program degree from Universidad de San Andrés (2000). He is a member of the Bar Association (Colegio Público de Abogados de la Capital Federal) and of Harvard Club of Argentina. Mr. Aleman has been in private practice for the last twenty years handling commercial and financial law matters, and has advised buyers, sellers and banks in merger and acquisition transactions. He has also advised banks and companies in the negotiation of commercial and financial contracts, loans, syndicated loans and other financial transactions, as well as issuers, underwriters and trustees in the issue and placement of debt and equity securities as well as debt restructurings and exchanges. 10 Geraldine Trouilh Geraldine Trouilh is an attorney graduated from the School of Law of Universidad de Buenos Aires (JD, 1998). She received post-graduate degree in Capital Markets from Universidad Católica Argentina (1999) and attended a Business Course in London School of Economics (2001). She is a member of the Bar Association (Colegio Público de Abogados de la Capital Federal). Mrs. Trouilh specializes in financial, mining and commercial matters. She has advised trustees, trustors and arrangers in structure transactions, public offering approvals and organization, asset securitization, including commercial loans, mortgages and sale receivables, warrants, notes, export credits; she has advised banks and corporations in the creation and approval of investment funds, debt restructuring, note issuances and bilateral and syndicated loans, both secured and unsecured. 11 Josefina de Elizalde Josefina de Elizalde is an attorney graduated from the School of Law of Universidad Católica Argentina (JD, 1993). She attended the Program of Instruction for Lawyers (PIL) at Harvard University as well as many other workshops of continuing legal education. She is a member of the Bar Association (Colegio Público de Abogados de la Capital Federal) Mrs. de Elizalde worked for the United Nations Development Programme (UNDP) as advisor in the Ministry of Economics, Investments Under-Secretariat ( ). She has practiced law for more than 20 years, in the following law firms Cárdenas, Cassagne & Asociados ( ), M&M Bomchil ( ) and in her own law firm Elizalde, Medin & Asociados ( ). Currently she is in private practice. 12 Diego Espiga Diego Espiga is an attorney graduated from the School of Law of Universidad de Buenos Aires (JD, cum laude, 1998). He received an LLM in Natural Resources Law from Universidad de Buenos Aires (UBA) (2004). He has been Assistant Professor of Natural Resources Law (Régimen Jurídico de los Recursos Naturales) at Universidad de Buenos Aires ( ). He has also been Research Associate at the Hall Center for Law and Health of the Law School of Indiana University (IUPUI), Indianapolis.
