7 Clifford J. Risman Partner and Chair, Hospitality Industry Team Gardere Wynne Sewell LLP Cliff Risman leads the Gardere Hospitality Industry Team. His comprehensive business and real estate practice covers private, public and institutional developers, purchasers, equity investors, tenants, operators and lenders in the development, acquisition, financing, leasing, operation, branding and sale of all forms of commercial, industrial and residential real estate with particular emphasis on the hospitality industry specifically hotels, resorts and mixed-use properties throughout the United States, Canada, Mexico, Europe, Asia and the Caribbean. Mr. Risman is experienced in structuring domestic and foreign equity investments and the formation of equity investment entities such as partnerships, joint ventures and limited liability companies; the negotiation of management, franchise, development and design agreements; the structuring, development and marketing of various whole and fractional residential ownership products and related rental program arrangements; the structuring of management, license, use and access agreements for golf, spa and residential project components; major lease and other corporate facilities transactions; and real estate matters involving foreign investors. A frequent speaker and author on domestic and global hospitality matters, Mr. Risman is also involved in several industry associations, including the International Society of Hospitality Consultants, Academy of Hospitality Industry Attorneys, Global Alliance of Hospitality Attorneys, Hospitality Industry Bar Association, State Bar of Texas and the American Bar Association. Mr. Risman is recognized in Chambers USA: America s Leading Lawyers for Business for Leisure & Hospitality [Nationwide] and Real Estate [Texas]. He has been listed in Texas Super Lawyers for the past nine years as published in Texas Monthly magazine. Mr. Risman received his J.D. magna cum laude from Syracuse University College of Law and his B.S. magna cum laude from Syracuse University. G. Randle McCaslin Vice President & Practice Leader PKF Consulting USA Randy McCaslin is the Vice President and Practice Leader in the Houston office of PKF Consulting USA, which is responsible for the Texas and Louisiana practice. His expertise includes market and financial feasibility and appraisal analysis for hotel, resort, convention center, museum and other hospitality related developments. He has also been the asset manager for several upscale, full-service hotels. Mr. McCaslin has almost 30 years experience in the hospitality industry; 20 years in consulting and 10 years in operations. He earned his B.A. from the University of Texas at Austin and his M.B.A. from the University of Houston. He also completed numerous courses at the University of Houston Conrad Hilton College of Hotel & Restaurant Management, where he was recently awarded Honorary Alumni status.

8 Chuck Bedsole Managing Director - Global Leader of Hospitality & Leisure Group Alvarez & Marsal Real Estate Advisory Services, LLC Chuck Bedsole is a Managing Director and the Global Leader of A&M s Hospitality & Leisure Group. He advises companies in the United States, Latin America, Asia and Europe on hospitality, tourism and real estate projects across the globe. He has significant experience with residential, commercial and industrial projects. With more than 29 years of industry experience, Mr. Bedsole works with a variety of hospitality properties including hotels, mixed-use resort developments, hotel condominiums, interval ownership, all-inclusive resorts and marinas. His advisory experience includes restructuring/workouts, strategic planning, asset management, due diligence, feasibility, valuation, marketing and financing engagements for multinational companies, capital sources, developers, financial institutions and governments in major markets. Prior to joining A&M, Chuck served as a Practice Leader in the Hospitality & Leisure group of a Big Four Accounting Firm. Before that, he was Director of Development for Jack Tar Village Resorts, Inc. and was responsible for new resort development and acquisition in Latin America and the Caribbean. Mr. Bedsole received his B.B.A. from the University of Texas at Austin, is fluent in Spanish and conversant in Portuguese. He is a founding sponsor of the Mexico Resort Development Conference. He frequently speaks at key industry conferences in the United States and Latin America and has authored numerous articles. He also lectures for the University of Texas at Arlington s Certificate in Property Repositioning program. Thomas J. Corcoran, Jr. Chairman FelCor Lodging Trust Incorporated Mr. Corcoran is Chairman of the Board of FelCor Lodging Trust. In 1991, he co-founded FelCor, Inc. with Hervey Feldman and in 1994, FelCor went public with six hotels and a market capitalization of approximately $120 million as a hotel REIT. In 1996, FelCor was listed on the New York Stock Exchange and in 1998, changed its name to FelCor Lodging Trust Inc. Mr. Corcoran served as President and Chief Executive Officer of FelCor since its formation until his appointment to Chairman of the Board in FelCor is the nation s largest owner of upscale, all-suite hotels. FelCor's portfolio consists of luxury hotels flagged under global brands such as Embassy Suites Hotels, Doubletree, Hilton, Renaissance, Fairmont, Sheraton, Westin and Holiday Inn. FelCor owns interests in 78 hotels and resorts in 22 states and Canada. Mr. Corcoran s long history of management in the hospitality industry began with Brock Hotel Corporation in Topeka, Kansas. During his 11 years with Brock, Mr. Corcoran s roles in the company included President and Chief Executive Officer and a Member of the Board of Directors for Chuck E. Cheese Entertainment, Inc. Mr. Corcoran s board appointments include: Board of Trustees for the American Hotel Foundation; past Chairman of the American Hotel & Lodging Association (AH&LA), Chairman of the AH&LA Governmental Affairs Committee and immediate past Chairman of the International Association of Holiday Inns.

9 Jonathan Falik Managing Director Cantor Fitzgerald Mr. Falik is a Managing Director at Cantor Fitzgerald & Co., where he heads the Lodging industry investment banking business. Mr. Falik is also the Founder and Chief Executive Officer of JF Capital Advisors, LLC and has previously served as Chief Executive Officer of Eagle Hospitality Properties Trust, Inc., a private hotel REIT acquired by JF Capital and its partners in Prior to founding JF Capital, Mr. Falik was an investment banker at Bear Stearns in New York. He has worked on numerous completed M&A and financing transactions involving well over 1,000 hotels and over $20 billion of transaction value. He has been actively involved with M&A of public and private companies, portfolio sales and single asset sales, equity financing, high yield financing and mortgage financing. Mr. Falik graduated from Rutgers University with a B.A. in Economics and completed his M.B.A. at Columbia Business School. Jonathan has lectured and presented at numerous hotel industry events including New York University's International Hospitality Industry Investment Conference, Columbia University's Graduate School of Business and its Graduate School of Architecture, and Rutgers University. He is a Founding Member of the Columbia Business School Real Estate Circle and is also an adjunct professor of Real Estate Finance at NYU s Graduate Real Estate Institute. Daniel C. Peek Senior Managing Director Holliday Fenoglio Fowler, L.P. Mr. Peek is a Senior Managing Director in the Tampa office of HFF where he leads the firm s lodging practice, primarily responsible for institutional-grade hotel and resort property transactions throughout North America, Latin America and the Caribbean. During the course of his career, Mr. Peek has completed more than $8 billion in investment sale, debt and structured finance transactions. Mr. Peek joined the firm in October Prior to Holliday Fenoglio Fowler, he was a Co-Founder and Managing Director of Regent Street, an affiliate of The Plasencia Group, a boutique firm specializing in sale, financing and advisory services for distinctive hotels and resorts throughout the Americas. He also served as Senior Vice President at The Plascencia Group, handling hotel and resort property transactions in the Northeastern, Mid-Atlantic and Southeastern regions. Before The Plascencia Group, Mr. Peek worked in hotel operations and consulting, including a variety of management positions with Marriott International and Wiengardner & Hammons, and later as a consultant with HVS International in New York. Mr. Peek is a member of Hotel Development Council, Urban Land Institute and Cornell Hotel Society. He graduated with a B.S. from Cornell University.

10 Bernard N. Siegel Principal KSL Capital Partners Bernard Siegel joined KSL Capital Partners as Principal in June 2006, bringing over 22 years experience in the hospitality business. KSL is a $3.5 billion private fund that invests in the hotel, travel, and leisure industries. KSL Capital Partners current lodging portfolio consists of the Royal Palm Miami Beach, Montelucia Resort Scottsdale, Homestead Resort, Barton Creek Resort, LaCosta Resort & Spa, and Rancho Las Palmas. KSL Resorts, an affiliate management company, also operates the Hotel del Coronado. Additionally, KSL Capital Partners owns Western Athletic Clubs, the preeminent California fitness company; Club Corp of America, the largest owner and operator of golf and business clubs; and Squaw Valley & Alpine Meadows ski resorts in Lake Tahoe, CA. In addition to these portfolio assets, KSL is an active investor in the secondary debt markets. Prior to joining KSL Capital Partners, Siegel was Executive Vice President of Lowe Hospitality Group, serving as chief investment officer of its wholly-owned subsidiary Destination Hotels & Resorts. While at Lowe, Siegel helped raise a $270 million private equity fund, Lowe Hospitality Investment Partners, and was responsible for $615 million in lodging investments and dispositions between 2004 and Mr. Siegel previously was Managing Director Hospitality Division of Secured Capital Corp, where he was responsible for the firm s $4.1 billion in hospitality investment banking transactions over a 10-year timeframe, which included Resolution Trust Corp distressed loan portfolio underwriting and workouts. Mr. Siegel also held real estate positions at Marriott Corporation and Pannell Kerr Forster. Siegel is Program Chair of the Hotel Development Council of Urban Land Institute, and an Advisory Board Member at the University of Denver s School of Hospitality Management. He holds an M.B.A. from the University of Colorado and a B.A. from Cornell University's School of Hotel Administration. John S. Fareed Executive Vice President Anson-Stoner Mr. Fareed is an internationally recognized authority in the field of hospitality marketing. He holds a M.S. from the Dublin Institute of Technology s School of Hospitality Management and Tourism in Dublin, Ireland, as well as professional designations from the Hospitality Sales and Marketing Association International (HSMAI) and the International Society of Hospitality Consultants (ISHC). He has spoken on the topic at industry events in Brazil, France, Germany, Ireland, Italy, Egypt, Mexico, United Kingdom, and across the United States, Canada and the Caribbean. He has appeared as an expert on national television programs including ABC News, CNN and Fox News Network, in publications such as USA Today and the New York Times, and has had articles published in numerous trade journals. HSMAI recently recognized Fareed as one of the Top 25 Extraordinary Minds in Sales and Marketing, and he currently serves on the Board of Directors for ISHC and HSMAI s International Foundation. Before getting into Marketing, John was a professional magician. You know, the standard career path. Mr. Fareed spent 15 years performing on cruise ships, in casinos and at private clubs such as the famed Magic Castle in Hollywood, California. He also served six years in the US Marine Corps Reserve, from 1981 until he was honorably discharged in 1986.

11 David W. Johnson President and CEO Aimbridge Hospitality LP Dave Johnson is both President and Chief Executive Officer of Aimbridge Hospitality. Johnson oversees the management of Aimbridge s entire portfolio consisting of over 70 hotels and $500 million in annual revenue. Through his dedication and leadership, Aimbridge is already being recognized as one of the fastest growing hotel management companies in the United States. Aimbridge Hospitality s portfolio includes assets under ownership and management from Marriott, Hilton, Starwood and Hyatt Hotels. Prior to joining Aimbridge, he spent 17 years at Wyndham International helping them grow from 10 hotels to over 200 at the time of his departure. While at Wyndham, Johnson served in various capacities including Executive Vice President/Chief Marketing Officer and President of Wyndham Hotels, overseeing approximately 15,000 employees and responsible for approximately $1.5 billion in annual revenue. He received his bachelor s degree from Northeastern Illinois University in Business Economics, graduating with highest honors. Mr. Johnson currently serves on several Boards of Directors including: Gaylord Entertainment (GETNYSE), The Juvenile Diabetes Research Foundation International, Meeting Professionals International, Plano YMCA and Active International. Johnson serves on the Hilton Owners Council, is Chairman of the Doubletree Brand Advisory Board and was most recently named to Starwood s Real Estate Development Advisory Board. In 2003, he was named as one of the 25 Most Extraordinary Minds in Hospitality Sales & Marketing by HSMAI. He is currently married with three daughters and resides in Plano, Texas. Monty J. Bennett Chief Executive Officer Ashford Hospitality Trust, Inc. Mr. Bennett serves as Founder, Director, & Chief Executive Officer of Ashford Hospitality Trust, a Real Estate Investment Trust (REIT) formed in August Ashford focuses exclusively on investing in the hospitality industry across all segments and at all levels of the capital structure, including direct hotel investments, first mortgages, mezzanine loans, and sale-leaseback transactions. Ashford went public with six hotels valued at $130 million. Today, Ashford has over $5 billion in assets and has outperformed its peers in total shareholder return looking back 1, 2, 3, 4, 5, 6, and 7 years. Mr. Bennett is a member of the American Hotel & Lodging Association s Industry Real Estate Finance Advisory Council (IREFAC) and the Urban Land Institute s Hotel Council. Formerly, Mr. Bennett served as a Board Director for Christian Union, a ministry serving Ivy League Universities. Mr. Bennett is a frequent speaker and panelist for various hotel development and investment conferences. Mr. Bennett holds a M.B.A from Cornell s S.C. Johnson Graduate School of Management and received a B.S. with distinction from the School of Hotel Administration also at Cornell. He is a life member of the Cornell Hotel Society and resides in Dallas, Texas.

Deitemeyer President Omni Hotels Mr. Deitemeyer is the current President of Omni Hotels & Resorts, which offers luxury accommodations at 50 hotels and resorts in leading business gateways and leisure destinations across North America. Since his appointment in 2004, Mr. Deitemeyer has established the company as a leading hotel brand known for delivering superior quality, award-winning service and exceptional guest experiences. He is responsible for establishing the company s vision and ensuring that all areas effectively drive together towards those goals. Under his leadership, Omni Hotels & Resorts has been ranked Highest in Guest Satisfaction Among Upscale Hotel Chains in the J.D. Power and Associates North America Hotel Guest Satisfaction Study (SM) four times since 2000, including Consumer Reports and Entrepreneur magazine noted it as a top luxury brand during his tenure and received recognition as "Harris Interactive's Equi Trends" 2011 Luxury Brand of the Year. Prior to becoming President, Mr. Deitemeyer served as Chief Operating Officer. Previously, he was the Senior Vice President of Finance. Prior to joining Omni Hotels, Mr. Deitemeyer served as Controller for TRT Development Company and its hotel management company, Shoreline Operating Company. Mr. Deitemeyer began his career in the hospitality industry with Interstate Hotels Corporation in While there, he was involved in the opening and acquisition of several hotel properties. A graduate of Fitchburg State College in Massachusetts, Mr. Deitemeyer earned his degree in business with a concentration in accounting. Mr. Deitemeyer serves on the Board of Directors for the Meeting Professional International Foundation, The Global Hotel Alliance and Global Hotel Network Advisory Board. Todd Giannoble President Archon Hospitality Mr. Giannoble serves as the President of Archon Hospitality, an organization that provides asset management services to the Whitehall Street Real Estate Limited Partnerships. Archon oversees 354 hotels with a combined total of 38,499 rooms across 19 different brands. Recently Archon Hospitality was profiled in Hotel Business Magazine as the second largest hotel owner (based on room count) in the United States. Previously, Mr. Giannoble served as a Vice President and Associate for Goldman Sachs & Co overseeing more than $5 billion of hotel related investments worldwide. Prior to Goldman Sachs & Co., Mr. Giannoble held various positions within Bristol Hotels and Resorts which was a hotel ownership and management company with more than 120 hotels throughout the United States and Canada. Mr. Giannoble was previously on the Board of Directors for Strategic Hotel Capital and has more than 20 years of experience in the hospitality and banking industries. Mr. Giannoble is a Center for Real Estate Finance Fellow with the Cornell School of Hotel Administration. Mr. Giannoble received a B.A. with distinction from Cornell s School of Hotel Administration and a degree with honors from the Culinary Institute of America. He is also an instrument-rated pilot.

Warman President and COO The West Paces Hotel Group, LLC Robert Warman serves as President and Chief Operating Officer of The West Paces Hotel Group and served as its Executive Vice President. Prior to joining The West Paces Hotel Group, Mr. Warman spent 17 years with The Ritz-Carlton Hotel Company, ultimately serving as Vice President of Operations for its hotels worldwide. Mr. Warman was a key member of The Ritz-Carlton team that earned the Malcolm Baldrige National Quality Award in 1992, and again in Mr. Warman was a Charter Member of The Ritz-Carlton, having previously served as Executive Vice President for Real Estate with responsibility for overseeing worldwide expansion; Vice President for Rooms Operations; and General Manager of The Ritz-Carlton hotels in Buckhead (Atlanta), Cleveland and Pentagon City. Prior to joining The Ritz-Carlton, Mr. Warman worked for Hyatt Hotels. Mr. Warman holds a degree in Economics from DePaul University in Chicago. Cynthia Brotman Nelson Partner Gardere Wynne Sewell LLP Cynthia Brotman Nelson practices in the Gardere Real Estate Practice Group and is on the Hospitality Industry Team. She has vast experience in sophisticated and complex real estate and finance transactions, including representing owners, REITs, opportunity funds and developers in acquiring, disposing, leasing, financing and managing significant and/or high profile commercial enterprises such as shopping centers, multi and single family housing developments, hotels and mixed-use developments, office buildings, industrial properties and unimproved land with a particular emphasis on lodging properties and the hospitality industry.
