RULES OF THE NOMINATION PROCESS - COUNCILLOR TRUSTEE VACANCIES Please refer to the enclosed letter for details on what the vacancies are for the 2018 CRF BOT elections. 1. The current Board of Trustees as set out in the attached letter are all up for re-election as Trustees. 2. Four (4) Councillor Trustees can be nominated on a geographical basis as follows: 3. Each councillor member may nominate up to two (2) councillors from the Western Cape, one (1) councillor from the Eastern Cape and one (1) councillor from the Northern region (rest of the regions excluding Western Trustee Election Nomination Form Councillors - Page 3 of 5

4 Cape and Eastern Cape). You can nominate less councillor members per region, but not more than the maximum. You can nominate yourself. 4. The nominated candidates must accept the nomination in writing and each nomination must be supported by five (5) signatures from other councillors of the Fund. They can be the same supporting signatures for each nominated candidate, but nominated candidates cannot support their own nomination. 5. Your nomination must reach the Fund by or before 11 January 2019 please scan and your completed Nomination Form to 6. If you received this form via post, you can use the enclosed pre-paid envelope to return your nomination form via post to reach the Fund by or before 11 January Nominated persons must provide a brief CV (no more than 300 words) and a recent ID photograph of themselves, which will be published at the time of the election. Please also include a full CV which will be published on the website. 8. Ballot forms inclusive of the eligible nominated candidates details will be sent to members to facilitate the voting process. 9. Each participating CRF councillor member shall have one vote per position/vacancy see point 1 above. 10. The term of office of the appointee will be five (5) years or until he/she is no longer a councillor. A nomination will be rendered invalid if: 1. You are not a councillor member of the CRF. 2. If the person/s nominated as Trustee has exited the Fund or are in the process of exiting the Fund before the Trustee elections are finalised. 3. If the person/s nominated are not contributing members of the CRF. 4. If there are not 5 different signatures of other CRF councillor members to support each nomination. 5. If there are more members nominated than required for each vacancy in each region. 6. If the nominated person did not provide a signature to accept his/her nomination. 7. If you nominate the same person more than once. 8. A COUNCILLOR who is also a MEMBER cannot act simultaneously as a MEMBER TRUSTEE and a COUNCILLOR TRUSTEE. Nominated candidates must be of sound mind, must not have been declared insolvent in the past, must not have been found guilty of any crime after 1994, and must possess a degree/diploma in financial management or accounting or investments or legal studies or human resources management or relevant experience in these fields or experience as a trustee of a retirement fund; Nominated candidates must not have been found guilty of dishonesty. DUTIES OF A TRUSTEE Persons elected to the Board of Trustees of the Consolidated Retirement Fund must meet the following obligations: Trustees must attend trustee meetings as well as the meetings held by the committees on which they serve. The Board of Trustees must manage the Fund according to the Rules of the Fund and ensure that all legislation relating to pension funds is complied with; for instance, the Pension Funds Act and the Income Tax Act. The Board of Trustees must approve all contractual documents, including amendments to the Rules of the Fund. The Board of Trustees must decide how Fund monies are invested and how benefits are to be paid in accordance with the Rules; for instance, when a member dies. 5 A Trustee also has fiduciary duties which require them: To take all reasonable steps to make sure members interests are always protected, To act with care, diligence and in good faith; and To act with fairness towards all members and beneficiaries.
