4 Welcome to Clarion Housing Group Dear Applicant I am delighted that you are interested in being considered for the Non-Executive Director role on Clarion s Housing Association Board. Clarion Housing Group was formed in 2016, following the merger between two of the country s largest housing associations, Affinity Sutton and Circle Housing Group. With over 125,000 homes we will use our strength and scale to create opportunities that change peoples lives. We are also one of the biggest housebuilders in the country, and are set to build 50,000 high quality homes of all tenures during the next ten years, as we remain committed to helping to tackle the housing shortage. Two thirds of these will be affordable homes, as we continue to help those in housing need. Clarion s development programme has shifted up a gear this year. Its approved development pipeline has grown to circa 14,000 homes nationally, reflecting the Group s commitment to helping fix the broken housing market. Over 10 years we plan to invest 13 billion in new homes with 2.6 billion set aside for estate regeneration. Spend on new homes grew from 292 million last year to 426 million this year, and the business is set to exceed 700 million in 2018/19. In addition to new homes, we transform existing communities through sustained regeneration, help people to access employment and training opportunities and give young people a better start in life. Our Board continues to flex and change and as Chair of the Housing Association Board I am now looking for a Non-Executive Director with a senior development/building/land background, who will come to this assignment with a strong understanding of Clarion s strategic environment and the inherent challenges and opportunities for a complex, fast-moving, growing and diverse housing provider and house-builder. You will need to be an exceptional leader in your own right, have a true understanding and alignment to the values and expected leadership behaviours of a NED; the ability to provide and respond to constructive challenge and an analytical approach that doesn t lose sight of the big picture. 5 About Clarion Housing Group Background Clarion Housing Group formed in 2016, following the merger between two of the country s largest housing associations, Affinity Sutton and Circle Housing Group. With over 125,000 homes we will use our strength and scale to create opportunities that change peoples lives. We are also one of the biggest housebuilders in the country, this year we completed 1,263 new homes and started to build a further 1,428 and are set to build 50,000 high quality homes of all tenures during the next ten years, as we remain committed to helping to tackle the housing shortage. Two thirds of these will be affordable homes, as we continue to help those in housing need. We are pursuing ambitious plans for new developments, and development highlights include: 5

Clarion s Geography Clarion is a national organisational with homes across the country from Newcastle to Plymouth. It works across 176 local authorities and has 52 offices dispersed across the regions, meaning the business is able to provide a truly local service. 6
7 The Clarion Group Structure In addition to Clarion s Housing Association there are two other main subsidiaries in the Group as illustrated on the following chart: Charitable Housing Association Clarion s Housing Association - asset owning and landlord services A non charitable commercial arm Latimer including Housing for outright sale A charitable trust Clarion Foundation Supporting our residents and their families In addition the Governance structure incorporates the following committees; Audit and Risk, Remuneration and nominations, Investment Committee (development) and Treasury. Clarion Housing Group Board (the Parent ) This Group Board is made up of 12 members, comprising non executives from the former Circle Board and the former Affinity Sutton Board and 2 executives, and independents. The Board is chaired by Neil Goulden, formerly the Chair of Affinity Sutton Group. Clarion Housing Association Just as social purpose is the cornerstone of the new Group, the housing association is focused on people, and providing security and independence. This newly formed housing association is a registered provider of social housing, and regulated by the Homes and Communities Agency. The association will be responsible for over 350,000 residents in over 125,000 properties, with a dedicated team of more than 2,200 staff. Clarion Housing Association Board membership There are up to 12 Board members which includes a Chair and Vice chair, the CEO of the Housing Association, 4 residents and 5 further independent non executives. The chair is David Avery, who joined the Circle Board shortly before merger and is a member of the Clarion Group Board. 7

9 Clarion Housing Association Board David Avery, Chair of the Clarion Housing Association Board David has over 10 years experience serving on housing association boards with more than six years as Chair. Initially with Saxon Weald Homes Ltd and more recently with Peabody as Chair of their Gallions and CBHA subsidiaries. He was appointed Chair of the (Clarion) Common Housing Board in May Previously, David has held a variety of executive and management roles in the semiconductor capital equipment industry. He was most recently President of European Operations for Novellus Systems Inc, a Fortune 500 company. David is an independent NED of Cantium Business Solutions Ltd and has been a governor of an independent school in West Sussex and a NED of an NHS Trust. Brian Stewart OBE Brian is a portfolio Non-Executive Director and consultant, following a career in local and regional government. He was the Chief Executive of two Scottish local authorities and the East of England Regional Assembly. He has experience as a Non-Executive Director of an NHS Foundation Trust, various charity Trustee roles and consultancy. His current portfolio includes chairing the Sizewell C Community Forum, sitting on the HS2 Phase 2 Exceptional Hardship Scheme Panel and acting as a trustee and Vice Chair of Ormiston Families; a major regional children s charity in East Anglia and chairs the Anglian Central Flood & Coastal Committee. Michelle Reynolds From April 2019 Michelle is the Chief Operating Officer of the Group's housing association - Clarion Housing, the largest housing association in the country. She has overall responsibility for the delivery of landlord services; focusing on asset management, customer services, housing management and resident involvement across our 125,000 properties. Gloria Brown Gloria has a wealth of cross sector managerial experience and was formerly a member of Circle Housing s Roddons Board, as well as a member of Circle s Scrutiny and Income Panels. Gloria was appointed to the Housing Association Board as a Resident Member in November She was previously the Managing Director of a marketing company. 9
10 Cllr Peter Fortune Peter is the Managing Director of DeCantelo Ltd, a consultancy company which specialises in various fields including Health & Wellbeing Education, Logistics, Media and Communications. Before this role he was the Operations and Business Manager for Newsquest London and Sussex a subsidiary of Gannet, owners of the USA Today. He also co-led on the retraining of sales staff in London and Essex. Outside of his professional life he serves as a Borough Councillor and Deputy Leader of a large London Borough. He holds the portfolio responsibility for Education, Children and Families. He has been strategically responsible for the turnaround of failed local services including a Youth Offending Service, Adult Education Service and, currently, the Children s Services Department. He has served on the Boards of Broomleigh Housing, Affinity Sutton and is now proud to continue his commitment to social housing by working with Clarion. Elizabeth Holden Elizabeth is a former partner of Slaughter and May and has been a non-executive director for a FTSE 250 company. She is currently a Director of HML Holdings plc and BCKR Limited. Andrew Hudson Andrew is a former director general for public services at the Treasury and the former Chief Executive of the Valuation Office Agency. Prior to Clarion, he served as a board member of Circle 33 Housing Trust and Your Lifespace Limited. Andrew also serves on the Group s Investment Committee. Richard Perkins Richard is a Member of the Clarion Housing Association Board and Clarion Investment Committee. He runs his own commercial property consultancy and has a number of Non-Executive cross sector roles, including education, transport, planning, active roles within the building preservation sector, regeneration and property management. Pre-merger, Richard was a Member of the Circle Housing Group Board, Chair of Your Lifespace and a Member of the Wherry Housing Association Board. Terry Stacy MBE JP Terry is one of our resident board members. Outside of Clarion, he is Head of Office at the LGA Liberal Democrat Office. He is also Chair of the Albert Kennedy Trust and Chair of Governors at Highbury Quadrant Primary School. Prior to Clarion, Terry served on a number of the Circle Housing Association boards. 10
11 Richard Towes Richard is one of our resident board members. He has worked in housing for over 25 years within the public sector and local government. Rolf Wojtanowski Rolf is a co-opted resident board member of the Clarion Housing Association Board and before the merger, a member of Circle Housing s Old Ford Board. He has been a resident since 2014 and lives in the Bethnal Green area of East London. His career has mostly focused on high level hotel management and publishing telesales marketing. Rolf enjoys being an active member of the local community and dealing with the challenges and issues of the Housing Association Board. 11
12 Role profile Key responsibilities Acts as a member of the Board: To work within the strategic framework set by the Clarion Housing Group Board. To agree a business plan and budget for the Association and monitor progress throughout the year. Carry out statutory duties which include approving the annual report & accounts and an appropriate statement for inclusion in the annual report on the effectiveness of the association s systems for risk management and internal control. Ensure that effective systems are in place for the management and control of the association s performance. Ensure resident views are heard and that customer needs are a priority for the business. Comply with the legal obligations and values and objectives of the Association and the Group. Person specification It is expected that, beyond the technical and professional skills that members offer to the Board, each person is also able to provide a rounded contribution and performance at Board level, based on their core of proficiency in the following competencies. Experience and pre-qualification criteria Willing to work as part of a team, with respect and tolerance for others. Willing to commit the time necessary to prepare for and attend board and committee meetings, AGMs, training sessions and away days. Act in the best interests of the Association and Group and not in the interests of any individual or constituency. Ability to communicate effectively with a wide range of people. Ability to assimilate and interpret varied information from different sources; has an analytical approach and reasons logically and objectively. Ability to develop effective working relationships with fellow board members and executives. Knowledge and experience in development/house building sector. Significant experience of working in a non-executive capacity. A good record of achievement at board/senior executive level in a significant commercial business or a complex organisation in a different sector. Commercially and financially astute, with experience of the overview of complex budgets. 12
13 Key terms and conditions The role Non-Executive Location Based in London Remuneration 10,000 per annum. Expenses and allowances will be paid in accordance with the Clarion Group s policies from time to time in force. Time commitment Approximately 2 days a month. You will be required to attend: Approximately 5 Board Meetings per annum Attend training and Board Away Days Undertake other non-executive tasks for the Group For an initial term of three 3 years (or a lesser term as may be agreed between the parties). Clarion will reimburse you for those expenses that you incur properly and reasonable in performing your duties, including travel expenses. Induction/learning and development Clarion will provide an induction programme including meeting key executives, visiting various developments and the opportunity to attend relevant seminars and conferences. 13
14 Key dates and the selection process Closing date: Friday 15 th February 2019 at 12 noon We will be in touch with candidates from 21 st February to advise on outcome of application. First interviews: 5 th March 2019 Longlisted candidates will be invited to an interview with a Campbell Tickell panel. This will take place at Campbell Tickell s office in Wembley. Final interviews: Week commencing 18 th March 2019 Shortlisted candidates will be invited to an interview with a Clarion panel consisting of: David Avery, Chair Brian Stewart, Clare Miller, Chief Executive Louise Hyde, Director Governance & Company Secretary; and James Tickell, Partner, Campbell Tickell This will take place at 6 More London, Tooley Street London SE1 2DA.
