1 GTAR/MLS TECHNOLOGY ANNUAL MEETING Who: GTAR and MLS Tech Voting Members* When: Thursday, Oct. 4, 3 p.m. Where: GTAR Training Center VOTING MEMBERS: This is your opportunity to select the GTAR and MLS Tech Boards of Directors, as well as vote on proposed bylaw changes, and hear about what has happened over the last year. *GTAR Voting Members: Individuals who hold REALTOR membership. Individuals who hold REALTOR-ASSOCIATE membership are not voting members. There is no restriction on the number of voting members allowed. *MLS Tech Voting Members: Individuals designated by the MLS Technology Participant. Only two individuals per firm are allowed to vote GTAR Board Nominees Bonnie Baker Bonnie is a broker associate with Coldwell Banker Select and has been a GTAR member and REALTOR for 22 years. She served as the 2016 MLS Technology President and was named 2017 GTAR Sales Associate of the Year. In addition, Bonnie served on the OAR Board of Directors for eight years and has been an RPAC Sterling R contributor. Bonnie is also an OREC-certified instructor and certified real estate accelerated performance coach; she has trained over 500 new associates in the last 18 years. Bonnie is a graduate of the Leadership OAR program and Leadership Broken Arrow program, as well as past president of the Broken Arrow Business Women s Association. She is also the proud mother of three daughters and six grand kids. Angie Cianfrone Angie joined GTAR January 6, She has been a good standing member of our board for more than 24 years now. Over the decades she has worked for several national and local brokerages. She started her career at Remax Metropolitan in the early 90s; then served as the broker for Riverside Realty. She then moved to Keller Williams when they opened their first office in Tulsa. After some time off to care for young children, Angie joined McGraw, REALTORS and soon became a top-producing agent in their South Tulsa office. She has been named by Tulsa People as a top ranking agent for numerous years. She opened her own company Realty Connect in Angie has earned a trustworthy and reputable reputation in the industry and would bring a great source of benefit to our organization. Born and raised in the Tulsa area, Angie and her husband, Vincent, live in Bixby. They have two children: Hannah Cianfrone who is attending Oklahoma State University as a junior, and Nicolas Cianfrone is attending Bixby High School as a junior. When Angie s not busy working, she enjoys spending time with her family. Debbie Dennis Debbie was licensed in 1973 in Texas and acquired her broker's license in She relocated to her home state of Alabama in She became a branch manager for a multibranch real estate firm. In 1982, she opened the first and only privately owned pre and post license training facility in Alabama. As chairman of the Educational Committee for the Greater Birmingham Association of REALTORS, she spent a number of years serving and training for the agents in the Birmingham area. She later became the training director for one of the South s largest independent real estate companies. Debbie moved to south Alabama in 1994 and became a national trainer for a large real estate franchise. She was a certified instructor for the Alabama Real Estate Commission post license course. She also assisted in the writing and oversight of the post license training manual published by the Alabama Real Estate Commission. She is currently a broker for Keller Williams Realty in the southwest office and training director for the Keller Williams Realty Advantage group. Debbie is certified to administer the DISC Behavioral Profile, and has been doing so and training in behavioral strengths for over 25 years. Debbie has served on GTAR s Community Relations, Education, and Grievance Committees, and is currently serving as chair for the Standard Forms Committee. With over 40 years in the real estate industry, Debbie is passionate about helping others exceed beyond their dreams and expectations.

2 GTAR Board Nominees Continued Gary Dunlap Gary is a broker with RE/MAX of Muskogee. He is a graduate of Northeastern University in Tahlequah, and holds the Graduate, REALTOR Institute (GRI) designation. Gary obtained his license in 1975 and opened his own real estate office in He was twice president of the Muskogee Association of REALTORS, one-time regional vice president of OAR, and has now served in an appointed position on the GTAR Board of Directors. Gary is also a director on the MLS Tech Board, a major investor in RPAC, a member of GTAR s Education and Membership Committees and PR Task Force. Jennifer Hicks Jennifer is the owner and managing broker of the boutique firm EH James Realty. Living in Tulsa for 14 years and a REALTOR for four years, she started real estate just after graduating at OSU. She has served on multiple committees in 2018, both local and state level. Some of these include GTAR s Standard Forms Committee and PR Task Force, and governmental affairs and professional standards with OAR; she also served on the OAR Board of Directors in Jennifer is a graduate of Leadership OAR of Jennifer has a husband of three years with a dog and a brother-in-law that hasn t finished college. Kendra Hendren Kendra is a Certified Residential Specialist (CRS) and the broker/owner of Renaissance Realty. A graduate of Oklahoma State University, Kendra began her career in real estate shortly after graduation in Working with family early in her career allowed her to learn the building and developing side of the industry. Her love for the industry, coupled with her passion for helping people, made this career choice a perfect fit. With her determination and work ethic, Renaissance Realty evolved from a one person company to a productive brokerage, serving the greater Tulsa area with eight associates. Renaissance is based in Owasso where Kendra makes her home with husband Mike, son Aiden, and daughter Ava. Kendra s ability to connect with buyers and sellers, knowledge of the trade, and complete persistence, bring clients to the closing table and she considers this to be a privilege. She is honored to serve on the Community Relations Committee at GTAR, assisting with projects such as Backpacks for Kids. She is currently working on accomplishing her GRI, which will conclude next January. When not selling real estate, Kendra enjoys photography, golf, family time, and traveling to watch her son play baseball. Lindsey Schlomann Lindsey is the managing branch broker at McGraw, REALTORS South Tulsa branch. Lindsey was born and raised in Owasso and married her high school sweetheart, Brett, 22 years ago. They reside in Collinsville with their two sons, Chayse and Callan. Being in the stands cheering them on is her favorite place to be! She began her career in real estate with McGraw in August of 2000, working as a sales associate until 2012 when she began managing the Owasso branch. Lindsey moved her license south in 2015 and began working towards merging two of the McGraw locations into the new office on South Memorial in October She s always taken pride in working hard to make sure her clients receive the best service possible, and since taking on the role of branch broker, her goal every day is to make sure she helps the associates learn, grow, and be the best agents they can be. Lindsey has her CRS designation, has served on GTAR s Education Committee, and currently the Standard Forms Committee, and is also on the Board of Directors at OAR. GTAR Director Nominees Nomination by Petition Additional candidates for directorships may be placed in nomination by a petition signed by not fewer than twenty-five (25) of the voting members in good standing, provided that such petition shall be filed with the Chairman of the Nominating Committee or the Chief Executive Officer not fewer than twenty (20) days prior to the date of the annual meeting. The Nominating Committee shall or publish a list of nominees by petition to the voting members not fewer than fifteen (15) days in advance of the annual meeting. Reference GTAR Bylaws Article XI. Absentee Ballots Any voting member who is unable to attend the annual meeting may, upon written request via (GTARBallot@TulsaRealtors.com) to the Chief Executive Officer, obtain an absentee ballot at the GTAR office which, to be counted, must be submitted to the Chief Executive Officer by 5:30 p.m., Wednesday, Oct. 3, 2018.

3 GTAR Board Nominees Continued David Roberts David has been in the real estate industry since He obtained his sales associate license in 2003 and his broker license in He is currently the manager and broker associate for Coldwell Banker Select Commercial Division. David is a member of the National Association of REALTORS and Greater Tulsa Association of REALTORS. He has served on the state Grievance Committee, as well as other local committees at GTAR. David s past real estate experience includes serving as the broker/ manager for McGraw, REALTORS at the Owasso office, and prior to that, he was a licensed broker associate for Chinowth & Cohen, REALTORS. Prior to receiving his real estate license in 2003, David began his professional career in the banking industry where he held the position of vice president at Peoples State Bank in Claremore. After his banking career, David worked for a national company that provided petroleum related services. At this company he served as vice president of Site Development, where he designed convenience stores from the site development to building design to merchandise on the shelves. Also at this company he held the position as Vice President of Marketing where he was in charge of marketing a milliondollar company throughout the United States. During this period, David served on the Oklahoma Corporation Commission Petroleum Storage Tank Division advisory board Indemnity Fund sub-committee where he, along with other petroleum professionals, wrote the guidelines for the Indemnity Fund. The Indemnity Fund Program provides reimbursement for corrective action performed of PSTD regulated pollution sites that have resulted from releases of petroleum from storage tank systems. The Indemnity Fund Program reimburses allowable costs incurred for corrective action to eligible parties for eligible releases from eligible tank systems. David and his wife, Pam, have been married for 39 years and are proud parents of two sons, Nathan and Zachary. Nathan, now living in Edmond and working for Paycom, Inc. is married to Brooke, and they have a beautiful three-year-old daughter, Olivia. Zachary and his fiance, Mandy, live in Norman where he is a free-lance cameraman for ESPN, Fox Sports, OKC Thunder, OKC Energy, and University of Oklahoma SoonerVision. David is an active member of the Tulsa community. His hobbies include little league baseball where he has served on the board for Union Kids Baseball. For over 25 years he has been a certified baseball umpire at Union Kids Baseball and Union Youth Baseball. David and Pam attend First Baptist Church of Broken Arrow. Julie Smith Julie is general manager/broker of the Owasso and Claremore Keller Williams Realty market centers. She entered the real estate industry in 2000 in Temecula, Calif.. She received her real estate license in Oklahoma in 2003 and brokers license in Julie holds the designations of Certified Residential Specialist (CRS), Certified New Home Specialist, is a member of Oklahoma Real Estate Educators Association (OREEA), and Women s Council of REALTORS (WCR). She currently serves on MLS Tech s Rules and Regulations Committee, GTAR s Standard Forms Committee, is vice chair of the OAR Associations Committee and OAR Professional Development Committee, and a graduate of Leadership OAR. Julie stays involved in service to her community including annual participation in Owasso, Collinsville, and Claremore Christmas parades, local Habitat for Humanity and the Strategic Planning Committee for the Owasso High School. Close to Julie s heart is her service and coaching to the Dress for Success Tulsa, Professional Women s Group (PWG) that gives disadvantaged women tools that help them transition into the work place. Julie has two amazing boys that attend Owasso High School. 4 MLS Tech Board Nominees Gloria Allred-Hail Gloria was born and raised in Broken Arrow, Okla. until 2011 when she moved to Tulsa (big move). She is a graduate of Broken Arrow High School and attended Draughons School of Business. After Draughons, she was hired as secretary to the plant manager at General Telephone of the Southwest and remained there for seven years. Gloria began to pursue a career in real estate and received her Oklahoma real estate sales license in June 1968 and received her brokers license in From 1968 to 1975, she worked as a sales associate, earning multi-million dollar status. After that time, she moved into leadership as sales manager and managing broker roles from 1975 to the present. During this period, she served on several committees for GTAR and MLS Tech. In 2009, Gloria was elected president of MLS Tech. In 2016, Gloria was named GTAR REALTOR of the Year. This was a great honor. She was on the Associate Council Board, the Local Board of Directors, and State Board for Home Builders Association for 10 years. The positions she has held have been managing broker, assistant team leader, certified instructor for continuing education and provisional training. Also, she received a Mortgage Officer Certification in Alysia McFeely Alysia has been involved in many aspects of the real estate industry since She is currently a licensed real estate broker in Oklahoma, Colorado, and Texas. She moved to Tulsa in 2002 and has been very involved in the real estate industry in Oklahoma. Alysia would bring a broad real estate business background to the MLS Technology Board of Directors. Currently serving as the operating partner for Commission Express of Oklahoma and Arkansas. She has been involved in numerous personal residential transactions. Previous real estate experience includes: Coldwell Banker Select, Director of Communications - Oklahoma; Tour Factory, Managing Partner - Oklahoma; Obeo, Founder/CEO - Oklahoma and Arizona; First American Corporation - New Business Development Director - Title division, Area Manager Home Warranty Division - Colorado, Texas, Oklahoma, and Arizona; Grubb & Ellis - Director of Marketing in their Facilities Management Organization - Colorado; Coldwell Banker/American Spectrum - Commercial Broker - Colorado; InSite Properties, Inc. - Commercial Broker - Colorado; R&B Development Company - General Manager/Regional Training Director/Leasing Consultant of a commercial real estate portfolio - Texas and Colorado. Organization participation includes: MLS Technology (formerly NORES) Board of Directors - Treasurer and Director; Greater Tulsa Association of REALTORS (GTAR) - Affiliate Committee Chair and Program Committee; Tulsa Home Builders Association (HBA) - Sales and Marketing Board; Women s Council of REALTORS (WCR) board, Tulsa and Phoenix/ Scottsdale; Scottsdale Association of REALTORS (SAAR); West Maricopa County Regional Association of REALTORS (WEMAR); National Association of Professional Mortgage Women (NAPMW) - President. Royce Ellington Royce is a lifelong Tulsa resident who joined Patterson, REALTORS in August 2004 as a sales associate and earned the Top Producer of the Year Award five years in a row leading up to a merger with Keller Williams Realty Advantage in April of In 2006, he was awarded the Wayne Patterson Exceptional Achievement Award with Patterson, REALTORS. Royce earned the GTAR Presidents Award in 2010, GTAR Sales Associate of the Year in 2014, and the Keller Williams Excel Award in He enjoys serving buyers and sellers, and averages 35+ sales a year. Royce is active with GTAR, currently serving on the Community Relations, RPAC, and Education Committees and chairing the Membership Committee. He previously served on the GTAR Sales Associate Network and Standard Forms Committees, and OAR Board of Directors. Royce currently serves on the MLS Tech Board of Directors. He is also a licensed instructor for the OREC pre-licensing course. In addition to his real estate involvement, Royce is in his 32nd year as a high school football and basketball referee for the OSSAA; he coaches basketball and is a league coordinator for a middle school basketball league. Royce is very involved in church as an usher and 11th grade religious education teacher. He has been married to his wife Alice for 40 years and they have two daughters, Heather and Katie, a son-in-law, CJ, and grandson, Aidan. Heather is a licensed REALTOR-ASSOCIATE as well and is also Royce s administrative assistant in his office. 5 MLS Tech Board Nominees Continued D.C. Roberts D.C. has built a reputation for her entrepreneurial instincts, excellent communication skills, and the ability to organize and positively motivate work groups. She is widely respected for her expertise and skilled leadership, which is reflected in her decorated professional history. Best known locally for her career in radio and television, D.C. worked at Z104.5 THE EDGE as news director then as morning anchor on the ABC affiliate, KTUL-TV Channel 8. After leaving broadcast, D.C. took the opportunity to begin a career in an industry she always had a true passion for: real estate. D.C. started out as the Creative Services Director for an auction network 10 years ago and has been an unstoppable force ever since. She then moved into a senior director of sales position focused on selling luxury and international properties. During this time, she listed and sold more than $14 million in real estate through auctions over the course of 18 months. Moving to the position of vice president of the Luxury Properties Division and the the Farm & Ranch Division for a worldwide auction firm, she listed and auctioned more than $25 million in real estate in just 12 months. She is credited with increasing business in the luxury division by 40 percent in just one year. D.C. is also noted for her work with nonprofits. Starting in 2008, she was involved in several high-profile national nonprofit auctions including The Hilton Family Wishing Tree Auction to benefit the Make-A-Wish Foundation, the Grammy s Auction to benefit MusiCares, and the Art for Animals Auction to benefit the Association of Zoos and Aquariums. D.C. also conceptualized and developed a new Charitable Division revenue stream, selling $1 million in donated and surplus properties for the Red Cross nationally the first year of the program. Currently, D.C. helps lead the commercial real estate team at Chinowth & Cohen Commercial Properties. Her passion for real estate reflects her personal love for land. She is married and lives on a ranch with her husband, eight horses, five dogs, and 65 registered Angus cattle. D.C. is never bored! Mary Terry Ron Sumner Ron has been a member of the Greater Tulsa Association of REALTORS since Ron has served in numerous capacities within both the association and MLS Tech Board including leadership positions on both boards. Most recently, he has been a member of the GTAR Standards Forms and MLS Tech Rules and Regulations Committees. Currently, Ron is working as general sales manager for Coldwell Banker Select, REALTORS. Ron has also worked for a number of years as an active, productive sales associate and has a working knowledge of MLS systems. He has a wide range of experiences in the residential real estate industry, as well as association responsibilities. Ron would be honored to serve on the MLS Tech Board. Dave Watson David is currently the Assistant Team Leader & Productivity Coach for Keller Williams Realty Premier Market Center in Owasso, Okla. and managing broker for the Claremore branch office. Dave began his Oklahoma real estate career in 2001 and became a licensed broker in 2005, serving as the branch office managing broker and then corporate office sales manager for an independent brokerage before joining Keller Williams in Since 2006, Dave has served several terms on the MLS Technology (formerly NORES) Bylaws Rules and Regs Committee, GTAR Bylaws Committee, as well as the Standard Forms committee. Dave is certified by OREC to teach post licensing and continuing education for the state with over 10 years experience as an instructor. Dave is also certified to serve on OREC Ethics and Arbitration hearing panels. Dave donates his time to several local and national charitable organizations. Dave would bring his more than 30 years experience with national and multinational companies in leadership, coaching, training, sales, project management, contracts, negotiations to his service on the MLS Technology Board should he have the privilege to be chosen to serve. Mary started selling real estate in 1995 and became a broker in She worked as managing broker from 1998 until she opened her own company in 2001, Mary Terry & Associates, LLC. She has been a member of her local board (Ada Board of REALTORS ), East Central Board of REALTORS, and served as chair for most all local committees over the past 23 years. Mary served as president in 2003 and was named Associate of the Year in 1997 by her local board and REALTOR of the Year in Mary has been serving at the OAR state level for 20 years. She has served as state director, chaired most all committees, BOD several years, DVP , secretary 2011, treasure 2012, president-elect 2013, and OAR president Mary is a proud graduate of Leadership OAR She has served on the NAR Board of Directors, ; NAR Jurisdiction committee; Broker Involvement Council; RPAC Participation Council; and chair of the Idea Exchange Council for Brokers. She is presently serving as director on the MLS Technology Board,

Page 1 ARTICLE II - OBJECTIVES The Objectives of GTAR are: Section 1. To unite those engaged in the recognized branches of the real estate profession for the purpose of exerting a beneficial influence upon the profession and related interests. Section 4. To further the interests of home and other real property ownership. Page 2 ARTICLE III JURISDICTION All of Washington and Nowata Counties and that part of Osage County described as follows: Northern Boundary -- Oklahoma- Kansas state line; Eastern Boundary -- division line between Osage and Washington counties; Southern Boundary -- division line between Townships 23 and 24 North; Western Boundary -- division line between Range 7 and 8 east of the Indian Meridian. Page 4 f. GTAR Honorary and GTAR Life Members. GTAR Honorary and GTAR Life Members shall be individuals so designated by the majority approval of the GTAR Board of Directors, herein after referred to as Board of Directors. Such designations are in recognition of unusual meritorious services to GTAR, to the real estate profession and to the community. Page 6 b. REALTOR-ASSOCIATE Members. An applicant for REALTOR-ASSOCIATE membership shall supply evidence to the Membership Committee that he/she is actively engaged in the real estate profession and is employed by a REALTOR or affiliated with a REALTOR as an independent contractor; must maintain a current active real estate broker's or salesperson's license or be licensed or certified by the State of Oklahoma to engage in the appraisal of real property*, has no record of official sanctions involving unprofessional conduct* shall complete a course of instruction covering the Bylaws and Rules and Regulations of the Board, the Bylaws of the state association, and the Constitution and Bylaws and Code of Ethics of NAR,** and shall agree in writing that he/she will abide by the Bylaws, and Rules and Regulations of GTAR; Constitutions, Bylaws and Rules and Regulations of OAR and NAR, and Code of Ethics of NAR. *A member who is not licensed as described above; who is not associated with a firm licensed to, or engaged in, the brokerage of real property, and who holds REALTOR-ASSOCIATE Membership in GTAR on October 3, 1991, shall continue to hold REALTOR-ASSOCIATE membership as long as said member continuously maintains such membership Page 17 ARTICLE II - OBJECTIVES The Objectives of GTAR are: Section 1. The annual dues for REALTOR members other than the Designated REALTOR shall be an amount established annually by the Board of Directors. c. REALTOR-ASSOCIATE Members. The annual dues of each REALTOR-ASSOCIATE Member shall be an amount established annually by the Board of Directors. c d d. Institute Affiliate Members. The annual dues of each Institute Affiliate Member shall be as established in Article II of the Bylaws of NAR. e. Principal Firm Affiliate and Additional Firm Affiliate Members. The annual dues of each Principal Firm Affiliate Member shall be an amount established annually by the Board of Directors. Additional Firm Affiliate Member dues shall also be established annually by the Board of Directors and shall be no more than one-half (1/2) of the Principal Firm Affiliate Member. f. Public Service Members. The annual dues of each Public Service Member shall be an amount established annually by the Board of Directors. e g. GTAR Honorary and GTAR Life Members and Student Members. Dues payable, if any, shall be at the discretion of the Board of Directors. h. Student Members. Dues payable, if any, shall be at the discretion of the Board of Directors.

There shall be no less than eleven (11) Directors, and not more than fifteen (15), with voting rights, for a term of two years. six (6) Directors shall be elected from the voting membership at large at the annual business meeting of voting members of GTAR., unless the total number of directors does not meet the minimum number of required directors, then the number of directors elected shall increase to meet the minimum number of directors required above. Up to five (5) voting ex-officio members made up of the Commercial Real Estate Specialists Chairperson, GTAR Immediate Past President, GTAR President, GTAR President-elect, and the MLS Tech President-elect. No more than two voting members of a member firm shall serve concurrently on the Board of Directors. Section 3. Election. a. The President shall appoint a Nominating Committee to be approved by the Board of Directors. The committee shall consist of six (6) voting members in good standing, plus the Chairperson, who shall be the immediate Past President of GTAR, provided such Immediate Past President is a REALTOR member of GTAR and is willing and able to serve. In the event the Immediate Past President is no longer a REALTOR Member of GTAR or is unable or unwilling to serve, his/her most recent predecessor who is a REALTOR member of GTAR and who is willing and able, shall serve as Chairperson. The members shall consist of two (2) selected by the President, neither of whom shall be a Past President or Director, two (2) selected by the Directors, neither of whom shall be Past President, and two (2) selected by the Past President, neither of whom shall be Director. No two (2) members of the same firm shall serve on the Committee. The Nominating Committee shall publish in the monthly newsletter a list of at least nine (9) nominees to the voting members no less than thirty (30) days in advance of the annual meeting. d. The election shall be by written or electronic ballot. Any ballot with more than six (6) or less than four (4) nominees selected shall be considered void. Voting ends on the close of the last business day prior to the annual meeting. Section 4. Term of Office. Each elected member of the Board of Directors shall serve a term of two (2) calendar years each. The retiring President member shall serve a one (1) year term. The President-elect of MLS Tech shall serve a one (1) year term. The Chairperson of the Commercial Real Estate Specialists Committee shall serve a one (1) year term. GTAR NAR Officers shall serve as ex-officio GTAR Directors during their term of office in NAR. No elected Director shall be eligible to serve more than two (2) three (3) consecutive terms. Page 21 ARTICLE XII OFFICERS Section 2. Qualifications. All officers must be elected by a majority vote. All officers except the Chief Executive Officer must be voting REALTOR members of GTAR. Page 25 & 26 ARTICLE XIV - COMMITTEES f. Bylaws Committee. This committee shall be composed of three (3) REALTOR members. It shall be the duty of this committee to review the Bylaws of GTAR at least once each calendar year and report in writing to the Board of Directors on or before August 15th of each year the results of such review. Such report shall include recommendations for Bylaw changes. g. Program Committee. This committee shall be composed of at least six (6) members. It shall be the duty of such committee to make arrangements for membership meetings of GTAR, including the securing of speakers. o. Urban Affairs Committee 2. Election of Chairperson and Vice Chairperson. The committee shall elect its Chairperson and Vice Chairperson. The Vice Chairperson shall automatically become Chairperson the second January 1 st after election as Vice Chairperson. The Chairperson of the committee shall attend OAR Legislative and Economic Summit meetings. 3. Duties. The committee shall keep informed of all proposed national or state legislation affecting realty interest, and notify GTAR regarding such legislation. It shall have charge of all legislative matters, which shall be referred to GTAR or its Board of Directors, and make recommendations, as it may deem expedient. necessary. It shall be the duty of this committee to act upon local, city and county issues pertaining to Building Codes, planning and zoning, land use, taxation, bond issues, and other tax matters. It shall be the responsibility of this committee to recommend that the GTAR Board of Directors request funds from the OAR Real Estate Issues Committee, as the committee deems necessary. *Motion to approve the proposed Bylaw changes.
