GENERAL (a) Definitions- This contract is for the hire of items and accessories ( Equipment). The parties to the contract are: I. The Hirer and where the hirer is not and individual acting in person, the signatory overleaf. II. D-Zine Furnishing Solutions Limited (Registered No: ) with registered offices at Hereford House Offa Street Hereford HR1 2LL (D-zine). Any condition deemed invalid would not affect other conditions. Nothing in this contract is intended to limit a customer s existing legal rights. (b) Extent of Contract and Cancellation. The contract is not assignable and is effective when D-Zine accepts the Hirer s detailed order. D-zine reserves the right to charge for cancellation. (c) Termination. D-Zine may terminate the contract and repossess equipment without affecting any rights to recover monies due, damages for breach of contract or other remedies where the Hirer is in breach or is involved in insolvency or liquidation proceedings. (d) Ownership of Equipment and Goods. Equipment hired remains the property of D-Zine at all times.

8 2. HIRE CHARGES (a) Basis of charging. The hire prices quoted are for the duration of the exhibition or event for which they are hired, up to a maximum of 2 weeks and exclude VAT, which will be added at the rate ruling at the date of invoice. (b) Transport Charges. Delivery and Collection including attempted calls are chargeable. For exhibitions in the UK, except the Birmingham area, the company reserves the right to apply a delivery surcharge. (c) Cancelled Orders. At the discretion of D-Zine, a charge of not less than 25% of the quoted hire charge may be made in respect of cancelled orders. If such a cancellation is made after the goods have been delivered to the site, D-Zine reserves the right to invoice the full hire charge. (d) Time for Payment and VAT. The hirer will pay all monies outstanding, including VAT on demand (interest on amounts is at Lloyds Bank base rate plus 4%) and will be liable for reasonable legal charges incurred by D-Zine in the recovery of amounts due, Equipment and/or Goods. (e) Deposits. Deposits are set by D-Zine at amounts reasonable required and will be offset against any monies due. Deposit balances are refunded upon return to D-Zine of equipment in good condition. Balances of deposits paid by cheque will be refunded by cheque in within 7 business days. (f) Loss of Equipment, cleaning and damage repair. D-Zine may treat equipment unavailable for inspection after reasonable notice as lost and levy a penalty charge against the Hirer equal to the current replacement value plus original hire charge. The Hirer will pay for the required cleaning, breakages, and damage repair and/or equipment loss. Hire charges accrue until full settlement is made. (g) Credit and Debit Card transactions. Where the hirer has signed a bank credit or debit voucher, with a subsequent shortfall, D-Zine may insert and present for payment the balance due. Part payments debit card may also be processed by D-Zine at interim stages of the contract. (h) Complaints. Complaints should be submitted in writing during the open period of the event or exhibition. This will ensure that they are fully investigated on site. 3. HIRER S REPSPONSIBILITIES (a) Inspection and receipt of Equipment and Goods. The Hirer will sign to acknowledge receipt at delivery/hand over. Shortages must be agreed and noted on the contract/delivery document. Equipment defects should be reported to D-Zine as soon as possible. (b) Delivery/Collection of Equipment and Goods. The Hirer will provide adequate delivery and collection access. Equipment transported in the Hirer s own vehicle will be at the Hirer s risk. (c) Security of Equipment. The Hirer accepts responsibility for Equipment security until its collection by or return to D-Zine and undertakes not to sell or relinquish possession, alter, modify, repair it in any way. (d) Return or Collection of Equipment. The Hirer may arrange for the return or collection of Equipment during normal business hours and when equipment has been returned or collected, D-Zine will issue a collection/return note. The Hirer will remain liable for ongoing hire charges until such collection/return note has been issued. The Hirer remains responsible for the equipment until collection. Hirer s are reminded that all equipment should be emptied of personal belongings at the conclusion of the event ad D-Zine accepts no responsibility for their safe keeping. (e) Lost or Stolen Equipment. The Hirer agrees to insure the equipment on a full replacement basis against the risks of loss and theft and on demand to pay D-Zine any insurance claim proceeds. This liability is without prejudice to any D-Zine rights under the contract. Replacement equipment purchased with insurance claim proceeds is the property of D-Zine. D-Zine accepts no liability whatsoever for any damage or injury caused by the misuse by the Hirer of D-Zine s property. 4. D-ZINE S RESPONSIBILITIES (a) Hire Rates. D-Zine will maintain the agreed hire rates for the duration of the contract. (b) Limitation of Liability. The liability of D-Zine for claims made by the hirer does not extend to any unforeseeable financial loss caused by late or nondelivery of equipment, unsuitability, stoppage or lawful repossession. Subject to the above, D-Zine will be liable for negligence or error in the performance of its obligations under the Contract.
