15 MEET DAVE CANTIN MEET DAVE CANTIN dave cantin group Dave Cantin s career in the automotive industry spans over 20 years. His passion and dedication to exploring innovative sales opportunities led him to take a small local car dealership and transform it into the largest single point car dealership in the world. Since selling the dealership in 2015, Dave regularly consults on dealership acquisitions for large public and private automobile groups. He has extensive knowledge in analyzing evaluations for dealerships worth and helping negotiate complete buy/sell transactions. Dave s specialty is representing platform acquisitions, overseeing multiple dealerships within an individual deal. In 2017, Dave closed the second-largest auto buy/sell in U.S. history: Prime Motor Group, consisting of over 30 dealerships. davecantingroup.com Page 15

16 MEET DAVE CANTIN In 2017, Dave closed the second-largest auto buy/sell in U.S. history: Prime Motor Group, consisting of over 30 dealerships. The largest deal of its kind ever done by a broker, it was the second-largest automotive acquisition after Warren Buffett s 2015 acquisition of the Van Tuyl Group, which eventually became Berkshire Hathaway Automotive. Dave was recognized for having more impact on the industry than any single individual or company in recent memory as an agent of change and retail consolidation when Automotive News named him their 2012 Newsmaker of the Year. NJ BIZ featured him in their 2014 edition of 40 under 40, recognizing him for his commitment to business growth, professional excellence and dedication to the community. Also in 2014, founding member of KISS and Rock & Roll Hall of Fame inductee Peter Criss presented Dave with the Man of Courage Award for Philanthropy sponsored by the Beauty Foundation. 17 MEET DAVE CANTIN Beyond his business achievements, Dave also beat the odds to triumph over his diagnosis of leukemia in After five years of chemotherapy, Dave is now cancer-free. Motivated by inspiring others and giving back, Dave has pledged extensive time and effort in the pursuit of finding a cure for childhood cancer. Through programs with his former dealership and external fundraising events, he is unwavering in his commitment to funding pediatric cancer research. Dave has been a board member for several foundations including Hope & Heroes at Columbia University Medical Center, Project Ladybug, and Hyundai Hope on Wheels, where he served as the vice chairman. He has been instrumental in raising over $150 million towards curing pediatric cancer. Today Dave enjoys living a bi-coastal life, residing in both New York City and Malibu, California. 20 Brian Brown COO Brian Brown has 30 years of automotive experience focusing on every aspect of the automotive business and dealership operations. He has spent a majority of his career working at General Motors at a corporate, regional and field level. Brian was instrumental in developing and executing the private equity automotive strategy that established GPB Capital as a top-10 privately held automotive company in the United States with over $3.2 billion in annualized revenues. In addition, he led the efforts to seamlessly transition all the dealerships into the GPB family while driving employee engagement and operational and staffing improvements. 21 Stephen Jones National Director of Acquisitions Stephen Jones is an experienced acquisition advisor with a demonstrated history of success in the automotive industry. Stephen specializes in helping buyers and sellers streamline automotive retail buy/sell transactions. Prior to joining DCG, Stephen was on the investment team at GPB Capital where he played a key role in the successful acquisition of over 50 dealerships, including two major dealership platforms: Kenny Ross Automotive Group and Prime Motor Group, the second largest automotive buy/sell transaction in U.S. history. Before GPB, Stephen worked in Sonic Automotive s Corporate Development department where he provided key analysis to executive management resulting in the completion of 18 dealership buy/sells. In addition, he supported the real estate acquisitions for Sonic s EchoPark stores, leading to the opening of 6 fully operational locations in Colorado. Stephen began his career in public accounting at Grant Thornton where he specialized in financial statement audits and Transaction Advisory Services. 22 Woody Woodward Managing Director Northeast William Woody Woodward has been in the retail automotive business for over 37 years. Woody has specialized in turning around under-performing dealerships by improving sales and fixed operations performances, as well as start-ups from ground zero. Through his strong leadership skills and his contagious positive attitude, he has a successful track record of building great dealerships and improving sales, CSI and profitability. Prior to joining Dave Cantin Group, Woody worked for Prestige Automotive Group based in New Jersey in numerous leadership roles and was responsible for turning around under-performing dealerships, as well as the opening of new dealerships. Woody has managed his own private consultant business practice for over 18 years, working with several large dealer groups, manufacturers, and independent dealers throughout the Northeast. davecantingroup.com Page 22

23 Dan Simonson Managing Director Southeast Dan Simonson has been involved in the automotive space for over 20 years. He has worked on both the manufacturing and the captive finance side of the business, having had roles with the Ford Motor Company, Ford Motor Credit, and Mitsubishi Motors North America. He has worked in Mexico City, South Florida, Minneapolis, and the Louisiana/Mississippi markets. Dan has also focused on the South Florida independent dealer market, providing wholesale lending for one of the largest floor plan providers. In this role, Dan successfully completed one of the largest independent wholesale dealer transactions: a $40 million wholesale floor plan line of credit. He has a deep understanding of retail in both the new/used vehicle markets, dealership operations (retail and wholesale), and captive/ independent dealer inventory financing. davecantingroup.com Page 23

24 Tony Karabon Managing Director Midsouth Tony Karabon has over 25 years of experience in the retail automotive industry, having served as the General Counsel for RFJ Auto Partners, a Top 25 Dealer Group, and the Boucher Automotive Group, a top 75 Dealer Group. In these two roles, he negotiated, documented, and closed numerous buy/sell transactions. Tony has also addressed virtually every manufacturer dealer issue, as well as every legal issue that dealers confront. As a member of the executive management team for these dealer groups, he was responsible for acquisitions, real estate, human resources, insurance, lending, and regulatory matters. Prior to entering the retail automotive business, Tony practiced corporate, real estate, and transactional law at Jackson Walker LLP in Dallas, Texas; Godfrey & Kahn, S.C. in Milwaukee, Wisconsin; and Powell Goldstein LLP (now Bryan Cave Leighton Paisner LLP) in Atlanta, Georgia. davecantingroup.com Page 24

25 Mark Dwyer Managing Director Midwest Mark Dwyer has 35 years of progressive management experience in the auto industry with wholesale automotive (Ford Motor Company; field and national level), retail dealerships operations both private and public as a dealer/ owner and general manager, and executive management experience as vice president of an industry-leading digital database direct mail firm. A results-oriented MBA, Mark has the proven management skills to bring multifaceted transactions to a successful conclusion. Past wholesale positions have included Western Region Marketing Manager, National Contest and Incentive Manager, Regional Franchising and Market Representation Manager, and Business Management Director. 26 George Pero Managing Director West George Pero has had a successful track record for over 26 years in the automotive industry covering every facet from retail to wholesale and ultimately the remarketing/auction industry. George started in the car business on the retail side, working for a small chain of family owned franchise stores in Southern California. In a very short time, George was able to obtain senior management positions with several reputable franchises, advancing his career in retail. Having most recently focused on the wholesale remarketing industry, he launched and developed a very successful onsite mobile auction company, Auctions In Motion. As a past board member of various organizations including Hyundai Hope on Wheels and Hope & Heroes at Columbia University Medical Center, Dave has played an integral role in raising over $150 million towards the fight against pediatric cancer.
