BECK, as Chapter 11 Trustee of the estate of Southeast Banking Corporation ( SEBC, gives notice pursuant to Federal Rule of Bankruptcy Procedure 6004(f(1 of a sale not in the ordinary course of business by the estate s wholly-owned nondebtor subsidiary SWQ Holdings, Inc. ( SWQ of certain undeveloped real property owned jointly by SWQ and the Southwest Quadrant Joint Venture ( SQJV and described in detail in the Contract of Sale attached as Exhibit A to the Trustee s Motion for Authority to Exercise Estate s Interest in Non-Debtor Subsidiary to Cause Sale of Real Property and Take Related Actions (ECF #6010 and the Amended Contract of Sale attached as Exhibit A to the Trustee s Motion to Approve Second Amendment to Contract of Sale of Non-Debtor Subsidiary Real Property (ECF #6020 (collectively, the Contract, to JAX SQW Apartments LLC, as approved by the Court in its March 27, 2012 Order Granting Trustee s Motion for Authority to Exercise Estate s Interest in Non-Debtor Subsidiary to Cause Sale of Real Property and Take Related Actions (ECF #6014 and its July 5, 2012 Order Granting Trustee s Motion to Approve Second Amendment to Contract of Sale of Non-Debtor Subsidiary Real Property (ECF #6027 (collectively, the Approval Orders, for a total gross purchase price of $4,200,000. The net proceeds to the estate from the sale are $3,704,776.43, computed as follows: After payment of expenses and other amounts due under the Contract and authorized pursuant to the Approval Orders, the total net proceeds of the sale were $3,872, The estate s share of these proceeds in respect of SWQ s 70% interest in the property was $2,710,943.50, less (x $117,600 for the estate s share of the property managers fees, plus (y $1,111, for repayment of advances from the 30% owners of the property.
