2 The Hon. Walt Minnick (D-ID) Partner & Cofounder Walt Minnick represented Idaho s 1 st Congressional District in the U.S. House of Representatives. He served on the Financial Services and Agriculture Committees and was heavily involved in authoring and negotiating key provisions in the Dodd-Frank Wall Street Reform and Consumer Protection Act. Mr. Minnick was a member of the Blue Dog Coalition with a legislative record that was fiscally conservative, pro business and socially progressive. According to the Washington Post, he established the most independent voting record in Congress during his tenure. Prior to holding elected office, Mr. Minnick was co-founder, Chairman of the Board, and CEO of SummerWinds Garden Centers, Inc., a privately owned group of 12 high-end, retail nurseries located in St. Louis, Phoenix, Boise and Silicon Valley which is now the 14 th largest independent garden center company in the United States. He previously was President and CEO of Trus Joist Corporation, a high-tech forest products company. Mr. Minnick helped transform this $35 million business into a Fortune 1000 multinational public corporation. Today, Trus Joist is a $3 billion division of Weyerhaeuser Co. During this time, Mr. Minnick served on numerous Boards of Directors of public and private companies. He was co-founder and director of the Idaho Business Council (CEO s and business unit Presidents of Idaho s largest companies), a member of the American Business Conference (CEO s of 100 high-growth American corporations), chairman of the College of Idaho s Board of Trustees, and represented Idaho at President Clinton s Pacific Northwest Timber Summit. In 1991, Idaho State University named him Idaho Businessman of the Year. Prior to joining Trus Joist in 1974, Mr. Minnick served for 3½ years as Staff Assistant to President Richard M. Nixon in the White House with responsibility for starting the federal government s global anti drug program. He also served as Deputy Assistant Director of the Office of Management and Budget (OMB). He was previously a 1 st Lieutenant in the U.S. Army stationed in the Pentagon working for the Assistant Secretary of Defense (Comptroller) and as the economist on DOD s Vietnamization Task Force. Prior to his military service, Mr. Minnick was an associate with the firm of Davies, Biggs, Stoel, Rives and Boley, Portland, Oregon, then the largest law firm in the Pacific Northwest. Mr. Minnick has a B.A. degree from Whitman College where he graduated Summa Cum Laude with honors in Economics in He graduated first in his class at Harvard Business School where he was a Baker Scholar and received an M.B.A. with High Distinction in He subsequently graduated Magna Cum Laude from Harvard Law School in Mr. Minnick was born in Walla Walla, Washington. He is married to A.K. Lienhart-Minnick and has four children and four grandchildren.

3 Rob Ellsworth Partner & Cofounder Rob Ellsworth has advised 3 Republican committee chairmen and 2 Democratic members of Congress in every capacity from intern to Chief of Staff. His extensive relationships in both political parties, experience during multiple crises in our country, and understanding of the cross-section between politics, policy and procedure make him a leading expert and trusted voice on Capitol Hill. Most recently, Mr. Ellsworth served as the top aide to U.S. Rep. Walt Minnick (D-ID) becoming one of the youngest Chiefs of Staff in congressional history. He was the Congressman s liaison to the White House, federal agencies, Idaho s governor and Congressional delegation. Mr. Ellsworth also served as Rep. Minnick s Legislative Director tasked with developing and implementing his policy agenda and providing final vote recommendations. Mr. Ellsworth oversaw Rep. Minnick s priorities as a member of the House Financial Services Committee and played a key role in drafting various sections and amendments in the Dodd-Frank Wall Street Reform and Consumer Protection Act. Ellsworth drafted changes to the OTC derivatives language, regulatory structure and oversight, credit risk retention for loan originators, mortgage reform, and a bipartisan 12-member amendment to the proposed Consumer Financial Protection Agency. Mr. Ellsworth previously served as Senior Legislative Assistant to the current Chairman of the Blue Dog Coalition, Congressman Heath Shuler (D-NC). He oversaw the Congressman s legislative portfolio as a member of the Transportation and Infrastructure and Natural Resources committees in addition to financial services, energy, agriculture, immigration, ethics, tax, trade, and housing policy. He assisted the Congressman and his team in securing $24.3 million for 34 infrastructure projects in Western North Carolina and was critical in three of the Congressman s legislative initiatives and multiple amendments reaching former President Bush s desk. Additionally, he was the architect of a major immigration proposal that garnered national attention with grassroots and media organizations and support from over 200 Members of the House and a dozen Senators. He participated in immigration policy and port security discussions at the British Parliament and with U.S. Congressional and Administration officials while brokering compromise, mutually acceptable legislation. Mr. Ellsworth also served as professional staff on the Committee on House Administration for Chairman Robert W. Ney (R-OH) and Chairman Vernon J. Ehlers (R-MI). He was appointed Project Manager for the 2006 New Member Orientation program and transition for the 52 Member freshman class of the 110 th Congress. He also served in the Office of Member Services assisting all Congressmen and staff members with ethics, campaign finance, election and lobbying rules. Prior to his work on the Committee, Ellsworth began working in Congress for the current Speaker of the House, Congressman John Boehner (R-OH), when he was chairman of the Education and Workforce committee. Mr. Ellsworth assisted Congressman Boehner in his personal office and committee office, and also worked on his re-election campaign in Westchester, Ohio. Mr. Ellsworth has worked on a total of 14 political campaigns for city, county, state and federal candidates from both political parties. Mr. Ellsworth graduated from Georgetown University where he studied government and economics. For the last 2½ years of his schooling, he worked full time in Congress while taking 5 classes per semester on campus. He resides in the Logan Circle neighborhood of Washington, D.C., and has a 4- year-old English bulldog named Reese.

4 The Hon. Charles K. Djou (R-HI) Senior Advisor & Counsel Charles K. Djou represented Hawaii s 1 st Congressional District in the U.S. House of Representatives. He served on the Armed Services and Budget Committees and in 2010 delivered the Republican response to the President s weekly address. Mr. Djou was also a member of the Republican Main Street Partnership and Tuesday Group where he distinguished himself as a bipartisan fiscal conservative and social progressive. Prior to serving in Congress, Mr. Djou was a member of the Hawaii State House of Representatives where he served as House Minority Floor Leader and a member of the House Finance Committee. He helped formulate a $7 billion annual budget and determine public policy for the state. Mr. Djou also represented Waikiki and East Honolulu as one of nine members of the Honolulu City Council where he formulated a $3.5 billion annual budget and determined public policy for the 12 th largest city in the United States. Mr. Djou chaired both the Zoning Committee and the Executive Matters and Legal Affairs Committee. Mr. Djou also served as Vice Chairman of the Hawaii Republican Party. While holding these positions, Small Business Hawaii named him Legislator of the Year, Pacific Business News selected him as one of the 40 Most Promising Leaders in Hawaii Under Age 40, and Honolulu Weekly named him Best Politician in the State. Additionally, Mr. Djou served as an Adjunct Professor in the William S. Richardson School of Law at the University of Hawaii where he taught civil litigation, oral advocacy, and criminal law. Mr. Djou served as general counsel for KD Construction, Inc., a large construction-engineering firm, where he focused on labor relations, contracts, government procurement, and insurance law. He was an associate at Cades Schutte Fleming & Wright where he represented clients in business transactions including telecommunications, real estate financing, bankruptcy, and commercial contracts. He oversaw deployment of the first wireless PCS telecommunications system in the U.S. as counsel for Voice Stream Wireless. Mr. Djou helped manage the GTE Mobilenet merger with Bell Atlantic Mobility to form Verizon Wireless in Hawaii and he represented Nextel Communications roll out of Hawaii s telecommunications market. Prior to returning to Hawaii, he served as a legal assistant in the Manhattan office of Skadden Arps Slade Meager & Flom in their asset backed finance transactions department. Mr. Djou also serves as a Captain in the Judge Advocate General Corps, U.S. Army Reserve. Mr. Djou earned his J.D. from the University of Southern California in He earned his B.S. in Economics from the Wharton School of Business, Magna Cum Laude, and graduated first in his class with a B.A. in Political Science from the University of Pennsylvania, both in Mr. Djou is married to Stacey Kawasaki Djou. They have three children.

5 Chris DiAngelo Outside Counsel & Advisor Chris DiAngelo is a Partner in the New York office of Katten Muchin Rosenman, LLP a global law firm headquartered in Chicago with offices in Washington, D.C., Los Angeles, Charlotte, New York City and London. Katten Law has a particular focus in corporate, financial services, litigation, real estate, commercial finance, intellectual property and trusts and estates. Katten clients encompass a wide range of public and private entities, including a third of the Fortune 100, as well as a number of government and nonprofit organizations and individuals. Mr. DiAngelo centers his practice on financial services/structured finance. With more than 25 years of experience in the financial services industry, Mr. DiAngelo represents a broad range of clients in the industry, including issuers, lenders, underwriters and bond insurers, on a variety of programs and projects, including asset-backed debt, municipal debt, straight corporate debt and equity, warehouse lines, regulatory matters and acquisitions. Mr. DiAngelo previously served as co-head of Dewey & LeBoeuf s Structured Finance Group in New York City. Prior to entering private practice, he was on the staff of the New York State Housing Finance Agency, a prominent municipal issuer. He also has been recognized in Chambers USA and Chambers Global as a leader in the field of Capital Markets: Securitization in the US. Mr. DiAngelo serves on the Board of Directors of the American Securitization Forum. Mr. DiAngelo received his bachelor s degree from Williams College, his master s degree from City University of New York, City College, and his law degree from Columbia University Law School. He is admitted to practice in New York. Mr. DiAngelo and his wife Lindsay Baker have 3 children: Katherine, 21; Laura, 19; and James, 17. They reside in the village of Tuckahoe in Westchester County, New York.
