3 MINUTES OF AN OPEN MEETING OF THE BOARD OF DIRECTORS OF THE MONARCH FIRE PROTECTION DISTRICT OF ST. LOUIS COUNTY, MISSOURI, HELD ON THURSDAY, FEBRUARY 1, 2018 Chesterfield, Missouri February 1, 2018 BE IT REMEMBERED, that the Board of Directors of the Monarch Fire Protection District of Saint Louis County, Chesterfield, Missouri, met at the Administration Building, of said District, Olive Boulevard, in the City of Chesterfield, County of Saint Louis, on Thursday, February 1, 2018 at 7:00 P.M. in an Open Board Meeting. At the above time and place the following Officers and Directors were in attendance. Rick Gans - President/Chairman and Director Jean Millner - Secretary and Director Robin Harris - Treasurer and Director Also present: Chief Cary Spiegel Asst. Chief Les Crews Atty. Matt Hoffman A quorum being present, Director Gans called the meeting to order and announced the Board of Directors meeting to be in session for the transaction of any and all business to be brought before it at this time. 3
4 1 P R O C E E D I N G S 2 7:03 P.M. 3 DIRECTOR GANS: Call to order the 4 Open Meeting of the Monarch Fire Protection 5 District Board of Directors. 6 Would you please rise and join me in 7 the Pledge of Allegiance? 8 (Whereupon, all persons joined in reciting 9 the Pledge of Allegiance, after which time, the 10 following proceedings were had.) 11 DIRECTOR GANS: Approval of Agenda. 12 Are there any changes, additions, 13 deletions to the agenda? 14 DIRECTOR MILLNER: I have nothing. 15 DIRECTOR HARRIS: I have none. 16 CHIEF SPIEGEL: I have nothing. 17 DIRECTOR GANS: All right. Hearing 18 none, we move on to Citizen Comments, and I don t 19 see any Citizen Comment sheets. 20 If there s any citizens present who 21 wish to speak, you need to fill out a comment 22 sheet that s right outside the door. 23 Since no one s jumping up, we ll 24 move on. 25 Moving on to the President s Report 4

Life 2 Support -- okay. 3 Chief, were these bids received 4 sealed and on time? 5 CHIEF SPIEGEL: Yes, ma am. 6 DIRECTOR MILLNER: Okay. 7 So the first vendor is Foster Coach. 8 DIRECTOR GANS: I have a question. 9 DIRECTOR MILLNER: F-o-s-t-e-r C-o- 10 a-c-h. 11 Yes, sir? 12 DIRECTOR GANS: After opening these, 13 I believe bidding here for the ambulances, the 14 newer version of our ambulances are not as large? 15 CHIEF SPIEGEL: Yes. This is the 16 Ford chassis. 17 DIRECTOR MILLNER: Hm-hm. 18 CHIEF SPIEGEL: Ford 550. Thank 19 you. 20 DIRECTOR GANS: Okay. So these are 21 not the ones that, what I call the giant 22 ambulances and they were only giant until we were 23 out-done by West County with extra giant. So, (General laughter.) 25 DIRECTOR GANS: So, these are the 7
8 1 medium sized ambulances. Right? 2 CHIEF SPIEGEL: Yes. 3 DIRECTOR GANS: Thank you. 4 DIRECTOR MILLNER: This is a Ford F550 with a 4x4 chassis on a custom Horton 6 conversion. 7 DIRECTOR GANS: Okay. 8 DIRECTOR MILLNER: The bid amount, 9 I have here, is $ DIRECTOR GANS: Nope. 11 DIRECTOR MILLNER: I m sorry, 12 $263, DIRECTOR HARRIS: I was about to say, 14 Accepted. 15 DIRECTOR GANS: We ll take ten. 16 (General laughter.) 17 DIRECTOR MILLNER: (Not understand- 18 able.) 19 (Everyone talking over each other with more 20 laughter.) 21 DIRECTOR GANS: No one will make fun 22 of you as long as you have that knife. 23 DIRECTOR MILLNER: That s right. 24 He s got the sharp knife. It s a 1957 knife. 25 (Referring to a knife used to open a box 8
9 1 containing bids.) 2 DIRECTOR MILLNER: (not understand- 3 able) 4 Okay. I m sorry. This is the part 5 -- right here. 6 DIRECTOR GANS: So do we know why 7 (not understandable) in a box and envelope? 8 DIRECTOR MILLNER: Well, this is 9 like spec s and the -- the first envelope was the 10 actual dollar amount bid. 11 DIRECTOR GANS: Okay. 12 DIRECTOR MILLNER: And then this 13 looks like spec s, here. 14 DIRECTOR GANS: And, so, that s there s no bid amount in that? No DIRECTOR MILLNER: It appears not to 17 be. 18 DIRECTOR GANS: We want to make sure 19 there s no conflict. 20 DIRECTOR MILLNER: Yeah. There 21 seems to -- I m looking at this index here and 22 there s a couple of letters, drawings, crash-test 23 documentation s, insurance certificate letter. 24 DIRECTOR GANS: Okay. 25 DIRECTOR MILLNER: No bids. 9
10 1 DIRECTOR GANS: All right. 2 DIRECTOR MILLNER: Okay. 3 CHIEF SPIEGEL: So that s -- 4 DIRECTOR MILLNER: All right. (Not 5 understandable) as well. 6 All right, the second bid is from 7 American Response Vehicles. 8 (Unable to understand due to paper rattling 9 into the microphone, while opening the bid.) 10 DIRECTOR GANS: I have a scissors if 11 you d like that. 12 DIRECTOR MILLNER: I was just about 13 to ask. 14 Thank you. 15 Oh, there s a (one word not clear) 16 in my little station here. 17 CHIEF SPIEGEL: (not clear) 18 DIRECTOR MILLNER: (not clear) Pass 19 it down. 20 Okay. This is the bid spec s for an 21 AEV Trawma Hawk 2018 Ford F550 4x4 Type One 22 Ambulance. 23 The proposal is in here. Let me 24 find that. 25 DIRECTOR HARRIS: Having those, in 10
11 1 the past, those duties before, I appreciate, 2 sometimes, the difficulty of finding the dollar 3 amount attached to a 200 page document. 4 DIRECTOR GANS: Especially when 5 everyone s staring at you. 6 DIRECTOR MILLNER: Just stare. 7 That s fine. Wow. 8 DIRECTOR GANS: I ve done that, too. 9 I had that job. A lot of pressure. 10 DIRECTOR MILLNER: I know. (Not 11 clear.) 12 I thought something wasn t right. 13 DIRECTOR GANS: Is it more than 14 $263.00? 15 (General chuckles.) 16 DIRECTOR MILLNER: Two hundred 17 sixty-seven dollars. 18 Oh, it says, Proposal in Section 19 One, before that. 20 No, that was just a letter. Hmm. 21 I found it. 22 DIRECTOR GANS: Okay. Did the first DIRECTOR MILLNER: Okay. 25 DIRECTOR GANS: It -- it s actually 11
12 1 supposed to be on the first page. 2 DIRECTOR MILLNER: Oh, like I -- 3 DIRECTOR GANS: That s one of the 4 bid requirements. 5 DIRECTOR MILLNER: -- think -- I 6 think I got a little static electricity over 7 here. 8 DIRECTOR GANS: Okay. 9 DIRECTOR MILLNER: Okay. The 10 proposal from American Response Vehicles is in 11 the amount of $255, DIRECTOR GANS: Okay. 13 DIRECTOR MILLNER: My history is 14 done. 15 CHIEF SPIEGEL: I can take that. 16 Thank you. 17 DIRECTOR MILLNER: Yes. Thank you, 18 very much. 19 DIRECTOR GANS: And your instruc- 20 tions are? 21 DIRECTOR MILLNER: Oh, let s see. 22 My instructions are DIRECTOR GANS: For the chief to 24 review the bids. 25 DIRECTOR MILLNER: The president of 12
13 1 the Board will expect the chief -- okay. 2 Chief Spiegel, I would like to 3 instruct you and your -- and/or your committee to 4 review the bids and return a recommendation to 5 the Board of Directors. 6 CHIEF SPIEGEL: We will do that. 7 DIRECTOR MILLNER: Thank you. 8 DIRECTOR GANS: Anything else? 9 DIRECTOR MILLNER: I have nothing 10 further. 11 DIRECTOR GANS: All right. 12 Moving on to the Treasurer s Report. 13 DIRECTOR HARRIS: We have disburse- 14 ments in the amount of $350, for the 15 period. 16 We have nine checks over $5, Check number to Sentinel 18 Emergency Solutions in the amount of $7,935.00, 19 no cents, for rescue equipment for 2254 and Check number to Leo Ellebracht 21 Company in the amount of $9, and no cents. 22 That is for 2216 for a confined 23 space rescue system. 24 Check number to Montgomery 25 Bank in the amount of $5,
14 1 Those are credit card purchases for 2 a variety of items. 3 Check number to Central County in the amount of $193, And that would 5 be for our communications and dispatch service. 6 A portion, at this time. 7 DIRECTOR GANS: Taxes we ve 8 collected and we re remitting. 9 DIRECTOR HARRIS: Check number to Mediclaims, Incorporated for $6, That is the December, 2017 billing. 12 Check number to Firecom, in 13 the amount of $13, Those are upgrading headsets, 15 replacing older and failing equipment, for 2217, and Check number to J. W. Terrill, 18 in the amount of $7, and no cents. 19 And those items covered our FLEX 20 benefits and billing for January, Check number to Across the 22 Street Productions in the amount of $5, and 23 no cents. 24 Those are blue cards for acting 25 captains. A total of
15 1 And, finally, check number to 2 Weber Chevrolet in the amount of $33, and 3 no cents for a 2018 Chevy truck, number Are there any questions? 5 DIRECTOR GANS: This week, I had 6 more questions than normal, submitted by to 7 the chief and his staff, which I know he and both 8 -- and Michelle answered. 9 Normally, I just say that and talk 10 about the auditors make us do this. And so I 11 meant, I want to point out some of these 12 questions, because there were a number of them. 13 Some of these checks are large. 14 Some of my questions were about some 15 of the checks that Director Harris just read. 16 The check to Leo Ellebracht, for 17 example, and -- and the answer I got was actually 18 for confined space rescue equipment for 2216, and So it s for three trucks, not just 21 one, according to the answer. 22 ASSISTANT CHIEF CREWS: That s 23 correct. 24 DIRECTOR GANS: I m interested in 25 just a sentence, or two, the description of what 15
16 1 that equipment is, the confined space rescue 2 equipment, because it is quite expensive. 3 What did -- what did we buy? 4 MS. DEPEW: (not understandable) -- 5 Director Harris. (Not understandable) 6 DIRECTOR MILLNER: What s the check 7 number I m looking for? 8 DIRECTOR GANS: Well, I -- I was 9 actually hoping that ASSISTANT CHIEF CREWS: I m DIRECTOR GANS: -- it would also ASSISTANT CHIEF CREWS: I m going 13 to answer that. 14 CHIEF SPIEGEL: Les has probably got 15 the answer. 16 DIRECTOR GANS: Okay. I wanted Les 17 to answer that. 18 ASSISTANT CHIEF CREWS: The -- the 19 majority of the equipment, and there s a large 20 piece for each one of the equipments and it s in 21 a -- in a price tag of about $ DIRECTOR GANS: Hm-hm. 23 ASSISTANT CHIEF CREWS: It s called 24 a multi-purpose device, or an MPD. 25 But it s a topical rescue tool 16
17 1 that you could use for lowering/raising people. 2 It s got safety features built in to it. 3 So that s the bigger ticket item. 4 And then there s several smaller 5 accessory items that go with that. Some single 6 pulley s, some double pulley s, some extending 7 devices, some repelling devices, as well. 8 So, it s a combination of things 9 with the intent to raise and lower people DIRECTOR GANS: Okay. 11 ASSISTANT CHIEF CREWS: -- so they d 12 be out of a confined space, or a situation where 13 there s an elevation change. 14 DIRECTOR GANS: Okay. Thank you for 15 the explanation. 16 DIRECTOR HARRIS: Actually, if I 17 may just opine to that. 18 Chief Crews, ASSISTANT CHIEF CREWS: Yes. 20 DIRECTOR HARRIS: -- approximately, 21 and this is (not understood) answer, but just for 22 the public who may be interested. 23 Approximately, how many of our 24 personnel are trained in confined space rescues? 25 ASSISTANT CHIEF CREWS: All of them 17
18 1 have been exposed to it at some level, but the -- 2 to the, what I m going to refer to as the 3 technician level, I m going to say about two- 4 thirds to three-forth s of the department. 5 DIRECTOR HARRIS: Thank you, -- 6 ASSISTANT CHIEF CREWS: Which is -- 7 DIRECTOR HARRIS: -- very much. 8 ASSISTANT CHIEF CREWS: Which is a 9 high number, when you look at that, DIRECTOR HARRIS: Okay. 11 ASSISTANT CHIEF CREWS: -- compared 12 to other agencies. 13 DIRECTOR HARRIS: Absolutely. I 14 mean, that s roughly 60 to 75 of our personnel 15 who can do these topical rescues. So, thanks. 16 DIRECTOR GANS: Secondly, I want to 17 point out, there were two check runs. We re 18 still closing out 17 and also doing There were two check runs with 20 significant checks to Missouri American Water. 21 And I asked the chief to look into 22 that and he was already about to look into that. 23 We ve gotta get those bills down. 24 They re out of line with what we ve historically 25 paid to Missouri American. 18
19 1 And, we won t go any further into 2 that, at this time, but I know you re working on 3 that. 4 And then there were two items on the 5 credit card check that I asked about and they 6 were related. 7 They were both for Cloud Storage. 8 One was for I-cloud backup. The 9 other was through drop box. 10 I m familiar with these products and 11 I -- they re similar. Not exactly the same. 12 And I learned from that, that we re 13 actually going to be getting a 50 percent refund 14 from I-cloud backup, which was a significant 15 amount on that credit card bill. 16 I -- you have it there. But, it was 17 a -- one of the larger items on there. 18 So, that s going to be improved. 19 And, then, finally, I asked about 20 the check to J. W. Terrill, which was also read 21 into the record as a check over $5, And Michelle told me that -- and I I was guessing this is what it was; sixty- 24 three-seventy-five of that was for third-party 25 administrator fees for the year. 19
20 1 MS. DEPEW: That s correct. 2 DIRECTOR GANS: And so they perform 3 third-party administrator duties for the District 4 on our various benefits and -- 5 MS. DEPEW: This is for the Plans, specifically. 7 DIRECTOR GANS: Okay. 8 MS. DEPEW: And for the (one word 9 not clear) benefit cards and -- and that s DIRECTOR GANS: Okay. 11 MS. DEPEW: -- attached to this. 12 Correct. 13 DIRECTOR GANS: Which we ve use them 14 for that for years. 15 MS. DEPEW: Yes. That s normal and 16 customary. 17 DIRECTOR GANS: Right. 18 MS. DEPEW: I mean, that s within 19 normal and customary amounts. 20 DIRECTOR GANS: Okay. So, those those, I thought, were worthy of noting at the 22 Board Meeting, besides something that are 23 available for anyone to look at anytime. 24 And those are all my questions. 25 DIRECTOR HARRIS: Director Millner, 20
21 1 do you have any additional questions? 2 DIRECTOR MILLNER: I do not. 3 DIRECTOR HARRIS: I know that once 4 Director Gans goes through these, via the 5 process, there are typically few, if any 6 questions. 7 One comment, or, actually, I ll 8 start with a question. 9 The truck that was purchased, that 10 was part -- that was budgeted for correctly? 11 CHIEF SPIEGEL: Yes, sir. 12 DIRECTOR HARRIS: I -- I knew that 13 was, but wanted to get that into the record for 14 the people here. 15 I also want to make note of the fact 16 that we paid it in total. There are no remaining 17 payments or additions to that, unless we add 18 equipment. 19 CHIEF SPIEGEL: As of tonight, we ll 20 take DIRECTOR HARRIS: Yes. 22 CHIEF SPIEGEL: I do have a 23 correction on the checks, though, that there is 24 one check -- you have that check number? 25 ASSISTANT CHIEF CREWS: Yes. If 21
22 1 you will refer to red page seven, the very last 2 line entry on that page. 3 DIRECTOR GANS: Hold on. Give me a 4 minute. I was -- I was moving on, getting ready 5 for the next thing. Hold on. 6 The bottom of red page seven. 7 That s a check verification page. 8 ASSISTANT CHIEF CREWS: Okay. I 9 have a different document. 10 So, let me just explain to you 11 what s going on. 12 On check number 40691, there was a 13 clerical error there that was made and it was 14 issued to the vendor of Rescue Repair. 15 The correct vendor should be Rescue 16 Gear. 17 So the item description of rope gear 18 in the amount of $1, is correct. It was 19 just accidently assigned to the wrong vendor. 20 We re making that correction 21 tomorrow. That check will be voided and re- 22 issued to the appropriate vendor. 23 So, we would ask the Board to 24 approve that expenditure, if you feel comfortable 25 with that. 22
23 1 DIRECTOR GANS: Okay. So that s 2 just a clerical error and in approving the 3 checks, would we be approving the correction 4 anyway? 5 MISTER HOFFMAN: Yes. 6 DIRECTOR GANS: Okay. It s funny 7 you bring that up, because I was kinda wondering, 8 when I read that description, that didn t seem to 9 fit the vendor name. 10 The next time, I m not letting that 11 one go. 12 (General chuckles.) 13 ASSISTANT CHIEF CREWS: Sorry I 14 brought attention to that. 15 DIRECTOR GANS: Thank you. 16 CHIEF SPIEGEL: We ll void that 17 check and we ll re-issue the check. 18 DIRECTOR HARRIS: In reviewing these 19 disbursements, they appear to be reasonable and 20 necessary in the conduct of the District s 21 business. 22 Chief Spiegel, were these checks 23 prepared per your recommendation? 24 CHIEF SPIEGEL: Yes, they were. 25 DIRECTOR HARRIS: Do they violate 23
24 1 any state bidding statutes, or constitute 2 installment payments? 3 ACTING CHIEF SPIEGEL: None that I m 4 aware of. 5 (Someone coughing.) 6 DIRECTOR GANS: I think we re all 7 getting that cough from you. 8 DIRECTOR HARRIS: I make a motion 9 that we accept the disbursements as prepared. 10 DIRECTOR GANS: I will second the 11 motion. 12 Any further discussion? 13 (No response.) 14 DIRECTOR MILLNER: No. 15 DIRECTOR GANS: All in favor? 16 DIRECTOR MILLNER: Aye. 17 DIRECTOR HARRIS: Aye. 18 DIRECTOR GANS: Aye. 19 Motion passes three to nothing. 20 DIRECTOR HARRIS: I -- I would 21 like to make a quick note of the fact that today 22 in 2003 the space shuttle was returning from 23 orbit. 24 While there had been some damage 25 during the lift-off phase, the -- there were no 24
25 1 attempts to repair in space and upon re-entry, 2 the space shuttle exploded, as the heating -- the 3 heat shield, the tiles protecting the wing had 4 been damaged and gave way. 5 So the wing absorbed the heat. 6 Exploded. Taking the rest of the shuttle with 7 it. 8 Actually, back in the 1980's, about , the Challenger exploded on lift-off. I was 10 actually flying over central Florida in the U.S. 11 Navy, at the time, observing it personally, from 12 a distance, so, a hundred miles or so and 13 observed that. 14 I ll also make a note that today, in , after nearly six months of battle, the 16 Japanese began to retreat and actually withdraw 17 from the island of Guadalcanal. 18 And that concludes the Treasurer s 19 Report. 20 DIRECTOR GANS: All right. Thank 21 you for the enhanced report. 22 Moving on to the Chief s Report, 23 Chief Spiegel. 24 CHIEF SPIEGEL: Yes, sir. Item A., 25 I have a Hydrant Resolution. 25
26 1 You all should have received the 2 Resolution in your packets. 3 DIRECTOR GANS: We did. 4 CHIEF SPIEGEL: Deputy Chief Herin 5 is here, if you have any questions about the 6 Resolution. 7 DIRECTOR GANS: Hold on. I didn t 8 look. 9 This is a new subdivision off of 10 Olive. Correct? 11 CHIEF SPIEGEL: Yes. 12 FIRE MARSHAL HERIN: Roger Herin, 13 Fire Marshal. 14 Yes, this is a new subdivision 15 called the Grand Reserve, which is about two 16 miles up Olive. 17 DIRECTOR GANS: Okay. DEPEW: I have recommendations 10 for the general funds for investments of two 11 million dollars and there is an investment 12 schedule attached to that. 13 And then also for the Ambulance fund 14 for investment recommendations of two million 15 dollars. There 10 is 20 percent reserve in both accounts and the 11 balances that I wrote, there is that cash still 12 on hand to (not clear) significant standing, 13 there still is (not clear). 14 DIRECTOR GANS: Because you got down 15 into five figures. 16 MS. She has seen this 5 language. 6 She has approved this language, as 7 I explained the intent of what the Board wanted 8 to do. 9 And, so, before you, tonight, is 10 Resolution DIRECTOR GANS: Do you think it s 12 important to read it into the -- the whole 13 Resolution? 14 MISTER HOFFMAN: I think it s a good 15 idea. 16 DIRECTOR GANS: Okay. 40 1 Circuit Court of St. Louis County, State of 2 Missouri, pursuant to the provisions of Chapter of the Missouri Revised Statutes; and 4 WHEREAS, Section of the 5 Missouri Revised Statutes has been created by the 6 Missouri Legislature and provides that the Board 7 of Directors shall publish Notice and hold a 8 Public Hearing before the tax rates for the 9 fiscal year are set; and 10 WHEREAS, Section of the 11 Missouri Revised Statutes provides that the Board 12 of Directors shall certify the tax rates to St. 13 Louis County and St. Louis County shall levy and 14 collect the taxes on behalf of the Monarch Fire 15 Protection District so that funds may be had for 16 the personnel, maintenance and operation of the 17 District. 18 NOW, THEREFORE, BE IT RESOLVED that 19 the Board of Directors of the Monarch Fire 20 Protection District hereby rescinds its pervious 21 voluntary tax rate ceiling reduction so that the 22 funds may be had for the personnel, maintenance 23 and operation of the District. 24 Do I hear a second? 25 DIRECTOR HARRIS: Second. 40
