Possession of this price list does not constitute authority to sell or offer for sale Quaker Furniture products. credit approval Each order you place is submitted for credit approval. All new accounts should submit a financial statement, credit, and bank references upon placement of first order. We will notify you immediately if credit is not approved at which time a 50% deposit with the balance due before shipping is accepted, provided there are no past due invoices with Quaker Furniture. payment methods In addition to using a Factoring Agency, Quaker Furniture accepts payment by Check, Certified Check, Wire Transfer, E-Check, and Credit Card (American Express, Discover, Master Card, Visa). order scheduling Orders will be scheduled for production after: All COM s are received All special finishes are received & approved Ordering information is complete Credit approval or pre-payment order acknowledgment Quaker Furniture will send an acknowledgment with exact pricing information and expected ship date. Your order will be processed as acknowledged. order changes & cancellations We will not accept changes or cancellations, including fabric and finish changes once an order is in production. 05

6 RETURNS & REPAIRS returns & repairs No merchandise may be returned or repaired, without prior authorization from the Quaker Furniture factory. A Return Authorization (RA) number must be secured prior to the return of any product. The RA must be used within 30 days of issuance. In the event that you receive furniture damaged in transit or shortages, do not refuse the shipment. Note all discrepancies on the bill of lading, retain all cartons, take pictures of the cartons and damaged product and immediately notify us at: repairinfo@quakerfurnitureinc.com. You do not need to file a freight claim, we will handle the repair for you. FREIGHT DAMAGE RETURNS MUST BE PICKED UP AND REDELIVERED TO THE ORIGINAL -TO ADDRESS. CHARGES RELATED TO REDE- LIVERY TO THE FINAL DESTINATION ARE NOT THE RESPONSIBILITY OF QUAKER FURNITURE. Product being returned to Quaker Furniture for repair or replacement will be thoroughly inspected on its return and the results compared to the reason for the return stated. Any discrepancies such as additional damage, signs of misuse, etc. will result in adjustment to the repair or replacement agreement previously agreed upon. These adjustments include but are not limited to reimbursement to Quaker for freight charges, labor, and materials. 7 PING INFORMATION transporation All orders shipped to any destination within the contiguous United States and port of departure, F.O.B. origin freight prepaid. Quaker Furniture does not ship outside the contiguous United States. Quaker Furniture will select the furniture specialist carrier to be used on all shipments. additional charges Quaker Furniture reserves the right to implement a fuel surcharge. NON-DOCK, INSIDE DELIVERY, TIME DELAY, AIR FREIGHT, EXPEDITED MENTS, AND INSTALLA- TION ARE NOT INCLUDED IN THE PRICING SHOWN AND ARE THE RESPONSIBILITY OF THE CUSTOMER. Charges resulting from late deliveries beyond our control are not the responsibility of Quaker Furniture. storage Quaker Furniture ships all furniture upon completion. Storage of furniture beyond completion is the sole responsibility of the customer. zone shipping For orders totaling $15,000 list price and under: shipping charges are calculated using list price and percentage tied to the shipping destination zone. There is a $100 minimum shipping charge if shipping total falls below the minimum. For orders totaling over $15,000 list price: shipping charges are included. 8 WOOD FINISHES & LAMINATES cof - customer own finish We match any finish at no additional charge with no minimum order requirement and all styles are available. ordering custom finishes Please mark all COF purchase orders with the following: Manufacturer s name Style number Color name and number Indicate finish as COF If we previously matched your sample, reference the acknowledgment or purchase order number sending cof finish samples The finish sample should be sent to us from you, rather than from the manufacturer. Label all finish samples with the following: Your purchase order number Manufacturer s name Color name and number A sample for approval of your custom finish will be sent only when requested on your purchase order. However, if your order is 15 pieces or more, we will automatically send a sample for approval. We are not responsible for variations in other manufacturer s finish standards and cannot guarantee an exact match to furniture you receive from another manufacturer; however, the finish will be a commercially acceptable match to your sample. When comparing a matched finish, please remember that large, flat, horizontal desk surfaces will naturally appear lighter in tone than vertical surfaces on chairs. This is true even when there is an exact color match. Wood is a natural product and differences in porosity, grain, mineral content, etc. can cause slight variations in finishes from one piece of furniture to the next. Quaker Furniture does not guarantee the exact matching of grain, pattern, and color. We match the overall color and sheen of your finish, but we cannot match the grain characteristics of the wood itself. This is particularly true with plastic laminate samples, clear finishes, and lighter tones. selecting light and natural maple finishes We will finish maple wood in clear, natural, or light finishes at your request. Light and natural finishes will show the natural characteristics of the wood. Lighter finishes will not mask mineral streaks, the burl nature of maple wood, or variations in color and tone from one part of a chair or table to another. The direction of the grain will also affect the perceived color of a particular part (i.e. comparing the top rail to the back leg of a chair). Merchandise will not be replaced because of these natural variations. oak finishes on maple wood We do not recommend using oak finishes on maple wood. An oak finish on maple wood does not yield the pleasing tones with which you are familiar. If using an oak finish on maple wood, we will send a sample for approval. q-guard finish Quaker Furniture products come standard with a Q-Guard protective finish featuring antimicrobial silver ion technology. Silver ion technology inhibits the growth of mold, mildew, fungus, and bacteria that can cause odors and stains. The Q-Guard finish is a catalyzed conversion varnish making it highly durable, chemical resistant, UV resistant and moisture resistant. Under normal usage and cleaning conditions, the Q-Guard finish will provide continuous antimicrobial protection and maintain durability for the useful life of the product. As with any fine wood furniture, the natural grain characteristics will be clearly evident. Chemicals in rubber and some plastics (such as vinyl binders and rubber pads on accessories) may react with furniture finishes when they are left in contact for prolonged periods. Always place a non-reactive spacer of cloth, paper, cork, etc. Between the furniture and any such chemically reactive materials. wood cleaning instructions Wood should be cleaned with a clean cloth moistened with clean water and immediately dried using a soft cloth. Do not use oil or wax based products to clean Q-Guard wood finishes as these products can create a barrier to the protective properties of the finish. The use of cleaners containing soap, oil, ammonia, and solvent can soften, discolor, and even destroy the integrity of the finish. NOTE: OAK FINISHES ARE MATCHED ON OAK WOOD. OTHER FINISHES SUCH AS CHERRY, MAHOGANY, MAPLE, AND WALNUT ARE MATCHED ON MAPLE WOOD. 08

10 S & LEATHERS application of fabrics Quaker Furniture will determine the proper direction to apply all fabrics as required for each style. This may vary from the direction the suppliers sample is swatched or shown on their website. Upon request, Quaker Furniture will apply fabric in a specific direction. This must be submitted in writing with specific instructions as to how it is to be applied and with the agreement that the customer assumes all responsibility of the outcome of the application. examples of fabric placement Railroaded Up The Bolt com/col requirements COM/COL (Customer s Own Material/Customer s Own Leather) requirements are found with each style in the price list. Requirements are based on plain 54 material. Some COM fabrics are considered directional that may not be considered directional by the fabric supplier, due to the upholstering process used by Quaker Furniture. Yardage requirements are greatly affected by not only size of repeats, but also by the print or pattern. More fabric is required to match stripes, plaids, and repeats. Use the chart shown below as a guide and add to the plain yardage requirements in the price list. For combination upholstery and large quantities, we will calculate the yardage for you - contact customer service for assistance. To calculate COL sq. ft. requirements, multiply the COM yardage required by 17. THOUGH EVERY EFFORT HAS BEEN MADE TO ESTIMATE EXTRA YARDAGE REQUIRED FOR THE STRIPES, MATCHES, IRREGULAR PATTERNS, AND PATTERNS THAT NEED TO BE CENTERED, QUAKER FURNITURE TAKES NO RESPONSIBILITY WHERE ADDITIONAL MATERIALS MUST BE ORDERED. COM/COL ORDERS ARE SCHEDULED UPON RECEIPT OF THE MATERIAL. We cannot guarantee these with regard to wear-ability, color fastness, stretching or shrinking beyond that which the manufacturer extends to us. In some instances exact pattern matching cannot be achieved. There may also be instances where additional seams may be required. 11 S & LEATHERS fabric puddling The content and construction of certain upholstery fabrics can make them more prone to puddling and wrinkling. In addition, humidity and other weather factors can also affect the appearance of certain fabrics. Quaker Furniture has no control over these occurrences and will not assume any responsibility. caring for leather Leather is the easiest to maintain and most durable of all upholstery materials. Each leather hide possesses distinctive, natural grain and markings. Its useful life exceeds that of fabrics by a factor of four to six; and leather actually improves with age, taking on a patina which reflects the lifestyle and sophistication of its owners. protected leather Dust frequently with a clean, dry cloth. Occasionally wipe with a soft, lightly-moistened cloth or mild Ph neutral soap and water solution. Repeat with a clean damp cloth and dry with a clean cloth to restore the beautiful patina of the leather. Blot spills immediately with a clean white cloth or sponge. For persistent stains, dampen the cloth with distilled water and carefully clean the area. Avoid hard rubbing. Oily stains will often dissipate in a few days. Should they persist, or if other difficult stains occur, seek the services of a professional cleaner. DO NOT use saddle soap, polish, wax, or any cleaning agents other than a mild soap and water solution. The use of any cleaning substance other than a mild soap and water solution will negate any warranties from the leather tannery. unprotected leather This is a natural leather that cannot be cleaned because it does not have a protective coating. This leather will fade if exposed to direct sunlight. Leather Masters has products available that may help the performance of this leather. You may contact Leather Master for assistance at never subject fine leather upholstery to: Harsh solvents or soaps Abrasive or sharp objects Artificial heat sources such as hair dryers Prolonged direct sunlight graded-in fabric We offer graded-in fabric through three vendors listed below that have proven to be reliable, high in quality, and have a wide selection of styles. 12 SAFETY & SPECIFICATIONS california technical bulletin 117 All upholstered Quaker Furniture meets California Technical Bulletin 117 at no additional charge. california technical bulletin 133 Representative styles of Quaker Furniture have been tested for compliance with California Technical Bulletin 133 using a barrier material between the foam and upholstery cover. California Technical Bulletin 133 is a full-scale fire performance standard - there are no individual components which by themselves can ensure compliance. See upcharge for each item in price list. If laboratory certification is required for a specific style and upholstery combination, the following costs apply: Cost of test sample including upcharge $1,000 net for transportation, test, and video The same charges apply to COM/COL. Quaker Furniture reserves the right to reject any COM/COL which we feel may compromise the integrity or safety of a piece specified for code compliance, or in cases where the barrier material shows through the fabric. All code compliant furniture will carry the special labeling required. dimensions & specification changes All dimensions in our catalog are subject to slight variations due to the varying thickness of coverings and the individual upholstery techniques of each craftsperson. We assume no responsibility for variations in dimensions. Technology advances are being reviewed regularly. 13 DESIGN OPTIONS moisture barrier A moisture barrier is available on all upholstered styles at an upcharge. This barrier, applied between the upholstery material and the interior filling, is designed to prevent moisture from penetrating the foam and filling materials. Quaker Furniture s moisture barrier is soft and pliable with properties that include: anti-fungal, anti-bacterial, and fluid proof. The moisture barrier meets California Technical Bulletin 117: Section E. The moisture barrier upcharge is per unit (see unit examples below). Each style has a total number of possible units of moisture barrier; however, less units than the total, such as seat only, may be ordered. When ordering, specify which units of each style should receive the moisture barrier. Upcharge: $45 list per seat unit $45 list per back unit $45 list per arm (both arms = $90) Examples in calculating moister barrier units: An open arm guest chair has 1 seat and 1 inside back = 2 possible units A sofa has 3 seats, 3 inside backs, 2 inside arms = 8 possible units combination upholstering When a combination upholstery treatment is desired, price at the highest grade fabric used. contrasting welt Contrasting welt is available at an additional charge as follows: Chair $50 list Loveseat $60 list Sofa $70 list These charges apply for Studio Q Upholstery Selections, Graded-In Fabrics, and COM/COL. loose seat cushions Loose seat cushions are secured with an elastic strap, snap, and D-ring system. This allows you to remove the cushions when needed. permanently attached seat cushions Permanent attachment of seat cushion is available at an additional charge: Chair $175 list each Loveseat $275 list each Sofa $375 list each comfort wrinkles Seating items are designed with flat upholstery surfaces. Comfort wrinkles or puddling may develop depending on the thickness and soft nature of batting and foam, contoured shapes of seats and backs, and memory of upholstery used. Leather and thick fabrics have a tendency not to spring back and may show indentations after use. Some fabrics even though upholstered with the correct amount of tension, may develop looseness or a draping effect when exposed to environments with higher than normal levels of humidity. 13

14 DESIGN OPTIONS knee-tilt control The knee-tilt control allows you to tilt backward while keeping your feet on the floor. This control minimizes vertical knee movement and eliminates upward thigh pressure. These controls are standard on some of our chairs, and are noted in the price list descriptions. adjustable glides Available on various tandem seating for an additional charge: Chair $30 list 2-Seat $45 list 3-Seat $60 list Contact customer service for available styles. bariatric guest seating & benches Bariatric chairs have successfully complied with the appropriate test clause of ANSI/BIFMA X Base Test - Static: 1400lbs and Modified BIFMA , Section 4. Dynamic Load Test: 750lbs power option Power option is available at an upcharge on select lounge seating, benches, and wood or laminate tables. The power unit lays flat when closed and offers fluid one touch accessibility to one electrical outlet rated 15/A 125VAC and two USB-A connections for USB powered devices. A six foot electrical cord comes with the unit. The power unit is positioned in the outside arm panel of a lounge unit, the end panel of a bench, or the top of a table. For seating, specify position of the power unit as Left Side Facing (LSF) or Right Side Facing (RSF) when ordering. For tables, please specify location of the power unit in table top or provide a drawing with your purchase order indicating position. placement examples of power unit tablet arms Removable tablet arms are available on several styles. Tablet arms revolve 360 degrees. Please consult the price list for availability and pricing. Tablet arms are available in laminate or solid wood. Black is the standard laminate color for tablet arms, but you may select from any of our standard laminates listed. Laminate is the most durable of the two surfaces. If you select wood keep in mind that the wood may show scratches or markings from objects used for various tasks. Quaker Furniture is not responsible for any markings or scratches that may occur. NOTE: TABLET S ARE NOT DESIGNED TO BE USED FOR SITTING, LEANING, SUPPORTING HEAVY OBJECTS, ETC. GOOD JUDGMENT OF USE AND RISK OF BREAKAGE WILL BE YOUR SOLE RESPONSIBILITY. tables Tables are made from kiln-dried, beautifully finished wood veneer or laminate tops with solid wood edge bands. We use only high quality materials and construction standards. Tempered glass is used in all glass top tables. Good judgment of use and risk of breakage will be your sole responsibility. connector tables Although the connector tables are very durable and strong, the tables should not be used as seats. Connector tables are not designed to hold a person s weight whether sitting, standing, or leaning. Damage to the connected chair or connector table due to improper use is not covered under warranty. Assemble in final location. Do not pre-assemble and move. Disassemble units before moving. Failure to do this may result in damage to the connected units and is not covered under warranty. ordering connector tables When ordering connector tables, please provide a detailed configuration line drawing including: Style number Indication of which styles are connecting and non-connecting Fabric name and placement Wood finish We will custom build your order to your specifications and configuration. The configuration will NOT be inter-changeable; therefore, we cannot process your order without the configuration line drawing. 14

15 DESIGN OPTIONS - ALLURE COLLECTION post let / sled base All Allure modular and lounge units are available with either post leg or sled base; specify. metal finishes All Allure seating units and tables are available in two powder coated finish options - satin chrome or satin black; specify. upholstered arm An upholstered arm (6400-A) can be placed between Allure modular units or at either/both ends of a seating unit or configuration. Arms are ordered separately and are attached to the seating unit before shipping. An optional swivel tablet arm is available at an upcharge, see Table Arm section. Power option is available at an upcharge, see Power Option section. Please provide Customer Service with a diagram of your specific configuration and specify the location of arm/s, tablet arm, and/or power option at time of order. modular unit examples Allure collaborative seating offers a variety of modular units in different shapes and dimensions so that various configurations can be created. Straight, forward or reverse units can be used alone or combined to create straight, angled, and curved configurations. STRAIGHT FORWARD REVERSE tablet arm A swivel tablet arm is available. Tablet size is 20x Upcharge: $380 list. Please see Tablet Arm section on previous page for more details. swivel club chairs Allure armless and arm club chairs ( , ) swivel 360 and have a fixed height. Club chairs are non-tilting and non-height adjustable. A swivel tablet arm is available at an upcharge. See Tablet Arm section. power option Power unit is available at an upcharge on select arm and armless units: $325 list. Power unit will be placed on the outside arm panel when arm is specified at the end of a configuration or on a single seating unit. When armless, the power unit will be placed on the outside end panel of the seat. Specify position of power unit as Left Side Facing (LSF) or Right Side Facing (RSF) when ordering. Please provide Customer Service with a diagram of your specific configuration and specify each arm or armless seating unit that will receive a power unit on your configuration diagram. side chair arm cap Allure side chair is offered with either a wood arm cap or a black thermofoil arm cap; specify. accent pillows Accent pillows are available in three styles: kidney, square, and bolster, with a zippered removable cover and a poly-fill insert. personal and occasional tables Personal and occasional tables are standard with adjustable glides. Tables are available with either a wood veneer top or laminate top; specify. connector tables All connector tables are available in these options; specify: Wood Veneer top or Laminate top Post Leg or Sled Base Ganging Cleats Note: post leg/sled base is required when tables are placed at the end of a configuration. Power option: upcharge $325 list. The power unit is positioned in the top surface of table. Please provide Customer Service with a diagram of your specific configuration and specify each table that will receive a power unit on your diagram. ganging Collaborative Seating: An easy release connector clip can be added to any Allure collaborative seating modular unit. This allows the units to be easily connected or separated at any time. Note: two ganging bracket kits are required to join two units together. Upcharge: $60 list - includes two kits. Please provide Customer Service with a diagram of your specific configuration including location of ganging connector clips. Easy release connector clip instructions: Units slide together for a secure ganged connection. To disconnect, lift up and pull outward. If disconnected, connector clips may be hidden by swiveling clips inward under unit. Side Chair: A ganging bracket with a screw on assembly is available for the Allure side chair ( ). When installed, a 1.5 clearance is between the arms of the ganged side chairs. Only one bracket is required between two chairs. Simple field assembly of the bracket will need to be done by installing six machine screws into pre-threaded holes in metal brace under chairs. Upcharge: $75 list; specify on order. 15

79 TERMS & CONDITIONS All quotations and sales are subject to the following terms and conditions (the Terms and Conditions ), which cannot be modified except in writing and signed by an authorized officer of Quaker Furniture Inc. ( Quaker ). In the event of a conflict between the terms of any purchase order and these Terms and Conditions, these Terms and Conditions shall control Quaker s agreement to provide products (the Products ) to a Customer is expressly conditioned on Customer s assent to these Terms and Conditions. 1. acceptance All orders are subject to approval and acceptance in writing by Quaker Furniture. 2. specifications & changes Quaker Furniture shall produce the Products in accordance with the specifications (the Specifications ) provided by Customer and expressly agreed to in writing by Quaker. Any changes, modifications or amendments to the Specifications or any purchase order must be agreed to in writing by Quaker. If any change, modification or amendment to the Specifications or any purchase order causes an increase in the price of the Products or affects the delivery schedule, then Quaker shall put into effect such price increase on the applicable invoice and notify Customer in writing of the new delivery schedule. In addition, Customer shall compensate Quaker for all resultant costs of any modification. 3. delivery Upon the acceptance by Quaker Furniture of a purchase order, Quaker shall provide Customer with an approximate date of delivery. All delivery dates provided by Quaker are approximate and not binding upon Quaker; provided, however, that Quaker shall use its reasonable efforts to meet approximate delivery dates. All Products shall be delivered by Quaker Furniture F.O.B. Quaker s facility located at 3060 Main Ave. SE Hickory, NC or such other facility as Quaker may determine. Title to and risk of loss of the Products shall pass to Customer upon delivery in accordance with this Section 3. Partial deliveries shall be permitted. Quaker shall pack the Products for delivery in its usual and customary manner or as Quaker deems appropriate under the circumstances. If Customer desires special packaging, Customer must request the same from Quaker at least [five (5)] business days prior to the estimated delivery date. Any such special packaging shall be at Customer s sole cost, and Customer agrees to promptly reimburse Quaker for any such costs paid by Quaker on Customer s behalf. 4. prices All prices for the Products shall be as set forth, subject to modification in accordance with Section 2 herein. All prices shall be in U.S. dollars. [Quaker reserves the right to increase the price of the Products for any increase in raw materials or components costs beyond Quaker s reasonable control that occurs after quotation and prior to delivery of the Products. Quaker shall notify Customer in writing of any such increase as soon as reasonably practicable.] Except as specifically stated in the quotation, any manufacturer s tax, retailer s occupation tax, use tax, sales tax, excise tax, value-added tax, duty, customs agent or broker fees inspection or testing fee, freight costs, insurance or any other tax, fee or charge of any nature whatsoever imposed on, in connection with or measured by any transaction between Quaker and the Customer shall be paid by the Customer in addition to the prices quoted or invoiced. 5. invoice and payment terms Quaker Furniture requires 1/3-down for all customer purchases or group of purchases exceeding $5,000. Upon customer s execution and submittal of a Quaker Credit Application; pursuant to discretionary approval by Quaker, all purchases shall be invoiced on the date of delivery in accordance with Section 3 herein. Payment of all invoices shall be made by Customer Net thirty (30) days from the date of the invoice. Customer shall be charged interest at the rate of 1½ % per month, or the maximum rate allowable by law, for any past due invoices. 6. security interest Customer acknowledges and agrees that these Terms and Conditions shall constitute the Security Agreement of Customer required by the Uniform Commercial Code ( UCC ) of the appropriate state, and Customer hereby agrees that it grants to Quaker a security interest in the Products, wherever located, and all proceeds thereof, to secure Customer s payment in full for the Products. Customer hereby authorizes Quaker to execute any ( UCC ) financing statement, or any other document Quaker deems necessary or appropriate, to protect Quaker s security interest in the Products. 7. cancellation Customer may not cancel any purchase order, except as may be agreed in writing by Quaker. In the event that Customer cancels any purchase order, Customer shall remain liable for payment for all finished Products and any works in process produced pursuant to such order and all raw materials or components purchased up to 100% of the purchase order value. 79

80 TERMS & CONDITIONS 8. warranty Quaker Furniture warrants that the Products shall conform to the Specifications on the date of delivery in accordance with Section 3 herein. THIS WARRANTY IS IN LIEU OF AND EXCLUDES ALL OTHER WARRANTIES NOT EXPRESSLY SET FORTH HEREIN, WHETHER EXPRESS OR IMPLIED BY OPERATION OF LAW OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF MERCHANTABILITY OR WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. Customer shall notify Quaker Furniture in writing of any Products not conforming to the Specifications within ninety (90) days of delivery thereof. Quaker shall, within sixty (60) days of receipt of a written notification of nonconforming Products from Customer, cure any nonconforming Products by; (i) replacing such nonconforming Products with Products conforming to the Specifications; (ii) crediting to Customer any amounts paid by Buyer for the nonconforming Products; (iii) refunding to Customer any amount paid by Customer for the nonconforming Products; or (iv) Quaker may advise Customer to dispose of such nonconforming Products in a manner as the circumstances may reasonably dictate, and Quaker shall reimburse Customer for any amount by which the sale or disposal price realized by Customer shall be less than Customer s cost of the Products plus reasonable expenses for such sale or disposition. Such method of cure shall be in the sole discretion of Quaker. 9. indemnification Customer agrees to indemnify, defend and hold Quaker and its officers, directors, employees, agents and customers harmless from and against any and all liability, damage, cost or expense (including reasonable attorneys fees and costs of any action or threatened action or costs of collection), resulting from; (i) Customer s breach of these Terms and Conditions; (ii) any manufacture, sale, promotion, distribution or use of the Products by Customer, including, without limitation, product liability or strict liability; (iii) Customer s exercise of control over the manufacturing of the Products, to the extent that Customer s Specifications, instructions or directions violate applicable laws or regulations; (iv) any actual or alleged infringement or violation of any patent, trade secret, copyright, trademark or other proprietary rights used by Quaker in the manufacturing of the Products; or (v) Customer s (or any of Customer s agents, employees or subcontractors ) negligence or intentionally wrongful acts or omissions. 10. limitation of liability QUAKER FURNITURE SHALL NOT BE LIABLE FOR ANY CLAIM FOR LOST PROFITS, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR MULTIPLE DAMAGES OR LOSSES OR EXPENSES, DIRECTLY OR INDIRECTLY ARISING FROM SERVICES RENDERED, OR FROM THE DISTRIBUTION, SALE, HANDLING OR USE OF CUSTOMER S PRODUCTS, WHETHER SUCH CLAIM IS BASED ON BREACH OF WARRANTY, STRICT LIABILITY IN TORT, NEGLIGENCE OR ANY OTHER LEGAL THEORY. IN ADDITION, QUAKER S LIABILITY IN ANY CASE SHALL BE LIMITED TO THE OF THE PRODUCTS. CUSTOMER MUST MAKE ALL CLAIMS IN WRITING WITHIN 30 DAYS OF THE OCCURRENCE OF ANY EVENT GIVING RISE TO SUCH A CLAIM. 11. delays; force majeure Quaker Furniture shall not be liable to Customer for any loss or damage due to delays in or failure of performance or delivery occasioned by or resulting from acts of God, strikes, work stoppages or other labor disputes, riots, war, fire, flood, earthquake, explosion, governmental expropriation, insurrection, embargoes, failure of carriers, inability to obtain materials or transportation facilities, acts of terrorism, governmental tariffs or quotas, compliance with any changed law, regulation or other governmental or court order, whether or not valid, or other causes beyond the reasonable control of Quaker. Quaker shall immediately notify Customer of any such occurrence and the estimated duration of delay. 12. propriety information Any sketches, models, samples or other proprietary information of Quaker Furniture disclosed to Customer shall remain the sole property of Quaker, and Customer agrees that it shall treat such proprietary information as Quaker confidential information. No use or disclosure of such sketches, models, samples or other proprietary information, or any design or production techniques revealed thereby, shall be made without express written consent of Quaker. All right, title and interest in and to any proprietary or confidential information and all intellectual property rights of Quaker, whether or not capable of being patented or copyrighted, relating to the Products, including, but not limited to, any developments, improvements or modifications of the Products, shall remain with and inure to Quaker. Customer recognizes Quaker s exclusive ownership of its trademarks, trade names, logos, symbols and other proprietary information related to the Products and agrees not to take any action inconsistent with such ownership. 80

81 TERMS & CONDITIONS 13. governing law; dispute resolution These Terms and Conditions shall be governed by and construed according to the laws of the State of North Carolina, including, without limitation, the North Carolina Uniform Commercial Code and not the United Nations Convention on Contracts for the International Sale of Goods, without regard to the conflicts of laws provisions thereof. All claims and disputes arising out of or relating to these Terms and Conditions or the sale of goods hereunder which are not otherwise resolved by the parties by negotiation or mediation shall be settled by binding arbitration administered by United States Arbitration & Mediation, Incorporated by a single arbitrator using the Commercial Arbitration Rules of the American Arbitration Association. The arbitrator shall be a lawyer who is disinterested in the controversy, shall be independent of the parties, shall have training and experience as an arbitrator and shall have a demonstrated reputation for fairness and integrity as an arbitrator. The arbitrator appointed shall be required to render a reasoned award based on the evidence and the law, and shall have no authority to award punitive damages. The arbitrator shall determine what forms of discovery are permissible but shall limit depositions to no more than two for each party. The hearing for such arbitration shall be held in, North Carolina. Each party will bear the expenses of its counsel and any witnesses called by that party. All other expenses of the arbitration shall be borne equally by the parties, unless they agree otherwise or as otherwise assessed by the arbitrator as part of the Award. Any award rendered as a result of such arbitration will be binding upon the parties and judgment on such award may be entered in any Court of competent jurisdiction. take other action that Quaker deems necessary for the parties to comply with applicable export laws in connection with these Terms and Conditions. Customer shall; (i) prepare and file at its sole cost and expense all reports required by any governmental body in its territory, and (ii) pay all taxes and other similar charges imposed upon the Products. 15. miscellaneous Quaker Furniture reserves the right to change, amend or modify these Terms and Conditions at any time and from time to time in its sole and absolute discretion, without notification to Customer. Invalidity or unenforceability of any of these Terms and Conditions shall not affect the validity or enforceability of any other of these Terms and Conditions. Failure of Quaker to insist, in any one or more instances, upon performance of any of these Terms and Conditions shall not be construed as a waiver or relinquishment of any right granted hereunder or the future performance of such of these Terms and Conditions. The rights of Quaker under these Terms and Conditions shall be in addition to any other rights Quaker may have and shall not prejudice any such right. 16. entire agreement THE TERMS AND CONDITIONS SET FORTH HEREIN CONSTITUTE THE ENTIRE AGREEMENT BETWEEN THE PARTIES WITH RESPECT TO THE PURCHASE AND SALE OF THE PRODUCTS AND SUPERSEDE ALL OTHER PRIOR AGREEMENTS OR COMMUNICATIONS, WHETHER WRITTEN OR ORAL. 14. import licenses; compliance with law Customer shall obtain, at its sole cost and expense, any import licenses and governmental approvals that may be necessary to permit the sale and the purchase of Products hereunder, comply with all Product and distribution registration requirements in all territories where it sells such Products and comply with any and all applicable laws, regulations, and orders of the Customer s own jurisdiction or any jurisdiction of distribution or sale and of the U.S. Without limiting the foregoing, Customer shall comply with all U.S. export (including the Treasury Department s Office of Foreign Assets Control regulations which prohibit U.S. persons transshipping products to embargoed countries), anti-boycott and foreign corrupt practice laws including, without limitation, the Foreign Corrupt Practices Act, Executive Order No , the USA Patriot Act and any regulations promulgated pursuant to the foregoing acts. At Quaker request, Customer shall complete any forms or 81
