3 TERMS & CONDITIONS GENERAL INFORMATION These Terms and Conditions May Change Cape Contract Furniture Inc. ( Cape ) reserves the right to update or modify these Terms and Conditions at any time without prior notice. For this reason, we encourage you to review these Terms and Conditions whenever you purchase products from us or use our Web Site. Product Information Our product information can be found on our website at in the price guide, or in our catalogue. All dimensions and weights are to be considered overall and approximate. Cape reserves the right to make adjustments in dimensions without prior notice. Any finishes shown on our website and catalogue are approximate as color monitors, photography, and printing have inherent variations. Manufacturing Procedures All Cape product are designed and developed for contract use. Cape products are intended for indoor use unless specifically noted otherwise. Quotes Quotations are valid for 60 days except if otherwise noted. Sales Orders Please use your company s standard Purchase Order Form or official company letterhead when placing an order. Orders are accepted by Cape via fax or . The following information must be included on your order: Contact name, phone and fax numbers, and an address. Item Number/Series Name Wood finish and metal frame finish, where applicable Fabric and upholstering specifications, where applicable Quantity Any other specification regarding finish options, packaging, tagging, etc. Required date of on-site delivery of the merchandise Ship to and "Bill to" addresses (including the contact name and phone number) Shipping instructions If freight was previously quoted by Cape for the order, the quote must be attached or freight will be recalculated based on current rates at the time of order Cape requires a minimum of 30% deposit on all orders, custom orders a 50% deposit is required When applicable, quotation reference and accompanying documentation A

4 TERMS & CONDITIONS All orders are subject to delay or failure of delivery due to labour, transportation, supplier difficulties, Acts of God, or other causes beyond Cape s control. All delivery dates/lead times quoted are estimates. Due to our vast selection, finishes and colors available, lead times will vary for delivery for products that require customization. Delivery time is not 100% guaranteed. Cape is not liable for any delay in the delivery of merchandise. A 30% non-refundable deposit is required before an order is scheduled for production. The balance of the invoice is due based on agreed upon terms. Lead time does not start until deposit, upholstery materials, and any missing information from the above is received. New customers and custom orders require a 50% deposit prior to production. Within 48 hours of receiving your completed order, Cape will either or fax you an Order Acknowledgement. Contact Cape within 24hrs regarding any discrepancies and send a signed off copy of the acknowledgement. The estimated lead time starts when the acknowledgement has been signed along with the associated deposit. If Cape does not receive amendments to the order within 48 hours, no changes or amendments can be made without penalty. The customer will receive the goods as entered on the Order Acknowledgement and will be liable for amount due. The Order Acknowledgement is the final agreement between Cape and the customer, superseding all previous communications. Cape s policy prohibits signing any customer s terms of purchase or purchase orders. Order Cancellation Orders are not subject to change or cancellation without Cape s approval. Cape will make every reasonable effort to stop production, scheduling, shipment, etc., upon receipt of written notification of changes or cancellations. If changes or cancellations are approved by a Cape manager, the following cancellation charges apply: 30% restocking fee for signed acknowledgements Samples Samples are provided at no charge to our sales representatives under the following conditions: 1. Samples are considered the property of Cape and may be requested to be returned at any time 2. Samples that are not returned within a 45-day period, the customer agrees to reimburse Cape the full list price 3. A minimum of 48 hours is required for sample orders to ship. 4. Freight is the responsibility of the customer/sales representative. Prices Cape issues a suggested list price. Contact your local Cape representative, for available trade pricing or quantity discounts. Cape reserves the right to change its pricing at any time without prior notice. Price lists published with the most recent date supersede all previous price lists. The most current pricing updates can be found at All prices are FOB Cape. Prices include standard packaging. Table tops are subject to an up-charge for small quantities or waste. Special requests must be outlined in writing on a customer s PO. Changes cannot be made after production is completed. Cape reserves the right to change minimums or fees for custom requests at any time. Some Cape products cannot be customized. B

5 TERMS & CONDITIONS Tax Unless otherwise noted, sales, use, occupation, excise, and other taxes are not included in the price and such taxes or any costs in connection therewith, wherever levied and whether imposed before or after payment of invoice, shall be paid by buyer to the appropriate authority. The end user is responsible to pay all applicable taxes to their governing authority. If you qualify for sales tax exemptions, appropriate documentation must be provided to Cape. Credit Terms Credit accounts can be opened for repeat customers who have good credit ratings, satisfactory trade references and respect the agreed upon payment conditions. A Credit Application Form must be submitted before credit terms and a credit limit can be established. Terms are net 30 days from date of invoice. A finance charge of 1.75% per month is applied to all overdue balances. All orders require a 30% deposit even if the customer has terms. The balance will follow the agreed upon payment schedule. For any delinquent accounts, the customer shall be responsible for all collection costs. Cape reserves the right to cancel or change credit terms and to request payment in advance at any time. Storage Any order held at Cape for more than 30 days will be transferred to storage. Costs incurred for transportation, warehousing and re-delivery will be charged to the customer and Cape. Storage charges will be calculated at a rate of $250 per week per pallet. Orders not shipped/paid in full 90 days after notification of storage will be cancelled. Any related deposits will not be returned. Returns To return merchandise to Cape, a Return Merchandise Authorization (RMA) form is required along with an RMA number. Please contact Cape to obtain the required documentation. Damaged returns are subject to additional charges incurred to restore goods to saleable condition. All returned merchandise will have to be shipped prepaid freight. Unauthorized returns will be refused and returned freight collect. For custom orders, the order cannot be cancelled or changed. All products remain the property of Cape until paid for in full. If full payment is not made by the due date, we may take steps to recover the goods. Shipping If shipping instructions are not provided on the customer purchase order, Cape reserves the right to ship the product under its discretion. Overnight express orders are available upon request for an additional charge. If you prefer to choose your own transportation company, we will ship FOB Cape. Any orders shipping internationally will be subject to a $75 brokerage fee. Any orders shipping domestically will be subject to a $35 brokerage fee. COD orders will not be shipped until funds are received. C

6 TERMS & CONDITIONS Damage Claims & Errors All furniture is carefully inspected and securely packed before it is shipped. It is the customer's responsibility to inspect all cartons and pallets for visible signs of damage before accepting merchandise from the carrier. Any damage or any loss must be noted on the delivery receipt. If an item is either lost or damaged, an immediate claim with the carrier must be made. When you receive product from any freight carriers, it is extremely important to inspect the carton/crate for any damage or even an indication of the possibility of damage. You will be asked to sign a Bill of Lading which indicates you are receiving the product in perfect condition. Without notation of damage there is no recourse. Shipments should not be refused under any conditions. Refused shipments are the customer s responsibility as all items ship FOB Cape. Cape will not be responsible to track or refund refused deliveries. In case damage is concealed and not determined until furniture is unpacked, keep all the packing materials and notify the carrier/cape within 24 hours. All costs for furniture installation, loss of use, temporary furniture, removal from service and reinstallation due to damage claims, partial shipments or shipping errors is the responsibility of the customer. Cape will not be liable for costs associated with any of the above conditions. If a shipping error occurs, products must be returned unused, in the original packaging to Cape. Customers must contact Cape within 24 hours after delivery to receive an RMA. Cape will ship the correct product free of charge to the same ship to address as the original order as soon as the product shipped in error is returned. Any shortage, including hardware, must be reported to Cape within 24 hours of delivery. After this time, Cape will not be liable for costs to replace missing parts. Cape Carriers Any damage claim needs to be filed by the customer with Cape, in writing, within 24 hours after delivery. Damages must be documented and photographed with a copy sent to Cape and the carrier. Failure to make such claims shall constitute acceptance of the merchandise and waiver of any defects, errors or shortages. Customer Carriers Products are shipped at the customer s own risk and are accepted as such by the carrier. Title and all risks of loss or damage on all shipments are passed to the customer upon delivery of merchandise to a carrier from Cape s warehouse. Any damage claim needs to be filed by the customer with the freight Carrier, in writing, within 24 hours after delivery. Any damages must be documented and photographed with a copy sent to carrier. 7 TERMS & CONDITIONS FABRICS & FINISHES Colour, grain, texture variations are a natural occurrence in wood due to age, species, and exposure to UV light. Minor variations are expected in products and not considered a defect. Every piece of wood varies and as such stains differently. Samples are a guide only. The colour of the wood can change as they are exposed to light and the aging process. Cape cannot guarantee the exact matching of any grain, pattern, and color. On orders where a finish match is required (ie. reorders), the PO must be clearly marked and reference previous order. Customer own material (COM)/ Customer own leather (COL) Cape will use COM/COL upon request by a customer. These materials must be sent to Cape s office, freight prepaid. All COM/COL materials need to be marked with the Order Acknowledgement number, Purchase Order number and the customer s name. Upholstery approved under NAFTA is subject to a brokerage fee. Approved fabric that does not qualify under NAFTA is subject to brokerage and duties. Note: All COM/COL shipping to Cape requires the following information on the export documents: a) country of origin b) content c) NAFTA certificate d) Woven or knit Upholstering directions must be provided to Cape in writing with your PO. If directions are not provided, Cape will apply COM at its discretion. Use of COM/COL requires approval by Cape. Upon approval, please contact a Cape representative to calculate yardage requirements for all fabrics. Yardage requirements may vary depending on upholstering directions, fabric quality and pattern. The customer must provide required yardage based on all the above variables. Lead time does not begin until COM/COL is received. Cape is not responsible for additional cost or lead time incurred as a result of COM/COL shortages. If multiple rolls are required, please ensure add 2 yards to the total yardage requirement. Cape shall not be held liable for unsatisfactory results due to the use of upholstery unsuitable to our manufacturing methodology. Any upholstery that is inadequate for production may be rejected by Cape. Cape is not responsible for receipt of defective fabrics. While Cape inspects fabrics for imperfections, some are difficult to recognize. Cape cannot be responsible for defects, color inaccuracies, dye lot variations and other flaws. Any defects or flaws may require additional COM yardage and additional production time. Cape assumes no responsibility for the flammability of any COM. Customers are solely responsible for making sure that COM/COL applies with all applicable codes and regulations. Cape cannot predict or be responsible for how upholstery wears in an installation setting. We will not be held responsible for wear, fading, stretching, unraveling seams or performance of any upholstery material. There is no warranty on COM/COL. All COL hides must be properly rolled for shipment to Cape. Cape has the right to reject COL that is received folded as creases cannot be removed. Half hides are not acceptable as colour matching becomes an issue. All square footage requirements are based on usable footage. Additional COL may be requested depending on the shape and quality of the hide, holes, cuts or other imperfections. Excess COM/COL will not be stored or returned. 8 TERMS & CONDITIONS MAINTENANCE Periodic maintenance is necessary to ensure durability and customer satisfaction. Customers need to inspect, clean and tighten screws and bolts on each product as necessary. Wood Products Particular care should be taken when inspecting for loose joints. In the event of a loose joint immediately tighten the joint. Do not use any harsh chemical solvents to clean the wooden parts of the product. Furniture should not come into contact with water or be placed in a damp environment. The product should not be placed in direct sunlight or extremely hot or humid environments. Dust should be removed with a soft, clean and dry duster. Please adhere to the label instructions for the use of any cleaning agent. Metal Products Glides should be inspected monthly and replaced as necessary. Glides help prevent products from slipping or tipping over. Cape is not responsible for any scratching or scuffing of flooring. Use chrome cleaner as needed. Stainless Steel Products Clean with a small amount of water and a clean cloth. Glass cleaner can be used to remove smudges and fingerprints. Please adhere to the label instructions for the use of any stainless steel cleaners and polishes. Laminate Cleaning instructions should be as per the laminate supplier. Other Products Only use non-abrasive cleaners that are specifically made for the type of surface being cleaned. Please adhere to the label instructions for the use of any cleaners. Upholstery A mild soap and water solution should be used to clean vinyl. Spills and spots require immediate action, as stains can become permanent if allowed to set. Clean leather with specialty leather cleaner. Do not use water. WARRANTY Direct customers of Cape products are warranted against defects in material and workmanship for the following categories as noted below. 1. Metal Frames and Table Bases 3 years 2. Table Tops (self edge and all PVC) 2 years 3. Wood Frame 1 year 4. Exposed Wood Components 1 year 5. Upholstery 1 year This warranty does not cover: Misuse or wear and tear Upholstery materials Laminate (Warranted of the laminate company) Product Failure, damage or injury caused by: unreasonable or abusive use failure to provide necessary reasonable care failure to follow maintenance guidelines accident, tampering or negligence unauthorized repairs after market changes to the product F

9 TERMS & CONDITIONS Products should be regularly cleaned and maintained on a periodic basis. Products should be inspected monthly for damage or stress incurred due to daily use. If an issue is found, contact Cape immediately and remove the item from use. Any warranty, both expressed and implied, is invalid if proper care and maintenance procedures have not been followed. Colour, grain, texture variations are a natural occurrence in materials due to age, species, and exposure to UV light. The mild colour variations are not covered under this warranty. If the item's useful life expires, it must be handled as waste. Under the condition that the warranted product is returned to us promptly with a RMA number. Cape s sole responsibility will be to repair or replace, at our discretion, products free of charge. All costs for labour, installation, removal from service and reinstallation due to warranty claims are the responsibility of the customer. Cape is not liable for costs associated with any of the aforementioned conditions. The warranty value is limited to the original price paid for the merchandise. Any refund extended will be issued as a credit on account. Repair or replacement of discontinued products will be at the discretion of Cape. The Cape warranty does not cover damages caused by stacking/unstacking of chairs. No reimbursements for repairs made in the field will be allowed without prior written consent.
